That Councl approves the executon of the Agreement of Purchase and Sale related to the Laura Secord House (Decew House) property. 2. That a by-law be prepared and approved authorzng executon of the Contract Agreement. BACKGROUND: n March 2009, staff reported (DOR ) to Councl regardng the commtment to transfer ownershp of the Laura Secord House (Decew House) property from Ontaro Power Generaton (OPG) to the Cty of Thorold. At that tme Councl supported n prncple the transfer of lands from OPG to the Cty of Thorold along wth a one tme $20,000 mantenance contrbuton dedcated to a reserve fund for future mantenance of the property. t should be noted that the ongong upkeep costs related to ths property are expected to be between $5,000 to $7,000 annually. Councl further agreed n prncple (DOR ) to the lmts of the land to be transferred. At ths tme, Councl also requested that staff follow up wth our nsurers to make sure that our labltes for the mountan bke trals through the park were covered. OMEX assured us that ths use for all parks, was covered, and that only losses experenced would potentally affect coverage rates. (e-mal attached) REPORT: OPG has prepared a legal plan and regstered the property and an Agreement of Purchase and Sale (attached), The Agreement s summarzed as follows: 1. Provded, however, there shall be no adjustment for any lease, lcence or other agreement or oblgaton for whch the anual rent or compensaton does not exceed $1, Wth respect to all leases, lcences and other agreements, the Pares shall execute an assgnent, assumpton and ndemnfcaton agreement n the Vendor's standad form. The Puhaser covenants and agrees that all envonmental reports and the normaton contaned theren s strctly confdental and the Puhaser represents and warants tht nether the Purchaser nor ts employees, or agents wl release the reports or any of the normaton contaned theren to any other ndvdual or corporaton, or to any federal, provncal, or muncpal agency or nsttuton or to any other governent body, domestc or foregn, wthout the express wrtten consent of the Vendor, whch consent may be arbtry wtleld, and the Purchaser shall refuse all requests for such reports or normaton n the absence of the Vendor's express wrtten consent, uness compelled to do so by competent judcal or admnstrtve authorty. 4.4 n the event the Puchaser does not delver Notce of Termton wth the npecton Perod, subject olùy to secton 5.1 hereof the Purchaser shall be conclusvely deemed to have waved all requstons concernng any matters relatng to the Property and the Purchaser accepts ful responsblty for all condtons related to the Propert, and the Purchaser shall comply wth all orders relatng to the condton of the Property ssued by any competent governent authorty, cour or admnstratve trbun, ncludng any order ssued agant the Vendor. The Purchaser shall be responsble for and hereby ndemfes and saves haess the Vendor from any costs, ncludg legal and wtness costs, clam, demads, cvl actons, prosecutons, or admstratve heangs, fnes, judgements, awards, ncludng awards of costs, that may arse as a result of the condton of the Property, any order ssued n connecton wth the condton of the Propert, or any loss, dage, or wy caused ether drectly or ndectly as a result of the condton of the Propert. The covents and oblgatons of the Purchaser contaed n Arcle 4 shal not merge but shall surve the Closng or other termton of ths agreement for any reason whatsoever and shall be a contnung oblgaton of the Purchaser. 5.0 TTLE SEARCH PEROD 5. The Purchaser agrees to satsfy tself wth respect to complance wth all such agreements, restrctons or covenants referred to heren or n secton 5. and agrees tht the Vendor shall not be requed to provde any evdence of complance wth same. 5.3 Provded that the ttle to the Property s good and free from all encumbrances except as aforesad, f wth the Ttle Search Perod, any vald objecton to ttle s made by the Puchaser n wrtng to the Vendor together wth documenta verfcaton thereof, and whch the Vendor shall be wlng or able to remove and whch the Puchaser wl not wave, ths Agreeent, notwthstandng any ntermedate acts or negotatons n respect of such objectons, shal be at an end and the Depost shall be retued to the Puchaser, wthout nterest or deducton, and the Vendor shall not be lable for any costs or dages and the Vendor and the Puchaser shall be released from all oblgatons der ths Agreement, save and except those covenants of the Purchaser expressly stated to surve Closng or other tenton of ths Agreement. Save as to any vald objecton to ttle made n accordace wth ths Agreement and wth the Ttle Search Perod, and except for any objecton gong to the root of ttle, Purchaser shall be conclusvely deemed to have accepted Vendor's ttle to the Property. 5.4 The Vendor and Purchaser agree that there s no condton, express, or mpled, representaton or warty of any kd that the futue ntended use of the Propert by the Puchaser s or wl be lawful. 5.5 The Purchaser sha not call for the producton of any ttle deed, abstract, sureyor other evdence of ttle to the property except such as are n the possesson or control of the Vendor. 6.0 PAYMENT AN RELEASE Payment by the Vendor npon Closng. The Vendor shall pay to the Purchaser the total amot of Twenty Thousand ($20,000.00) dollars nclusve of costs, nterest, dsbursements, taxes and all other charges whatsoever for the futue mantenance of the Property ncludng remedal and restoraton work on the Laura Secord House stone structue. Effectve mmedately on recept of the payment referred to n secton 6.0 and 3.2 (b), the Purchaser for tself, ts her, executors, admnstrators, successors and assgns: (a) accepts all past, present and future responsblty, oblgaton and lablty for the Property, ncludng the constrcton, matenance, operaton, nspecton, alteraton, repar, reconstructon, removal, care, control, or use of the Property and any and all mprovements or other works appurenant thereto. 22 operaton, nspecton, alteraton, repar, reconstructon, removal, care, control, or use of the Property and any and all mprovements or other works appurenant thereto, all such oblgatons are ether completely fulflled by the Purchaser to the entre satsfacton of the Vendor, or permnently waved by the Vendor; (c) acknowledges that the Vendor has no responsblty, oblgaton and lablty wth respect to the Property; (d) shall assume all lablty and oblgaton for any and all loss, damage or njur (ncludg death), by reason of fre, accdent or otherwse, to all persons or propert, howsoever arsng, as a result of or connected n any way wth the Propert; (e) (f) (g) hereby revocably and uncondtonally releases, acquts and forever dscharges the Vendor and ts shareholder, representatves, offcers, dectors, employees, contractors, agents, successors, assgns and any and all related or afflated enttes (collectvely, the "Releases") from any and all actons, causes of acton, suts, proceedgs, clams, demands, costs, damages, expenses, losses, labltes, debts, sums of money, oblgatons, dues, accounts, nterest and statutory rghts or remedes, whether express, mpled or otherwse, known or unown, whch the Vendor had, now has, can, wl or may hereafter have arsng from or connected n any way wth the Property (collectvely, "Clams"); shall not ntate, nor assst any person or entty n relaton to, any Clams; shall not ntate any Clas aganst any person or entty that may reasonably be expected to clam or demand, contrbuton or ndemnty from any of the Releasees under provsons of any statute or otherwse; and (h) shall ndemnfy and hold haess each of the Releasees from and aganst any Clams by any person or entty. 7.0 REPRESENTATONS AND WARTES OF PURCHASER 7.1 Purchaser s duly authorzed and has the legal rght and authorty to enter nto and car out the tenn of ths Agreement and to keep and perform the oblgatons of the Puchaser provded heren. 7.2 The Purchaser warants to the Vendor that no one retaned by the Purchaser s enttled to any fee or commsson payable by the Vendor n respect of ths tranacton by reason of havg ntroduced the Property to the Purchaser or otherwse acted as a broker, agent or salesman n connecton wth ths tracton and the Purchaser hereby ndemnfes and saves haress the Vendor n respect of any clam by such a peron for any fee, commsson or rembursement based upon such person actng for or as agent of or advsng the Purchaer n connecton wth ths transacton or clag to have done so. 23 8.0 NSURACE 8.1 Purchaser acknowledges that the Vendor s self-nured. 8.2 The Property and all structues or fxtues beng purchased shall be and reman at the rsk of the Vendor untl Closng. 8.3 Purchaser shall be enttled to obta nsurance on the Property and any strctues or fxtues thereon, provded that any such polcy s taen out n a form satsfactory to the Vendor, actng reasonably. Any such nurce polcy shall name the Vendor as co-nsured and provde tht any proceeds thereof shall be pad to the Vendor and held n trt for the pares hereto as ther nterests may appea, untl Closng, at whch tme such procees shall be frst appled to the Purchase Prce, and f less tha such Puchase Prce the Purchaser shall pay the balance on Closng, and f such proceeds excee the Purchase Prce payable on Closng the remander shal be pad to the Purchaser on Closng. 8.4 n the event of substatal damage to the Properl pror to Closng, and n the event that the Purchaser has not nured the Property as provded n secton 8.3, the Purchaser may termate ths Agreement on wrtten notce to the Vendor, at the earler of fve (5) busness days of recevg notfcaton of such daage, or pror to Closng, and the Depost shall be retued to the Puchaser wthout nterest or deducton. 9.0 RESTRCTONS AND LMTATONS 9.1 Ts Agreement shall be effectve to create an nterest n the Property only f the applcable subdvson control provsons of the Plannnf Act, R.S.O. 1990, c. P.13, as amended, are compled wth by the Purchaser pror to Closng. Purchaser shal fortwth make any applcaton to the local Commttee of Adjustment or Lad Dvson Commttee for any consent that may be requred pursuant to the Plang Act, and the Vendor agrees to execute promptly, on request, any applcaton or authorzaton requed by the Purchaser n tht regard. n the event tht any such applcaton for consent s dened, or any condton mposed by such body s unacceptable to the Vendor, ths Agreement shall be termted and the Depost retued to the Puchaser wthout nterest or deducton. 9.2 The Purchaser shall not assgn ths Agreement wthout the consent of the Vendor, whch consent may be arbtrarly wtheld. f the Vendor consents to any assgnent, the Purchaser shal cause the Assgnee and the Puhaser, to covenant n wrtng n favour ofthe Vendor to be jontly and severally bound by and to jontly and severlly perorm ther respectve oblgatons of ths Agreement. The Purchaser shall not be released from hs labltes and oblgatons hereunder n the event of an assgnent. 9.3 The Puchaser shall use the Properl only for the puroses of mantang a recreatonal park n connecton wth the hstorcal sgnfcance of the Laur Secord House. The Purchaser shall not use the Properl or erect any strctues on the Property for any other purose. Except to the extent requred by Law, the Puchaser shall not sell, tranfer or otherwse dspose of all or any par of the Proper wthout the pror wrtten consent of the Vendor, whch consent may be arbtrly wtheld. BACKGROUND: As part of the agreement that saw the Cty take over the newly reconstructed DeCew Road Brdge and DeCew House Park, Ontaro Power Generaton (OPG) are gvng the Cty $20,000 for the mantenance of the park. The park has been revewed and although there wl be more than $20,000 n work to be completed at the park, the restorng of the masonry for the house s seen as a prorty at ths tme. Staff revewed the work requred for the restoraton wth an expert mason. Three masonry frms were contacted but only one, Robns Masonry suppled a quote for the work. The work was estmate at $12,505 plus HST. The Cty's procurement polcy permts the solctaton of quotatons or sngle sourcng for specalty work such as of ths nature. REPORT: The War of 1812 Commttee has revewed the park and has dentfed the repontng as a prorty for the bcentennal celebraton of the Laura Secord Walk whch termnated at the OeCew House. BACKGROUND At the Councl meetng of October 18, 2010, Councllor Stevens requested a report on the Cty of Thorold's request for an all-way stop at the ntersecton of S. Davd's RoadlBarbcan GatefTupper Drve. An earler report sent to Councl on ths matter (January 19, 2009) addressng ths ssue s attached as Appendx "C" for reference. REPORT The ntersecton of S. Davd's Road/Barbcan GatefTupper Drve s currently under the jursdcton of the Cty of S. Catharnes and the Cty of Thorold. The Regon of Nagara's Transportaton Sustanablty Revew has dentfed the secton of S. Davd's Road between Hghway 406 and Burlegh Hll Drve as a canddate roadway to be transferred back to the Regon of Nagara. Although the fnal transfer agreements have not been fnalzed, Regonal Councl dd approve the transfer n prncple on September 2, Snce the road wl eventually be transferred back to the Regon, Staff felt t best to defer any decson on traffc control at the ntersecton to the Regon. Staff contacted the Regon, and they ndcated that, untl such tme as the road s under ther jursdcton, they wl not undertake any further studes to determne f any addtonal traffc control s necessary at the ntersecton. They also ndcated that they are not supportve of the nstallaton of any traffc control devces that do not meet the warrants set out n the Ontaro Traffc Manuals (traffc control sgnals and all-way stop controls), n 2008, the Regon dd undertake an analyss of the ntersecton and determned that nether an all-way stop nor a traffc sgnal was warranted at the ntersecton. Staffs poston on ths matter remans unchanged from the orgnal report. Staff are not supportve of an all-way stop at ths ntersecton gven the dfferng road classfcatons, the mbalance of traffc volumes, and the overall functonaly of S. Davd's Road gven ts close proxmty and nteracton wth Hghway 406. Expendture varance and Net varance (ncludng both expendtures and revenues). The year-to-date budget fgures attempt to reflect the cyclcal nature of expendtures/revenues, usng prevous years as a bass to allocate for seasonalty.
