Chairman Siscel opened the meeting pursuant to notice and call. Journal of the meeting of November 9, 1995 (1252nd) was presented Motion made by Mr. Deeba, seconded by Ms. Seward, that same be approved as read. Motion passed - 4 ayes, no nays. Ms. Sheffield arrived just after the vote was taken on approval of the journal. Mr. Siscel announced that the District would be conducting additional hearings on the proposed stormwater charges (a list of these hearings, including times and dates, is attached). Mr. Siscel indicated that a reply from Rubin, Brown G Gornstein (copy attached) related to certain issues that were brought up at a prior meeting by an interested citizen would be available by the Secretary-Treasurer to any interested individual who would like a copy. Ms. Carlson presented the report of the Finance and Audit Committee meeting held on December 12, The nternal Auditor presented a report entitled "Audit of Travel, Membership, Education and Training Expense". The Director of Finance reviewed the status of collection activities for significant delinquent accounts in the multi-family and commercial categories.

2 The Assistant Secretary-Treasurer provided a proposed 1996 schedule covering pension issues and presentations. The monthly Treasury report was presented and the one-third certificate of deposit goal was attained. The Director of Finance updated the committee on the search process for the external auditor for the next fiscal year and beyond. Ms. Sheffield reported on the meeting of the Personnel Committee on December 11, The committee met to review the post-retirement pension benefits as required by Section Two of Ordinance No The committee reviewed with staff current District benefits, benefits were also compared with other governmental plans. These The committee has requested additional information from the staff and intends to make its recommendations regarding pension benefits to the full Board at the January meeting. n addition, the committee reviewed the amending of the ordinance which designates certain classes of employees within the Management Schedule as eligible for the payment of overtime compensation. Amendment is recjuired to reflect the District's current Classification Plan and comply with Civil Service Rules and Federal law. This ordinance will be on the Board's January agenda. Ms. Seward noted that there was a Customer/Community Relations Committee meeting held on December 11 where the committee reviewed the status of the Customer Service unit. Mr. Koeper highlighted an area in the agenda entitled "tems for ntroduction and Adoption at the Next Meeting", which will identify items proposed to be introduced and adopted at the next Board meeting, but which lack sufficient detail to be brought forward at the current meeting. Mr. Sabre presented the attached letter to be included in the minutes of this meeting. Mr. Sullivan addressed the Board and provided the Board with a copy of a letter to Dee Joyce Hayes. n this letter Mr. Sullivan expressed concerns over the District's handling of certain City Earnings Tax issues. He also expressed a concern regarding the propriety of the use of certain District assets. Mr. Sullivan also recjuested additional information regarding various ordinances, in particular, he felt that for a number of ordinances for consulting and technical services that these services could be performed

3 internally without having to obtain any additional resources. He felt that the District was not in compliance with the Sunshine Law and cited a certain example. He concluded by recjuesting the District return to the two Board meetings a month format so as to provide shorter agendas which could be more thoroughly discussed. There was a general Board discussion where it was agreed that the Secretary-Treasurer would coordinate a review of the matters brought forth by Mr. Sullivan. ADOPTON OF PROPOSED ORDNANCE NO AUTHORZNG THE EXECUTVE DRECTOR AND SECRETARY-TREASURER ON BEHALF OF THE METROPOLTAN ST. LOUS SEWER DSTRCT TO ENTER NTO A LEASE AMENDMENT WTH THOMAS DEGRAND, D/B/A PRO AM DRVNG RANGE OF ST. LOUS COUNTY, MSSOUR, WHEREBY THE DSTRCT WLL LEASE ADDTONAL REAL PROPERTY TO THOMAS DEGRAND, AND EXTEND THE LEASE TERM. Proposed Ordinance No , introduced November 9, 1995 by Mss. Carlson and Sheffield, and Messrs. Deeba, Williams and Siscel, was again presented and read, authorizing the Executive Director and Secretary-Treasurer on behalf of The Metropolitan St. Louis Sewer District to enter into a Lease Amendment with Thomas DeGrand, d/b/a PRO AM Driving Range of St. Louis County, Missouri, whereby the District will lease additional real property to Thomas DeGrand, and extend the Lease term. Motion made by Ms. Seward, seconded by Mr. Deeba, that proposed Ordinance No be adopted. C. D. Seward - aye The Chairman declared proposed Ordinance No adopted, and it was assigned Ordinance No AMENDMENT AND ADOPTON OF PROPOSED ORDNANCE NO AWARDNG A CONTRACT TO A.. RSK SPECALSTS OF MSSOUR, NC. FOR THE DSTRCT'S SEWER LNE BACKUP NSURANCE COVERAGE FROM JANUARY 1, 1996 TO JANUARY 1, Proposed Ordinance No , introduced November 9, 1995 by Mss. Carlson and Sheffield, and Messrs. Deeba, Williams and Siscel, was again presented and read, awarding a contract to A.. Risk Specialists of Missouri, nc. for the District's Sewer Line Backup nsurance coverage from January 1, 1996 to January 1, Mr. Byrne indicated that this coverage is for the District's sewer back-up coverage. At the last meeting, the District brought forward a quote from Reliance nsurance Company's subsidiary. Environmental Compliance Services. Since the last meeting, another group, American nternational Group revised their quote. Their quote was substantially better in all categories. The preraium quoted was $280, versus $300, quoted by Reliance Group and $340, for the prior year's coverage. They also were willing to provide an additional $500, of coverage. Both Reliance's coverage and the prior year's coverage were for $1 million. A..G., however, is offering the District $1.5 million. A..G. is also offering a lower deductible of $7, versus $15, offered by Reliance and $10, on the expiring coverage. Mr. Byrne also noted that according to A. M. Best, an outside rating service, A..G. is considered a slightly stronger company. Mr. Byrne concluded by noting that he thought the use of an external broker who purchases this type of coverage in large ejuantities helped obtain this type of savings for MSD. He further noted that our agent, Sedgwick James, had not

4 previously made any commitments to Reliance. Therefore, the District is free to chose A..G., and it is recommended that we do so. Motion made by Mr. Deeba, seconded by Ms. Carlson, that proposed Ordinance No be amended. C. D. Mr. Koeper emphasized that the reason the District needs to go out for these types of geotechnical services is because there is no one on the District's staff that has this type of expertise.

LOUS SEWER DSTRCT TO SELL AND CONVEY TO DART ASSOCATES, L.L.C, CERTAN REAL PROPERTY OF THE DSTRCT LOCATED N ST. LOUS COUNTY, MSSOUR AND PRESCRBNG THE TERMS OF SAD TRANSACTON. Proposed Ordinance No was presented and read, authorizing the Executive Director and Secretary-Treasurer on behalf of The Metropolitan St. Louis Sewer District to sell and convey to Dart Associates, L.L.C, certain real property of the District located in St. Louis County, Missouri and prescribing the terms of said transaction. Mr. Moschenross stated that this ordinance authorizes the District to sell certain real property of the District (known as Sugar Creek Meadows) to Dart Associates, L.L.C. The offer price was $512, The sale of this property has been conducted in compliance with the provisions of Resolution No Ms. Sheffield questioned if this bid price was consistent with that of the appraisals we had received. Mr. Moschenross indicated that this bid was considerably in excess of the appraised value. He further noted that there is a condition on the sale which calls for a $50, maximum sewer easement relocation allowance if needed. He emphasized that when this allowance was considered this bid was still in excess of the appraised value. He concluded by noting that the next bid was $376, Mr. Deeba noted that the buyer was to handle any zoning issues. 8 NTRODUCTON OF PROPOSED ORDNANCE NO APPROPRATNG $220, FROM THE SANTARY REPLACEMENT FUND TO BE USED FOR PROJECT COSTS FOR THE CLEANNG AND NSPECTON OF SEWERS AND NLETS N TOWER GROVE, FARGROUNDS, AND O'FALLON PARKS (95060B), N THE CTY OF ST. LOUS, MSSOUR; AND AUTHORZNG THE EXECUTVE DRECTOR AND SECRETARY-TREASURER ON BEHALF OF THE METROPOLTAN ST. LOUS SEWER DSTRCT TO ENTER NTO A CONTRACT WTH ODESCO NDUSTRAL SERVCES, NC. FOR THE AFORESAD CONTRACT. Proposed Ordinance No was presented and read, appropriating $220, from the Sanitary Replacement Fund to be used for project costs for the Cleaning and nspection of Sewers and nlets in Tower Grove, Fairgrounds, and O'Fallon Parks (95060B), in the City of St. Louis, Missouri; and authorizing the Executive Director and Secretary-Treasurer on behalf of The Metropolitan St. Louis Sewer District to enter into a contract with Odesco ndustrial Services, nc. for the aforesaid contract. Mr. Schmid stated that this ordinance appropriates funds for the cleaning and T.V. inspection of over 63,400 feet of sewer ranging in size from 6 inches to a 30 inch by 48 inch arch sewer and the cleaning of over 420 inlets in Tower Grove, Fairgrounds and O'Fallon Parks. The contract is part of the Repair and Replacement of Sewer Systems in City Parks, which is being partially funded by a 55 percent grant from the U.S.E.P.A. Odesco ndustrial Services, nc. submitted the lowest responsible bid at $192, The apparent low bidder was disqualified because their DBE subcontractor was not certified in accordance with contract documents. Bids ranged from that low to a high of $371, The engineer's estimate was $260, This project was in the FY96 budget and received plan approval on November 9, There was a general discussion between various Board members regarding the grant eligibility of this project. Motion made by Mr. Deeba, seconded by Ms. Sheffield, that proposed Ordinance No be introduced. C D. LOUS, MSSOUR; AND AUTHORZNG THE EXECUTVE DRECTOR AND SECRETARY- TREASURER ON BEHALF OF THE METROPOLTAN ST. LOUS SEWER DSTRCT TO ENTER NTO A CONTRACT WTH NSTUFORM MSSOUR, NC FOR THE AFORESAD CONTRACT. Proposed Ordinance No was presented and read, appropriating $550, from the Sanitary Replacement Fund to be used for project costs for the Cleaning and nspection of Sewers and nlets in Forest Park (95060C), in the City of St. Louis, Missouri; and authorizing the Executive Director and Secretary-Treasurer on behalf of The Metropolitan St. Louis Sewer District to enter into a contract with nsituform Missouri, nc. for the aforesaid contract. Mr, Schmid stated that this ordinance appropriates funds for the cleaning and T.V. inspection of over 111,500 feet of sewer ranging in size from 6 inches to 48 inches and the cleaning of over 560 inlets in Forest Park. The contract is part of the Repair and Replacement of Sewer Systems in City Parks, which is being partially funded by a 55 percent grant from the U.S.E.P.A. nsituform Missouri, nc. was the lowest of 2 bidders at $499, The other bid received indicated no prices due to unknown conditions. The engineer's estimate was $440, This project was in the FY96 budget and received plan approval on November 9, There was a discussion between the Board members and staff regarding some of the techniques used for this cleaning.

Seward - aye NTRODUCTON OF PROPOSED ORDNANCE NO MAKNG A SUPPLEMENTAL APPROPRATON OF $650, FROM THE SANTARY REPLACEMENT FUND FOR ADDTONAL CONSTRUCTON PHASE SERVCES FOR THE LEMAY SERVCE AREA OVERFLOW REGULATON SYSTEM (93039); AND AUTHORZNG THE EXECUTVE DRECTOR AND SECRETARY-TREASURER TO ENTER NTO AMENDMENT NO. 1 TO CONTRACT E-810 WTH SVERDRUP CVL, NC. FOR THE AFORESAD SERVCES. Proposed Ordinance No was presented and read, making a suppleraental appropriation of $650, from the Sanitary Replacement Fund for additional construction phase services for the Lemay Service Area Overflow Regulation System (93039); and authorizing the Executive Director and Secretary-Treasurer to enter into Amendment No. 1 to Contract E-810 with Sverdrup Civil, nc. for the aforesaid services. The estimated cost for the repair of the pump is $175, and $157, for each of the other three pumps. Only one pump can be taken out of service at a time in order to prevent flooding at high river stages. The repairs must be made immediately so that the pump station is at full capacity before the normal Spring high river stages.
