2 Building Amenities: Parking Parking operation hours for Executive Tower Parking Structure are as follows: Monday through Friday: Open Daily: 24 Hours a Day There are three (3) types of parking available: Monthly Parking, Daily Parking and Validated Parking. Explanations of each as well as current rates, which are subject to change, are as follows: Monthly Parking: All monthly parkers will be issued a cardkey which is used to activate the security entrance and exit equipment to the garage. The Parking Manager will issue Cardkeys upon receipt of the Building Access Card Request Form. Types of Monthly Parking and Current Rates: Unreserved $ Reserved $ Executive Reserved $ (Includes 10% City of Los Angeles Parking Tax) Daily Parking: Parking is available on a daily cash basis based upon prevailing market rates. Each 15 minutes $ Hour $8.80 Maximum Daily Charge $15.40 (Includes 10% City of Los Angeles Parking Tax) The amount charged for daily parking will be computed according to length of time parked in the structure. A lost ticket will pay the maximum rate. We have an Automated Parking Facility Payment options and Instructions: Please take your ticket with you. An Attendant is NOT available at the exit, please pay at the Exit Station with cash or credit card. We accept Visa, MasterCard, American Express and Discover. A Pay Station is located near the entrance of the garage. This station accepts parking fee payments, validation coupons, tenders any change due, issues a customer receipt and exit pass. FAST Exit Lane: Credit 1. Proceed directly to the exit lane. 2. Insert your ticket into the exit station followed by a validation coupon, if applicable. 3. Insert credit card to complete payment. 4. If no validation, insert your ticket into the exit station, the machine will display the fee to be paid. Insert credit card to complete transaction. 5. Exit station will issue a receipt and the gate will open to allow you to exit. Should you have further questions, please call the Parking Office at (310) Validated Parking: Validating parking tickets is normally done as a courtesy by tenants for their visitors. Validation tickets may be purchased from the Parking Office on a monthly billing or with a check payment, based upon prevailing market rates. Visitors without a validated parking ticket must pay the rate of time on parking ticket. Please make checks payable to DOUGLAS EMMETT 2007, LLC and delivered to: West Olympic Blvd., Suite 150 Los Angeles, California All parking payments/checks should be made payable to ABM Parking Services and delivered to: ABM Parking Services Deliver to the parking office Rent is due and payable, in advance, on the first day of each calendar month, during the term of the lease.

6 Building Operations: Building Management The Property Management Office is located in Suite 150 on the first floor of Executive Tower; Telephone Number (310) ; Facsimile Number (310) Currently our office hours are from 8:00 a.m. to 5:30 p.m., Monday through Friday, except for holidays. If you have any questions or problems regarding your suite and/or Executive Tower, please direct all inquiries to the Property Management Office. Please do not address such requests directly to engineers, security officers, or custodial staff. 7 Building Operations: Holidays Holidays will be those national recognized days as follows: New Years Day Presidents Day Memorial Day Independence Day Labor Day Thanksgiving Day After Thanksgiving Christmas Douglas Emmett will be closed on the above listed holidays. HVAC and Janitorial services will not be provided.

9 Building Security: After Hour Access Tenants: After-hour access for tenants is allowed by using the cardkey in the card readers. Tenants must sign-in upon arrival and sign-out when departing the premises. Although all cardkey activity is recorded on the computer, signing-in the register allows Security to keep track of who is in the building in the event of an emergency. To exit you must use the lobby door farthest on the left. There is a red panic button, located on the left side of the door that must be pressed in order to release the magnetic lock. Visitors: Any Tenant expecting an after-hour visitor should provide the Office of the Building with a memo authorizing access. Please note that tenants will need to make specific arrangements with Building Management to allow visitor access to their individual suites. Security staff does not have access to tenant suites. All visitors must sign the Building Register including the name of the Tenant and suite number they are visiting. The Security Officer will fill in the times of arrival and departure.

10 Building Security: Building Access The building is open for business without restricted access during the following hours: Monday through Friday: 7:00 a.m. to 6:00 p.m. (Except Holidays) Building Access Card Request Cardkey Systems Executive Tower has installed a Cardkey System, which provides automated parking garage access, building access and elevator access. This system enables the Building to provide the utmost in convenience and security to our tenants. The Cardkey itself looks somewhat like a credit card. Although this card is very durable, please handle it with care. All new tenants will be provided with Building Access Card Request Forms for their employees. It is necessary that all employees fill out all the information required (employee name, car information, access levels and time zones). Please make sure that the form is signed by an authorized tenant liaison noted on the Tenant Authorization Form on hand in the Property Management Office. Cardkey Systems (continued) Click here for all forms Cardkeys will be issued by ABM Parking Services AFTER ALL INFORMATION HAS BEEN PROVIDED on the Building Access Card Request Form. All Building Access Card Request Forms can be faxed directly to the parking booth at (310) or turned in at the parking booth and/or the Building Management Office. Upon completion the Parking Manager will contact/deliver the cardkey to the tenant after 3:00 p.m. Please have all requests for Cardkey changes to the Parking Manager by 12:00 p.m. for same day service. All requests received after noon will be delivered the next business day. Each card is individually numbered and assigned to ONLY ONE PERSON. Cardkeys are not transferable and should only be used by the person to whom it was assigned. The tenant is responsible for the use of its employees Cardkeys including lost, stolen or damaged Cardkeys. If a Cardkey is lost, stolen or damaged, please report it to the Property Management Office immediately so that a new card can be issued and lost card voided. There is a charge of $45.00 for each cardkey that must be replaced. Location of Cardkey Readers: Parking Structure: Click here for all forms The reader that is located before entering the Parking Structure allows you to activate the roll-up gate to the Parking Structure. There are readers at all entrances and exits of the Parking Structure where there are arm gates. Garage Elevators: Main Entry: A reader is located at the Garage Elevator, First Floor. The reader is a diamond-shaped piece of stainless steel with a thin vertical slot. In the Executive Parking Sections - On levels B1 and B2 you will find the readers on the right side just before entering the Building doors. If you are standing outside the main entry of the Building, you will find a small horizontal slot (in the stainless steel work) next to the farthest right door. Click here for all forms Location of Cardkey Readers (continued): Tower Elevators: Once you have entered the main lobby the first three (3) elevators on your right have readers: The First elevator is the Shuttle Elevator that services the Executive Parking Area. Only tenants assigned Executive Parking Cardkeys for Executive Parking (per your Lease Agreement) will be able to utilize this elevator. The reader for this elevator is located to the left of the doors, on the diamond shaped stainless steel work.

11 The next two (2) elevators service the building itself. Below the call buttons, on the right side, there is a small horizontal slot. This is the location for Card readers in these elevators. You do not need to swipe the card, simply hold it up to the slot. If the cardkey information given above is not clear, or if you have any questions, please contact the Building Management Office. Tenant/Vendors Access Click here for all forms Please note that it is Building Policy for Tenants to schedule with Building Management, at least 48 hours in advance, all outside vendors who will be accessing the Building and/or Tenant Suites. In addition, a vendor insurance certificate will be required if the vendor will be performing any activity that involves Building Systems (i.e. electrical, HVAC, telephone, cabling, etc.) and/or any activity that could possibly harm building fixtures or the persons moving them (i.e. moving furniture, heavy boxes, etc.). Please obtain an insurance certificate from your vendor in compliance, in the forms section and submit to the Management Office with your written request for vendor access. Please do not have vendors call the management office directly. Click here for all forms

12 Building Security: General Office Security Reporting Thefts Any property, which is determined to have been stolen, should be reported to the Los Angeles Police Department and the Office of the Building immediately. The security of your office is your responsibility. In your office, valuables, purses, etc. should not be left in plain view. We recommend that purses be locked in desks and that valuables be put away and locked up at night. Our security staff is available to assist you. Should an incident or loss occur, contact the Office of the Building and a security officer will be dispatched to take a report. It is advisable to record all serial and identification numbers in a secure place. It is the Tenant s responsibility to ensure that corridor doors are closed and locked at the close of business. Suspicious Persons If you see suspicious or offensive persons in the building, please call the Office of the Building immediately. If possible, make note of appearance, clothing, etc., to assist building security in locating them. Please be aware of strangers in your Tenant areas and halls. Quite often a question such as May I help you locate someone? is enough to deter a potential thief. Suspicious encounters of this type should be reported to the Office of the Building immediately. Security Checklist For your own internal security and also for the security of the building, it is in your best interest to control the number of keys issued. Only people needing after hour access should be issued a key. The following is a list of general office security suggestions, which are offered to you as an aid in establishing your internal security procedures: Restrict office keys to those who actually need them. Keep complete, up-to-date records of the distribution of all office keys. Have adequate procedures for collecting keys prior to termination of employees. Secure all typewriters, adding machines, calculators, photocopiers, etc. with maximum-security locks. Establish a rule that keys must not be left unguarded on desks or cabinets. Require that filing cabinet keys be removed from locks and placed in a secure location after opening cabinets. Prevent unauthorized personnel from reporting a lost key and receiving a replacement. Designate a responsible person to be in charge of issuing all keys. Store keys systematically in a secured wall cabinet of either your own design or from a commercial key control system. Security Checklist (continued) Keep a record showing issuance and return of every key, including name of person, date, and time. Use telephone locks to prevent unauthorized calls when the office is unattended. Provide at least one lockable drawer in every secretary s desk to protect purses and other personal effects. Establish a rule that purses and personal property such as cameras should be kept inside employee s desk. Instruct employees to remove wallets from jackets hung in closets or hung on coat racks and place them in a secure location. Insist on identification from repairmen who come to work in your office. Deposit incoming checks and cash each day so that you do not keep large sums in the office overnight. Security Checklist (continued) Clear all desks of important papers. When working alone in the office at night, set the front door lock to prevent anyone else from entering. Keep the police, fire department, and building security telephone numbers posted. Double check to see that all doors are securely locked before you leave. Have an inventory listing all office equipment in your space including serial number and identification. Require written authorization by a responsible person before any office equipment is released for repair or maintenance.

13 Building Security: Key and Lock Policy Control over issued building keys is an integral part of the overall Security System. All locks and/or latch sets and other hardware must be up to building standard. Therefore, should you require any changes or additions, they must be done through Property Management. In the event that you are locked out of your suite during normal business hours, you may obtain access by the Property Management Office if authorization is provided by an individual noted on the Tenant Contact & Authorization Form. Click here to complete a Tenant Contact & Authorization form. Should you be locked out of your suite after normal business hours, Property Management will not be able to assist you. You must contact your office manager or an authorized representative of your company to gain access. Please note Security Officers do not have keys to Tenant Suites.

14 Building Security: Lost and Found Items that have been lost or found in the building can be claimed or turned into the Office of the Building during regular working hours.

15 Building Security: Property Removal If at any time you want to remove any computers, furniture, equipment or large objects from the building, please fill out the Property Removal Pass and return the completed form to the Building Management Office, not Security. Please note a certificate of insurance may be required based upon the size of the item and if a third party vendor is involved. Please contact the Management Office in advance so that large items can be scheduled properly. Please note the following procedures that must be followed when removing property: The form Property Removal Authorization must be completed only by the tenant and signed by an authorized tenant employee. This form should be sent to the Management Office after completion. Anyone removing property will be required to check out at the Security Desk on the ground floor. The security guard will verify that the property being removed is listed on the Property Removal Authorization Form. Persons attempting to remove property without proper authorization will be referred back to the tenant s office. Security guards may not permit removal of any tenant s furniture, equipment, etc. without the referenced Property Removal Form. Click here for Property Removal Form

16 Building Security: Solicitation We attempt to keep all solicitors out of the building. If a solicitor visits your office, please contact the Office of the Building or Security at once. The solicitor will be escorted out of the building and off the premises.

17 Building Services: Building Signage and Directory Executive Tower has an Electronic Directory. To add/ update the directory please contact the Property Management Office. To order a sign for your suite please go to the forms page and complete a Signage Request Form. Please return the completed form to the Property Management Office.

18 Building Services: Cleaning Executive Tower currently provides janitorial services Monday through Friday, except holidays. The cleaning staff begins cleaning at approximately 5:30 p.m. If you should have any over standard cleaning requirements, which are not covered under the Lease, please contact the Property Management Office. The Property Management Office will notify the janitorial contractor and arrange for special cleaning services with them directly. Please note there may be an additional charge to tenant for over standard services.

19 Building Services: Elevators The elevators in the Building and the Parking Structure are operable during the following hours: Monday through Friday: 7:00 a.m. to 6:00 p.m. Please note: For after-hour entry into the Building and for use of the elevators, please click here to see the Security Section of this handbook.

21 Building Services: HVAC Heating and air-conditioning hours of operations are: Monday through Friday: 8:00 a.m. to 6:00 p.m. (Except Holidays) If additional heating or air-conditioning is needed other than the hours noted above, please fill out the After-Hour Air-Conditioning Form found in the Forms Section of this manual. Effective July 1, 2017, the cost for after-hours HVAC shall increase to $90.00 per hour, with a minimum of (2) hours. Please Note: Saturday heating or air conditioning between the hours of 9:00 a.m. and 1:00 p.m. is provided upon request at no additional charge, except Holidays. All after-hour and requests must be received no later than 12:00 p.m., Monday through Friday, and for weekend use, no later than 12:00 p.m. on the previous business day. 22 Building Services: Mail Service There are individual postal boxes on the ground floor for pick-up and drop-off of tenant mail. Each tenant will be given an assigned postal box and key when receiving their suite keys. It is the tenant s responsibility to keep the Property Management Office informed as to the name(s) (companies and individuals) under which mail will be received. All mail must have the number of the suite included in the address. This will ensure proper delivery. Excess mail that will not fit into a tenant s mailbox will be left in the oversize post office boxes and a key to the oversized box will be left in the individual tenant s mailbox. Delivery for the regular mail service will be at 4:30 p.m. Monday through Friday. The pick-up time for regular outgoing mail will be at 12:30 p.m. and 4:30 p.m., Monday through Friday.

23 Building Services: Maintenance Requests For routine maintenance during Normal Business Hours, please call the Office of the Building at to make the request. Calls received after 4:30 p.m. daily will be addressed the following business day. Tenant may also use the Net Facilities Work Order System to submit track and manage all service requests. To access the system: 1. Go to 2. Enter your username and password provided by the Office of the Building. 3. Once logged into the Net Facilities system users are taken to the "Dashboard". The Dashboard is the home page or administrative hub where users can: View and track the status existing work orders Create a new work order View invoices for completed work orders View a complete history of work orders Use the blue navigation bar on the top of the page to choose the area of the system you would like to enter. To submit a work order: 1. Click on the "Work Order" link in the blue navigation bar on the top of the Dashboard page. 2. Which: Choose the type of service required 3. When: Select a date and time for the service. 4. Where: Choose a Building Area ( optional) 5. What : Describe the work to be done in as much detail as possible. 6. Click Submit and your work order request will be routed to the appropriate personnel. Please feel free to contact Building Management at should you need any assistance with the Net Facilities system. 25 Emergency Procedures: Bomb Threat Telephone Threat When a bomb threat is made over the telephone, obtain the following information from the caller: Exact location of the device. Time set for explosion; Description of the device; Reason the caller has placed the bomb; Exact words used by the caller. Keep this information as confidential as possible. Notify the Police Department. Call 911. Notify the Management Office at Once the Management Office has been notified of a bomb threat, it is our policy to advise your firm s manager or officer. It is up to the manager or officer to decide whether it is appropriate to evacuate the office. In the event that you are asked to evacuate the Building, move away from the Building to allow for the clear passage of emergency personnel. Do not re-enter the Building until the Management Office or the Police or Fire Department has given clearance. Suspicious Packages or Mail Bombs Letter bombs are usually sent through the mail addressed to a specific individual in the company, usually disguised to look like some sort of gift or a small package. Letter bombs have the power to kill or maim anyone close to them if they go off. Letter bombs are usually a large size manila envelope ¼ to ½ thick and are fairly rigid. They have been mailed from cities or small towns in the United States, as well as from foreign countries. They are usually mailed to a person by title, such as Chairman, President, Manager, Security Officer, etc. If a letter is suspected to be a letter bomb: Clear everyone out of the area for at least 25 feet around it. Notify the police at 911 and Building Management at DO NOT HANDLE IT UNDER ANY CIRCUMSTANCES. DO NOT ATTEMPT TO DEACTIVATE IT YOURSELF

26 Emergency Procedures: Civil Disturbance Should a riot or civil disturbance start outside the Building, the security guards will immediately lock all entrances to the building. The police will be notified. We will keep you informed. If a disturbance should occur in the main lobby, all elevators will be turned off at the first floor and the police will be summoned.

27 Emergency Procedures: Earthquake Before an Earthquake Plan your course of action before an earthquake occurs. Employees should establish an out of state telephone contact and make sure family members can act independently for at least 72 hours. Store essential emergency supplies such as food, water, first-aid kit, radio, and batteries. Enough supplies should be stored to support every employee for a minimum of 72 hours. Secure objects such as files, office equipment, bookshelves and other potentially dangerous objects. Be familiar with your immediate work area and floor plan. This will help you react effectively when it is necessary to find the closest and safest shelter point. During an Earthquake Get under a sturdy table or desk and hold on or move towards the center of the building. The building core is the strongest part of the structure. Keep your back to all glass objects if you cannot avoid them completely. Be aware of falling debris. Cover your head as much as possible. Do not panic. A clear mind will help you through the dilemma. After the Earthquake Remain calm and stay in your area (unless any emergency dictates otherwise). Look for injured people and administer first aid where needed. Barricade hazardous areas to prevent other persons from accessing a dangerous area. Use telephones for emergencies only. Be alert for after shocks. Their intensity can produce further damage. Respond to the after shock as though it is the original earthquake. Check your food and water supplies. Building Security will attempt to contact tenants via the public address system to advise on building and local conditions. Evacuation Normally, it is not recommended to evacuate a building after an earthquake. Outside one may experience falling glass from the buildings. However, if an evacuation is required, use the stairs. Do not use the elevators. Walk down at a steady pace. Do not run. If you are outside when an earthquake occurs Immediately find the safest cover, perhaps an alcove, a doorway, a parking garage or a building. Stay away from storefront windows. The primary danger is from falling debris, particularly glass. Stay under cover as after shocks may cause further damage.

28 Emergency Procedures: Elevator Malfunction In the event that an elevator stops with passengers in it, remember to remain calm. Pressing the red emergency button within the cab will alert Security that the cab is malfunctioning, what cab number it is, and what floor it is stuck on. The Guard will continue two-way communication with passengers until help arrives. The elevators are also equipped with an Auto Dialer that automatically dials the 24-hour elevator monitroing company. This is the white button that reads "Alarm." In the event of a power outage, elevators will continue to operate using our emergency power generator. Should an outage occur, elevator lights will remain on, but the car will temporarily stop. Each elevator will automatically return to the lobby where the doors will open and they will then be out of service. All elevators function on a Fireman s Return Systems, which automatically returns the elevators to the main floor without stopping when smoke is detected on any floor. IN THE EVENT OF A FIRE, ELEVATORS MUST NOT BE USED FOR EVACUATION. USE THE STAIRWELLS.

30 Emergency Procedures: Evacuation In the event it is necessary to evacuate the building, the Fire Safety Director or Building Security will utilize the buildings public emergency voice / alarm system to immediately begin the evacuation of occupants and to direct the floor warden teams. It will be of paramount importance that all building occupants follow the directions of the proper authorities when evacuating. It is critical for the safety of all building occupants that everyone follows directions that are issued. We must not assume that all disasters require evacuation. In some instances such as earthquakes, spontaneous evacuation could cause injuries or death due to conditions that are unforeseen which could or may occur into the areas to which you flee. Communication while evacuated Occupants in this building will follow the directions of the building Fire Safety Director or the Security Officer who will be announcing the evacuation procedures over the P.A (Public Address System). The Floor Wardens and Suite Monitors will be the critical information link back to the occupants at the assembly area(s). He/she will provide the information as to when occupants can return to their work area(s) or re-enter the building and to provide occupants current information regarding the status of the emergency. If runners are to be used for these purposes, then written messages should be used to assure accurate information is relayed. When Evacuation is required: Move quickly but DO NOT RUN. Go to the safest designated stairwell or exit. DO NOT USE ELEVATORS. Remove high heels to prevent injuries (carry them with you). Use handrail, which is most continuous (usually center). Each floor will relocate down and out of the building (unless otherwise directed). Allow room for others to enter into an orderly flow of traffic without holding up others. Gain assistance for those who are slower moving or require assistance. Dispel any false information or rumors (to prevent panic refrain from using the word fire ). Treat any injuries incurred in the stairwell at the nearest floor landing when required and if practical. Complete relocation. DO NOT CONGREGATE IN STAIRWELL.

31 Emergency Procedures: Fire and Life Safety Safety of Life If fire is in occupied room, remove anyone from immediate danger. Confine the fire or smoke by closing doors as you leave the area. Notification Activate the manual pull station. Notify the Fire Department. Dial The following 10-digit emergency phone number for your area as a secondary contact should be used only if a problem occurs in the system (800) Give them the following information: Building Name: Executive Tower Building address: W. Olympic Blvd Nearest Cross Street: Purdue Ave. Floor/Suite Number: (where the Emergency is located) Nature of Emergency: Number that the Fire Department can call you back on: (310) If time permits, notify Building Management at (310) or Building Security at (310) NOTE: DO NOT HANG UP UNTIL THE EMERGENCY OPERATOR DOES SO FIRST. Fire Fighting: **(Building policy is not to attempt to fight fire)** Evacuations Floor warden will begin his/her emergency response duties to oversee evacuation of occupants, visitors and employees. If Trapped inside an area or your Office: Wedge cloth material along the bottom of the door to keep out smoke. Close as many doors as possible between you and the fire. Use telephone (if available) and notify fire department of your problem. Next, call your building manager and tell them of your situation and that you are unable to carry out your assigned duties. If windows can be opened, and you must have air, open the window. Break windows only as a last resort as it will become impossible to close them if necessary. Smoke detectors are provided for your personal safety. Anyone who willfully and maliciously tampers with, damages, breaks or removes any required smoke detector shall be guilty of a misdemeanor. (L.A.M.C. SEC ). Any person who willfully and maliciously sends, gives, transmits, or sounds any false alarm of fire is guilty of a misdemeanor. (P.C ). 32 Fire Alarm Sounding Procedures General Information/Sounding of Fire Alarm In buildings where manual pull stations activate alarms on a one floor basis, appropriate calls should be made to fire department and building office/fsd. Evacuation shall take place IMMEDIATELY. In this building manual pull stations activate alarms on one floor only. A quick investigation of floor may be called for to determine the actual situation, but only after evacuation procedures are initiated. In all cases, all occupants shall start evacuation process. Further instructions from building management, building security, or fire department may stop or redirect the evacuation. Incidental phone calls from residence occupants, etc. to the office regarding an alarm status MUST BE DISCOURAGED. Floor wardens and building staff will locate the problem and implement necessary procedures. Investigation of local floors: check for pulled alarm, person who may have activated it, or actual smoke/fire situation. 35 Emergency Procedures: Medical Emergency In the event that an accident or illness of an employee or visitor takes place in your office area: Call Emergency at 911. Give Emergency Dispatcher the following information: Your name Building name and address Floor number and location of emergency on floor Any details of accident or illness Do not move injured/ill person. Try to make them as comfortable as possible. Whenever possible, have someone meet the emergency unit in the lobby. Call the Building Management Office at Inform them you have called 911 and briefly describe the nature of the emergency. The emergency unit will be with you shortly and will administer necessary medical assistance. Determine, if possible: Name, address and age of injured/ill person Nature of problem Allergies and if currently on any medication Local doctor The Management, Engineering and Security staff will do all we can to make the person comfortable while awaiting the arrival of the medical rescue team. Although we assume no liability for our assistance, we strongly encourage Tenants and employees to become familiar with First Aid and how and when to contact emergency services.

36 Emergency Procedures: Power Failure The building has an emergency generator, which will provide emergency power for certain basic building function in the event of power failure. The functions include: Activating emergency lights on each floor throughout the building including all Exit signs. Activating all stairwell lighting. Activating the building s emergency Fire, Life and Safety Systems as well as the building s communication systems. Bringing all elevators down to the ground floor lobby. (One elevator will remain operative for use by security to assist handicapped persons or to take service crews and equipment into the building, as needed.) It is seldom necessary to evacuate the building during a power failure. Unless you are directed to do so through the emergency communication system (or by your floor warden), please remain in your offices. Please DO NOT CALL the Office of the Building unless you need to notify us of the location of a disabled employee.

37 Emergency Procedures: Severe Weather When severe weather conditions become apparent, the U.S. Weather Bureau describes conditions by two (2) classifications, a Watch or a Warning. This applies to the reporting of severe thunderstorms, the approach of weather conditions favoring the formation of tornadoes, a hurricane condition, a winter storm condition, etc. A Watch becomes effective when atmospheric conditions are right to produce the particular weather phenomenon. A Warning means that the weather condition has been spotted and prompt action must be taken for safety. Except in very rare circumstances, the decision to evacuate the building based on the above weather reports will not be made by Building Management, but rather by each Tenant Company. However, in the event these conditions do exist, the following guidelines should be kept in mind: Move away from outside windows. If the windows in your offices are supplied with blinds, close the blinds (this will provide protection from broken glass). Do not panic. If evacuated, lock all desk drawers and take all items of value with you. If evacuated, use a route that is in the building interior and stay away from large expanses of glass and windows. Use the stairwells rather than the elevators. If evacuated, do not return to your office until advised to do so.

38 Emergency Procedures: State Fire Marshal s Law TITLE 19 FIRE/LIFE/SAFETY TRAINING MUST BE COMPLETED WITHIN FOURTEEN (14) DAYS OF OCCUPANCY. Please be advised that under the provisions of section 3.09 and 3.10 of Title 19 of the California Administrative Code, the Los Angeles City Fire Department requires that managers and Tenants of each high rise building in the city, in cooperation with the Fire Department, establish, implement and maintain an Emergency Pre-Fire Plan that will aid in the prevention of fire, explosion and panic in the building. All Tenants MUST be trained within the first 14 days of occupancy. This Fire Life Safety training takes place every other Wednesday. You must contact the Director of Security at (818) within 14 days of your tenancy to make arrangements to attend this training. Participation is mandated by law, and tenants who refuse to comply are subject to prosecution and penalties as set forth in the local codes and Title 19. Also, under the Fire Department s Plan regulations, each Tenant (as an employer) along with Building Management share the responsibility for implementing this Pre-Fire Plan, instructing all occupants on the procedures to be taken in the event of an emergency, including evacuation procedures. Documentation of Occupant Instruction shall be maintained by the Office of the Building and available for Fire Department Inspection. It is each Tenant s responsibility to notify the Office of the Building of new employees in your offices, and immediately schedule Fire Life Safety Training. Please fill out the List of Fire Wardens, Deputy Wardens, Persons trained in CPR and First Aid provided at the end of this manual, indicating the names of those people in your office who are trained in CPR and First Aid, and who will be appointed as your Suite Warden and Alternate Suite Warden. Fire Wardens and Alternate Suite Wardens need to be full time employees who will be responsible to work with the Office of the Building, to maintain proper records and assist in evacuation procedures of the building. Tenants who refuse to comply, may be cited for violation of the State Fire Marshall s Law. Such a citation, if issued, could constitute a fine of $1, and/or six- (6) months imprisonment.

Give building address, floor and phone number, and also what type of spill. 44 Policies and Procedures: Contractors The following policies outlined are the construction procedures of DOUGLAS EMMETT REALTY FUND 1995, a California Limited Partnership. To insure a smooth and well planned build out, please submit to Building Management a detailed agenda of all parties that will be accessing your suite and/or the Building during your construction build out, noting the dates and time, they are expected in the project, as well as a description of the work they will be performing. Upon review of the agenda, Management will notify you of any additional documents that may be required (i.e., working drawings, permits, business license, etc.). Also, the Building requires that the tenant submit, no later than 48 hours in advance, the appropriate insurance documentation for any and all vendors. Each certificate must be in complete compliance with the attached sample vendor certificate. Please do not have your contractors contact the Management Office directly regarding insurance. Also, please insure that your Suite insurance is current and in complete compliance with your lease terms. A current suite certificate will be required prior to any contractor access being approved. If you will need any Building services (i.e. after hours air conditioning, janitorial service, etc.) performed in conjunction with your construction, please request them specifically and individually, in writing, along with your agenda. Administration Tenant to notify Building Management Office prior to starting any work. No exceptions. The general contractor or sub-contractor must schedule all jobs, through the Tenant, when no general contractor is being used. The general contractor is to provide the Building Manager, through the Tenant, with a copy of the projected work schedule for the suite, prior to the start of construction. Tenant and Contractor will make sure that at least one set of drawings will have the Building Manager's initials approving the plans and a copy delivered to the Building Office. As-built construction plans, including mechanical electrical, plumbing, HVAC, and FLS drawings and air balancing reports will be submitted at the end of each project and given to the chief engineer. The HVAC contractor, through the tenant, is to provide the following items to the Building Manager upon being awarded the contract from the general contractor: A plan showing the new ducting layout, all supply and return air grille, and heat panel locations and all thermostat locations. The plan sheet should also include the location of any fire dampers and circuit number for heat panels. An Air Balance Report reflecting the supply air capacity throughout the suite, which is to be given to the Chief Building Engineer at the finish of the HVAC installation. Administration (continued) All paint bids should reflect a one-time touch-up paint on all suites. This is to be completed approximately five (5) days after move-in date. The general contractor must provide for the removal of all trash and debris arising during the course of construction. At no time are the building's trash compactors and/or dumpsters to be used by the general contractor's clean-up crews for the disposal of any trash or debris accumulated during construction. The Building Office assumes no responsibility for bins. Contractor is to monitor and resolve any problems with bin usage without involving the Building Office. Bins are to be emptied on a regular basis and never allowed to overflow. Trash is to be placed in the bin. Contractors will include in their proposals all costs to include: parking, elevator service, additional security (if required), restoration of carpets, etc. Parking will be validated only if contractor is working directly for the Building Office. Any problems with construction per the plan, will be brought to the attention of and documented to the Building Manager. The Building Manager will approve any changes that need additional work not described in the bid in writing. All contractors doing work on this project should first verify the scope of work (as stated on the plans) before submitting bids; not after the job has started. Building Facilities Coordination All deliveries of material will be made through the loading dock, which is accessible from the alley. Construction materials and equipment will not be stored in any area without prior approval of the Building Manager. Only the freight elevator is to be used by construction personnel and equipment. Under no circumstances are construction personnel with materials and/or tools to use the "passenger" elevators. Contractor must give 24-hour notice of delivery of supplies. Contractor must give 24-hour notice of verbal Engineer support. (I.e.- sprinklers draining, electrical

45 shut down, etc.) Housekeeping Suite entrance doors are to remain closed at all times, except when hauling or delivering construction materials. Housekeeping (continued) All construction done on the property that requires the use of lobbies or common area corridors will have carpet or other floor protection. The following are the only prescribed methods allowed: Mylar -- Extra heavy-duty to be taped from the freight elevator to the suite under construction. Masonite 1/4 inch Panel -- Taped to floor and adjoining areas. All corners, edges and joints to have adequate anchoring to provide safe and "trip-free" transitions. Materials to be extra heavy-duty and installed from freight elevator to the suite under construction. Restroom wash basins will not be used to fill buckets, make pastes, wash brushes, etc. If facilities are required, arrangements for utility closets will be made with the Building Office. All contractors to use engineering restroom on the B-1 level. Please coordinate with Security for access. Food and related lunch debris are not to be left in the suite under construction. All areas the general contractor or their sub-contractors work in must be kept clean. All suites the general contractor works in will have construction debris removed prior to completion inspection. This includes dusting of all windowsills, light diffusers, cleaning of cabinets and sinks. All common areas are to be kept clean of building materials at all times so as to allow tenants access to their suites or the building. Construction Requirements All Life and Safety and applicable Building Codes will be strictly enforced (i.e. tempered glass, fire dampers, exit signs, smoke detectors, alarms, etc.). Prior coordination with the Building Manager is required. Electric panel schedules must be brought up to date and properly labeled identifying all new circuits and designation. All electrical outlets, lighting circuits, and 4S boxes are to be properly identified with panel and circuit number. Outlets will be labeled on back side of cover plate. All electrical and phone closets being used must have panels replaced and doors shut at the end of each day's work. Any electrical closet that is opened with the panel exposed must have a work person present. All electricians, telephone personnel, etc. will, upon completion of their respective projects, pick up and discard their trash leaving the telephone and electrical rooms clean. If this is not complied with, the building janitors will conduct a clean up and the general contractor will be back-charged for this service. Construction Requirements (continued) Welding or burning with an open flame will not be done without prior approval of the Building Manager. Fire extinguishers must be on hand at all times. All "anchoring" of walls or supports to the concrete are not to be done during normal working hours (7:30AM - 6:00PM, Monday through Friday). This work must be scheduled before or after these hours during the week or on the weekend. All core drilling is not to be done during normal working hours (7:30AM - 6:00PM, Monday through Friday). This work must be scheduled before or after these hours during the week or on the weekend. All HVAC work must be inspected by the Building Engineer. The following procedures will be followed by the general contractor: A preliminary inspection of the HVAC work in progress will be scheduled through the Building Office prior to the reinstallation of the ceiling grid. A second inspection of the HVAC operation will also be scheduled through the Building Office and will take place with the attendance of the HVAC contractor's Air Balance Engineer. This inspection will take place when the suite in question is ready to be air-balanced. The Building Engineer will inspect the construction on a periodic basis as well. All existing thermostats, ceiling tiles, lighting fixtures and air conditioning grilles shall be saved and turned over to the Building Engineer. GOOD HOUSEKEEPING RULES AND REGULATIONS WILL BE STRICTLY ENFORCED. THE BUILDING OFFICE AND ENGINEERING DEPARTMENT WILL DO EVERYTHING POSSIBLE TO MAKE YOUR JOB EASIER. HOWEVER, CONTRACTORS WHO DO NOT OBSERVE THE CONSTRUCTION POLICY WILL NOT BE ALLOWED TO PERFORM WITHIN THIS BUILDING. THE COST OF REPAIRING ANY DAMAGES THAT ARE CAUSED BY TENANT OR TENANT'S CONTRACTOR DURING THE COURSE OF CONSTRUCTION ARE TENANTS RESPONSIBILITY AND MAY BE DEDUCTED FROM TENANT'S ALLOWANCE.

47 Policies and Procedures: General Rules and Regulations 1.No food is to be left on counters, desks, tables, etc., at the end of the tenant s working day. All food must be placed in refrigerators. This is an important preventative measure that must be adhered to in order to avoid a possible pest infestation in the Building. 2.The sidewalks, entrances, lobby, garage, elevators, stairways, and public corridors shall be used only as a means of ingress and egress and shall remain unobstructed at all times. The entrance and exit doors of all suites are to be kept closed at all times except as required for orderly passage to and from a suite. Loitering in any part of the Building or obstruction of any means of ingress or egress shall not be permitted. Doors and windows shall not be covered or obstructed. No TENANT and no employees or invitee of any tenant shall go up on the roof of the Building except such roof or portion thereof as may be contiguous to the premises or a particular tenant and is designated in writing by Landlord as a roof-deck or roof-garden area. 3.The toilet rooms, toilets, urinals, wash bowls and other apparatus shall not be used for any purpose other than that for which they were constructed. No foreign substance of any kind whatsoever shall be thrown therein and the expense of any breakage, stoppage or damaging resulting from the violation of this rule shall be borne by the TENANT. Walls, floors and ceilings shall not be defaced in any way and no one shall be permitted to mark, drive nail, screw or drill into, paint, or in any way mar any building surface, except that pictures, certificates, licenses, and similar items normally used in TENANT'S business may be carefully attached to the walls by TENANT in a manner to be prescribed by LANDLORD. Upon removal of such items by LANDLORD, any damage to the walls or other surfaces except TENANT shall repair minor nail holes. TENANT shall not be responsible for any damage resulting from normal wear and tear, or for any damage previously agreed upon in writing. 4.Electric wiring of every kind and telephone outlet shall be installed in a manner as will be prescribed by LANDLORD. The location of convenience outlets, electric light outlets and telephone outlets shall be approved by LANDLORD, but the cost of installation thereof shall be borne by TENANT. 5.No awning, shade, sign, advertisement or notice shall be inscribed, painted or affixed on or to any part of the outside or inside of the Building. Drapes may be installed by tenants provided they are of such color, material, and construction and installation as may be prescribed by LANDLORD. All tenant identification on public corridor doors will be installed by LANDLORD for Tenant, but the cost shall be paid by TENANT. No lettering or signs other than the name of the TENANT will be permitted on public corridor doors, with the size and type of letters to be prescribed by LANDLORD. There shall be no solicitation of any of the other tenants of the Building. The Directory of the Building will be provided exclusively for the display of the name and location of TENANT only, and LANDLORD reserves the right to exclude all other names therefrom and to make a charge for each and every name which TENANT may desire to be placed upon such Directory and to which LANDLORD may consent. All requests for listing of tenants on Directory of the Building must be submitted to the Office of the Building in writing. LANDLORD reserves the right to approve or disapprove all listing requests. 6.The weight, size and position of all safes and other unusually heavy objects used or placed in the Building shall be prescribed by LANDLORD, and shall in all cases stand on metal plates of such size as shall be prescribed by LANDLORD. LANDLORD will not be responsible for loss or damage to any such property from any cause. The repair of any damage done to the Building or property therein by putting or taking out or maintaining such safes or other unusually heavy objects shall be paid for by TENANT. 7.The carrying in or out of freight, furniture or bulky material of any description must take place during such hours as LANDLORD may from time to time reasonably determine. The installation and moving of such freight, furniture or bulky material shall be made upon previous notice to the superintendent or Office of the Building and the persons employed by the TENANT for such work must be reasonably acceptable to LANDLORD. TENANT may, subject to the provisions of the immediate preceding sentence, move freight, furniture, bulky matter and other material in or out of the premises on Saturdays between the hours of 8:00 A.M. and 6:00 P.M. provided Tenant pays the additional costs, if any, incurred by LANDLORD for elevator operators, security guards and other expenses arising by reason of such move by TENANT. 8.The storage of goods, wares, or merchandise on the Premises will not be permitted except in areas specifically designated by LANDLORD for storage. No auction, public or private, will be permitted in the Premises. Articles of unusual size or weight are not permitted in the Building, unless permitted by LANDLORD in writing. 9.No TENANT shall use or keep in the Premises or the Building any kerosene, gasoline, or flammable or combustible fluid or material other than limited quantities thereof reasonably necessary for the operation or maintenance of office equipment. No improper noises, vibrations, or odors will be permitted in the Building nor shall any persons be permitted to interfere in any way with tenants or those having business with them. No person will be permitted to bring or keep within the Building any animal, bird or bicycle. Each TENANT shall store its trash and garbage within its Premises. No material shall be placed in the trash boxes or receptacles if such material is of such nature that it may

48 not be disposed of in the ordinary and customary manner of removing and disposing of trash and garbage in the City of Los Angeles without being in violation of any law or ordinance governing such disposal. All garbage and refuse disposal shall be made only through entry ways and elevators provided for such purposes and at such times as LANDLORD shall designate. LANDLORD reserves the right to exclude or expel from the Building any person who in the judgment of LANDLORD is intoxicated or under the influence of liquor or drugs or who shall, in any manner, do any act in violation of the Rules and Regulations of said Building. 10.The requirements of TENANT will be attended to only upon application at the Office of the Building. LANDLORD'S employees shall not perform any work or do anything outside of their regular duties unless under special instruction from the Office of the Building, and no such employee shall admit any person (TENANT or otherwise) to any office without specific instructions from the Office of the Building. 11.LANDLORD will furnish each TENANT with two keys to each door lock in the Premises. LANDLORD may make a reasonable charge for these and any additional keys. No TENANT shall have keys made. No TENANT shall alter any lock or install a new or additional lock or bolts on any door of its Premises without the prior written consent of LANDLORD. TENANT shall in each case furnish LANDLORD with a key for any such lock. Each TENANT upon the termination of its tenancy, shall deliver to LANDLORD all keys to doors in the Building, no matter who furnished them to TENANT. 12. All construction or maintenance work of any kind done in TENANT'S suite may only be performed by contractors approved by LANDLORD with proper insurance, in writing, prior to commencement of work. LANDLORD agrees not to unreasonably withhold its consent. 13. The cost of repairing any damage of any kind caused by any TENANT, its employees, guests, agents or invitees whether by negligence, carelessness or for any other reason shall be paid for by TENANT. 14.Canvassing, peddling, soliciting and distribution of handbills or any other written materials in the Building are prohibited and each TENANT shall cooperate to prevent the same. 15.Except with the prior written consent of LANDLORD, no TENANT shall sell, or permit the sale at retail of newspapers, magazines, periodicals, theater tickets or any other goods or merchandise to the general public in or on the Premises nor shall any TENANT carry on or permit or allow any employee or other person to carry on the business of stenography, typewriting or any similar business in or from the Premises for the service or accommodation of occupants of any other portion of the Building, nor shall the Premises of any TENANT be used for manufacturing of any kind, or any business or activity other than that specifically provided for in such TENANT'S Lease. 16.LANDLORD shall have the right, exercisable without notice and without liability to any TENANT, to change the name and street address of the Building. 17.No TENANT shall obtain for use in the Premises, ice, drinking water, food, beverage, towel or other similar services except at such reasonable hours and under such reasonable regulations as may be fixed by LANDLORD. 18.No TENANT shall install any radio or television antenna, loudspeaker or other device on the roof or the exterior walls of the Building. No awnings, air conditioning units or other projections shall be attached to the outside walls or windowsills of the Building or otherwise project from the Building, without the prior written consent of LANDLORD. 19.Subject to any power outages which may be experienced in the Building in which the Premises are located and which are out of Landlord s control. LANDLORD shall provide access to the Premises, electricity for lighting, and use of the elevators twenty-four (24) hours per day, seven (7) days per week. Except for the following holidays: New Years Day, Presidents Day, Memorial Day, 4th of July, Labor Day, Thanksgiving Day, the day after Thanksgiving, and Christmas Day, LANDLORD shall furnish heating and air conditioning during normal business hours, which are defined as 8:00 a.m. to 6:00 p.m., Monday through Friday, and 8:00 a.m. to 1:00 p.m. on Saturday. Except for the holidays listed above in this Section 18, LANDLORD shall provide reasonable and customary janitorial services five days a week. 20.These Rules and Regulations are in addition to, and shall not be construed to in any way modify or amend, in whole or in part, the terms, covenants, agreements and conditions of any lease of premises in the Building. LANDLORD reserves the right to change or rescind any one or more of these Rules and Regulations or to make such other and further reasonable Rules and Regulations as in LANDLORD'S judgment may from time to time be necessary for the management, safety, care and cleanliness of the Premises, and for the preservation of good order therein, as well as for the convenience of other occupants and tenants therein. LANDLORD shall not be responsible to TENANT herein or to any other person for the non-observance or violation of the Rules and Regulations and to have agreed to abide by them as a condition to TENANT'S occupancy of the space herein leased.

50 Policies and Procedures: Good Neighbor Policy Building Management realizes the importance of a good neighbor policy. We all benefit from good neighbors and by being alert for unusual occurrences in our building. With the good neighbor philosophy in mind, please report to the Building Management Office should any of the following be observed: Any unusual circumstances, i.e., people loitering in the corridors or anywhere throughout the building or grounds; something apparently out of place, etc. Trash or safety hazards in the corridors, lobby, restrooms, garage or any other public areas. Be alert for obstructions of fire doors, or any obstruction that could result in an injury or fatality. Deliver to the Property Management Office or Security any item found that you believe might be lost. Please note where you found the object and the time discovered so that we may attempt to locate the owner. Burned out lights throughout the building or grounds, they must be replaced as soon as possible for your safety and the safety of others. It is especially important to remember that your cardkey is to be used for authorized after-hour access. By not allowing strangers to enter the building with you, you are most certainly being a Good Neighbor. This kind of alertness will be beneficial to all tenants.

51 Policies and Procedures: Moving Policy The following rules pertain to moving furniture, equipment and supplies into and out of Executive Tower: ANY MOVERS THAT DO NOT ADHERE TO THE FOLLOWING RULES WILL NOT BE ALLOWED TO ENTER THE PREMISES OR WILL BE REQUIRED TO DISCONTINUE TO MOVE. The Tenant must make arrangements with the Management Office for use of the freight elevator for each move. A definite arrival time must be established prior to finalizing move-in plans. If supervision by Building Management personnel is required during the move, an hourly fee will be charged to the tenant. No items shall be authorized to leave the Building without authorization on your firm s letterhead or Property Removal form and verbal coordination with Building Management in advance. The move should be planned with a minimum of a 24-hour notice, after 6:00 p.m. weekdays or with approved arrangements on Saturday. Any costs incurred by the Building associated with the move will be charged to the Tenant. Clean masonite sections will be used as runners on all finished floor areas where heavy furniture or equipment is being moved with wheel or skid type dollies. The masonite must be at lease one-fourth inch thick, with 4 X 8 wide sheet in elevator lobbies and corridors, and 32 wide masonite runners taped together to inhibit sliding. Coverings on all walls, door facings, elevator cabs and other areas along the route to be followed during the move will be jointly inspected by the movers and a building management representative The expense of repairs for any damage to the Building or fixtures caused by the move is the joint responsibility of the mover and the Tenant. Only the freight elevator will be used for the movement of furniture, equipment and supplies unless prior written approval to use additional elevators is granted by the Landlord. The weight limit for the freight is 4,000 pounds. The moving company shall haul any and all trash or refuse generated as a result of the move off the property during the same day that the move takes place. In the event the move takes longer than one day, a Building Management representative will walk the route with the movers each day to ensure no damage has occurred.

52 Policies and Procedures: Parking 1.Tenant shall strictly comply with all posted speed limits, directional signs, yield signs, stop signs and all other signs within or about the Parking Structure. 2.Tenant shall register all vehicle license plate numbers with the Property Management Office. 3.Tenant shall be responsible for the cost of repairing and cleaning any debris, including without limitation oil leakage from its motor vehicles parked in the Parking Structure. 4.Landlord, in addition to reserving visitor parking areas on the first floor, reserves the right to allocate additional visitor spaces on any other floor of the Parking Structure. Tenant shall not park any vehicles in any spaces designated as visitor spaces, handicap spaces, reserved spaces (if not assigned to them) or customer spaces with the Parking Structure. Locations of designated parking areas are as follows: Visitor - Entire first level Unreserved - Second floor and up Handicap - Level B1 Reserved - Levels B1 and B2 5.Tenant shall strictly comply with all rules, regulations, ordinances and statutes affecting handicapped parking and shall not park any vehicles within fire lanes, parking curbs and striped areas. 6.Tenant shall only use the number of parking spaces assigned to them and Landlord reserves the right to assign or re-assign parking spaces to Tenant, from time to time, within the Parking Structure and further reserves the right at any time to substitute an equivalent number of parking spaces in a parking structure or subterranean parking facility or in a surface parking area within a reasonable distance of the Demised Spaces. 7.Tenant shall not leave vehicles in the Parking Structure overnight without written approval from Landlord nor park any vehicles in the Parking Structure other than automobiles, motorcycles, motor-driven or non-motor-driven bicycles or four-wheeled trucks or vans. Landlord may, in its sole discretion, designate separate areas for bicycles and motorcycles. Tenant shall assure that vehicles parked in its assigned spaces are parked and are not so situated or of such width as to impede access to or egress form vehicles parked in adjacent spaces. Further, Tenant s vehicles shall not be higher than any height that may be posted or which would cause any damage or injury to the Parking Structure. 8. Tenant shall not allow any of its vehicles or any of the vehicles of Tenant s suppliers, shippers, customers or invitees to be loaded or unloaded in any area other than the loading dock area adjacent to the alleyway or in any other areas so designated by Landlord. 9. Tenant shall not use or occupy the Parking Structure in any manner which will unreasonably interfere with the use of the Parking Structure by other tenants, including without limitation promptly turning off vehicle alarm systems. 10.Tenant acknowledges that the rules and regulations hereunder shall be in effect on a twenty-four (24) hour basis, seven days per week. 11.Tenant acknowledges that building security officers and parking attendants are authorized to issue verbal and written warnings with respect to the violation of any of the rules and regulations hereunder. If Tenant fails to comply with such warnings or permits or allows any of the prohibited activities described in these rules and regulations, then Landlord shall have the right, without notice, in addition to such other rights and remedies that it may have, to remove or tow away the vehicle involved and charge the cost to the Tenant and/or revoke Tenant s parking privileges and rights under the Lease.

53 Policies and Procedures: Smoking California Assembly Bill 13 became effective on January 1, 1995, which prohibits the smoking of tobacco products in an enclosed space, such as office suites, throughout the state of California. Los Angeles City specifically passed a law forbidding the smoking of tobacco products in all enclosed public establishments. Please be advised that the District Attorney will fine and prosecute all smoking offenders.
