Chapter 11 Case No rbk-11 NOTICE OF (I) DEBTOR S REQUEST FOR AUTHORITY TO ASSUME AND ASSIGN CERTAIN EXECUTORY CONTRACTS AND UNEXPIRED LEASES, AND (II) DEBTOR S PROPOSED CURE AMOUNTS TO ALL CONTRACT COUNTERPARTIES TO EXECUTORY CONTRACTS AND UNEXPIRED LEASES PLEASE TAKE NOTICE THAT: PLEASE TAKE NOTICE that on January 9, 2018, A GACI, L.L.C., debtor-inpossession in the above-referenced chapter 11 case ( A GACI or the Debtor ), filed a voluntary petition for relief under Chapter 11 of Bankruptcy Code in the United States Bankruptcy Court for the Western District of Texas (the Court ). PLEASE TAKE FURTHER NOTICE that on February 8, 2018, the Debtor filed Debtor s Motion, Pursuant to Bankruptcy Code Sections 105(a), 363, and 365, and Bankruptcy Rules 2002, 6004, and 6006, for Entry of an Order (i) Approving Sale and Bidding Procedures in Connection with Sale of Assets of the Debtor, (ii) Authorizing the Sale of Assets Free and Clear of all Liens, Claims, Encumbrances and Other Interests, and (iii) Granting Related Relief (Docket No. 150) (the Motion ) with the Clerk of the Bankruptcy Court seeking, among other things, entry of an order (the Sale Order ) authorizing and approving: (a) the sale (the Sale ) of substantially all of its assets (collectively, the Assets ) free and clear of liens, claims, encumbrances, and other interests, with all such liens, claims, encumbrances, and other interests attaching with the same validity, force, extent, and priority to the sale proceeds, to one or more purchasers submitting the highest or otherwise best offers therefor; and (b) procedures for the assumption and assignment of certain Contracts and Leases. PLEASE TAKE FURTHER NOTICE THAT on March 1, 2018, the Court entered an Order Approving Sale and Bidding Procedures in Connection With Sale of Assets of the Debtor and Granting Related Relief (Docket No. 188) (the Bidding Procedures Order ) granting certain of the relief sought in the Motion, including, among other things, approving: (a) the bidding procedures for the Sale of the Assets (the Bidding Procedures ); and (b) procedures for the assumption and assignment of Contracts and Leases (the Assumption and Assignment Procedures ). Please note that all capitalized terms used but not defined herein shall have the meanings set forth in the Bidding Procedures Order

King at the Hipolito F. Garcia Federal Building and United States Courthouse, 615 East Houston Street, Courtroom 1, San Antonio, Texas 78205, or before any other judge who may be sitting in his place and stead (the Sale Hearing ). PLEASE TAKE FURTHER NOTICE THAT at the Sale Hearing, the Debtor may seek to assume and assign to one or more Successful Bidder(s) for the Assets at the Auction (each an Assignee ) some or all of the Contracts and Leases and any modifications thereto set forth on Exhibit A hereto (collectively, the Assumed and Assigned Contracts ). In addition, the Debtor s calculations of the cure amounts, if any, necessary for the assumption and assignment of the Assumed and Assigned Contracts (the Cure Amounts ) are set forth on Exhibit A. PLEASE TAKE FURTHER NOTICE THAT the Debtor has been engaged in and/or completed negotiations with landlords of the Debtor s store leases. These negotiations include, among other terms, amount and timing of the cure of outstanding defaults. The cure amounts indicated on Exhibit A of this Notice do not reflect the results of such negotiations. To the extent the Debtor seeks to assume and assign a lease for which an agreement has been reached regarding cure, such agreement will be memorialized in a lease amendment, motion filed with the Court, and/or other document agreed to in writing by and between the Debtor and the applicable store lessor. PLEASE TAKE FURTHER NOTICE THAT as soon as practicable after the conclusion of the Auction, the Debtor shall file with the Court and serve by first-class mail, facsimile, electronic transmission, or overnight delivery service on the Contract Counterparty (and its attorney, if known) to each Assumed and Assigned Contract a notice: (a) identifying the Successful Bidder(s); (b) stating which Contract(s) and/or Lease(s) will be assumed and assigned thereto; and (c) containing a statement as to the Successful Bidder(s) ability to perform the Debtor s obligations under the applicable Assumed and Assigned Contracts. 4 rbk Doc#198 Filed 03/09/18 Entered 03/09/18 17:16:30 Main Document Pg 4 of 25 (3) Procedures for Supplemental Assumption and Assignment Notices and Related Objections Under the terms of the Assumption and Assignment Procedures, if, after this notice is served, the Debtor identifies additional Contract(s) and/or Lease(s) to be assumed and assigned to the Successful Bidder(s) as Assumed and Assigned Contracts (whether before or after Closing of any Sale(s) of relevant Assets), then the Debtor shall file with the Court a supplemental Assumption and Assignment Notice and serve that notice by first-class mail, facsimile, electronic transmission, or overnight delivery service on the Contract Counterparty (and its attorney, if known) to each supplemental Assumed and Assigned Contract at the last known address available to the Debtor, which notice shall be served by no later than ten (10) calendar days before the proposed effective date of the assignment. A Contract Counterparty receiving any such supplemental Assumption and Assignment Notice shall have until the later of (a) the April 6, 2018 at 5:00 p.m. (Prevailing Central Time) or (b) ten (10) calendar days from service of the supplemental Assumption and Assignment Notice to file an objection to the assumption and assignment of such Contract(s) and/or Lease(s) in accordance with the Assigned Contract Objection Procedures set forth herein. The Assigned Contract Objection Procedures shall otherwise govern the resolution of any such objection filed to a supplemental Assumption and Assignment Notice.
