4 Mataka Station Bay of Islands Located on a spectacular headland in the world-renowned Bay of Islands sits one of New Zealand's most breathtaking coastal properties. Mataka Station is a 2,835 acre fully operational NZ sheep station nestled on the north western entrance to the Bay of Islands. Mataka is bordered on one side by the crystal clear waters of the Pacific Ocean and on the other by the natural harbour of the Bay of Islands. Picturesque swimming beaches, sheltered off-shore anchorages and fishing spots contrast with Pohutukawa-lined coastline where the Pacific surf crashes in against rocky outcrops, a total of 16 kilometres of coastline. Only 30 world class home sites are permitted on 1,148 ha (2,835 acres) ranging in size from 20 ha (49 acres) to over 57 ha (140 acres). Only one house per site (plus a guest or manager s house) may be built per lot and lots may not be subdivided. Each owner has an extraordinary degree of access to: riding, walking and biking (over 18 km of dedicated riding trails and 20 km of shared riding trails/private roads); swimming/walking and resting - 2 ocean beaches and 3 Bay of Islands beaches; boating - boatsheds and a boat ramp, unparalleled game fishing, sailing and power boating nearby sophisticated marinas; diving; planting, protection, rearing and funding of very rare wildlife and plant species; farming - participation without the risk; extraordinary scenery and a wonderful natural environment on a scale not normally available privately. 6 Bay of Islands, New Zealand Mataka is located in one of New Zealand's most beautiful areas, the Bay of Islands, in Northland. It is an easy half-hour drive (26 kilometres/16 miles) from one of Northland's major population centres, Kerikeri, which is famous for its fruit orchards and crafts. Kerikeri offers an excellent range of shops and recreational services. Mataka Station is also close to Kauri Cliffs, the spectacular international golf course, the townships of Paihia and historic Russell. The property is approximately 40 minutes flying time or 3.5 hours driving from Auckland, New Zealand's most populous city. The Bay of Islands contains a rich human and archaeological history, forming a significant part of the attraction of the Bay for tourists and providing an absorbing backdrop for residents. Mataka itself is one of the most significant parts of that history. Consistent with its name and temperate climate, the Bay of Islands boasts an array of beaches and islands, surrounding a wealth of bush, forests and native wildlife and farmland. With one of the largest private conservation estates in New Zealand, and one of the largest kiwi populations on private land in New Zealand, Mataka is an integral and highly visible part of the natural beauty of the Bay of Islands. Mataka is a short drive to a number of golf courses, the most spectacular of which is Kauri Cliffs, a world standard course opened in late Developed and owned by Mr Julian Robertson and his family from New York, the existence of Kauri Cliffs and the lodge attached to it is testimony to the remarkable natural beauty of the Bay of Islands. Recreational sailing and cruising is available year round, with the main season being from November through April each year, New Zealand's spring and summer seasons.

9 Farming Mataka s coastline encloses a fully operational sheep and cattle station and a large private conservation estate providing a private and secure environment; preserving for its owners all the natural beauty of New Zealand. Mataka has been farmed for approximately 100 years. Over the last 25 years the station has been substantially redeveloped to improve access, pasture performance and productivity, and by the establishment of extensive conservation areas. The farm currently runs approximately 8,000 sheep and a herd of cattle. The farm is run by five staff with contractors and is serviced by 20 kilometres of all weather roads. The coastal location of the farm moderates rainfall and temperature - approximately 1,350mm (53 inches) and 15.7 C (60 F) average per annum respectively. Access / Roading Exceptional access is an outstanding feature of this property. Even the steep country has unparalleled access on all-weather roads. The high standard of these professionally constructed roads, combined with the laneway fence system, allows fast movement around the property. There is 20 km of metalled culverted farm roading. Water control on steeper roads is essential. This has been achieved by good water-tabling and plentiful culverts, regular grading and good road surfacing with gravel. Conservation Only farm dogs have been permitted on Mataka over the last 25 years. As dogs are the main menace to Kiwis, this policy has allowed a strong population of Kiwis to be maintained. The Kiwi is New Zealand s unique national icon. Mataka contains one of the most important preserves of Kiwi in New Zealand. Dogs are permitted at Mataka, and are required to be properly controlled. Ducks, pheasants and quail also enrich the birdlife. None of these game birds have been shot so many are reasonably tame. As the native trees areas have been rehabilitated after retirement from grazing, they have been able to support greater diversity and quantity of native birds. These are mainly areas that were in native Manuka with larger trees in the valleys. The dedicated conservation estate is now over 350 ha (865 acres). Most native areas exist in steep valleys or south-facing slopes that are unsuitable for farming. They provide a habitat base for native birds and an excellent visual contrast to pasture. These areas are largely self-managed. Some peripheral gorse control is done. The owners of Mataka Station have undertaken a major pest eradication and Kiwi protection programme that will reinforce the rare and endangered Kiwi population at Mataka. Water Supply Reliable, natural supply of water is one of Mataka's greatest farming assets. Even in the local district, the abundance and reliability of spring water on Mataka is exceptional. Inability to contain stock in any particular paddock due to lack of stock water during dry weather is almost unheard of. Of special interest are two small springs near the summit of the mountain that trickle right through the summer. Main paddocks are watered by stream or the network of dams on the property. Several larger ponds/lakes are formed behind the bigger dams and are reticulated to a trough system for the smaller holding paddocks and buildings.

10 Vision - The Master Plan Mataka contains almost everything that makes New Zealand special - from mountains to surf, rugged cliffs to inland lakes, forest, bush and wildlife, rolling farmland and seas. The Master Plan for Mataka preserves those features and integrates up to 30 homes (plus guest/manager houses) within 16 kilometres of coastline, providing magnificent views for homes, hiking or riding. The coastline encloses a fully operational sheep and cattle station inside a private, secure environment, preserving for its owners all the natural beauty of New Zealand. The Master Plan provides for large private lots with shared access for all owners to the key assets and infrastructure of the whole property - four beaches, extensive coastline, conservation areas (comprising shrubland and wetland), stables, beach lodge, Mt Mataka and an extensive network of over 38 kilometres of private roads and hiking, riding and biking trails. Accordingly, the Master Plan for Mataka is based on achieving the following objectives for each individual owner: privacy; security; beauty & wildlife; use of a large estate; managed solution; high quality overall development; planned outcomes; a wide range of amenities in a large private property - riding, hiking, biking, swimming, diving, boating, fishing, farming, conservation and rest. The Master Plan achieves these objectives in the following ways: privacy - low density development (up to 30 homes / 2835 acres), gated community, extensive spacing between homes (up to 30 homes over 16 kilometres of coastline); security - a gated community, coded gate access from public roads, on-site staff with full radio coverage, security monitoring of homes by telephone to monitoring centre; beauty & wildlife ha (865 acres) of permanently protected, private conservation estate, planting, beautification and wildlife protection programmes, spectacular coastline and beaches for homes, hiking, riding and recreation; use of a large estate; all owners have access to internal private roads, riding trails, beaches and mountain; managed solution - conservation areas and infrastructure managed on behalf of owners; all home services available on an efficient shared cost basis; owners of the 30 homes retain control of management of infrastructure; high quality of overall development - Design Guidelines protect the interests of all owners in the overall quality and design integrity of individual houses and landscaping. The investment premium and enjoyment premium experienced by owners of Mataka Station is driven by the quality of management of collective and individual facilities, Owners investment in quality outcomes are creating significant value. The unique feature of Mataka is that it combines spectacular coastal landscape, beaches, farmland, conservation reserves and wildlife on a scale rarely seen privately. The principal objective for the development of Mataka has been to preserve the size and quality of its natural assets and make them available to a small group of owners to enjoy collectively. Design guidelines ensure that development of homes is maintained at high standards and that buildings contain a degree of design integrity that is sympathetic to the landscape and the character of the property as a whole.

31 Structure Each owner acquires title to a large freehold lot, with the right to build one house (plus a guest or manager s house). Lot sizes range from 20 ha (49 acres) to 57 ha (140 acres). Lots may not be subdivided. Access to all properties is provided by legal rights of way through the farm road system. Access for all owners to all beaches and to the internal road network and riding, biking and hiking trails is maintained by a combination of legal rights of way and perpetual land covenants granting mutual access. House site access roads are private to each house and are not part of the private communal road network. Land covenants and the rules of the Mataka Residents Association ( the Association ) regulate conduct to protect all owners' rights and privacy. Privacy for individual homes is maintained through the natural topography of Mataka, extensive spacing of house sites, and the location of individual house sites. To protect the interests of all owners in the overall quality of development at Mataka, homes must be constructed in accordance with the Design Guidelines. The entire farm is farmed under lease by Mataka Station Ltd for the first 10 years. Each lot is sold subject to a farming lease to Mataka Station Ltd under which Mataka Station Ltd farms and takes care of the farmland portion of the lot. Owners may withdraw up to 4 ha surrounding each house site for gardens or parkland. The conservation areas are managed by the Association on behalf of all owners. All non-farm infrastructure is maintained by the Association on behalf of all owners. All owners are required to belong to the Association which operates through the owners in general meeting and a Board of Directors appointed by that meeting. Costs are levied back to owners monthly on a cost reimbursable basis, against an annual budget. Each Purchaser of a lot acquires: legal freehold title to that lot; road access to that lot; telephone and power; shared use and ownership of the Beach Lodge - a 138 sq m (1,380 sq ft) beach lodge at Mataka Bay; helipad; two communal boatsheds at Whale Bay; formal entrance gates; further conservation planting.

44 Summary of Legal Structure Mataka Station is a conservation and farm estate of 1,148 ha (2,835 acres). Mataka Station contains: farmland centrally managed under lease; private Conservation Areas; shared access for all owners to all internal roads, beaches, Mt Mataka and riding trails; 30 private house sites; and, at each purchase s option, up to 4 ha (10 acres) of private gardens or parkland surrounding each house site. A maximum of 30 houses. Lots may not be subdivided. Each Purchaser acquired: a freehold lot with the right to build one house within the area designated for a house site, plus the right to an additional guest/caretaker building subsequently; an approved house site with up to 4 ha (10 acres) of garden or park lands within the above lot, which the Purchaser may fence and maintain; a 1/30th share of ownership and use of the beach lodge at Mataka Beach; shared use of the 2 communal boatsheds at Whale Bay; shared access for all owners to all internal roads, beaches, Mt Mataka and riding trails; membership of the Mataka Residents Association Incorporated (the Association). The Association manages the Common Facilities and administers the use of Mataka Station on behalf of all owners. Owners of the 30 lots containing house sites bear the costs of the Association in equal proportions. Mataka Limited has constructed services and infrastructure at Mataka Station including legal access and power to the boundaries of all lots, entrance gates, further beautification and planting, and the beach lodge, the boatsheds and helipad all of which are part of the Common Facilities. Farmland within each owner s freehold lot is subject to a farming lease granted by all the owners to Mataka Station Limited. The Association exists to protect and enhance the financial investment and lifestyle interests of all owners in the property. The Association manages the Common Facilities, Conservation Areas and farming policy, and the Association Rules control the use of Mataka Station and provide the Design Guidelines for design and construction of the dwellings by owners. The Association acts through general meetings and a board appointed by the owners. To preserve all owners rights permanently, Land Covenants registered against each freehold lot require owners to belong to the Association and to comply with the Association s rules. The Land Covenants will impose specific covenants in relation to the use of particular Lots. Access to all beaches within Mataka Station and Mt Mataka is preserved for all owners. The land leased to Mataka Station Limited for farming includes the Conservation Areas. The Conservation Areas will be maintained and administered by the Association with the objective of protecting those areas and the Kiwi and other wildlife that inhabit them.

46 Agreement for Sale and Purchase Subdivision The scheme plan provides for the subdivision of Mataka Station into 30 house lots. Purchasers were required to consent to any amendments or variations of that approval and the construction of houses by Purchasers, and executed a power of attorney in favour of Mataka Limited for the purpose of any amendments, provided the overall cap is 30 house lots. Infrastructure Works Mataka Station has undertaken infrastructure works at Mataka Station which include providing power and legal access to the boundary of each individual lot, the construction of the beach lodge, boatsheds and helipad, beautification and planting. House Sites Within each property, each Purchaser is entitled to construct a dwelling together with ancillary buildings on a designated house site subject to the Purchaser conforming with all applicable planning requirements and securing any applicable consents from all relevant territorial Authorities. The current resource management approval for the subdivision and Rules of the Residents Association permit one house site per lot. The Purchase Contracts maintain that restriction for three years after purchase, but after that period each owner may build up one further building for a caretaker or guest cottage, subject, in each case, to that owner obtaining the requisite resource management consents. All owners wish to maintain high level building standards and preserve the rural character of Mataka Station. Accordingly, buildings and landscaping must be designed within the parameters of the design guidelines attached to the Contract (the Design Guidelines). The Purchaser may fence off from the farmland, at his or her option, an area of up to 4 ha (10 acres) of land immediately adjacent to, and surrounding, the house site for gardens or parkland surrounding the Purchaser s house. Land Covenants All owners wish to ensure that the key features of ownership of a Lot at Mataka Station are preserved to their property for all time and may be transferred to subsequent Purchasers. The mechanism by which this is achieved is a system of Land Covenants, which are permanently attached to the Certificates of Title to all properties on Mataka Station, preserving each owner s rights. The Land Covenants and the associated rules govern features such as common access, maintenance of roads, the beach lodge, boatsheds and other common facilities. Design Guidelines ensure a high standard of development, and provisions for use of properties to preserve the rural retreat character of Mataka Station. The Land Covenants provide that: each owner will grant access to the other owners over the Common Areas to enable all owners to use and enjoy Mataka Station; each owner will grant access to the Association over their respective properties (excluding house sites and extended house site areas) to enable the Association to carry out its functions including the maintenance of the infrastructure and the communal facilities and the creation of such further improvements as the Association may elect in the future; certain properties are

47 subject to specific Land Covenants to provide for the planting of trees to screen house sites from neighbouring properties or for the relevant owner to acknowledge that certain communal facilities will be located on their property, such as the beach lodge and boatsheds; each owner is required to belong to the Association and to observe and perform the obligations of a member of the Association including the restrictions on the use of individual properties at Mataka Station and the payment of levies in respect of maintenance and improvement works on Mataka Station. Building Development Mataka is a premium residential enclave and a master planned development. The principals of Mataka Limited wished to ensure the rural character of the Mataka is retained and that the buildings contain a degree of design integrity that is sympathetic to the landscape as well as containing historical reference points to Mataka Station; it is important that the new buildings shall be varied sufficiently to illustrate they have come from different desks. The principals also recognised that each of the owners will wish to ensure that their own home reflects their individual requirements and vision; the manner in which that balance will be achieved is by retaining an apparent consistency of materials and, especially, quality of design, sympathetic to the landscape and rural character of Mataka. By way of example, a stained shingle cottage with a superb underlying design containing rural and historical reference points will sit as comfortably within the landscape as a firmly modern concrete and glass finished structure with the same quality of design and reference points; all designs for new buildings on the development shall recognise and be subject to the following conditions, and as well must meet all of the criteria of the Transitional Far North District Plan, the Proposed Far North District Plan, Chapters to 10A.6 as to both intent and specific requirement; and meet all relevant requirements of the Far North District Council.

48 Mataka Residents Association Incorporated Purpose of the Association The Association is a key part of preserving the financial and lifestyle interests of all Owners in maintaining infrastructure, ensuring the farming policy reflects the wishes of Owners and enforcing it, and regulating the common access and other co-operative features of Mataka Station; each owner of a lot containing a house site will be a member of the Association. The total membership of the Association will be no greater than 30; the Association will manage the collective interests of the Owner s in the Common Facilities. All Owners agree to be bound by the rules of the Association, which will operate to govern the use and enjoyment of Mataka Station; the Association, through its rules and by-laws, provides the mechanism for the regulation of Owners rights in relation to each of their co-owners and their properties and, as such, The Association will, on the Owners behalf, comply with and enforce the rules of the Association and Land Covenants. The Owners explicitly waive their rights to take any action against their co-owners for any alleged breach of the rules or the Land Covenants. Objects of the Association The stated objects of the Association are: to maintain, preserve and enhance the unique character, size and recreational capabilities of Mataka Station as a premium international standard residential lifestyle community; to enable Owners to enjoy the assets of Mataka Station and its surrounds; to protect and enhance the resources, wildlife, beauty, history and presence of Mataka Station and in particular to maintain the existing Conservation Areas, historic and archeological sites, the Kiwi population and the areas designated by the Far North District Council as outstanding landscape areas; to maintain and improve, or develop where not already developed, the Common Facilities and the recreational and conservation opportunities within Mataka Station in accordance with the resolutions of the Association from time to time; to provide for appropriate farming of Mataka Station subject to the rights of the party carrying on the farming activities; to enforce compliance with the Land Covenants registered against the Certificates of Title comprising Mataka Station in accordance with their terms; to promulgate and enforce the rules and by-laws of the Association; to do all things that may be necessary to achieve the objects of the Association. Administration The administration of the Association is vested in the Association in general meetings and delegated to the Board. The Board consists of at least 5 (but no more than 10) Owners elected at a general meeting of the Association on a majority vote by the members. The Board may take such action as it deems expedient to achieve the Objects of the Association; the Owners may convene a general meeting by written requisition of 50% or more of the Owners and the Association shall, in each year, hold an annual general meeting. A quorum at a general meeting shall be 50% or more of the Owners whether present in person or by proxy. Decisions at the general meeting are made by a 75% majority.

49 Operating Expenses At the start of each year the Association notifies each owner of the amount of the Owner s contribution to the operating expenses of the Association. Each Owner s contribution to the operating expenses will equate to a 1/30th share of the total expenditure. The annual levies are required to be paid monthly in each year with a balancing payment at the end of the year. In addition, a special contribution may be fixed by the Board to be set aside as a sinking fund to allow for, and meet the costs of, capital improvement at Mataka Station or the implementation of the Objects of the Association. The Board may also levy an additional amount to meet the cost of emergency items of expenditure. In order to secure payment of the sums due by an owner to the Association, a Memorandum of Encumbrance will be registered against each Owner s title to their property, the effect of which is that, in the event the owner fails to make payments due to the Association, the Owner s land may be sold by the Association to discharge the debt. Rules of the Association The Rules of the Association are designed to protect all Owners financial investment and lifestyle requirements by preserving the character and identity of Mataka Station as an international private estate and by maintaining a high quality of development. Each owner is responsible for ensuring their guests comply with the rules of the Association. In summary the rules are as follows: DEALING WITH THE LAND - lots are not to be further subdivided, nor can the lots be sold separately from the Owner s proportionate interest as a tenant in common in equal shares in the Common Facilities or from the Owner s membership of the Association. HOUSE SITES - the current resource management approval for the subdivision permits one house site per lot. The rules maintain that restriction for three years and provide that after that date each owner may build a further building for a caretaker or guest cottage, subject, in each case, to that owner obtaining the requisite resource management consents. The house sites are to be used solely for residential purposes. Houses are to be located on the designated house site and designed and constructed in accordance with the rules of the Association, the Design Guidelines, the current District Plan, and any resource consent issued by the Far North District Council. Approvals are required prior to commencing construction. Ongoing maintenance is required. ANIMALS - to preserve the rare wildlife at Mataka Station, no cats or mustelids may be kept on any part of Mataka Station. Up to two dogs and approved domesticated birds may be kept provided that the dogs are kept within an escape proof enclosure within the Owner s house site areas and otherwise on a leash and under the Owner s immediate supervision at all times. No guests or invitees may bring dogs, cats or birds of any kind to Mataka Station. ACTIVITIES - to preserve the beauty and identity of Mataka Station as a large rural estate to be enjoyed by its Owners, no activity on Mataka Station is permitted other than private residential use, farming, agriculture or conservation. No activities which are, or may be, unsafe or hazardous to any person may be undertaken within Mataka Station. No noise or other nuisances are permitted so as to interfere with the use and enjoyment of other Owners or the farming activities.

50 Landscaping All landscaping must be carried out in accordance with the Design Guidelines. Roads To preserve access and safety within the internal road system, Owners are required to observe parking restrictions and ensure that they and their guests drive in a safe and considerate manner at all times. Earthworks Prior to undertaking excavations or earthworks in the vicinity of any known archeological site, Owners must undertake an archeological survey of relevant areas to protect historic sites and comply with New Zealand law. In the event that such survey reveals the existence of historic or archeological features no excavations or earthworks will be permitted except with the consent of, and in accordance with, the requirements of the Historic Places Trust and the Association. Resource Management Consents Each Owner is required to comply with the terms of the resource consents issued in relation to the property - principally, to not destroy the Conservation Areas and to maintain a pest control programme (which will be carried out by the Association). Iwi Access Local Maori families (who have many centuries association with the property), have been granted a right of access twice a year to defined destinations on terms to be agreed on each occasion. Public Access Public foot access during daylight hours has been granted within the valley at Oihi Bay, on the terms set out in the Resource Management consent. Farming Lease The whole of the farmland within Mataka Station is farmed under a lease providing for the care and maintenance of the land. Each property is sold subject to the farming lease. The lease is for a period of 10 years (from July 2003). At the end of the term of the lease each Purchaser s property will continue to be leased for farming. Farming is to be conducted in accordance with the farming policy from time to time under the terms of the lease. To preserve the quality and appearance of the pastureland for all Owners, Mataka Station Limited is required to meet minimum standards of maintenance set out in the lease. Rental is paid to the Association on behalf of all Owners. Rent is reviewed at 2 yearly intervals.

51 Design Guidelines The following Design Guidelines are designed to protect the interest of all Owners in protecting the character of Mataka Station as an international, private estate. The Design Guidelines are additional to the requirements of the relevant District and Regional Plans. Site Development Overall Design Overall co-ordination of design is important in creating a master planned development and in preserving the integrity and beauty of the natural landscape for all Owners. Planting and landscaping are key elements in this process. Building Location The location of house sites may be altered with the approval of the Design Committee and the location of an additional guest or managers house will require such approval. The Design Committee will principally be concerned to ensure the alteration does not adversely affect the views from, or privacy of, any other house site in the vicinity, and does not disturb any archaeological site, but may take any other relevant factors into account. Access-ways Private access-ways from the communal rights of way to house sites shall be designed to minimise visual intrusion in the landscape. Access-ways shall be unsealed and finished in appropriate aggregate or formed in asphalt or concrete coloured and configured to merge with the surrounding landscape as far as possible. Paving & Drainage Impermeable paving within house sites should be minimised as far as possible and drainage directed to avoid soil disturbance. Fences, Walls, Retaining Walls In general, fencing - ie. height, weight, material - is discouraged, and, conversely, walls and hedges are encouraged; it is not envisaged pickets, palings or ironwork will be an appropriate fencing material, however, traditional rural post and wire fencing for the control of livestock or pets could be seen as appropriate; walls, generally of masonry, could reflect the material palette as for house foundation - ie: plaster on block-work, insitu fair-faced concrete, or local stone or boulders, height of wall needs to be appropriate to both landscape and buildings. Appropriate species of hedge plants to form slabs of hedging of both rural and domestic scale are also seen as suitable. Services and Utilities All services and utilities, including tanks, shall be located below ground. External service areas should be integrated within the building structure so that rubbish, storage and similar items are not visible from outside the house site; satellite dishes and antennae shall be erected in a manner that minimises the extent to which they may be seen from outside the house site.
