1 ARLINGTON COUNTY, VIRGINIA County Board Agenda Item Meeting of September 22, 2018 DATE: September 12, 2018 SUBJECT: License Agreement between the LCPC Pentagon Property, LLC, as Licensor, and the County Board of Arlington County, Virginia, as Licensee, Permitting the Installation, Operation, and Maintenance of a Capital Bikeshare Station on a Portion of the Property Known as 2521 S. Clark St., Arlington, Virginia (RPC # ). C. M. RECOMMENDATION: 1. Approve the attached License Agreement (Attachment 1) between LCPC Pentagon Property, LLC, as licensor, and the County Board of Arlington County, Virginia, as licensee, permitting the installation, operation, and maintenance of a Capital Bikeshare station on a portion of the property known as 2521 S. Clark St., Arlington, Virginia (RPC # ). 2. Authorize the Real Estate Bureau Chief, or his designee, to execute the License Agreement on behalf of the County Board, subject to approval of such License Agreement as to form by the County Attorney. ISSUES: There are no known issues as of the date of this report. SUMMARY: Upon County Board approval and execution of the attached License Agreement for the bike-sharing station at 2521 S. Clark St., Arlington, VA (the Property ), the County will have permission to install, operate and maintain a bike-sharing station on the licensed portion of the Property (the Licensed Premises ) for a term of five (5) years (the Term ). The Term will automatically renew for four (4) additional consecutive five (5)-year periods under the same terms and conditions specified in the License Agreement, unless either party provides written notice of its intention not to renew the License Agreement. Either party to the License Agreement may terminate the License Agreement by providing one hundred eighty (180) written notice to the other party. BACKGROUND: Capital Bikeshare is a popular bike-sharing system in the Metropolitan D.C. region. Recognizing this trend, Arlington County Commuter Services has partnered with MetroBike in the continued development of a network of strategically-placed bike-sharing County Manager: ##### County Attorney: ***** 52. 2 stations in various locations around the county. This bike-sharing partnership promotes the ideals of car-free transportation, a healthy lifestyle and environmental stewardship. Capital Bikeshare stations are County-owned and are located on County-owned property, County rights-of-way, Virginia Department of Transportation rights-of-way, other publicly owned property, or on private property by a license agreement granted to the County that allows the County to install and operate the bike-sharing stations. DISCUSSION: Upon the approval and execution of the License Agreement by the County Board, the County will have permission to install, operate and maintain the proposed bikesharing station at the Property. The proposed License Agreement is attached hereto as Attachment 1. The location of the proposed bike-sharing station is shown on the Vicinity Maps, attached hereto as Attachments 2, 3 and 4. Some of the pertinent provisions of the proposed License Agreement are as follows: The County will be permitted to install, operate and maintain a bicycle rental docking station within the Licensed Premises of the Property, as depicted in the exhibits attached to the License Agreement. The term of the License Agreement will be for a period of five (5) years which will automatically renew for four (4) additional consecutive five (5)- year periods under the same terms and conditions unless either party provides written notice of its intention not to renew the License Agreement. Any party may terminate the License Agreement by providing the other party with at least one hundred eighty (180) days written notice. PUBLIC ENGAGEMENT: This station was installed in October 2013 after going through the County s station implementation process, which includes outreach to the Crystal City Civic Association, Crystal City Business Improvement District, and obtaining a minor site plan amendment and license agreement from the property owner. No recent public engagement was conducted for the renewal of this license agreement as the station is not planned to move from its current site. FISCAL IMPACT: There is no fiscal impact from the approval and execution of the License Agreement, because the County will pay no license fee to owner of the Property for the use of the Licensed Premises
