7 ARTCLE 2- SPECAL CONDTONS 2.02 Equpment and Technololgy Statement of Work. Both partes agree that the Statement of Work (Attachment 2) shall govern the equpment whch wll be furnshed to the COLLEGE by the CONTRACTOR durng the term of ths Agreement. Any changes to equpment provded must be approved by the COLLEGE pror to placement Servce Statement of Work. Both partes agree that the Statement of Work (Attachment 3) shall document the servce requrements that the CONTRACTOR wll provde to the COLLEGE durng the term of ths Agreement. Any changes to stated servce levels provded must be approved by the COLLEGE pror to takng effect Term of A&eement Ths Agreement shall begn wth date of approval and be effectve for a perod of sxty (60) months or untl such tme as State and Local Government Lease Agreement (Attachment 1) s n effect. All delverable tmelnes wll be n accordance wth Attachment 4, Delverables & Mlestones Cost of Servces. The COLLEGE wll pay the CONTRACTOR n accordance Attachment 5, Prcng Proposals, for all equpment and servces rendered through the term of ths agreement. By COLLEGE : COLLEGE agrees to be fully responsble for ts acts of neglgence, or ts agents acts of neglgence when actng wthn the scope of ther employment and agrees to be lable for any damages resultng from sad neglgence. B. By CONTRACTOR: CONTRACTOR agrees to ndemnfy, hold harmless and defend the COLLEGE, ts agents, servants and employees from any and all clams, judgments costs and expenses ncludng, but not lmted to, reasonable attorneys fees, reasonable nvestgatve and dscovery costs, court costs and all other sums whch the COLLEGE, ts agents, servants and employees may pay or become oblgated to pay on account of any, all and every clam or demand, or asserton of lablty, or any clam or acton founded thereon, arsng or alleged to have arsen out of the products, goods or servces furnshed by CONTRACTOR, ts agents, servants or employees; the equpment of CONTRACTOR, ts agents, servants or employees whle such equpment s on premses owned or controlled by the COLLEGE ; or the neglgence of CONTRACTOR or the neglgence of CONTRACTORs agents when actng wthn the scope of ther employment, whether such clams, judgments, costs and expenses be for damages, damage to property ncludng the COLLEGE s property, and njury or death of any person whether employed by CONTRACTOR, the COLLEGE or otherwse. 2

8 2.07 Delverable Specfc College Responsbltes. Provdng parkng access to the servce techncans assgned to the College. Provdng a workspace, phone, network connecton and College access to the Dedcated Fleet Manager. Procurng addtonal software, hardware, LAN wrng, and/ or addtonal network equpment n a trneframe that allows CONTRACTOR work to be completed to meet project specfc mlestones. Provdng adequate offce workng condtons wth a telephone, desk, and or dal up /LAN connecton for remote communcatons. Provdng the CONTRACTOR Project Manager wth a lst of all contacts necessary to facltate tasks contaned wthn ths Statement of Work. Ths ncludes access to Network Admnstrators and/ or Database Admnstrators, as approprate to the project. Delay n access to these ndvduals may mpact the schedule of the project. Communcatng any ssues or changes to the orgnal project plan or scope of work to the Project Manager n a tmely manner. Ensurng the work envronment s free of hazardous materals and free from asbestos. Broward College s responsble for supplyng to CONTRACTOR any nformaton concernng safety ssues and/ or hazardous materal for the dsclosure to all CONTRACTOR and Thrd Party employees workng on the project. Ensurng that CONTRACTOR s gven requred access to all necessary facltes, passwords, equpment, etc. as needed to successfully complete ths project. nformng Broward College employees of CONTRACTOR actvtes and drectng them to provde necessary access and cooperaton. Backup and/ or data mgraton of exstng data unless otherwse agreed to by CONTRACTOR. Obtanng all permts, lcenses and rght of ways necessary for the completon of ths project. Provdng and securng on ste storage for all delveres. Computer system, network desgns and component selectons as t relates to the performance of the computer system and/ or the network BACKGROUND CHECKS. Sharp wll provde the College a descrpton of the background check process requred of all Sharp employees and certfy that all employees assgned to servce the College n any College buldng have successfully passed ths process. Sharp wll certfy that ts process s complant wth the Jessca Lunsford Act. f the College decdes that conductng ts own background check process s stll necessary, the employees wll comply wth the Colleges requrements at the Colleges expense REPLACNG CONTRACTOR SERVCE PERSONNEL. All CONTRACTOR employees performng servces on the campuses of the College and n all College buldngs must be cordal, well groomed and cognzant of the fact that they may be enterng busy school/departmental admnstratve areas. Techncans and Fleet Manager must perform the responsbltes as descrbed on the Statement of Work. f, for any reason, the College beleves that these gudelnes are not beng followed, the College may request nterventon from approprate CONTRACTORS supervsory personnel. f the performance s not corrected wthn 45 days of the date of when napproprate behavor occured, the College shall be enttled to a change n personnel servng the College. 3

9 2.10 EQUPMENT UPTME REQUREMENTS. The multfunctonal copers leased as a result of ths agreement wll be expected to perform satsfactorly throughout the Colleges use perod. Equpment shall be kept n good workng order such that work delays and performance problems shall be mnmzed. Each multfunctonal coper shall be requred to operate satsfactorly wthn ts monthly rated volume band, and produce acceptable copy qualty, and mantan a mnmum of nnety fve percent (95%) uptme. 1. Uptme. Uptme shall be defned as the dfference n hours between total tme and down t).e. Total tme shall be defned as the number of daly hours the college dvson where the equpment s nstalled s open for busness, defned at tme of nstallaton for each unt (f not defned the assumpton wll be 8:00 a.m. to 5 p.m., Monday through Frday), multpled by the number of busness days the College dvson s open for busness ll each bllng cycle (e.g., 9 hours x 21 days= 189 hours). Downtme s defned as the total number of hours n the busness day for the college dvson where the equpment resdes when the equpment was unable to produce copes of other prmary functons n accordance wth the specfcatons or Statement of Work for reasons attrbutable to equpment malfuncton or falure. Downtme shall commence upon notfcaton by the College to the Contractors specfed servce dspatch of a fault condton whch prevents full utlzaton of the equpment and shall end when the equpment s powered up and ready to execute customer work. All servce and repars, ncludng parts and labor, must be provded n an expedtous manner for the length of the contract. The contractor shall provde a system for servces calls that wll be responsve to the needs of the College durng hours of operaton and accommodate any specal "after hours" or "msson crtcal" needs defned heren or n the Statement of Work. The followng crtera wll be used to determne uptme and cost reductons due to nonperformance. a) The guaranteed n-person response tme followng any servce call s 4 busness hours or less. f the contractor s unable to respond to any servce call, that cannot be satsfactorly resolved va telephone support, wthn four hours from the tme the call was placed the contractor shall reduce or credt 10% of the servc.e charge on that devce for the followng month and all penaltes related to replacement and further servce charge reductons apply to any devce that falls below 95% uptme for any twenty (20) workng day perod. b) The mnmum acceptable level of Uptme for any devce shall be 95% as determned by the followng formula: Uptme= (Total Tme- Down Tme)/Total Tmex 100% c) f Uptme for a devce falls wth the 94%-90% durng any twenty (20) workng day perod, the servce charge to the College shall be reduced or credted by 15% on that devce. d) f Uptme for a devce falls wthn the range of 89% - 80% for any twenty (20) workng day perod, the servce charge to the College shall be reduced or credted by 20%. e) f Uptme for a devce falls wth the range of 79% or lower for any twenty (20) workng day perod, the servce charge to the College shall be reduced or credted by 30%. f) The replacement of equpment for performance ssues shall be n accordance wth the Statement of Work requrements. 4

10 2.11 Change Control. A Statement of Work Change Request s the vehcle for communcatng changes to project delverables. n the event that changes to the Statement of Work (SOW) and software quotaton are requred, CONTRACTOR wll ntate a Change Request. These Change requests wll be presented to Broward College desgnated project leader and/ or authorzed representatve for revew, acceptance and approval. The Change Request must descrbe the change, the ratonale for the change and the effect the change wll have on the project. (E.g. tme estmate and estmated cost). The hourly fee used to calculate estmated cost s $ per hour. Change Requests can also be ntated by Broward College and submtted to CONTRACTOR. f ntated by Broward College, changes must be submtted n wrtng and must be clearly detaled and sgned by an authorzed representatve. CONTRACTOR wll nvoce Broward College for any charges related to the nvestgaton of the change request f applcable. These charges wll be detaled on the Change Request. The nvestgaton wll determne the effect that the mplementaton of the Change Request wll have on prce, schedule and other terms and condtons of the Statement of Work. A wrtten Change Request must be sgned by Broward College to authorze mplementaton of the change(s). Any prerequste preparaton or envronment requrements not completed as set forth n ths SOW wll result n a Change Request. Ths process wll be n effect for the duraton of the contract between The College and SBS Notce. When any of the partes desre to gve notce to the other, such notce must be n wrtng, sent by U.S. Mal, postage prepad, addressed to the party for whom t s ntended at the place last specfed; the place for gvng notce shall reman such untl t s changed by wrtten notce n complance wth the provsons of ths paragraph. 11 ARTCLE 3- GENERAL CONDTONS 3.01 Patent or Copyrght nfrngement - ndemnty. CONTRACTOR shall hold harmless and defend the COLLEGE aganst any and all suts based on any clam that the use by the COLLEGE of the delverables provded under ths Agreement by CONTRACTOR nfrnges on any Unted States patent rght or copyrght, provded CONTRACTOR s promptly notfed n wrtng of any such sut or clam aganst the COLLEGE, and further provded that the COLLEGE permts CONTRACTOR to defend, compromse or settle the same, and gves CONTRACTOR all avalable nformaton, reasonable assstance, and authorty to enable CONTRACTOR to do so. Ths ndemnty shall not apply to any nfrngement arsng out of: () the alteraton or modfcaton of the delverables by the COLLEGE ; () any use of the delverables whch s not authorzed heren; or () use of the delverables wth any computer hardware or software not suppled or approved by CONTRACTOR. Ths provson sets forth CONTRACTORs sole oblgaton and lablty and the COLLEGEs exclusve remedy for any propretary rghts nfrngement by the delverables No Waver of Soveregn mmunty. Nothng contaned n ths Agreement s ntended to serve as a waver of soveregn mmunty by any agency to whch soveregn mmunty may be applcable No Thrd Party Benefcares. The partes expressly acknowledge that t s not ther ntent to create or confer any rghts or oblgatons n or upon any tlrrd person or entty under ths Agreement. None of the partes ntend to drectly or substantally beneft a thrd party by ths Agreement. The partes agree that there are no thrd party benefcares to ths Agreement and that no thrd party shall be enttled to assert a clam aganst any of the partes based upon ths Agreement. Nothng heren shall be construed as consent by an agency or poltcal subdvson of the State of Florda to be sued by thrd partes n any manner arsng out of any contract Non-Dscrmnaton. The Partes shall not dscrmnate aganst any employee or partcpant n the performance of the dutes, responsbltes and oblgatons under ths Agreement because of race, age, relgon, color, gender, natonal orgn, martal status, dsablty or sexual orentaton Termnaton. Ths Agreement may be canceled by ether party durng the term hereof upon thrty (30) days wrtten notce to the other partes of ts desre to termnate ths Agreement. However, whle State and Local Government Lease Agreement (Attachment 1) s n effect, CONTRACTOR may only termnate ths agreement wth wrtten approval of the COLLEGE Records. Each Party shall mantan ts own respectve records and documents assocated wth ths Agreement n accordance wth the records retenton requrements applcable to publc records. Each Party shall be responsble for complance wth any publc documents request served upon t pursuant to Secton , Florda Statutes, and any resultant award of attorneys fees for non-complance wth that law. 6

12 3.07 Entre Agreement. Ths document ncorporates and ncludes all pror negotatons, correspondence, conversatons, agreements and understandngs applcable to the matters contaned heren and the Partes agree that there are no commtments, agreements or understandngs concernng the subject matter of ths Agreement that are not contaned n ths document. Accordngly, the Partes agree that no devaton from the terms hereof shall be predcated upon any pror representatons or agreements, whether oral or wrtten Amendments. No modfcaton, amendment, or alteraton n the terms or condtons contaned heren shall be effectve unless contaned n a wrtten document prepared wth the same or smlar formalty as ths Agreement and executed by each party hereto Preparaton of Agreement. The Partes acknowledge that they have sought and obtaned whatever competent advse and counsel as was necessary for them to form a full and complete understandng of.all rghts and oblgatons heren and that the preparaton of ths Agreement has been ther jont effort. The language agreed to heren expresses ther mutual ntent and the resultng document shall not, solely as a matter of judcal constructon, be construed more severely aganst one of the partes than the other Waver. The partes agree that each requrement, duty and oblgaton set forth heren s substantal and mportant to the formaton of ths Agreement and, therefore, s a materal term hereof. Any partys falure to enforce any provson of ths Agreement shall not be deemed a waver of such provson or modfcaton of ths Agreement. A waver of any breach of a provson of ths Agreement shall not be deemed a waver of any subsequent breach and shall not be construed to be a modfcaton of the terms of ths Agreement Complance wth Laws. Each party shall comply wth all applcable federal and state laws, codes, rules and regulatons n performng ts dutes, responsbltes and oblgatons pursuant to ths Agreement Governng Law. Ths Agreement shall be nterpreted and construed n accordance wth and governed by the laws of the State of Florda. Any controverses or legal problems arsng out of ths Agreement and any acton nvolvng the enforcement or nterpretaton of any rghts hereunder shall be submtted to the jursdcton of the State courts of the Seventeenth Judcal Crcut of Broward County, Florda. By enterng nto ths Agreement, each party hereby expressly waves any rghts ether party may have to a tral by jury of any cvl ltgaton relate? to, or arsng out of ths Agreement Bndng Effect. Ths Agreement shall be bndng upon and nure to the beneft of the partes hereto and ther respectve successors and assgns Assgnment. Nether ths Agreement or any nterest heren may be assgned, transferred or encumbered by any party wthout the pror wrtten consent of the other party. There shall be no partal assgnments of ths Agreement ncludng, wthout lmtaton, the partal assgnment of any rght to receve payments from the COLLEGE. 7

NONAPPROPRATON OF FUNDS. f (a) suffcent funds are not approprated and budgeled by your governng body n any fscal perod for Lease Payments or other payments due under ths Lease, and (b) you have exhausted all funds legally avalable for such payments, then your wll gve us wrtten notce and thls Lease wll termnate as of the last day of your fscal perod for whch funds for Lease Payments are avalable. Such termnaton s wthout any expense or penalty, except for the portt011s of the Lease Payments and those expenses assocated wth your return of the Equpment n accor<ance wth Secton 3 of ths Lease for whch funds have been budgeted and approprated or otherwse legally avalable. You agree that, to the extent permtted by law, (x) you wll not termnate ths Lease f any funds are approprated by you or to you for the acquston or use of equpment or servces performng functons smlar to tha Equpment durng your fscal perod n whch such termnaton would occur and (y) you wll no! spend or commt funds for the acqulsllon or use of equpment or servces performng functons smlar to the Equpment untl the fscal perod followng the fscal perod for whch funds were frst not avalable for Lease Payments. 17. AUTHORTY AND AUTHORZATON. You represent and agree that: (a) you are a State or a poltcal subdvson or agency of a State; {b) lhe enterng nto and performance of ths Lease s authorzed under. your State laws ahd Consttuton and does not volate or contradct any judgment, law, order, or regulauon, or cause any default under any agreement to whch you are a party; (c) you have compled wlh all bddng requrements and, where necessary, have property presente< ths Lease for approval and adopton as a vald oblga6on on your part; end {d) you have suffcent approprated funds or other moneys avalable from unexhauste< and unencumbered appropratons and/or funds wthn your budge! to pay all amounts due under thls Lease for your current fscal perod and that such applcauons and/or funds have been desgnated for the payment of those Lease Paymenls that may come due under ths Lease for your current fscal perod. GOVERNMENT USE.
