1 Bid Basis ENERFO Orr Grain Inc, Momence IL Facilities We are presenting the Orr Grain Facilities and operations totaling 2,298,887-bushel storage capacity, Rail loading facility and Dried Distillers Grain (DDG) Facility, where the property(ies) are being offered as all inclusive or individually under our Bid Basis offering. Attached Exhibit A outlines each properties amenities. Suggested Minimum Price: This is not a list price, but rather what we see as a formulated starting point. (See Attached Exhibit B) Please submit any price and terms above or below these figures listed below. All offers will be considered and responded too. North Facility: $ 980, DDG Facility: $ 320, South Facility: $1,043, River Facility: $ 746, Combined: $3,090, Timeline: The properties are being offered until March 1, 2019 or upon an earlier date where we have come to an acceptable purchase contract(s). Sales Terms: An as-is, where-is sale with a closing date to be mutually agreed upon by Buyer and Seller, but no later than July 3, Suggested Deposit: $25,000 per site $100,000 combined to be posted at contract execution to be held in escrow by Seller s Attorney or a Title Company To Be Determined. Real Estate Taxes: Seller shall pay 100% of 2018 real estate taxes. Seller shall pay 2019 real estate taxes prorated until date of closing. Survey: Seller to provide a current survey, showing the locations of all corners as well as any buildings, grain bins and improvements on the property. Existing Leases: Seller shall transfer/assign all leases that are in place with the Union Pacific Railroad. 1
