Upon a motion by Roy, seconded by Collins, it was VOTED to accept the minutes of the September 4, 2014 board meeting as submitted; Unanimous. President s Report: Q3 Financial Reports: 2015 Budget Review: Grandstaff-Rice delivered a brief update on several programs and initiatives, including the BSA 2015 Election and electronic ballot, the successful Beacon Yards urban design workshop, and the departure of Managing Director Ann Fienman. Grandstaff-Rice encouraged all board members to attend ABX and mingle with vendors. Controller Cohen reviewed the Q3 financial reports, including budget, investments and membership. Cohen noted that we are continuing to stay on track with our budget and are predicted to have about a $50K surplus for the year. Cohen also noted that we are doing significantly better than last year and that membership continues to be steady. Cohen also reminded the board that per the Investment Committee s recommendation and board approval, the Society s accounts are split between operating expenses and endowment. Treasurer Collins reviewed the 2015 budget proposal. He reviewed the development process, noting that it is derived from the 2014 board strategic area reports and conversations, current priorities, and our current relationship with the BSA Foundation. Collins also reviewed our top revenue streams and our top expenses, also noting that we are not raising membership dues and that we will be making our final loan payment for the Build Boston buyout in early Additionally, Collins noted the most significant change from the 2014 budget is shifting public programing and exhibitions to the Foundation including some respective staff salaries. White noted that we anticipate BSA financially support these changes over the next 7-10 years as the Foundation builds new revenue streams through programming and fundraising efforts. 3

4 Upon a motion by Dimino, seconded by Love, it was VOTED to recommend proposed budget to membership-at-large for vote at the BSA Annual Meeting; unanimous. Exhibitions Task Force Recommendations Both the BSA and BSA Foundation boards have charged the Exhibitions Task Force to clarify the gallery s mission and vision, define the target audience, develop an assessment strategy, and identify the resources needed to execute the recommendations. As chair of the Exhibitions Committee, Wernick presented and discussed the Task Force recommendations. Upon a motion by Love, seconded by Pasnik, it was VOTED to accept the Exhibitions Task Force recommendations as a working plan; unanimous. Joint Strategic Work Plan Review: 2014 Board Assessment Other Business: Adjourn: White reviewed the initial outline of the strategic five-year work plan for both the BSA and BSA Foundation. The plan illustrates our current and future work, while assigning metrics, activities and resources to it. White also noted that the plan is derived from the strategic weave and Board meeting reviews of the strategic areas. Grandstaff-Rice requested that White summarize the plan in a readable, narrative format. Grandstaff-Rice briefly reviewed the 2014 Board Assessment survey results and noted two specific areas that should be improved. She requested that staff be more explicit about board member roles and responsibilities and that all financial matters remain transparent. Both will be further discussed at the January 16, 2015 meeting. White announced to the board that Grandstaff-Rice is a recipient of the BBJ s 40 Under 40 award. Dimino reminded the board about voting no on question 1 in the upcoming election. The board previously voted to support this initiative. 5 To: BSA Board Members From: Emily Grandstaff-Rice Re: President s Report Date: December 4, 2014 Welcome to the 2014 Annual Meeting. The main agenda of this meeting will be to approve the 2015 BSA budget, approve bylaws amendments, outline the President-elect s agenda for 2015, and review some of the great BSA achievements of BSA Election The 2015 BSA Board members have been elected and announced! Congratulations to all of the newly elected officers. As a side note, the BSA Elections, which for the first time this year were only electronic voting, saw a 25% increase in member participation. Considering benefit of saving paper and postage and increase engagement, this was a success for all. ABX 2014 With another ABX 2014 behind us, I want to thank the Board and BSA staff for their excellent production and work. The trade floor was sold months prior to the show and lots of positive feedback has come back on the educational programs. We are keeping a list of things that did not go as well as anticipated and will identify ways to improve going forward. In fact, planning has already begun on ABX 2015 will be at the BCEC in November 17-19, BSA Leadership Lunches The BSA Leadership Lunches, an initiative of Past President Mike Davis FAIA, concluded with a group session. All of the participating firms and emerging professionals spoke about the positive influence of this program for their professional networks and engagement in the practice of architecture. Many EP s identified a need to engage a more diverse range of participating firms. For the first year, a Facebook discussion group was integrated into this program which some found useful to connect with each other. Boston Living with Water Competition At ABX, Boston Mayor Martin Walsh along with other regional mayors and city officials announced the launch of the Boston Living with Water Competition which is sponsored by the Boston Harbor Association, City of Boston, Boston Redevelopment Authority, and BSA. The two-stage planning and design competition is currently underway and more information can be found at bostonlivingwithwater.com. StereoType: New directions in typography The newest exhibition at BSA Space, StereoType: New directions in typography, opened on November 13, curated by Ginger Gregg Duggan and Judith Hoos Fox of c 2 curatorsquared. Presenting works by 14 international designers, the exhibition explores opportunities at the intersection of technology and design, expanding the boundaries of traditional typography and integrating elements from the fields of animation, craft, performance, nano-science, and graffiti. It has already received local, national, and 5

6 international press coverage. The exhibition will run until May 25, 2015, after which it will travel to four additional venues. Family Design Day: Novembridge and Bridge Tour One of the most popular Family Design Days, Novembridge, was again sold out and provided children and their parents an opportunity to learn about the many bridge types spanning the city of Boston s waterways. It also provided them an opportunity to design and build their own bridge for the Fort Point Neighborhood. Canstruction There was no doubt you could miss the cans if you visited the BSA in late October. The annual Canstruction charity event and exhibition was a great success where teams of architects, designers, engineers, and contractors competed to create colossal sculptures made out of canned goods. This year s theme was Pop Culture. After the sculptures were dismantled, all the canned goods, supplied by the teams and coordinated through Whole Foods Market, were donated to the Merrimack Valley Food Bank in Lowell, Massachusetts. ArchitectureBoston: Body The 2014 fall issue of ArchitectureBoston magazine, Body, explores the intersection of design and the human body and the world it lives in. Articles highlight that buildings are not just static sculptures but are designed for movement and to engage all the human senses, and that the built environment can be both catalyst and obstacle. Editor Renée Loth emphasizes the standpoint of the Body issue this way: The issue aims to encourage/inspire designers to think more deeply about the people who will inhabit a space: how they will move through it, how it will make them feel. Equity by Design Some BSA members were able to attend the AIA San Francisco Equity by Design symposium organized by The Missing 32% Project. A great amount of research and discussion came out of this event about how the architectural profession can better reflect the society it serves. I look forward to hosting a local event in January 2015 with TM32PP Chair Rosa Sheng AIA for BSA members. Joint Strategic Work Plan Work on the Joint Strategic Work Plan is continuing with the executive committees of the BSA and BSA Foundation coming together mid-december for a workshop. I hope to have an updated draft for review in early 2015 and will focus on the completion of this project over the next year. As I write my last report as President, I want to say what an honor it has been to serve as President this year with a dynamic, engaged Board of Directors. The BSA is a special place that creates meaningful and important dialogue about the role, value, and importance of architecture. Thank you for the opportunity! 6

7 To: BSA Board Members & Membership-at-Large From: Mark Pasnik AIA, Secretary Re: Bylaws changes for 2015 Date: Thursday, December 4, 2014 Given the current relationship of the Society and the Foundation, some information within our Constitution and our Bylaws is no longer relevant. As a measure to maintain accuracy within our governing documents, the BSA board recommends that the membership-at-large, vote that both ARTICLE V (Constitution) and ARTICLE VII (Bylaws) are removed respectively. On Thursday, September 4, 2014, the BSA Board of Directors unanimously voted to bring the following bylaws amendments to the BSA membership-at-large for vote. Constitution: ARTICLE V. Trustees Section 1. There are funds in the possession of the Society which are held in trust. Every effort shall be made to preserve these funds and whenever possible to add to them. The income from these funds shall be used for the regular distribution of scholarships, awards and prizes. The trustees who are responsible for the management and spending of these funds may be guided, but not bound, by the Board s requests. Bylaws: ARTICLE VII. Boston Foundation for Architecture Section 1. Trustees The Board shall take such action as is required under the governing documents of the Boston Foundation for Architecture, including confirmation of the appointment of certain registered architects as trustees for that organization. 7
