Minutes of the April 25, 2013 meeting of the Board Present Absent Call to Order Brandon Clifford, Jim Collins FAIA, Mike Davis FAIA, Pamela Delphenich FAIA, Katy Flammia AIA, Emily Grandstaff-Rice AIA, Matthew Kiefer, David Luberoff, Robert Miklos FAIA, Josiah Stevenson AIA, Heather Taylor AIA, Patrick Tedesco AIA, Laura Wernick AIA and Vernon Woodworth FAIA Staff members: Ben Cohen, Pamela deoliveira-smith, Ann Fienman, Tyler Huntington, Conor MacDonald, Penny Mitchell, Sheryl Snyder and Eric White Hansy Better Barraza AIA, Ann Borst AIA, Danielle Etzler, Ted Landsmark Assoc. AIA, Amanda Reeser Lawrence, Ray Kinoshita Mann AIA, Janet Ross AIA, Tamara Roy AIA, Marc Truant AIA Noting the presence of a quorum, President Davis called the meeting to order at noon. Minutes of Prior Meeting Upon a motion by Flammia, seconded by Grandstaff-Rice, it was VOTED to accept the minutes of the February 28, 2013 board meeting, as submitted; unanimous. President s Report Davis reported on the AIA Grassroots conference, the upcoming Fit City Boston summit, and the kick-off of the Leadership Lunches for emerging professionals. He also discussed the planned BSA/BFA joint retreat, intended to enhance the relationship between the two organizations and enable them to better work together. He also noted that Grandstaff-Rice is chairing the Executive Director Review Committee, which recently met. Davis also spoke about the Boston Marathon tragedy and noted that a member-led task force will meet on April 29 to discuss how BSA might assist survivors Q1 Reports Controller Cohen and Treasurer Collins reviewed the 2013 Q1 financial reports, noting that the BSA is on track with both membership and investment goals, but that the Design Awards Gala was more costly than anticipated. Recent BSA Space events were also briefly reported. Upon a motion by Delphinich, seconded by Collins, it was VOTED to accept the 2013 Q1 reports as presented; unanimous. Whistleblower Policy Fienman reviewed the proposed Whistleblower policy, which is intended to enable BSA staff and/or board members to report wrongdoing without retaliation. Such a policy is a recommended practice for non-profit governance. Upon a motion by Stevenson, seconded by Tedesco, it was VOTED to accept the Whistleblower policy as proposed: unanimous. 3

Executive Director s Report White reported that he has been meeting with BSA members, board members and industry and community colleagues. So far, White has had over 150 meetings. These conversations will inform his work in planning for the next two years. White announced some upcoming events at the BSA, including a forum on June 5 featuring Boston mayoral candidates. White also reported that the BFA, in conjunction with BSA, received a $25,000 grant from the Barr Foundation for an environmental resiliency scan. He also noted a proposed 2014 charrette on transportation visioning and the distribution of an RFP for a long-term exhibit on Boston architecture for the first floor gallery. Honors and Awards Committee Recommendations Recommendations for AIA and BSA Honors and Awards were reviewed and discussed. Grandstaff-Rice proposed an amendment to the Committee s recommendations, adding Mary Hale, John Nunnari and Derek Osterman as nominees for the Associates Award. She recommended that this committee implement additional outreach procedures to identify award nominees in the future. Miklos noted that, in the past, names were solicited from membership and that committees are a good source for filtering potential nominees. Upon a motion by Wernick, seconded by Taylor, it was VOTED to accept the Honors & Awards recommendations, as amended: unanimous. Strategic Focus: Communication Taylor reported on BSA communications goals identified by a recently convened subcommittee. She noted that the BSA has three primary audiences: members, design professionals and the public, and that we must determine how to make the most effective use of our annual communications investment to reach these audiences. At present, the majority of the BSA communications budget is spent on design industry professionals and not the general public. During 2013, two communications goals are primary. The first is a branding initiative to clarify our message and unify our several brands- BSA, BFA, AB, ABX and BSA Space. Minelli Inc. has been engaged as a consultant on this project. Board discussion focused on the need for more emphasis on BSA Space as our public face, and ways to attract visitors into the storefront. The second goal is an evaluation of current communications tools, including effectiveness and reach. This evaluation can help determine an appropriate level and allocation of communications spending. Other Business Woodworth reviewed a proposal from several committees to ask AIA to reinstate the Sustainable Design requirement for Continuing Education. Upon a motion by Miklos, seconded by Woodworth, it was VOTED to send a letter to AIA recommending reinstatement of this requirement: 10 in favor, none opposed; two abstentions. Adjourn There being no further business, upon a motion by Taylor, seconded by Grandstaff-Rice, it was VOTED to adjourn at 2:00 pm; unanimous. Respectfully submitted, Ann Fienman Acting Secretary 4

To: From: Re: BSA Board of Directors Mike Davis FAIA, President President s Report Date: June 6, 2013 Welcome, all, to our June Board meeting. Our strategic conversation this month is about Membership (aka Collaboration). Board members Hansy Better Barazza AIA, Katie Flammia AIA, and Patrick Tedesco AIA, met last month with BSA staffers as well as Carl Solander AIA, co-chair of the Membership Committee. Our discussion touched on many topics that are central to the BSA mission: creating value for the membership, the evolution of our Committees, how to engage all our member constituencies including (my personal favorite) the Emerging Professionals, and the purpose of the Membership Committee itself. We hope to be joined in our meeting by delegates from the Membership Committee to help in our evaluation of how the BSA is performing against this key quadrant of our strategic plan. The President s Report follows. Emerging Practitioners Leadership Lunches My firm has just hosted our second Leadership Lunch and, based on our experience, these meetings have been very valuable to EPs and hosts alike. The conversations have been wide-ranging and sometimes intensely personal, focusing on how EPs can distinguish themselves in their firms, the career paths taken by each of us as senior practitioners, the importance of intangibles like firm culture, and the ancient professional dilemma of whether tis nobler to be a specialist or a generalist. I ve heard feedback from BSA staff that some participants think the meetings needed to be better organized, perhaps around pre-planned topics, but my partners at Bergmeyer have been very happy to just wing it. My wish now besides seeing this program through its planned completion in September is to collect some of this energy and share it with the rest of the Board before our terms end. Renovate for Recovery I hope you have all heard about this phenomenal initiative being led by Dawn Guariello AIA, and Dana Cohen AIA, to bring pro bono design services to people whose mobility has been impacted by the Boston Marathon bombings. The summary update is: the Massachusetts Department of Public Safety has stepped up to coordinate all the volunteer initiatives from the design and construction communities, and connect them with the victims, the rehabilitation hospitals, and occupational therapists. Our task now is to sign up as many architect-volunteers as possible and wait for the call from the State. Dawn and Dana are convening an informational meeting for all volunteers on Friday, June 14 at 1:00 pm at the BSA. We expect to get our first assignments shortly thereafter. To volunteer, visit the BSA web site here: and the R4R Facebook page (with 351 likes!) here: 5

Boston Mayoral Candidate Forum, June 5, 8:30 AM Although the BSA Mayoral forum was yesterday --and I hope you all were there! -- I have a couple reasons for mentioning it in this President s report. First, major kudos for Eric White (with critical behind-the-scenes help from Renée Loth, our esteemed moderator) for getting many of the candidates and all of the perceived front runners to participate. Second, this event speaks to the strong continuing relationship between the BSA, the Mayor s Office, and the Boston Redevelopment Authority. The advocacy support we have provided to the City over many years on progressive public policies relating to the built environment has made the BSA a key civic stakeholder. And finally, I m confident that this forum was perceived by the membership as a real coup for the organization and evidence of the vastly increased member value that BSA Space provides. Building Energy Use Reporting and Disclosure Ordinance BSA advocacy scores another win. Admittedly, the coalition supporting the recent passage of this game-changing zoning ordinance by the Boston City Council included many heavy hitters in the environmental advocacy community, including Northeast Energy Efficiency Partnership, Institute for Market Transformation, Conservation Law Foundation and the City s own Greenovate Boston and Green Ribbon Commission. But the BSA was considered a key partner in this effort. NEEP, IMT, CLF and GRC are all staffed by people who have participated in BSA activities and committees. And our voice representing one of Boston s best-known and most highly-regarded industry groups (and our considerable social media chops) were vital. Fit City Boston Summit, May 6 Fit City Boston was successful beyond our expectations. Over one hundred people from a wide variety of disciplines attended our first-ever summit to begin a discussion about health and the designed environment. Many thanks to the Boston Public Health Commission and the Boston Redevelopment Authority for their leadership on the steering committee, and to our other partners: Boston Parks and Recreation Department, Boston Transportation Department, Enterprise Community Partners, Harvard School of Public Health, and Metropolitan Area Planning Council. We are also grateful to event sponsors Boston Properties and The Boston Foundation. Program highlights included the keynote address from Dr. John Spengler from the Harvard School of Public Health and a brisk mid-day power walk around the Fort Point Channel led by personal trainer Brandy Cruthird of Body By Brandy. Follow-up meetings to discuss next steps have been scheduled. AB Magazine Launch Party: American Gropius Past-President Laura Wernick AIA had it right: the best thing about being BSA President is the parties. I m embarrassed to admit it, but until the launch party for American Gropius on May 14, I had not been to the Gropius House in Lincoln. The well-attended and exquisitely catered affair featured souvenir bow-ties for any gentlemen (or ladies) who had forgotten to wear one of their own. Renée Loth, Jane Thompson, Assoc. AIA and David Fixler FAIA were among those who delivered eloquent remarks. AIA Repositioning President-Elect Emily Grandstaff-Rice AIA has bravely volunteered to serve as one of our Chapter s ambassadors for the AIA s repositioning initiative announced at AIA Grassroots. To this end, she hosted a community conversation on May 29 to engage members in a discussion about AIA s future priorities. Emily will share notes from that meeting with AIA leadership for inclusion (somehow) I the Institute s June convention program. 6

To: From: Re: BSA Board of Directors Ann Fienman, Managing Director Conflict of Interest Policy Date: May 30, 2013 Per the recommendation of our auditors, Nardella and Taylor, and general non-profit best practices, the Board in the past has discussed adopting a Conflict of Interest policy. The current By-Laws address actions by financially interested directors, but given the scope of BSA activities, the proposed policy has been drafted somewhat more broadly to encourage disclosure of other potential conflicts. Below is the language from the BSA By-Laws, dated December The proposed policy is attached. ARTICLE III. Board of Directors Section 14. Vote of Interested Directors If a Director holds an ownership or investment interest or compensation agreement with any corporation, firm, or other entity with which the Society contemplates contracting or otherwise transacting business, the Director shall disclose his or her interest or agreement to the other Directors acting upon or in reference to such transaction. No Director so interested shall vote on such transaction, but he or she may be counted for purpose of determining a quorum. The affirmative vote of a majority of the disinterested Directors shall be required before the Society may enter into such transaction. Any transaction of the Society with such corporation, firm, or other entity shall not be invalidated or in any way affected by the fact that a Director may have interests therein that are or might be adverse to the interests of the Society, so long as the provisions of the previous paragraph have been complied with. No Director having disclosed such adverse interest shall be liable to the Society or to any creditor of the Society or to any other person for any loss incurred by it under or by reason of any such transaction, nor shall any such Director be accountable for any gains or profits to be realized thereon. 7

BSA Conflict of Interest Policy -- DRAFT The Board of Directors of the Boston Society of Architects (BSA) believe that effective governance depends on deliberate, thoughtful, and unbiased decision-making by the Board on matters of organizational policy, approval of major transactions or initiatives, wise investment of BSA funds, and other policy issues. The directors also recognize that the ability to make good decisions for the BSA is affected by an individual s personal and professional interests. The directors believe that they and the Society s employees have a duty of loyalty to the BSA. This duty requires that directors and employees avoid conflicts of interest and, in their roles as directors and employees, demonstrate an allegiance to the BSA s mission. A conflict may exist, for example, when a director or employee of the BSA participates in the deliberation and resolution of an issue important to the BSA while that director or employee at the same time has professional, business, volunteer or other interests and responsibilities that could inappropriately bias that individual s decision-making. It is important to avoid apparent conflicts of interest as well as actual conflicts. Although most such potential conflicts are and will be deemed inconsequential, the directors and employees should be aware of situations that could be perceived as conflicts. The BSA is dependent upon its directors who serve as volunteers. Accordingly, the BSA values, supports and encourages its directors as well as its employees to play active roles in our communities directly and through a variety of other public-sector and private-sector organizations. In such a culture, potential conflicts of interest or the appearance of such conflicts no doubt may arise. It is the BSA s policy to address such conflicts in as open and appropriate a way as possible. Circumstances that may result in a potential conflict of interest include, but are not limited to: the hiring of vendors and consultants; the investment of BSA funds; acceptance of fees, gifts, or gratuities for speaking, consulting, or providing other services related to the work of the BSA or which conflict with the BSA s mission or operations. In the case of such conflicts or the appearance thereof, it is the responsibility of the directors and employees to disclose the conflict prior to making any related decisions. Once such a disclosure has been made by a director, the remaining directors shall determine whether or not there is a potential conflict of interest. If a conflict of interest exists for a director, that director shall not remain present for the discussion of or vote on any related issue, but may be counted for purpose of determining a quorum, and shall remain available to answer questions of a factual nature that may assist the other directors in their deliberations. The minutes of all related meetings should clearly indicate that the director involved did not vote on the issue at hand. In cases involving paid employees, the BSA President shall determine whether or not there is a conflict of interest. Each director and employee should sign a copy of this document, acknowledging its existence and agreement with the policy described. Signature Date 8

BSA Strategic Focus: Collaboration & Membership Report to the Board of Directors, 6/6/2013 Katy Flammia AIA Commissioner of Professional Communities We are pleased to report that BSA membership has remained relatively strong through the past five years despite the economic challenges. Strengths - The BSA has strong market share at 70% of the registered architects with an average age of 50. Membership revenue has remained strong over the last five years and we have not raised dues during that period of time. Our membership renewal rate for AIA is 93% and Associate AIA is 81%. The breakdown of firm size and number of architects by firm size can be seen in the attached charts. The committees are a vibrant element of the BSA community providing continuing education and networking for the professional community. Two years ago the board recommended changes to the committee structure including chair term limits and a review of committees with low participation. Implementing these guidelines has rejuvenated several committees and reduced the total number of committees. Useful forums that are currently lacking are an international practice discussion, and a support group for architects trained overseas. The Membership Committee has taken up the challenge of defining member value. Over the last few years the role of the committee has been unclear, but this year they have decided to tackle the important challenge of defining member value. The key questions the committee is examining are: What specific benefits do members receive? Are the membership fees in alignment? How do we increase the number of members? How do we communicate the value of membership? This means sharpening the brand and sharpening our message. What does membership mean to me? This includes defining the intangible benefits of membership including building better communities and supporting the engagement of the public in the importance of architecture. Identify where gaps exist in member services? What is the member value proposition? How do we answer why someone should join when they can benefit from many BSA opportunities for free? Goal #1 BSA clarify and build a clear member value proposition addressing the above questions. Board Input Board assess the recommendations from the Membership Committee when the member value statement is completed. 9

Challenges and Opportunities While the Boston architectural community is more diverse than national number, it remains dominated by white men. Within the AIA category 75% our members are male and 72% are white. Barriers to licensure continue to increase while the value of licensure is increasingly questioned by younger generations. Many emerging professionals are not on track to become architects, and these broad challenges require new approaches for the profession and BSA to provide support. For many the BSA could assist by providing services to start their own firms. The staff, board and leadership should continue meeting with members to assess what are the specific services that members and firms are in need of to be successful. There is also great discussion over the membership fees and in particular: The perception of the high cost of membership The equity of firm assessments and in particular the burden for small firms of paying the individual and firm assessment fees Whether fees are a deterrent to emerging professionals joining the BSA Goal #2 BSA assesses fair and equitable individual and firm membership fees. In addition the BSA should seek ways to increase revenue from Affiliate and Friends of BSA Space memberships. Action step We recommend a sub-committee comprised of selected members from the Board, Membership Committee, and staff assess these questions about equitability and viability and make recommendations to the Board for further consideration. 10

4. Proposed Bylaws Amendments Bylaws Amendment 13-A Subject Background Associate and International Associate Members as Component Officers Individuals without architectural licenses from a U.S. licensing authority who meet certain requirements in the Institute s Bylaws are eligible for Associate or International Associate membership in the Institute. (AIA Bylaws, Sections 2.21 and 2.22.) Associates and International Associates have many of the rights and privileges enjoyed by Architect members, but are subject to certain limitations. In contrast to Architect members, for example, neither Associates nor International Associates are eligible to serve as component officers. (AIA Bylaws, Section 2.233(d).) At the AIA 2012 National Convention, the delegates considered a resolution for Bylaws changes that would authorize components (if they chose to do so) to have Associates and International Associates as officers. In essence, the resolution s backers argued: Associate representatives serve on the Institute s Board of Directors and its Executive Committee and, in that capacity under the Institute s Bylaws, are allowed to vote on any issue including dues for Architect members. The AIA across all ranks supports emerging professionals and the future innovations they will bring to the profession. The national organization recognizes that AIA sections, chapters and state organizations are bound by Section 2.233(a) of the Bylaws which limits the number of positions held by Associates on the component board to two seats total or not more than onethird of the total seats on the component board, whichever is greater. The national organization supports the components by providing flexibility in the bylaws for components to make informed decisions about leadership including nominations and local elections. Many Associate members have the experience and education to provide invaluable perspective to the organization in local leadership roles. Copyright 2013, The American Institute of Architects 9 11

Many components, but not all, have Associates in their current leadership, and need the opportunity to grow and support the next generation of architects through the current economic downturn as well as throughout their professional career, affording them an accelerated opportunity to grow and successfully practice their leadership skills in the organization. The convention delegates adopted Resolution 12-1 ( Resolution on Associate Service ) in May 2012, and the Board ratified it in September Because a resolution cannot itself amend the Bylaws, the Board now sponsors an amendment to the Bylaws that would do the following: Components would be authorized but not required to have Associate and International Associate members as officers. The Institute s Bylaws currently provide that Associates and International Associates together may not hold more than two seats or one-third of the total seats, whichever number is greater, on section, chapter, or state organization boards. These restrictions would continue if the requested Bylaws changes are adopted. Required Vote to Amend Bylaws Motion Bylaws amendments require approval by an affirmative two-thirds vote of the delegates at the meeting, determined in the manner prescribed in Section of the Bylaws. The delegates assembled at the 2013 Annual Meeting amend Section 2.23 of the Institute s Bylaws as follows: 2.23 Rights and Privileges of Associates and International Associates Title. Associates in good standing may indicate that they are Associates of The American Institute of Architects, subject to applicable state laws, and may use the title Associate AIA or Assoc. AIA, but not AIA Associate nor the initials AIA alone, as a suffix to their names. International Associates in good standing may indicate that they are International Associates of The American Institute of Architects, subject to applicable state laws, and may use the title International Associate AIA or Intl. Assoc. AIA, but not AIA International Associate nor the initials AIA alone, as a suffix to their names Pin and Symbol. Associates and International Associates in good standing may wear the silver AIA pin. Associates and International Associates shall not be permitted to use the gold AIA pin nor the AIA symbol. 13 Motion Privileges. Associates and International Associates shall have the same rights and privileges as Architect members, except as noted below and in Sections and above: a) Associates and International Associates together may not hold more than two seats or one-third of the total seats, whichever number is greater, on section, chapter, or state organization boards. The numerical limits stated in this Subsection (a) shall apply as to Associate and International Associate members serving as officers of the pertinent section, chapter, or state organizations (i.e., such officers shall be included in determining whether the limits stated herein have been reached). b) Associates and International Associates may not vote on dues for Architect members; provided, however, that nothing in these Bylaws shall restrict Associate Directors from voting on dues for Architect members when the Associate Directors are performing their duties as members of the Institute s Board of Directors or as delegates-at-large at annual or special meetings of the Institute, nor shall it restrict the Associate representative to the Executive Committee from voting on dues for Architect members while performing his/her duties as a member of the Executive Committee. c) Associates and International Associates together may not constitute more than onethird of any component delegation to state, regional, and national AIA conventions. d) Neither Associates nor International Associates shall be eligible to serve as a national officer, regional director, component officer, or on the National Ethics Council. Notwithstanding any other provisions of these Bylaws, each component shall have the discretion, but not the obligation, to include Associate and Copyright 2013, The American Institute of Architects 11 13

International Associate members as officers of that component. Such component officers shall be included in the numerical limitations contained in Subsection (a) above with respect to Associates and International Associates holding seats on component boards of directors. 15 Bylaws Amendment 13-B Subject Background Component Allied Members Each AIA chapter is composed of the Architect and Associate members of the Institute assigned to it, and may include Allied and Student Affiliate members. (AIA Bylaws, Section 4.14.) Individuals not otherwise eligible for membership in the Institute or the chapter may become chapter Allied members if they have established professional reputations and are registered to practice their professions where such requirements exist, or are employed outside of architectural practice but are involved in positions allied to the field of architecture. (AIA Bylaws, Section ) Neither Allied nor Student Affiliate members may hold chapter office, or print or permit to be printed or in any way use the name, title, initials, emblem, seal, symbol or insignia of any chapter or of the Institute. (AIA Bylaws, Section ) This has proven particularly problematic for chapter Allied members, who are thus technically precluded from identifying themselves as members in any way. The proponents of Resolution 12-2 ( Component Allied Benefits Change ) brought this matter before the delegates at the AIA 2012 National Convention. The resolution urged the Board to consider an amendment to the Bylaws to remove the prohibition of the Allied individual component members' reference of their membership in their respective AIA components, in their printed materials. (The resolution also called for the AIA to develop guidelines for chapter Allied members to follow in referencing their membership both in written and graphic forms, but that is not before the delegates at this meeting.) In putting their resolution forward, supporters suggested several considerations: There is a compelling need for greater integration and collaboration among all stakeholders in the design and construction professions for promoting exceptional design in our built environment. Design and construction is increasingly complicated with progressively complex requirements for structural safety, environmental sensitivity, energy efficiency, accessibility, sustainability and code compliance. Allied members have long engaged and supported AIA components in the delivery of member services. There is a compelling need to recognize Allied members who have made a commitment to the profession by becoming members of their local AIA component. Copyright 2013, The American Institute of Architects 13 15

It would be of benefit to AIA Architect and Associate members to be able to easily distinguish and identify component Allied members that have made this commitment. The convention delegates adopted Resolution 12-2, and the Board has since ratified it. Because a resolution cannot itself amend the Bylaws, the Board now sponsors an amendment to the Bylaws, as shown below. Note: This proposal would not affect the rights and privileges of Allied members who join at the Institute level rather than at the chapter level. The Institute s Allied Individual Members may not print or permit to be printed or in any way use the name, initials, emblem, seal, symbol, or insignia of the Institute or any component. Firms that employ Allied Organizational Representatives in good standing at the Institute level may say that they are an Allied Organization of The American Institute of Architects as long as the use of this phrase may not be construed as Institute endorsement, sponsorship or approval of any construction material, product, or service. (AIA Bylaws, Section 2.73.) Required Vote to Amend Bylaws Motion Bylaws amendments require approval by an affirmative two-thirds vote of the delegates at the meeting, determined in the manner prescribed in Section of the Bylaws. The delegates assembled at the 2013 Annual Meeting amend Section 4.14 of the Institute s Bylaws as follows: 4.14 Chapter Composition. Each chapter shall be composed of the Architect and Associate members of the Institute assigned to it, including those on nonresident status, and may include allied and student affiliate members Allied Members. Individuals not otherwise eligible for membership in the Institute or the chapter may become Allied members if they have established professional reputations and are registered to practice their professions where such requirements exist, or are employed outside of architectural practice but are involved in positions allied to the field of architecture. Allied members may include engineers, planners, landscape architects, sculptors, muralists, artists, and others in government, education, journalism, manufacturing, industry and/or other fields allied to architecture who the chapter believes will provide a meaningful contribution by reason of their employment or occupation. 17 4.142 Qualifications of Student Affiliates. Student affiliates shall be undergraduate or post-graduate students of architectural schools, or secondary school students, within the territory of the chapter or state organization Privileges of Allied and Student Affiliate Members. Allied members may serve on chapter committees in any capacity, and may vote on committees, and may use the phrase, Allied Member of the [Name of Chapter] Chapter of The American Institute of Architects to describe themselves; Student Affiliate members may serve on committees but may not vote or serve as chair. Neither Allied nor Student Affiliate members may hold chapter office, or (except as otherwise expressly provided herein) print or permit to be printed or in any way use the name, title, initials, emblem, seal, symbol or insignia of any chapter or of the Institute. 18 5. Report of the 2013 Resolutions Committee Resolutions Committee The Resolutions Process Jaime Sobrino, AIA, chair Scott Rappe, AIA Kurt Kalafsky, AIA Richard DeYoung, FAIA, Institute Secretary (ex officio) Matthew Barstow, Assoc. AIA, President, American Institute of Architecture Students (ex officio) A resolution is a formal request from the membership for the Board of Directors to take a particular action. Anyone can write a resolution, but it must be properly sponsored before it may be submitted to the Resolutions Committee. The Resolutions Committee verifies the sponsorship, reviews the resolution and may edit it for clarity or combine it with another similar resolution, in consultation with the designated sponsor. At the annual business meeting, each resolution is brought up for debate and vote by the chair of the Resolutions Committee. A majority vote of the delegates present at the business meeting is required to adopt a resolution. New resolutions may be presented from the floor but cannot be debated or put to a vote without two-thirds majority approval of the delegates to consider the resolution. If a resolution is adopted by convention delegates, it is considered for ratification and implementation by the Board of Directors at its first post-convention meeting. A resolution does not take effect without ratification by the Board. Resolution sponsors are notified of the Board action and are consulted in the implementation of the resolutions they sponsored. The actions taken on last year's resolutions are reported later in this Information Booklet. Report of the Chair The Resolutions Committee herewith reports to the delegates to the 2013 Convention the resolutions received and reviewed by the Committee. In accordance with the Committee s charge, the submitted resolutions were carefully reviewed and edited for clarity and grammar. The sponsors were contacted as necessary to clarify intent and verify that the resolutions accurately expressed the sponsors proposal. The resolutions presented for action are: Copyright 2013, The American Institute of Architects 16 18

Gregory Ames Jr., AIA AIA Connecticut During the thirteen years that I have watched and participated in AIA National finances, we have built a respectable balance sheet and a healthy reserve and have achieved financial stability and soundness. As your treasurer, I will continue to build that stability. But the coming years are bringing new financial challenges for the Institute, challenges that will require us to cut expenses and to craft difficult, disciplined budgets, make tough decisions about priorities, and look for new resources. I want to be your Treasurer as we face these challenges because in these challenges, I see opportunities that I want us to grasp. For example: The challenge of our graying membership must be seen as an opportunity to reach out to our youth in many ways, including aligning our dues structure with services provided. Repositioning will require financial support, but carries the opportunity to engage the world and to expand the architect s role in society. The Member Service Resourcing Task Force is an opportunity to reallocate resources to reflect roles and contributions, and to eliminate redundancies. More importantly, it can also result in enhanced responsiveness, cooperation, trust, and member value and greater effectiveness and efficiency in serving our members across the entire spectrum of AIA. Together, we can dramatically enhance the effectiveness of the AIA; but to be successful, we must build a high level of trust among all parties; national, regional and local. Building trust will require sharing clear financial information so we can achieve openness and transparency in our finances at all levels. As your treasurer, I will be your advocate and champion working to promote clarity, openness and transparency and to build that trust. Copyright 2013, The American Institute of Architects 41 21

Candidate for Treasurer John P. Grounds, AIA AIA As AIA Treasurer I will work to combine strategic planning and financial management to ensure member satisfaction and value, focusing on three inter-related aspects of the Institute s activities: Planning, Security, and Value. PLANNING The Treasurer must be fully involved in the strategic planning of programs and initiatives. The budget should reflect the core values and goals of the Institute with priority given to those areas that help members excel as leaders shaping the built environment. The financial impact of our planning process must be carefully considered and our programs must be adequately funded to ensure success. I will act as a voice of the membership to ensure realistic strategies, efficient operations, and budgeting that maximizes value. SECURITY The financial stability of the Institute must be improved in order for it to provide services to its members and their communities. Existing sources of income must be protected and expanded, alternative revenue streams must be explored and developed, and expenses must be evaluated and managed. I will work to secure the future of our Institute and to ensure that resources are shared at all levels. VALUE As the Institute re-evaluates its strategic position through the Repositioning Initiative, we hear a critical message: the value of the AIA must be clear to both our members and the public at large. Resources must be allocated to programs and activities that provide measurable benefit to members and that communicate the value of architects to our clients and communities. I will focus on improving our brand value and promoting the economic well-being of our members. I have had the honor to serve the many levels of the AIA for more than 20 years and am passionate about our potential to better serve the members and society. With your support, I look forward to being Treasurer and helping to guide our Institute during this time of change. Copyright 2013, The American Institute of Architects 43 23

Candidate for Vice President Nicholas D. Docous, AIA AIA Central Valley I believe in the AIA and what it stands for. I believe in its mission and I believe in its future. I also believe that the AIA is at a crossroads that will shape the Institute and our profession well into the future. While we face significant issues and challenges, opportunities lie within them opportunities that we can and must design for ourselves to make our profession indispensable. As Vice President I will work to frame these challenges and help formulate the plans and programs that will realize opportunities for our members, our firms and ourselves. Ahead of us lie important issues that will transform our profession; my approach to addressing them is based on the following tenets: Communication We must define and communicate the value and importance of the profession, now more than ever, in a sustained, continuous and rigorous manner. Member Value The AIA happens at the local level. Allocation of resources, financial and intellectual, must be directed where they will realize the highest value and return. Emerging Professionals We have no greater resource than the future architects who will soon lead the AIA. They are passionate and committed. Working with, mentoring, and learning from them is our responsibility and an investment in the sustainability of our profession. Our brand is strong and we have much to work with. I believe that the role of National is to lead and inspire, and let our components all of us apply the power of design to communicate the value of what Architects do and what we create. 27 Candidate for Vice President Sean O Hara, AIA AIA Denver I was inspired to run for AIA Vice President after experiencing a massive amount of energy for real, positive changes at Grassroots. The other candidates spoke about their plans yet I still saw a need for a candidate to push for real change in the AIA. We must be engaged with the next generation of architects in a real, immediate manner. The Executive Committee needs a young architect who still remembers the IDP, the ARE and the cost of student loans, but who is experienced enough to know the role of the architect, how firms work and how the AIA functions. This generation represents the future of the AIA and I would like to provide this critical voice at the Institute s highest levels. The Executive Committee also needs a member who is focused on streamlining and evaluating the AIA initiatives and how they produce member value. The AIA is a $56 million company with 200 employees in Washington DC and yet our members do not see the benefits. Instead, most of the value that members see comes from the local chapters, so we need to flip the organization on its head with individuals and their local chapters at the top. We need to reach out to the public and let them know why an AIA architect matters. Architecture and architects already fascinate the public with popular books, websites and TV shows featuring them. Let s take that good will and become leaders in that dialogue. The time has come for the AIA to make significant changes to our organization to remain relevant. I am the candidate who can lead the effort and bring a fresh perspective to the Executive Committee and the AIA. Copyright 2013, The American Institute of Architects 47 27

Candidate for Vice President James Easton Rains Jr., FAIA AIA North Carolina Rains for Vice President of DOING. The Institute is on a wonderful path with great ideas and visions that need a shoulder against them, moving them forward. This is what I have done successfully in my years of service.and what I will continue to do. Here s how: Act with Clarity. We must be centered on clear objectives that we can do with excellence and impact; where everyone can see what AIA does for, with and in the world outside our component door. Let s continue to showcase that good design matters and it benefits the public every day.with societal contributions, sustainable focuses and economic returns. Act with Purpose. Taking a posture of safe and simple because it s always been this way keeps us stagnant. We can t do that! Moving in the right direction for the right reasons supports the clarity of our mission and aids in assuring that discipline gets us to our goal. Do we continue to move ahead if the path is different than before and also difficult? Yes. Act with Discipline. We must become more progressive, and then deliver. AIA can accomplish big things and with unity of purpose we will. In our message we must convince everyone of our global relevance and then step up to the plate and prove it with action. Focus needs to be on the big stuff, while we stop sweating the small. Please visit Copyright 2013, The American Institute of Architects 49 29

Candidate for Vice President Thomas Vonier, FAIA AIA Continental Europe Members and components are the core of the AIA. We deliver the value of architecture. The AIA must deliver resources that advance our interests and create impact. Influence. The AIA must project us into new markets and attract new clients. Advocacy must concentrate on issues where architects have key stakes and key contributions. We must mobilize public opinion, capitalize on communications, and lead the discussion. Focus. The AIA must provide powerful tools to members. This means stimulating public demand for design and showing the central value of architecture in society. Innovate. Solid research and sustained practice are the cornerstones of leadership. The AIA must establish a national research center, led by members, to place design and innovation at the forefront. The AIA is our only professional society, commanding our engagement and allegiance. Regulators and educators must join us to streamline steps to licensing and enlarge our constituency. Together, we will set new direction for the AIA, putting members, components, and values at the center. Together, we will influence, focus, and innovate to elevate architecture and our profession. 35 Candidate for First Vice President Kevin J. Flynn, FAIA AIA St. Louis We live in an age of profound social, technological, and economic change. As the Scottish writer Allan K. Chalmers noted, Crises refine life. In them you discover what you are. The economic crisis of the past five years has created a sense of urgency in America and in our profession. Past optional actions are now essential. The recently completed Repositioning Initiative by AIA provides a blueprint for necessary actions. Leaders at all levels of the organization over the next three years must have the courage and strength to move these ideas into action. Action is eloquence. I have seen it, and made it happen as the first architect/president of the Illuminating Engineering Society (IES), leading the organization through a transformation that created a more strategy-focused board, a new member-oriented regional structure, and a dynamic, contemporary graphic identity and website that appeals to the next generation of its members. Today, the IES is more viable, vibrant, and sustainable. The AIA can do the same. We have the blueprint and actions identified, now we must act. Just as firms and owners have had to do during the great recession, we must create a leaner, more efficient, and nimble AIA. An AIA that provides value to its members, raises the cultural significance of architecture and design in our communities, advocates for a strong entrepreneurial spirit, and incorporates a forward thinking aspect to practice to nimbly and responsibly respond to changes. The future is bright. We must seize the moment and act. I have the experience to lead, and with your help, I am committed to creating a visionary AIA. 37 Candidate for First Vice President Debra S. Kunce, FAIA AIA Indianapolis I believe as AIA Leaders, we must continue to uphold our traditions of excellence, while challenging yesterday s thinking. The pace of change today is unprecedented and our past experiences and knowledge are springboards to our future. I have consistently centered my AIA service on strategically planning an AIA future that nurtures emerging professionals, advances our legislative agenda, and promotes the AIA brand which leads to a better world. I believe our future is grounded in: Empowering our next generation of leaders Focusing on good design and its positive benefit on everyday lives Supporting architects at all stages of their careers Embracing a culture of innovation with actionable solutions My highly collaborative leadership style and focus on achieving results will help bring clarity in complex situations. I also know and respect how important it is to reach out across the Institute when crafting new initiatives, working with and through our components, knowledge communities, and engaging our next generation of emerging leaders. We will need many AIA leaders willing to act. Let s reevaluate and strengthen our core foundation while always pushing forward for a new tomorrow. 39 Candidate for First Vice President Elizabeth Chu Richter, FAIA AIA Corpus Christi Our profession has been hit hard by the Great Recession and many architects are still struggling. We must emerge stronger and wiser. It s time to step out of our tent, take the long view, and lead. We should take our stories to the streets. A knowing public is our best partner in design. We should cast a broad net to share our passion and our value in boardrooms, in coffee shops, and in the media. We should strive to make good design also good business. As successful entrepreneurs and good designers, we will prosper and have resources to re-invest in our schools, our profession, and our communities. We must replenish and deepen our talent pool. We should remove roadblocks to licensure, and build the next generation of leaders of our chosen profession. With critical mass, our voices will resonate and our impact will be felt. Let us be constant in our pursuit of design excellence and craftsmanship. We re stewards of a timeless profession. The world benefits when architects imagine the possible and make it happen. As a practitioner based in a mid-size city, I understand the struggles in the trenches. As an immigrant from fast-paced Hong Kong, I understand the entrepreneurial spirit. As past chairman of a public broadcasting system and creator/executive producer of a long-running radio series on architecture, I understand how to leverage the media. And as a former chairman of a branch bank board of the Federal Reserve Bank of Dallas, I understand the impact of global and economic issues. As AIA President, I will strive to leverage our collective energies and focus on building an enduring, vital profession that is essential to all who seek to make the world a better place.
