PRODUCTION The cropland in all three tracts provide some of the most productive soils in Haakon and Jones county. The advancement of precision agriculture, new technology in farm machinery, no till rotations, and crop genetics has allowed this land to be part of a New Frontier for crop production. Top yields of wheat, corn, sunflowers, grain sorghum, millet and now even soybeans can be produced in an area that was considered high risk. The predominate soils for the cropland consist of Class III, and Class IV soils. The SJ Dowling farming operation was successful in producing some of the highest yields in the area. The grassland in the Draper South and Draper North units are considered some of the best grass country. Your cattle operation will benefit from the pounds of beef that will be added from the native grasses on these two units. The pasture units have not been grazed the last two seasons, and have only had limited haying on portions of the ranches. The SJ Dowling ranch tracts are ready for your cattle. Pastures are in good shape. Water is good in all the pasture tracts. Be sure to look over the water maps for rural water, well, livestock tanks, and hydrant locations. The Draper South Ranch is located 4 miles south of Draper, SD and on the south side of I-90. The Draper North Ranch is located 3 miles north and 3 miles west of Vivian, SD. Just off SD Hwy #83. Draper North Unit: From Pierre,SD go 27 miles south on SD Hwy #83 to 238th Street, then go west 3 miles and north on section line trail 287th Ave go.5 miles and you will be at Tract #18. 4 1. You must Preregister to place a bid on particular tract or tracts. Only bid number and bid per acre will be posted. 2. Pre bids may only be placed from March 19th- 28th, Final bidding on March 28th, closes at 7:00 P.M. CST. 4. Final round of live bidding will take place in Pierre, SD invite only. Only the top 2 bidders from each tract will be invited to the final round on the 29th of March. Bidders may be present or can bid via phone on their particular tract or tracts. 5. Bids will be posted daily at 10:00 A.M. CST on DakotaLandCo.com or on our Facebook page. 6. All bids will be bid per acre and totaled at the end of each day and posted on Tract spreadsheet and tract maps. 7. A reserve total amount of the sale will be posted on the bottom of the summary sheet which will be released on March 19th, The total amount shall be obtained from the collective bidding from all the tracts. Bidders can and may have to raise their own bid 8. If the total from all tracts meets or exceeds the minimum posted reserve total price then auction becomes absolute. At the final live bidding round on March 29th, each tract will then be offered individually until all invited top bidders have had the opportunity to make his or her highest and best bid to obtain the tract or tracts they desire. Bidders can and may have to raise their own bid. 9. Our goal is to realize the highest return to the seller and to allow bidders who are interested in one tract the same opportunity as multi-tract bidders 10. Auction shall be subject to confirmation by the Seller in the event that the minimum posted reserve total has not been met. The Seller absolutely reserves the right to reject any and/or all bids received on tract/tracts without cause or reason for such rejection. 11. 5 DOWN PAYMENT: This is a cash sale auction. Buyer is required to pay ten percent (10%) nonrefundable earnest money deposit of purchase price on the day of sale. Balance of purchase price shall be paid in cash at the time of final closing. Your bidding is not conditional upon any financing. SELLER CONFIRMATION: Sale shall be subject to confirmation by the Seller. The Seller reserves the right to reject any and/or all bids received on tract/tracts without cause or reason for such rejection. When the total amount of bids meets or exceeds the posted reserve amount then auction becomes absolute. The total reserve amount will be posted by March 19th, The Seller reserves the right the right to sell entire unit(s) prior to March 19th, An entire unit purchase will be subject to auction terms and conditions. REAL ESTATE TAXES: The 2017 real estate taxes, payable in 2018 will be paid in full by the Seller. The 2018 real estate taxes payable in 2019 will be paid by the new Buyer. Real Estate Taxes are subject to reassessment under new owner. COUNTY/FSA RECORDS: Tracts will be sold by legal description and acres as provided by the Haakon- Jones County offices. Acres are not survey accurate. All maps used are for illustration and marketing purposes only and are from sources deemed reliable; however, accuracy is not guaranteed and may not depict actual boundary lines. All FSA Farm Program crop bases and yields if any, as determined by the local FSA office, will transfer upon final closing. Crop bases will be divided according to the county FSA office. POSSESSION: Possession of any Tract or Tracts will be available immediately after the auction, upon executing a purchase agreement. If the Buyer wishes to conduct any spraying, fertilizing, pre herbicide, planting preparation, or any actual planting on any tracts with cropland and in the event that Buyer cannot complete the successful closing of the property then Buyer s rights to the planted crops, all fertilizer, all herbicides, all completed spraying, shall belong to and be delivered to the Seller and retained by the Seller as liquidated damages, as well as the nonrefundable earnest money amount. In the event that Buyer of any tract in which livestock is turned out and Buyer cannot complete the successful closing of the property then the livestock must be removed immediately and Seller will retain the nonrefundable earnest money as liquidated damages. The Buyer will be required to obtain and show proof of liability insurance naming the Sellers as additional insureds prior to possession. FENCING: Tracts may or may not be fenced. Existing fence boundaries may change from actual survey if conducted. It is the responsibility of the new Buyer of a tract or tracts to pay for and be responsible for installing fencing for his/her tract or tracts. Fencing must be in place prior to any turn out of livestock. WATER AND EASEMENTS: Any access or water line easements needed will be granted and reserved depending on the sale of each Tract or Tracts. Seller makes no representation regarding the availability of any additional or new water taps. In the event that water taps are needed in an individual tract, it will be the responsibility of the Buyer to contact and pay for any additional or new water taps and water meters from West River Lyman Jones rural water. The Draper South Ranch has West River Lyman Jones rural water taps and meters located in Tract #11, Tract #12, and Tract # 14. Request has been submitted for additional water meter and taps from West River Lyman Jones rural water for Tracts #10 and #13. The Draper North Ranch has an artesian well that is located in Tract #17 and services Tract #16, and #17. This well is subject to a current Water Well Agreement and Easement. A copy of agreement is available. There is a West River Lyman Jones rural water meter located in Tract #16. See water map for additional information concerning approximate location of lines and water tanks. TITLE: Title insurance will be provided following the execution of a real estate purchase agreement. Title insurance costs to be split 50%Seller 50%Buyer. Seller agrees to provide and execute a proper deed conveying the real estate to the Buyer(s) by appropriate deed. Real Estate will be free and clear of all liens, but subject to easement, reservations, mineral conveyances, and exceptions of records, as well as statutory rights of way. FINAL CLOSING: Final closing shall take place on April 30th, 2018, or as soon after the auction date as closing arrangements and documents can be completed. In addition to Seller s retention of the non-refundable earnest money,seller shall have all remedies, in law or in equity in the event that the Buyer fails to close. MINERAL RIGHTS: 100% of the mineral rights now owned by the Seller will pass to the Buyer. Seller makes no warranty of mineral rights owned, if any. PURCHASE AGREEMENT: Successful bidders will execute a real estate purchase agreement immediately following the auction. Purchase agreement will be made available for review prior to the start of the auction.
