Subject: For the Sale of CF6 80 C2 ENGINES Qty 02 and APU GTCP H Qty 01 PIACL is pleased to invite the sealed offers for above mentioned Engines and APU, on 'As is Where is' basis, details attached as Annex A. Bidders can submit their offers in figure and words separately on schedule A of the tender document. Bidder may quote for each item separately. The relevant Engine data and mini pack for Engines and APU /Engine have been uploaded on Link: ftp://download.piac.com.pk and can be accessed by the bidders by entering: Username: ebd Password: eng!n@buy The same can also be accessed by visiting with pia/surplusinventory/ The salient terms and conditions of the tender are given below: A) SUBMISSION OF TENDER 1. You are requested to send your sealed bids In Single Stage Single Envelope Basis addressed to DGM Logistics (Store) Building, PIAC Head Office, JIAP Karachi Jan 15, The bids may be dropped in the tender box marked as Tender Box placed at the entrance of the PIA Procurement & Logistics (Store) Building latest by 10:30 hours on the specified date. You may also send your tenders through registered mail, which must reach before the closing date and time mentioned above. Bids will be opened at 11:00 hours the same day in the presence of Bidders who care to attend. 2. Bid should be sealed in an envelope secured with Scotch Tape and bidder signature and stamp affixed. 3. Bids received after stipulated date & time shall not be considered. The Corporation will not be responsible for any postal delays. The decision of competent authority (PIACL) in this respect shall be final and binding. 1

2 EARNEST MONEY The Bid should be accompanied by a 5% (five) of the total bid value having been deposited in terms of a Pay Order [from any scheduled bank of Pakistan] payable at Karachi in lieu thereof in the name of M/s PAKISTAN INTERNATIONAL AIRLINES as interest free Earnest Money (Refundable) with the offer. Earnest Money in any other shape shall not be accepted. Earnest / Security Money deposited shall not be transferable as earnest money for any other tender. Bids without Earnest Money shall not be considered. The earnest money is not required from foreign bidders with the offer. PAYMENT TERMS The successful bidders on award shall be required to deposit equivalent to 25% of bid value in the shape of Pay Order payable at schedule bank of Pakistan within five working days of the award. The remaining balance shall be payable within fifteen (calendar) days. PREPARATION OF BID Tender will be opened on Single Stage Single Envelope basis. All bidders must submit their bids in the format provided in the tender document on or before the specified tender opening date/time with following documents: a) The Tender Schedule Complete Forms {All pages} duly filled in, signed, stamped every page and sealed with scotch tape. b) 5% Pay Order (from any scheduled bank of Pakistan) as Earnest Money (Refundable/Interest Free) for Local bidders only. c) Pay Order of Rs. 15,000/ (Non Refundable) as Tender Fee (foreign bidders are exempted). The bids are liable to rejection if incomplete document is submitted as specified in tender schedule are given. 2

3 PRICES a) The Prices quoted must be net as per accounting unit as shown in the Schedule to tender exclusive of all duties / taxes and government levies as applicable at the time of bidding. b) The Prices mentioned in the bid will be treated as firm and final till the completion of Contract. c) The Prices must be stated both in words and figures in PKR (Pakistani Rupee) or US Dollars. Additional information, if any must be linked with entries on the Schedule to Tender. d) Offers must be valid for 90 days. e) Rates must be written on PIA prescribed form otherwise Bids will not be entertained. f) Correction White Fluid or Over Writing strictly not allowed otherwise bid will be out rightly rejected/ not considered. g) For foreign bidders rates will be converted into local currency at the rate specified by PIA Finance at the date of bid opening & will be locked till completion of handing over of the item(s). ACCEPTANCE OF BID a) PIACL is not obliged to accept the bid and reserve the right to accept or reject any or all bid/ quotations with or without assigning reason. b) Extend the date of opening (if deemed necessary). 4 Tender Terms & Conditions (Read Carefully) If at any stage documents provided by bidders found tempered / bogus, 5% deposited Earnest Money will be forfeited. All bidders are required to quote rates as per accounting unit as shown in the Schedule to tender exclusive of all duties / taxes and government levies as applicable at the time of bidding. Please note that offered prices must be firm and final in all respect. Quotation must be valid for 90 days from the date of bid opening. For successful bidders 25% payment advance in the form of pay order must be required after confirmation of Sale Order. Payment of the remaining amount (75% for successful bidder) at the time of delivery. Bid will be awarded on the basis of highest value. All foreign bidders must send their sealed bids via courier service directly to G.M Logistic P& L Department. PIA will not be responsible for any postal delay. Bid found below PIA standard shall be rejected / returned. Bidder should fulfill all documentary requirements as per PIA procedure. All Bidders should fulfill every applicable column and attach the relevant documents along with the proposals. Delivery of Engines/APU must be taken by the successful bidder after full payment within 30 calendar working days. The bidder not fulfilling any/all of the above shall be declared non responsive / disqualified. In addition bidder should comply all terms and conditions. 4

Prescribed tender form can be obtained from the Accounts office, P&L Department, JIAP, Karachi after payment of Rs. 15,000/ processing fee (Non Refundable). Foreign Parties can download the tender document from PIA / PPRA websites. Engines/APU will be offered on AS IS WHERE IS basis. Delivery Location of the equipment shall be Leipzig Airport, Germany or a location mutually agreed between the PIA & successful bidder. Responsibility and cost of transportation/removal of items from aircraft current location to the desired location will have to be arranged by the successful bidder. Inspection of the engines/apu can be arranged on request by contacting on ; dce.ebd@piac.aero. However that inspection will solely be at the cost of the bidder. 6 INTEGRITY PACT / DISCLOSURE CLAUSE (To be submitted on Company s Letterhead duly signed and stamped) Declaration of Fees, Commissions and Brokerage Etc. Payable by the Suppliers, Bidders, Distributors, Manufacturers, Contractor & Service Providers of Goods, Services & Works the Seller / Supplier / Contractor hereby declares its intention not to obtain the procurement of any Contract, right, interest, privilege or other obligation or benefit from Government of Pakistan(GoP) or any administrative sub division or agency thereof or any other entity owned or controlled by it (GoP) through any corrupt business practice. Without limiting the generality of the forgoing the Seller / Supplier / Contractor represents and warrants that it has fully declared the brokerage, commission, fees etc., paid or payable to anyone and not given or agreed to give and shall not give or agree to give to anyone within or outside Pakistan either directly or indirectly through any natural or juridical person, including its affiliate, agent, associate, broker, consultant, director, promoter, shareholder sponsor or subsidiary, any commission, gratification, bribe, finder s fee or kickback whether described as consultation fee or otherwise, with the object of obtaining or including the procurement of a contract, right, interest, privilege or other obligation or benefit in whatsoever form from Government of Pakistan, except that which has been expressly declared pursuant hereto. The Seller / Supplier / Contractor certifies that it has made and will make full disclosure of all agreements an arrangements with all persons in respect of or related to the transaction with Government of Pakistan and has not taken any action or will not take any action to circumvent the above declaration, representation or warranty. The Seller / Supplier / Contractor accepts full responsibility and strict liability for making any false declaration, not making full disclosure, misrepresenting facts or taking any action likely to defeat the purpose of this declaration, representation and warranty. It agrees that any contract, right, interest, privilege or other obligation or benefit obtained or procured as aforesaid shall without prejudice to any other right and remedies available to Government of Pakistan under any law, contract or other instrument, be void able at the option of Government of Pakistan. Notwithstanding any rights and remedies exercised by Government of Pakistan in this regard, the Seller / Supplier / Contractor agrees to indemnify Government of Pakistan for any loss or damage incurred by it on account of its corrupt business practices and further pay compensation to Government of Pakistan in any amount equivalent to ten time the sum of any commission, gratification, brief, finder s fee or kickback given by the Seller / Supplier / Contractor as aforesaid for the purpose of obtaining or inducing the procurement of any contract, right, interest, privilege or other obligation or benefit in whatsoever from Government of Pakistan. 6
