10 6. Surrounding Activities: Swakopmund has a pleasant summer climate and this makes it Namibia s premier holiday destination. The town itself has the ambience associated with a small German village, and its seaside promenades with various walker-friendly paved walkways and benches along the beach create an air of relaxation. For those enjoying a round of golf, the Rossmund Golf Course is one of only five 18 hole fully grassed desert courses in the world. It is an 18 minute drive from Swakopmund and is spread along the northern fringe of the Swakop River valley. Springbok are regular visitors to the golf course and a bowling green is situated at the club. Apart from various Private Hospitals like Cottage Medi-Clinic in Swakopmund, the town also hosts major shopping outlets including Spar, Checkers, Pick n Pay and Woermann & Brock. Various activities like fishing, visiting museums, enjoying German delicatessen, shops, restaurants, cafés and art galleries are also available. There is also an entertainment centre with a casino and cinemas, snake park, aquarium and distinct architecture. The Walvis Bay Airport is only 36km from Swakopmund and hosts international flights, while Swakopmund has its own national airport. 7. Prices: Estate: Refer to erf price list and availability sheet included (Annexure A) The purchase price of the packages has been broken down into 2 components, namely: Erf and Building Contract Deposit (see paragraph 10 below) Haven (assisted living): Refer to price list and availability sheet attached (Annexure B) Deposit (see paragraph 10 below) 10. Payment of the Purchase Price: Estate: The Purchase price of the package is payable as follows: Erf: Deposit equal to 10% of the erf price and is payable before signing the contract. Deposit is held in Transfer Attorney s trust account (interest accrued for the benefit of the client). Transfer Fees are payable by the client on instruction from the conveyancer. Balance of Purchase Price for erf is payable on registration. The building contract forms part of the total purchase package, however building must commence within six (6) months from registration of the erf and will be payable upon presentation of progress certificates as follows: First Payment (30%): Foundation, brickwork until plinth height, backfilling completed; Second Payment (20%): Floors cast and Brickwork internal and external walls completed except gables and beam filling; Third Payment (20%): Roof trusses, brickwork gables, internal and external walls plastered, electrical tubing fitted and plumbing pipes and drainage fitted; Fourth Payment (20%): Roof covering, beam filling completed, ceilings and cornices fixed, cupboard carcasses fitted, doors hung with locks fitted, glazing complete; Fifth Payment (10%): Painting and tiling complete, electrical and plumbing work complete, all remaining work done as per specification sheet, all contractors rubble removed and site left clean 11

12 Haven (assisted living): The purchase price is payable upon registration of sectional title unit. A deposit of N$ is payable on signature of the contract. 11. Construction: Estate: Construction will only commence after transfer of the erf is completed, and is expected to take approximately 8 months (excl. builders holiday) Project architect and building co-ordinator to consult with client regarding final lay-out, as well as floor finishes, light and plumbing fittings. Please note: any changes to the standard house plan may affect the final costing of the house. Any additional costs will be for the expense of the owner. Final layout and choice of finishes to be signed off by client. Project quantity surveyor will provide the final costing to the developer. Developer will prepare a quote to the client, who needs to sign quotation (if accepted)(which may be subject to escalation). Client to sign Consent to build instruction before developer will start with construction. Client also accepts that progress invoices may be issued, and will be paid within 14 days from date of invoice. Client to ensure funding is in place for construction of the house. Haven (assisted living): Expected date of completion end Occupation Date: Estate: Houses will be completed within approximately 8 months from the date that construction commences (excluding builders holiday) and is subject to registration of the erf. Haven (assisted living): Occupation of Haven apartments will be possible on completion and registration of the sectional title scheme. 13. Age Restrictions: Occupants: Must be 48 years of age or older. In the event a couple occupies a house, then at lease one of the two occupants must be 48 years or older. 12

13 This restriction only applies to the occupants of a house/apartment. Purchasers of a house/apartment may be younger than 48 years of age. The Haven (assisted living): long and short term lease residents must be 70 years of age. 14. Water and Electricity: Estate: Each house will have its own pre-paid meter. The occupant of each house will be responsible for payment of these services. Communal water and electricity usage will be included in the monthly levy. Haven (assisted living): Each unit will have it s own water and electricity meter. Occupants will be billed on a monthly basis. Title Deed Conditions: Estate: Houses can be sold by owners through approved agents only, at a price offered by a potential buyer. On resale, 15% of the sales price is payable to the service provider. This fee is again utilised proportionately between the Body Corporate / Home Owners Association (for maintenance), Facility Provider and the developer. Haven (assisted living): Apartments can be sold by owners through approved agents only, at a price offered by a potential buyer. On resale, 15% of the sales price is payable to the service provider. The 15% of the re-sales price is divided into three parts, payable to (1) 25% of the 15% to the Home Owners Association or Body Corporate, (2) 25% of the 15% Facility Provider and (3) 50% of the 15% to the developer of the frail care facility. Service Provider Facility Provider Management Body 13

14 Three Party Agreement: Service Provider - means the provider of first level care, assisted living and frail care services in the Haven (assisted living), to be appointed by the developer and / or the Facility Provider in consultation with the joint management committee Currently Geratec (see brochure) Joint Management Body The Management structure to be established once the Body Corporate of the Haven (assisted living) has been established, which structure shall govern the common rights, interest and entitlements between the Body Corporate of the Haven and the Home Owner s Association of the Estate. This committee may consist of representative trustees from both the Body Corporate and Home Owners Association, as well as co-opted individuals in an advisory capacity. Facility Provider means the provider/owner of facilities in the Swakopmund Retirement Village,. which facilities will be services and managed by a service provider to be appointed, on a first come first serve basis. Facility may include the following: Clubhouse Kitchen Laundry Dining Room Care Facility Admin Office Generator room 16. Resale's/Service Provider Services: When reselling your house/apartment, you will have the advantage of offering future buyers a retirement with facilities, most importantly, frail care services. The new purchaser will be entitled to all care services provided at Swakopmund Retirement Village and will have access to the Frail Care Facility. Refer to paragraph Interim Care: Swakopmund Retirement Village will provide an interim care facility for a Services Sister to operate from and care services can be rendered in your house at an additional cost as applicable from time to time. This will be the arrangement until the main Frail Care Facility on the development has been built. 14

15 18. Rental of Houses/Apartments: You can rent out your house/apartment provided that the tenant is 48 years of age. Tenants must take up the applicable care and support services as per the SLA (Service Level Agreement) with the care service provider. The tenant will be entitled to all specified care services rendered at the estate provided that all levies are paid up to date. Additional care services will be at extra cost for the tenant's account. Ad-hoc refer to Care Services Annexure E Should the tenant need frail care in the Frail Care Facility an admission fee will be payable at such time, subject to availability. The tenant must also abide by the House Rules. All owners must make use of the SRV lease agreement. NOTE: The owner of the house/apartment will be responsible to make provision in his rental contract for the levies and will be liable for the necessary payments to the appointed care service provider. Should the Tenant make use of any additional care or services he will be liable for additional cost directly payable to the service provider. Renting out a house or apartment includes the access to care services. 19. Levies: Estate: Calculated on a sliding scale according to size of erf. Habitatio (long term lease): 21 units on the ground floor will be available on a life-long right of occupation (Habitatio) agreement. This means that the right holder (person buying the right to occupy desires to have the right to occupy a unit on the ground floor of the Haven and to have access to the care services offered on the basis of a life-long right of occupation and the Owner of such a unit is willing to provide the right holder with such use / occupation / enjoyment of the unit on the basis of life-long right of occupation. The right holder's entitlement to the use/occupation/enjoyment of the unit shall be contractually defined in an agreement that will spell out the responsibilities and rights of all parties. This type of apartment will be perfect for those that wants to be at close proximity to the Frail care and does not want to purchase a sectional title apartment. 15

16 21. Rental (short term lease): 6 Units on the ground floor will be available as short term lease apartments. This means that the right holder (person occupying the unit) desires the right to occupy a unit on the ground floor of the Haven (assisted living) on the basis of short term occupation and the Owner of such a unit is willing to provide the right holder with such use / occupation / enjoyment of the unit on the basis of short term right of occupation. The right holder's entitlement to the use/occupation/enjoyment of the unit shall be contractually defined in an agreement that will spell out the responsibilities and rights of all parties. This type of apartment will be perfect for those that wants to be at close proximity to the Frail care and only have the need for care over a short period of time. 22. Escalation: In the construction industry there is always a risk that the costs of construction can increase from the costs initially estimated. Therefore, any quote for the cost of construction for a house is stipulated subject to an agreed commencement date and completion date. If the actual commencement date is after the agreed date, the cost of the quote prepared may be subject to an escalation formula. 23.
