(b) A right for the Purchasers with or without contractors workmen and others on giving prior written notice unless prevented by the urgency of the required works to enter upon the adjoining property on the easterly side thereof for the purpose of carrying out repairs or renewals to the buildings Numbered 19 and 20 and the staircase numbered 21 on the said plan subject to the Purchasers or their assigns making good all damage occasioned to the said adjoining property by the exercise of such right to the reasonable satisfaction of the Vendors or their successors in title or the Vendors or their successors in title's Surveyor for the time being (c) The right of passage and running of water soil gas and electricity from and to the property hereby conveyed or any part thereof in and through the drains pipes sewers cables and wires lying or being in under through or over the property on the easterly side of the property hereby conveyed Subject to the Vendors or their successors in title having the right at any time on giving previous written notice thereof to the Purchasers or their successors in title to divert such drains pipes sewers cables and wires as aforesaid but on the Vendors or their successors in title so diverting as aforesaid they shall grant to the Purchasers or their successors in title and assigns a right as aforesaid to use such drains pipes sewers cables and wires as so diverted and the right to enter upon the property to the east of the property hereby conveyed for the purpose of re-laying repairing and maintaining the same or any of them Subject to the Purchasers or their successors in title and assigns making good all damage caused to the said property on the easterly side of the property hereby conveyed by the exercise of such rights to the reasonable satisfaction of the 2 of 5

3 A: Property Register continued Vendors or their successors in title or the surveyor for the time being of the Vendors or their successors in title of the said property on the easterly side thereof (d) The right to receive a supply of steam heating to the property hereby conveyed to such a degree of heat and during such period during the years as shall from time to time be agreed by and between the Vendors and the Purchasers or their respective successors in title and assigns from the steam heating installations installed in the building Numbered 13 on the said plan and the pipes leading therefrom into the property hereby conveyed subject to the Purchasers paying to the Vendors or their successors in title from time to time during such period in the year as such heating shall be supplied such amount of charges as shall be agreed by and between the Vendors and the Purchasers or their respective successors in title PROVIDED always that if the Vendors or their successors in title shall at any time cease to heat the premises on the easterly side of the property hereby conveyed from the said steam heating installation installed in the said building Numbered 13 on the said plan the right of the Purchasers or their successors in title and assigns to receive such a supply of steam heating as aforesaid in the property hereby conveyed shall cease forthwith PROVIDED FURTHER that if any dispute or difference shall arise between the Vendors and the Purchasers or their respective successors in title or assigns touching or concerning the said right to supply and receive such steam heating as aforesaid such dispute or difference shall be referred to a Chartered Surveyor agreed between the Vendors and the Purchasers or their respective successors in title or assigns and failing agreement to a Chartered Surveyor nominated by the President for the time being of the Royal Institute of Chartered Surveyors and such Surveyor shall act as an expert and not as an arbitrator and accordingly the provisions of the Arbitration Act 1950 or any statutory modification or re-enactment thereof shall not apply (e) The benefit of all rights easements and quasi easements existing as between the property hereby conveyed and the property on the easterly side thereof as if the same remained under one ownership and as between the property hereby conveyed and any adjoining property not belonging to the Vendors THE SECOND SCHEDULE hereinbefore referred to Rights subject to which the property is conveyed and granted by the Conveyance of the adjoining property (a) A right of support and protection for the buildings Number 18, 18b and 10 shown on the said plan from the buildings Numbered 19 and 20 on the said plan forming part of the property hereby conveyed (b) A right for the Vendors and their successors in title with or without contractors workmen and others on giving prior written notice unless prevented by the urgency of the required works to enter upon the said buildings Numbered 19 and 20 forming part of the property hereby conveyed for the purpose of carrying out repairs or renewal is to the said buildings Numbered 18 18b and 10 on the said plan SUBJECT to the Vendors or their successors in title making good all damage occasioned to the property hereby conveyed by exercise of such rights to the reasonable satisfaction of the Purchasers or their successors in title or their respective Surveyors for the time being (c) A right of way for the Vendors or their successors in title at all times but for the purpose only of carrying out repairs to the said buildings Numbered 18 18b and 10 on the said plan over and along the area coloured green on the said plan SUBJECT to the Vendors and their successors in title making good all damage done to the property hereby conveyed by the exercise of such right (d) The right of passage and running of water soil gas and electricity to and from the property on the easterly side of the property hereby conveyed or any part thereof in and through the drains pipes sewers cables and wires lying or being in under through or over the property hereby conveyed SUBJECT to the Purchasers and their successors in title and assigns having the right at any time on giving previous written notice thereof to the Vendors or their successors in title of diverting 3 of 5

4 A: Property Register continued such drains pipes sewers cables and wires as aforesaid BUT on the Purchasers or their successors in title and assigns so diverting the said drains pipes sewers cables and wires as aforesaid the Purchasers or their assigns shall grant to the Vendors or their successors in title a right as aforesaid to use such drains pipes sewers cables and wires as so diverted and the right to enter upon the property hereby conveyed for the purpose of re-laying repairing and maintaining the same or any of them SUBJECT to the Vendors or their successors in title making good all damage caused to the property hereby conveyed by the exercise of such rights to the reasonable satisfaction of the Purchasers or their assigns or their respective Surveyors for the time being (e) The benefit of all rights easements and quasi easements existing as between the property hereby conveyed and the property on the easterly side thereof as if the same remained under one ownership and as between the property hereby conveyed and any adjoining property not belonging to the Vendors" NOTE: Copy Conveyance plan filed. 3 The Conveyance dated 30 April 1959 referred to above contains the following provision:- "The walls dividing the property hereby conveyed from the property on the easterly side thereof belong to the owners of the last mentioned property and are to be maintained and repaired accordingly by the Vendors or their successors in title of such last mentioned property and the drains pipes sewers cables and wires lying or being in under through or over the property hereby conveyed or the property on the easterly side thereof and used jointly by and between the respective owners of the said properties are deemed to be mesne or party drains pipes sewers cables and wires and to be repairable accordingly and neither of the owners for the time being of the property hereby conveyed or the said property on the easterly side thereof is entitled to any right of access of light or air to any of the buildings forming part of the property hereby conveyed or forming part of the said property on the easterly side thereof which would restrict or interfere with the free use of the property hereby conveyed or the said property on the easterly side thereof" 4 The land has the benefit of the following rights reserved by but is subject to the following rights granted by a Conveyance of adjoining dated 17 August 1979 made between (1) Warnegate Limited (Vendors) and (2) Kenneth Frederick Wright (Purchaser):- TOGETHER WITH for the benefit of the Purchaser and his successors in title the owners and occupiers for the time being of the property hereby conveyed (a) a right to the continued use of the gas supply running through the property retained by the Vendor and situate to the east of the property hereby conveyed SUBJECT to the Purchaser at his own expense installing a separate meter within the premises hereby conveyed and (b) a right of access to the three storey warehouse hereby conveyed by means of the overhead gantry at present connecting the same to the said adjoining premises of the Vendor situate to the east and of use of the lift serving the same until such time as the Purchaser has made satisfactory alternative arrangements for obtaining access to all parts of the said three storey warehouse hereby conveyed without the use of such gantry and lift RESERVING NEVERTHELESS to the Vendor and his successors in title a right of access over the passageway and yard situate between the buildings erected on the plot of land hereby conveyed and the Vendor's adjoining Mill premises on the east for the purpose only of the maintenance and repair of the westerly wall of the said Mill premises retained by the Vendor and for the purpose of using the fire door situate in such building. 5 ( ) A new title plan based on the latest revision of the Ordnance Survey Map has been prepared. 4 of 5
