1 Title summary for property offered for sale by Peppertree-Atlantic Beach Association, Inc. The bulk of the property offered for sale consists of a total of acres of land, more or less, as more particularly shown on a map entitled Boundary Survey of Peppertree Atlantic Beach Condominium prepared by Linwood E. Byrd, Jr., PLS, dated July 22, 2016, and recorded in Plat Book 33, Page 331 of the Carteret County Registry (the Land ). Sale and transfer of clear title to the property offered for sale is authorized by order of the United State Bankruptcy Court for the Eastern District of North Carolina that the property is to be sold by Peppertree Atlantic Beach Association, Inc. (PAB I Association), free and clear of any time share free and clear of all liens or ownership interests of former unit owners within the Peppertree Atlantic Beach Phase I condominium, pursuant to 11 U.S.C. 365(h) of the Bankruptcy Code. The Land was originally subjected to a condominium regime, and then to a plan of interval (timeshare) ownership by documents recorded in Unit Ownership Book 39, Page 465 (Tract I) and Unit Ownership Book 43, Page 394 (Tract II), both in the Carteret County Registry, and the Land is more particularly described, as shown on the metes and bounds legal description in Exhibit A attached to this summary. In addition to the Land that was originally subjected to the condominium regime, the property offered for sale includes additional real property and improvements in which title is vested directly in the Seller, PAB I Association. Specifically, PAB I Association directly owns a onethird (1/3) undivided interest as tenant in common with two other condominium associations, Peppertree-Atlantic Beach II Association, Inc. and Peppertree Atlantic Beach Villas III Association, Inc. in certain common areas and facilities which are generally referred to as the Resort Common Areas. The Resort Common Areas, which are owned in common with the 2 other condominium owners associations operating within the larger Peppertree resort, consist generally of a laundry facility (Tract 3), beach access boardwalk and ocean front gazebo (Tract 4), resort office and meeting facility/general store (Tract 5), pavilion, basketball courts and various outdoor game and recreation areas (Tract 6), wastewater treatment facility (Tract 7), and the Resort Common Areas are more particularly described as shown on the metes and bounds legal description in Exhibit B attached to this summary. Also as shown on the recorded boundary survey map (Plat Book 33, Page 331) certain roads, walkways and asphalt parking areas that are situated throughout the Land. The Land is subject to express easements for ingress and egress in favor of the owners within the Phase II and Phase III condominium associations by virtue of appurtenant easements reserved and spelled out specifically in the Declarations of Condominium for the Phase II Peppertree Atlantic Beach Condominium (Unit Ownership Book 62, Page 172) and for the Phase III Peppertree Atlantic Beach Condominium (Deed Book 778, Page 990, recorded in Deed Book 784, Page 503), all as recorded in the Carteret County registry. Conversely, the same express easements are reserved in favor of the owner of the Land to be sold, across the land which comprises the Phase II and Phase III condominiums, and all of the roads, walkways and parking areas that are situated throughout the real property within those additional phases in the larger Peppertree resort. The nature of these easements is more particularly described in Exhibit C attached to this summary.

2 Page 2 of 6 TRACT 1: EXHIBIT A LEGAL DESCRIPTION OF LAND (4.392 acres, more or less) LYING AND BEING in Morehead Township, Carteret County, North Carolina, and being more particularly described as follows: BEGINNING at a point, which point is located the following courses and distances from the Northwest corner of Lot No. Six (6), Block B, as the same is shown and delineated on a map or plat of Ocean Ridge Subdivision of record in Map Book 2, at Page 67, of the Carteret County Public Registry, said Lot Six being marked by a concrete monument: North East feet to a point in the East margin of a right-of-way shown on the aforementioned plat of Ocean Ridge Subdivision, thence South East feet; and runs thence from said beginning point thus established North East feet to a point; thence South West feet to a point in the East margin of the right-of-way shown on the aforementioned Plat of Ocean Ridge Subdivision; thence down and with the Eastern margin of said right-of-way South West feet; thence South East feet to the place of BEGINNING. LESS AND EXCEPT a tract of land described as follows: BEGINNING at a point, said point being in the East line of a platted, but unopened street of right-of-way shown on the aforementioned Plat of Ocean Ridge Subdivision, which point is located North East 250 feet from a concrete monument in the Northwest corner of Lot 6, of Block B of the Ocean Ridge Subdivision as shown on map or plat recorded in Map Book 2, at Page of the Carteret County Public Registry, and runs thence from said beginning point thus established, South East feet to a point; thence North East feet to a point; thence North West feet to a point; thence North West feet to a point; thence North East feet to a point; thence North West 90.0 feet to a point in the aforementioned East right-ofway line of the abovementioned street or right-of-way; thence South West with said right-ofway line feet to the place of BEGINNING. TOGETHER with an easement, right and license to use the pool, clubhouse and any other facilities now constructed or which may hereafter be constructed on the Exception tract above set forth. TRACT 2: Lying and being in Carteret County, North Carolina, and being more particularly described as follows: BEGINNING at a point, which point is located at the Northeasternmost corner of that Tract 1 herein above described, said point also being located the following courses and distances from the Northwest corner of Lot No. Six (6), Block B, as the same is shown and delineated on a map or plat of Ocean Ridge Subdivision of record in Map Book 2, at Page 67, of the Carteret County Public Registry, and being Marked by a concrete monument: North East feet and North East feet; and runs thence from said beginning point thus established North East feet; thence South West feet to a point; thence North West feet to a point; thence North West 20.0 feet to a point; thence South West 25.0 feet to a point; thence North West 75.0 feet to a point; thence North East feet to the place of BEGINNING. Phillips, III dated March 24, 1999 entitled Peppertree Atlantic Beach Associates, which legal description is incorporate herein by reference; which interest was conveyed to Peppertree-Atlantic Beach Association, Inc. by virtue of that certain deed recorded in Book 1008, Page 430, Carteret County Registry. TRACT 4: BEING a 1/3 undivided interest as tenants in common in and to that certain real property known as that certain beach walkway/access area as described on that survey by Thomas Edward Strickland of Strickland Surveying, PA dated April 28, 2003 and entitled Physical Survey for Peppertree Resort Villas, Inc., Ocean Ridge Subdivision, which legal description is incorporated herein by reference; which interest was conveyed to Peppertree-Atlantic Beach Association, Inc. by virtue of that certain deed recorded in Book 1008, Page 429, Carteret County Registry, and also known as Lot Nos. 5, 6, 7, and 8 of Block L of Ocean Ridge Subdivision as depicted on that plat recorded in Map Book 2, Page 67, Carteret County Register of Deeds, plus the easternmost half of 1 st Street as depicted on said Map. Being the same property upon which a wood walkway, gazebo, and hut are located, with an easement over such improvements having been granted to the various owners association of Peppertree Atlantic Beach by the said document referenced above. TRACT 5: General Store and more particularly described as follows: BEGINNING at an iron pipe which is located the following courses and distances from the intersection of the center line of Salter Path Road (a/k/a West Fort Mason Road) and Cedar Avenue; South 84 degrees West feet to an iron pipe in the South right-of-way line of Salter Path Road; thence South 03 degrees West feet to an iron pipe at the northeast corner of the property of Peppertree Resort Villas, a condominium; thence with the north line of the condominium South 87 degrees West feet to an iron pipe, the POINT OR PLACE OF BEGINNING. A. captioned Plat General Store and Pavilion dated December 8, 1997 and revised December 30, TRACT 7: Sewage Treatment Plant and more particularly described as follows: Tract 1: BEGINNING at a nail set in the southern edge of that certain 80-foot right-of-way for NC Highway 58 (also now or formerly known as Fort Macon Road); thence from said beginning point North 88 degrees East feet to a point; thence with the western line of Bailey (now or formerly) South 03 degrees West feet to an existing iron pin; thence South 87 degrees West feet to a nail set; thence North 31 degrees East feet; thence North 03 degrees East feet; thence North 23 degrees East feet; thence North 19 degrees East feet to the point of BEGINNING and containing acres more or less. Tract 2: BEGINNING at a common corner with Peppertree Atlantic Beach Associates (now or formerly), said corner marking the southwestern corner of that property shown on a unrecorded plat by Roase and Associates dated December 8, 1997, entitled Peppertree A.B. Associates General Store and Pavilion, thence from said point South 87 degrees West feet to a point; thence North 20 degrees East feet; thence North 69 degrees West feet to a point; thence North 03 degrees East feet to a point; thence North 88 degrees East feet crossing a pin to a point; thence North 88 degrees East feet to a point; thence South 02 degrees East feet to the point of BEGINNING and containing acres more or less, which interest was conveyed to Peppertree-Atlantic Beach Association, Inc., by virtue of those certain deeds recorded in Book 856, Page 658, and Book 872, Page 344, Carteret County Registry. Conveyed herewith to the grantees, their successors and assigns is a perpetual easement for ingress, regress, and regress over and across that certain unnamed existing driveway running in a northeasterly

5 Page 5 of 6 direction, abutting the western boundary of Tract 1, as said existing drive is shown on that certain unrecorded plat by James I. Phillips, III R. L. S. No. L-3151, titled Peppertree Atlantic Beach Associates Boundary and Easement dated March 24, Conveyed herewith to the grantees, their successors and assigns is a perpetual twenty-foot wide easement for installation and maintenance of underground utilities, as well as ingress, egress and regress, said easement running from Tract 1 to Tract 2. Said easement is more particularly described as BEGINNING at a point that is South 02 degrees East 20 feet from Point number 64 as shown on an unrecorded plat by Roase and Associates, dated December 8, 1997, entitled Peppertree A. B. Associates General Store and Pavilion, thence South 02 degrees East 20 feet to a point, thence in a northeasterly direction, running parallel with the right of way of Highway NC 58 (now or formerly Fort Macon Road ) to the unnamed driveway described immediately above; thence northeast with the boundary of said easement for the unnamed driveway 20 feet; thence in a southwesterly direction, running parallel with the right of way of highway NC 58 (now or formerly Fort Macon Road ) to the point of BEGINNING, and being to the south of Highway NC 58, north of the presently existing laundry located on the property, and within the right of way for NC 58.

6 Page 6 of 6 EXHIBIT C APPURTENANT EASEMENTS IN FAVOR OF ALL OWNERS WITHIN PHASE II AND PHASE III CONDOMINIUMS (pursuant to Article XX of Declarations recorded in Unit Ownership Book 62, Page 172 and Deed Book 778, Page 990, re-recorded in Deed Book 784, Page 503, all in the Carteret County Registry) The rights and easements conferred shall be appurtenant to the ownership interest of unit week purchasers, shall run with the land, and shall inure to the benefit of the heirs, successors and assigns of unit week owners, and shall be an encumbrance on the [Land offered by Seller], its successors and assigns. The rights and easements conferred are as follows: 1. Easement for Ingress and Egress. The Owner of a Unit or Unit Week in Phase II or Phase III shall have an easement for ingress and egress over such streets, walks and other rights of way serving the units within the Condominium Complex as part of the Common Elements as may be necessary to provide reasonable access to said public ways, and such easement shall extend to the invitee and licensees of said Unit Owner. In the event that any said easements for ingress and egress shall be encumbered by any leasehold or lien other than those on the Condominium Units, such leasehold or liens shall hereby be subordinate to the use rights of any Unit Owner or Owners whose Unit is not also encumbered by said leasehold or lien. Provided, however, that the easement for ingress and egress provided for herein for Owners of Unit Weeks shall extend only during those Unit Weeks purchased by said Unit Week Owner. 2. Easement for Encroachments. Certain segments of roadways, parking areas, or pedestrian ways, as shown on the recorded plat of the condominium as amended from time to time, may encroach on the retained lands of the Declarant [Land offered by Seller]. A non-exclusive easement is hereby creating running to all purchasers of unit weeks in and to such roadways, parking areas, or pedestrian ways which may accordingly encroach. 3. Easement for Roadways. Unit Week Owners are herby granted a perpetual easement appurtenant to their unit week interests in and to those certain access roads shown on the plat of Peppertree Atlantic Beach Condominium [Seller], entering into the property and connecting the same with Salter Path Road by a right of way or easement north of and adjacent to the development area, but provided, however, that Declarant may relocate access to the Condominium s long as the substituted access is equivalent in traffic capacity, safety and convenience. 4. Easement for Utilities. To the extent that utility lines for services to the premises, including, but not by way of limitation, electrical, water, telephone, and cable television services, may cross any of the retained lands of Peppertree Atlantic Beach Condominium or the Declarant, in order to reach and provide service to the condominium, a perpetual easement is hereby granted to the Association and to the unit week purchasers for the same, binding on the Declarant, its successors and assigns, and inuring to the benefit of unit week owners, their heirs, successors and assigns.
