( the Bank) office at CPU,Annex building, Plot No. 39/40/41, Sector 11, CBD Belapur,Navi Mumbai The contract period will be for one year. The Bank is looking for Computer printer providers who would provide 27 Computor printers on rental basis and maintenance for 46 computer printers thereof along with maintenance engeeneers Interested vendors/ providers may submit their bids containing all the Annexure - I,II,III & IV duly signed in sealed envelope to be super scribed with the words Application for providing Computer printers on rental basis and maintenance at CPU, Navi Mumbai to Common Facility Department, IDBI Bank Ltd, CPU,Annex building, Plot No. 39/40/41, Sector 11, CBD Belapur,Navi Mumbai on or before 3.00 P.M. on Monday, March 26, Tenders not satisfying the procedure prescribed in the tender document will be treated as invalid and rejected summarily. 3 Procedure for submitting Tender The Tender shall be submitted in two parts viz. Part-I (Technical bid) and Part- II (Financial bid) in two separate covers which are to be sealed and put in a master envelop super-scribing with the words "Tender for supply of Computer printers on rental basis and maintenance. Cover I This Cover forming Part-I of the Tender should be super-scribed with the words "Tender for supply of Computer printers on rental basis and maintenance " (IDBI Bank Ltd. CPU, Navi Mumbai, ) Technical Bid, containing following information / documents, duly addressed to the Deputy General Manager (Administration), IDBI Bank Ltd.,CPU, Navi Mumbai and be dropped in the Tender Box placed on 3rd floor of CPU, Navi Mumbai up to hrs (03:00 pm) on or before March 26, Documents/Information to be submitted: a) Vendors/providers profile giving details as per Annexure IV b) Certified copies of Memorandum of Association, Articles of Association, Board Resolutions, LLP Agreement, Self-attested copy of deed of partnership, based on the constitution of the vendors /providers. c) Self-attested copies of GST and updated certificate issued in the name of under Shops and Establishments Act. d) Copy of PAN card. e) List of establishments where the bidder is currently supplying computer printers and carrying out maintenance with information regarding name of the Organization, full address, Telephone No & Fax No, Contract person, copy of Purchase order (along with order dates and value ) or consolidated statement of invoices for last two years attested by the purchaser. f) Demand draft of Rs.50,000/-(Rupees Fifty thousand only) drawn in favour of IDBI Bank Ltd, payable in Mumbai, towards Earnest Money Deposit (EMD). It may be noted that the EMD shall not carry any interest and that EMDs of the unsuccessful bidders would be refunded only after finalization of the tender or within 90 days from the date of opening of Part-I of the tender, whichever is earlier. The EMD of the

4 successful bidder would be converted into Security Deposit and shall not carry any interest and would be refunded at the time of termination of the contract period. Having gone through the Tender Document, Terms and conditions for the aforesaid job, we offer ourselves for providing end to end solutions for aforesaid job. 2. We agree to abide by this bids and it shall remain binding on us. 3. We note that (i) IDBI Bank Ltd reserve the right to offer the same type of services to more than one agency and (ii) IDBI Bank Ltd reserves the right to reject lowest and / or all other offers without assigning any reasons thereof. 4. We declare that our agency has never been involved in providing services to any anti social groups/out lawed organization and / or our agency has never been involved in any kind of fraud/legal cases arises out of such issues. 6 Annexure- II Pre-qualification criteria 1. The vendors / providers should be of repute & an established vendors / providers capable to supply computer printers and carry out maintenanace for which bids have been submitted. The vendors / providers should have experience of at least three years in the said business. (Documentary evidence to be submitted) 2. The vendors / providers shall be a profitable concern and shall have minimum annual turnover of atleast Rs.5 lakhs (Rs. Five Lakhs only) during each of the last 3 years (Audited Balance Sheet for the last 3 FYs , , and to be furnished 3. Demand draft of Rs.50,000/-(Rupees Fifty thousand lakh only) drawn in favour of IDBI Bank Ltd, payable in Mumbai, towards Earnest Money Deposit (EMD). It may be noted that the EMD shall not carry any interest and that EMDs of the unsuccessful bidders would be refunded only after finalization of the tender or within 90 days from the date of opening of Part-I of the tender, whichever is earlier. The vendors / providers supply of Computer printers on rental basis and maintenance facility should be within the vicinity of 25 km from Annex building, Plot No. 39/40/41, Sector 11, CBD Belapur,Navi Mumbai.. (Documentary evidence to be submitted) 6. Declaration on letterhead of the vendors / providers that it has never been involved in any illegal activity or financial frauds. 7.Declaration on letterhead of the vendors / providers that its contract in the past was not terminated during the contract period due to unsatisfactory performance, nor it refused to continue the services for the Bank after the contract was awarded by the Bank in the past;

Declaration on letterhead of the vendors / providersthat they have not been put in the negative list by any public sector bank/ Govt. organization, for breach of applicable Laws or violation of regulatory prescriptions or breach of agreement. Annexure - III Terms & Conditions 1. Good quality computer printers in working conditions should be installed at CPU, Navi Mumbai on contractual basis and trained engineers should be provided along with the printers. 2. The vendors / providers will provide a qualified maintenance engineer who should be available from Monday to Saturday from 10 a.m. to 6 p.m. The above timing is an indicative one which may vary depending upon the maintenance work load. However in case of urgency, they should be available as and when required on short notice. 3. The duties of maintenance engineer includes maintaining the computer printers provided by the vendors / providers as well as the computer printers owned by the bank in good working condition, filing of cartridges, etc. The materials required for the above work i.e. cartridges and other items will be provided by the Vendor only. 4. The vendors / providers is responsible for any matter relating to the above computer printers and the maintenance engineer with the machines. The machines shall be maintained in good condition on regular basis. 5. The requirement of power for operating the computer printers will be arranged by the Bank. Computer printers will remain property of the vendor/provider and bank as stated in para 3 above and any repairs, additions to the machine should be carried out at the cost of vendor only. 6. The maintenance engineer will be allowed to enter the premises during working hours and other business days as laid down by Bank from time to time.

8 7. As per requirement, the Bank reserves the right to avail service at any other location in Greater Mumbai region. 8. In case of existing maintenance engineer going on leave, vendor should provide alternate trained maintenance engineer. 9. The vendors / providers should issue identity card to the maintenance engineer engaged in service. Also, they should be carrying mobile phones with them on which they should be reachable during and after office hours. 10. In case the Bank owned computer printers prospective vendors / providers may visit the bank premised at above address for inspection of conditions/specifications and other parameters of the computer printers,if required. 11. The vendors/ providers shall be responsible for inferior quality/ bad printing. In case of non-acceptability of printed copies due to bad printing/inferior quality printing, the vendors/ providers shall be liable to repeat the work to the satisfaction of the the Bank, without any extra cost/payment/compensation etc. 12. Payments shall be made by electronic mode only. It is advisable that the selected vendor may open an account with the Bank for direct credit in the account. Otherwise, the vendors /providers may provide the other Bank account details for electronic mode (NEFT/RTGS) payments. 13. No advance will be paid for carrying out any type of job/activities. 14. No escalation in rates on any account will be permitted during the contract period. 15. The Bank reserves the right to terminate the contract at any time during the tenor of the contract period without assigning any reason thereof. In case of deficiency of services, Bank reserves the right to terminate the contract with 30 days notice period. 15. In the event of any default or failure in printing or maintaining quality, the Bank. reserves the right to take any necessary action including, inter alia, deducting any amount as a penalty from the amounts due to the vendors / providers and also the Bank may terminate the contract with such vendors / providers without giving any notice. 16. All disputes will be settled within Mumbai jurisdiction only. 17. vendors / providers is servicing as a independent service provider to the Bank and this tender / agreements create no employment relationship

9 between the Bank and employees, representatives of the bidder / provider. It is clarified that this tender / agreements is on a principal to principal basis and does not create and shall not be deemed to create any employer - employee or principal agent relationship between the Bank and bidder / provider, 18. Successful vendors / providers would be required to execute the legal documents i.e. Contract Form /Service Level Agreement, Indemnity etc., with the Bank at Mumbai only as per Annexure -V. 19. Indemnity The vendors / providers shall execute and furnish to the Bank, a deed of indemnity in favour of the Bank in a form and manner, as given indemnifying the Bank its directors, employees, agents and representatives from and against any costs, loss, damages, expense, claims, litigations, suits, actions, judgments, and or otherwise including but not limited to those from third parties or liabilities of any kind howsoever suffered, arising out of or incurred inter alia due to non-compliance terms and conditions of services and representations & warranties of bidder / provider during and after the Contract period including but not limited to third-party claims. 20. Penalty IDBI Bank reserves the right to recover penalty for non-compliance of terms of service or delay in providing the service. The penalty will be 5% of the bidder s bill amount. IDBI Bank may, without prejudice to its right to effect recovery by any other method, deduct the amount of penalty from any money belonging to the Bidder in its hands (which includes the Bank s right to claim such amount against Bidder s Bank Guarantee) or which may become due to the Bidder. Any such recovery of penalty shall not in any way relieve the Bidder from any of its obligations to complete the works / Services or from any other obligations and liabilities under the Contract. 21. Disclaimer The information contained in this Tender document or information provided subsequently to the applicants whether verbally or in documentary form, by or on behalf of IDBI Bank Limited (IDBI Bank/Bank), is provided to the bidder(s) on the terms and conditions set out in this Tender document and

10 all other terms and conditions, subject to which such information is provided. This Tender document is not an agreement and is neither an offer nor an invitation to offer by IDBI Bank. This Tender is to invite proposals from applicants who are qualified to submit the bids ( Bidders ). The purpose of this Tender is to provide the Bidder(s) with information and to assist them in formulation of their proposals (Bids). IDBI Bank makes no representation or warranty and shall incur no liability whatsoever under any law, statute, rules or regulations as to the accuracy, reliability or completeness of this Tender. 12 Annexure VI Contract Form (To be submitted by the Successful Bidder) THIS AGREEMENT made at the day of between IDBI BANK LIMITED, a company registered under the Companies Act, 1956 (1 of 1956) and a banking company within the meaning of Section 5 (c) of the Banking Regulation Act, 1949 (10 of 1949) and having its registered office at IDBI Tower, WTC Complex, Cuffe Parade, Mumbai (hereinafter called the Purchaser which expression shall unless it be repugnant to the subject, context or meaning thereof shall be deemed to mean and include its successors and assigns) of the ONE PART and. (Name of Successful Bidder) of (Please specify the registered office of the Successful Bidder) (Hereinafter called the Vendor which expression shall unless it be repugnant to the subject, context or meaning thereof shall be deemed to mean and include its successors) of the OTHER PART; The Purchaser and Vendor are hereinafter collectively referred to as "Parties" and individually as Party- WHEREAS the Purchaser vide Tender No. dated (the Tender) invited bids for certain Services viz. Each of the representations, warranties and undertakings of the Contractor contained in the RFP shall be deemed to have been made as of the date hereof. 3) In consideration of the payments to be made by the Purchaser to the Contractor as hereinafter mentioned, the Contractor hereby agrees and covenants with the Purchaser to provide/render the Services and to remedy defects, if any therein, strictly in conformity in all respects with the provisions of the Contract. 4) The Purchaser hereby agrees and covenants to pay the Contractor in consideration of the rendering of the Services, furnish necessary undertakings, guarantees and also to remedy defects, if any therein, the Contract price or such other sum as may become payable under the provisions of the Contract at the times and in the manner prescribed by the Contract. 14 Deed of Indemnity (To be submitted by the Successful Bidder) On Rs. 500/- Stamp Paper This Deed of Indemnity executed at Mumbai on the day of by <insert name of the Successful Bidder> (hereinafter referred to as the Obligor which expression shall unless it be repugnant to the context, subject or meaning thereof, shall be deemed to mean and include successors and permitted assigns); IN FAVOUR OF IDBI Bank Limited, a company registered and incorporated under the Companies Act, 1956 (1 of 1956) and a banking company within the meaning of section 5 (c) of the Banking Regulation Act, 1949 (10 of 1949) having its registered office at IDBI Tower, WTC Complex, Cuffe Parade, Colaba, Mumbai (hereinafter referred to as Bank which expression shall, unless it be repugnant to the subject or context or meaning thereof, be deemed to mean and include its successors and assigns) Now, the Bank and Successful Bidder wherever the context so permits, shall hereinafter collectively refer to as the Parties and individually as a Party. WHEREAS 1) The Obligor has a) offered to ( Services )as inclusively stated under sections Scope of Work /Serrvice Level Expectations; b) Represented and warranted that they have obtained all permissions, consents, licenses, registrations, confirmations, approvals from all authorities, both regulatory and non-regulatory, including statutory or otherwise, local, municipal, governmental, quasi governmental, as are required under Applicable Laws for executing the Services to the Bank and also represented and covenanted that all above approvals shall remain in force during contract period; c) Represented and warranted that the aforesaid Services offered to Bank do not violate any provisions of the applicable laws, regulations or guidelines including legal and environmental. In case there is any violation of any law, rules or regulation, which is capable of being remedied the same will be got remedied immediately to the satisfaction of Bank; d) Represented and warranted that they are authorized and legally eligible and otherwise entitled and competent to enter into such contract(s) with Bank; 2) Bank, relying and based on the aforesaid representations and warranties of the Obligor, has agreed to avail the services of the Obligor on the terms and conditions contained in its Contract dated (the Contract) with the Obligor; 3) One of the conditions of the aforesaid Contract is that the Obligor is required to furnish an indemnity in favor of Bank indemnifying the latter against any

15 loss, damages or claims arising out of any violations of the applicable laws, regulations, guidelines during the execution of its services to Bank over the contract period as also for breach committed by the Obligor on account of misconduct, omission and negligence by the Obligor. 4) In pursuance thereof, the Obligor has agreed to furnish an indemnity in the form and manner and to the satisfaction of Bank as hereinafter appearing; NOW THIS DEED WITNESSETH AS UNDER: In consideration of Bank having agreed to award the aforesaid contract to the Obligor, more particularly described and stated in the aforesaid Contract, the Obligor do hereby agree and undertake that: 1. The Obligor shall, at all times hereinafter, save and keep harmless and indemnified Bank, including its respective directors, officers, and employees and keep them indemnified from and against any claim, demand, losses, liabilities or expenses of any nature and kind whatsoever and by whomsoever made in respect of the said contract and any damage caused from and against all suits and other actions that may be instituted taken or preferred against Bank by whomsoever and all losses, damages, costs, charges and expenses that Bank may incur by reason of any claim made by any claimant for any reason whatsoever or by anybody claiming under them or otherwise for any losses, damages or claims arising due to non-compliance terms and conditions of services and representations & warranties of bidder / provider and all kinds of accidents, destruction, deliberate or otherwise, direct or indirect, from those arising out of violation of applicable laws, regulations, guidelines and also from the environmental damages, if any, which may occur during the contract period. 2. The Obligor further agrees and undertakes that the Obligor shall, during the Contract period, ensure that all the permissions, authorizations, consents are obtained from the local and/or municipal, statutory, regulatory and/or governmental authorities, as may be required under the applicable laws, regulations, guidelines, orders framed or issued by any appropriate authorities. 3. The Obligor further agrees to provide complete documentation of all subsystems, operating systems, systems software, utility software and other software, they are having. The Obligor shall also provide licensed software for all software services, whether developed by it or acquired from others for performing the obligations under the Contract. The Obligor shall also indemnify and keep indemnified IDBI against any levies / penalties / claims / demands litigations, suits, actions, judgments, and or otherwise ion account of any default and or breach and or otherwise in this regard. 4. If any additional approval, consent or permission is required by the Obligor to execute and perform the Contract during the currency of the Contract, they shall procure the same and/or comply with the conditions stipulated by the concerned authorities without any delay.

The obligations of the Obligor herein are irrevocable, absolute and unconditional, in each case irrespective of the value, genuineness, validity, regularity or enforceability of the aforesaid Contractor the insolvency, bankruptcy, re-organization, dissolution, liquidation or change in ownership of Bank or Obligor or any other circumstance whatsoever which might otherwise constitute a discharge of or defense to an indemnifier. 6. The obligations of the Obligor under this deed shall not be affected by any act, omission, matter or thing which, would reduce, release or prejudice the Obligor from any of the indemnified obligations under this indemnity or prejudice or diminish the indemnified obligations in whole or in part, including in law, equity or contract (whether or not known to it, or to Bank). 7. This indemnity shall survive the aforesaid Contract. 8. Any notice, request or other communication to be given or made under this indemnity shall be in writing addressed to either party at the address stated in the aforesaid Contract and or as stated above. 9. This indemnity shall be governed by, and construed in accordance with, the laws of India. The Obligor irrevocably agrees that any legal action, suit or proceedings arising out of or relating to any this indemnity may be brought in the Courts/Tribunals at Mumbai. Final judgment against the Obligor in any such action, suit or proceeding shall be conclusive and may be enforced in any other jurisdiction, by suit on the judgment, a certified copy of which shall be conclusive evidence of the judgment, or in any other manner provided by law. By the execution of this indemnity, the Obligor irrevocably submits to the exclusive jurisdiction of such Court/Tribunal in any such action, suit or proceeding. 10. Bank may assign or transfer all or any part of its interest herein to any other person. Obligor shall not assign or transfer any of its rights or obligations under this indemnity, except with the prior written consent of the Bank. The words and expressions not specifically defined shall have the same meanings as are respectively assigned to them in the Bid Document.
