To assist with the preparation of your bid, we have enclosed the following: 1) Timber Sale Synopsis, 2) Timber Contract and 3) a Bid Form. Neither the Seller nor Forest Management Specialists, Inc. guarantee the safety of the Property and all potential buyers shall enter the Property at their own risk. In addition, the Seller reserves the right to reject any or all bids and to accept or reject irregular bids for any reason without explanation. While all of the timber inside the flagged areas is believed to be contained on the property owned by the Seller, it is not guaranteed. As with all timber sales, we encourage the buyers to make their own determination of volume. WARRANTY: Location maps are strictly intended as estimates and references only for the convenience of bidders. Sale area acreage was determined using Mapcard.com (GIS mapping software). The Seller makes no warranty, express or implied, as to the volume or quality of timber within sale area. Each interested bidder should make its own individual determination as to the volume and quality of timber. OFFER: Any desired changes to the contract or contingencies must be submitted to the Seller s Agent two (2) days prior to bid opening. The delivery of a bid shall constitute an irrevocable offer by the bidder to purchase the timber at the bid price submitted subject to the terms and conditions set out in the attached Timber Sale Contract Provisions. Once submitted, bids cannot be revoked except in writing, which must be delivered to Seller prior to the opening bids. Only those companies which have submitted a bid for this Timber Sale will receive bid Page 2 of 7

3 results. Notification of bid acceptance or rejection will occur on or before December 6, 2018 upon which time, the selected bidder will be promptly notified. ACCEPTANCE: In the event a bid offer is accepted, the bid offer and acceptance will become a binding contract to purchase the timber on the terms and conditions set out in the invitation to bid. CLOSING: At closing, Seller will deliver the Timber Sale Contract containing the attached provisions. Buyer will submit payment to the Seller by cash or Cashier s check at the signing of the Timber Contract, which shall be within three weeks of bid acceptance. A performance bond in the amount of 5% of the total accepted bid mad payable to Forest Management Specialists, Inc. Escrow will also be submitted by the Buyer at closing. The performance bond will be refunded to Buyer upon completion of harvest, provided conditions of Timber Sale Contract have been fulfilled. Buyer will pay all recording fees. Any lawyer s title certificate or title insurance policies shall be the sole responsibility of the Buyer and the Buyer will pay any expenses incurred for the same.
