OF WEST BENGAL. through electronic tendering (e-tendering) from bonafide contractors/ enlisted contractors of WSFL, having sufficient credential and financial capability for execution of works of similar nature/building and allied nature of works of at least 40% of the amount put to tender in a single job during the preceding 3(Three) y e a rs. 3. General Guidance for e-tendering 3.1 Instructions / Guidelines for tenderers for electronic submission of the tenders online have been shown in Web site Registration of Contractors Any contractor willing to take part in the process of e-tendering will have to be enrolled and registered with the Government e-procurement System. 3.3 Digital Signature Certificate (DSC) Each contractor is required to obtain a Class-II or Class-III Digital Signature Certificate (DSC) from any Certifying Authority (CA) under CCA, Govt. of India for submission of tenders. 3.4 Eligibility Criteria Contractors, Registered Engineers Co-operative Societies, and Partnership firms having previous work experience with the State Government / Central Government /Govt. Undertakings / MES / Railways / Autonomous Bodies are eligible to participate. 3.5 Collection of Tender Documents The contractor can search and download NIT and tender documents electronically from computer once he logs on to the website mentioned in Clause 3.1 using the

2 Digital Signature Certificate. This is the only mode of collection of tender documents. Details of submission procedure are given below. 4. Submission of Tenders 4.1 General process of submission Tenders are to be submitted online through the website stated in Clause 3.1 in two folders, at a time for each group of work; one is for Technical Bid and the other is for Financial Bid, and both the bids shall be submitted in one sealed cover before the prescribed date and time mentioned in the list attached. Using the Digital Signature Certificate (DSC), the documents are to be uploaded virus scanned and digitally signed. The document will get encrypted (transformed into non-readable formats). Tenderers should specially take note of all the addendum/corrigendum related to the tender and upload the latest documents as part of the tender. 4.2 Technical Bid The Technical Bid should contain scanned copies and/or a declaration in standardised formats of the following in two covers (folders). a. Technical File (Statutory Cover) containing: i). NIT (to be submitted in NIT Folder) ii) Earnest Money Deposit (EMD) and the cost of Tender Documents (Tender Fees) Demand Draft/Banker s Cheque/Pay Order towards cost of earnest money as prescribed in the Work List, in favour of Westinghouse Saxby Farmer Limited, payable at Kolkata from any Nationalised Bank. EMD money to the unsuccessful tenderers will be refunded after uploading of Award of Contract (AOC) in the Govt. Portal. No interest is payable on this amount. For successful tenderer, the EMD money shall be converted to Security Deposit.( to be submitted in DRAFT Folder ) iii) GENERAL CONDITIONS OF CONTRACT. 3 x) Declaration towards acceptance of deduction of Security Deposit 3% from each R.A Bill. The enlisted contractors of WSFL are to upload the enlistment certificate issued by WSFL in non-statutory cover for availing the following:- xi. Earnest Money Deposit Demand Draft/Banker s Cheque/Pay Order towards cost of earnest money as prescribed in the NIT in favour of Westinghouse Saxby Farmer Limited, payable at Kolkata from any Scheduled 1% of the amount put to tender. EMD money to the unsuccessful tenders will be refunded after issue of Work Order. No interest is payable on this amount. a) Performance Guarantee Declaration towards deposition of Bank 2.0% of the tendered amount after receipt of Letter of Acceptance (Form-1) Cum Work Order. b) Declaration towards acceptance of deduction of Security Deposit 7.0% from each R.A Bill. xii. Other Mandatory Forms a) Power of Attorney Power of attorney duly signed by the competent authority, if the power is delegated for signing the bid to persons other than the applicant. Note: i) NIT, Tender Form (Articles of Agreement, General Conditions of contract, Technical specification & Special Terms & Conditions) are to be digitally signed and uploaded ii) Tenders will be summarily rejected if any item in the statutory cover is found missing. b. My Document (Non-Statutory Cover) containing, i. Valid Upto-date Professional Tax (PT) Clearance Certificates and IT return, PAN at the time of opening of the tenders. Application for such clearance addressed to the competent authority may also be considered. ii. U p t o - d a t e VAT Return Certificate of the last quarter of the previous financial year. iii. Upto-date enlistment certificate issued from WSFL (wherever applicable) iv. Bank Solvency Certificate v. P.F. registration certificate. vi. Bank transaction statement for the last 1 (one) year.

4 vii. Certificate from the bank regarding cash/credit limit, BG limit & OD limit. viii. Up to date electrical contractory & supervisory license from electrical licensing Board, Govt. of West Bengal. ix. Credentials - Completion Certificate, work order and payment certificate for similar nature of work & allied nature of work, executed within last 3(Three) years (to be determined from the actual year of completion, considering as year-1) issued by competent authority. x. List of equipment proposed to be deployed for the work. xi. List of Technical personnel with their educational qualification. Minimum 1(one) no. of Diploma Civil Engineer with experience in executing similar nature of work & allied nature of work.

Failure of submission of any one of the above mentioned documents will render the tender liable to be summarily rejected. All original copies of documents including EMD and Tender fees shall have to be submitted to Associate Chief Engineer /C.E.P. at the office of Westinghouse Saxby Farmer Ltd. (Principal), at 17 Convent Road, Entally, Kolkata hrs before opening of technical bid.

6 Submission of original copies of documents of Tender Fee and Deposition of Earnest Money/Money receipt of fixed security deposit The original copies of the Demand Draft / Banker's Cheque / Pay Order,) towards cost of tender documents, Earnest Money Deposit (EMD) to be submitted to Executive Engineer/C.E.P. at the Office of Westinghouse Saxby Farmer Limited, 17 Convent Road, Entally, Kolkata hrs before opening of technical bid mentioning NIT no. a n d n a m e o f t h e w o r k. 4.3 Financial Bid The financial Bid should contain only the Bill of Quantities (BOQ) in one sealed cover (folder). The contractor is to quote the rate (percentage above/at par/below), excluding service tax, online in the space marked for quoting rate in the BOQ. Only downloaded copies of the above documents are to be uploaded, virus scanned and digitally signed by the contractor. The service tax shall be paid as applicable. 4.4 Eligibility Criteria Financial Bid of any contractor will come under the purview of consideration only when they are technically qualified after evaluation by tender evaluation committee (TEC), constituted for the purpose. The following eligibility criteria are to be fulfilled: a) Experience in completion of similar nature of work & allied nature of works in Govt. organisation / undertaking / autonomous body during any of the last 3 (three) financial year in a single contract of value not less than 40% of the estimated amount put to tender. b) Annual turnover in any of the last 3 (three) years shall be at least 50% of the amount put to tender. c) The bidder or any of their constituent partners shall neither have abandoned any work nor have any of their contracts been rescinded during the last 3 (three) years. Such abandonment or recession will be considered as disqualification towards eligibility. d) Tender issuing authority may relax stipulations contained in clauses above in exceptional cases, in the interest of culminating / maturing tender process at the first call, subject to satisfaction of that authority on the competency of the bidder(s) for which such relaxation has been made, upon recording reasons of such relaxation Penalty for suppression / distortion of facts If any tenderer fails to produce the original hard copies of the documents or any other documents on demand of the Tender Evaluation Committee within a specified time frame or if any deviation is detected in the hard copies from the uploaded soft copies or if there is any suppression, the tender will be rejected & the tenderer is liable to be suspended from participating in all future tenders of Westinghouse Saxby Farmer Limited on e- tender platform for a period of 2 (Two) years. In addition, his user ID will be recommended for deactivation. The Earnest Money Deposit of such tenderer(s) will stand forfeited and his enlistment in Westinghouse Saxby Farmer Limited will be cancelled. Besides, Westinghouse Saxby Farmer Limited may take appropriate action against such defaulting tenderer.

7 4.5 Taxes & duties to be borne by the Contractor. All taxes and duties including Income Tax, VAT, Sales Tax, Royalty, Construction Workers' Welfare Cess and all other statutory levy / cess will have to be borne by the contractor and the rate should be quoted accordingly after consideration of above. 4.6 Site inspection before submission of tender Before submitting any tender, the intending tenderers should make themselves acquainted thoroughly with the local conditions prevailing at site by physical inspection and taking into consideration all factors and difficulties likely to be involved in the execution of the work in all respect and no claim whatsoever on this account will be entertained afterwards. Tenderers may contact the office of the ACE/CEP for the purpose between 9.30 hours to hours on any working day prior to date of submission of tenders regarding clarifications on any official matters in connection with the above issues. A pre-bid meeting may be arranged at the Office of the Principal on a date to be notified through website prior to submission of bid. 4.7 Conditional and incomplete tender Conditional and incomplete tenders are liable to be summarily rejected. 5. Opening and evaluation of tender 5.1 Opening of Technical Bid i. Technical Bids will be opened by the Associate Chief Engineer- CEP, Westinghouse Saxby Farmer Limited and/or his authorized representatives electronically from the website stated in Clause 2.1, using their Digital Signature Certificate. ii. iii. iv. Intending tenderer(s) / or their authorized representatives may be present, if they so desire at the time of opening of Technical Bid. Cover (Folder) for Statutory Documents (vide Clause 3.2.a) will be opened first and if found in order, the Cover (Folder) for Non-statutory Documents (vide Paragraph 3.2.b) will be opened. In case of absence of any Statutory Documents, the tender will summarily be rejected. Decrypted (transformed into readable formats) documents of the Non statutory Cover will be downloaded, and handed over to the Tender Evaluation Committee (constituted for evaluation of tenders). 5.2 Uploading of summary list of technically qualified tenderers (1st round) i. Pursuant to scrutiny and decision of the Tender Evaluation Committee (TEC), the summary list of eligible bidders whose Financial Bid(s) will be considered, will be uploaded in the web portals. ii. While evaluation, t h e Committee m a y summon t h e bidder(s) a n d seek

8 clarification / information or the bidder(s) may be required to submit additional documents or original hard copy of any of the documents already submitted and if these cannot be produced within the stipulated time frame, their bid(s) will be liable for rejection. 5.3 Provision for appeal and its disposal i. Intending bidder(s) not satisfied with the decision of the Tender Evaluation Committee (TEC) may appeal to the Managing Director in writing (through facsimile / or speed post) within two working days after the date of uploading of the summary list of the successful bidders. Copy of such appeal should also be sent to the Tender Inviting Authority of the Executing Agency. ii. The Appellate Authority, i.e. Managing Director will dispose of such appeals by hearing the aggrieved bidders as well as consulting the Tender Evaluation Committee and the tenderer will be communicated accordingly. 5.4 Final publication of summary list of technically qualified tenderer(s) In case, the Appellate Authority asks the Tender Inviting Authority to consider the bid of any of the aggrieved tenderer, who may have preferred appeal, the process of uploading of qualified tenderer(s) will be re-done by the tender inviting authority by issuing necessary corrigendum which will be uploaded in the tender portal for information to all bidders. Date of opening of financial bid will be intimated in the final summary list which will be uploaded in the tender portal for information to all bidders. 5.5 Opening and Evaluation of Financial Bid i. Financial bids of the tenderers declared technically eligible by the Tender Evaluation Committee will be opened electronically from the web portal stated in Clause 2.1 on the prescribed date, normally after 5(five) working days from the date of publication of result of technical evaluation of the bids by the Associate Chief Engineer-CEP, Westinghouse Saxby Farmer Limited. ii. iii. iv. The encrypted copies will be decrypted and the rates will be read out to the contractors or their representatives remaining present at that time. After evaluation of Financial Bid(s) by the Tender Evaluation Committee and after having necessary comments from the Associate Chief Engineer-CEP, (Tender inviting authority), the final summary result containing inter-alia, name of bidders and the rates quoted by them against the work ( one bidder can participate in two(2) locations only) will be uploaded provided Tender Evaluation Committee is satisfied that the rate obtained is fair and reasonable and there is no scope of further lowering down of rate. However, if there is any scope for lowering down of rates in the opinion of the Tender evaluation committee, the tender inviting authority may declare the former publication stated in Paragraph 4.5.(iii) above as semi-final and notify all the tenderers through the website to attend sealed bids to be followed by open bids to be held at office of the Principal on the prescribed date and time, which will be done offline i.e. manually.

9 v. After holding such bids, final summary result would have to be uploaded in the web portal, through corrigendum. vi. The Tender Inviting Authority may ask any tenderer to submit analysis to justify the rate quoted by that tenderer. 5.6 Procedures to be followed when one / two technically qualified bidders participated in any tender a. Financial bid of technically qualified single / two bidders may not be opened immediately. b. 2nd call may be invited immediately after technical evaluation and uploading the list of the technically qualified bidders(s) of the 1st call. c. If such bidder(s) technically qualified in the 1st call intend(s) to change their rates quoted in the 1st call, they are to purchase tender paper afresh. In case of non purchase, the rates quoted in the 1st call would remain valid. d. After selection of technically qualified bidders for 2nd call (in case new tenderer other than the existing tenderer of the 1st call), financial bid of both 1st and 2nd call would be opened. e. Financial evaluation would be made in a combined way considering both 1st and 2nd call. f. However, as stated in clause 4.6.(c), in case bidder(s) of 1st call submit(s) fresh tender in 2nd call, rates of 2nd call should be considered in the process of evaluation. 6. Acceptance of Tender Lowest valid rate should normally be accepted. However, the Tender Inviting Authority does not bind himself to do so and reserves the right to reject any or all the tenders, and also reserves the right to distribute the work amongst more than one tenderer. 7. Submission of Performance Bank Guarantee on acceptance of tender The bidders, whose bid is accepted, shall on receipt of Work Order, will have to deposit an 5.0% (five percent) for outsiders 2.0% (two percent) for enlisted contractors of the tendered amount towards their performance in the form of Bank Guarantee from any scheduled bank prior to execution of agreement on nonjudicial stamp paper of Rs.100/- in the prescribed format available in the tender document. The said agreement will have to be submitted to the office of the ACE/ CEP within 7 (seven) days from the date of Work Order, failing which the deposited earnest money will be forfeited and the Work Order will be treated as cancelled. 8. Refund of Earnest Money of the unsuccessful bidder(s) For refund of the Earnest Money of the unsuccessful bidder(s), he/she/they is/are to apply for the same to the Associate Chief Engineer-CEP of Westinghouse Saxby Farmer Limited with the work, giving the reference of the work, NIT No., date of tender, sl. no. of the group, amount and mode of Earnest Money deposited all in a complete form. The Earnest Money of all bidder(s) other than the lowest bidder of each group may be refunded after finalisation of the tender.

10 9. Physical stages of Work and Mode of Payment 9.1 Milestone 1 i.e Construction up to window sill level: 2 months from the date of issue of work to proceed the work. 9.2 Milestone 2 i.e Construction up to roof level: 4 months from the date of issue of work order to proceed the work. 9.3 Milestone 3 i.e Works Completed in all respect: 6 months from the date of issue of work order to proceed the work. 9.4 Mode of Payment: i) Mobilisation advance of 10% of the Tendered value after issuing work order in 2 equal instalments may be released only after getting the sum from the client and against submission of irrevocable Bank Guarantee in favour of Westinghouse Saxby Farmer Limited as per prescribed proforma from any scheduled bank for equivalent amount; ii) 30% of the Tendered Value after completion of milestone 1 work. iii) 40% of the Tendered Value after completion of milestone 2 work. iv) Balance 20% after completion of milestone 3 work. 9.5 Payment against the R/A Bills & Final Bill of the CONTRACTOR shall be made by the ACE/ CEP after submission of the bill by the CONTRACTOR with the necessary Test Report and allied documents after certification by the ACE/ CEP. The CONTRACTOR shall have to submit the monthly P.F. Challans, quarterly return under VAT Act along with Photo Copy of Challans for certification of the payment. In case of non-submission of the above documents no payment will be released from the concerned department. 9.6 Security Deposit 3% if EMD 2%, 7% if EMD 1 % will be deducted from each R.A Bill. 10. Bid Validity: The bid will be valid for 90 days from the date of opening of the Financial Bid 11. Execution of Formal Agreement after acceptance of tender The bidder, whose tender is approved for acceptance, shall within 15 days from the receipt of letter of acceptance (LOA) to him, will have to execute Formal Agreement with the tender accepting authority in duplicate on Non-Judicial Stamp Paper of Rs.100/- failing which the LOA may be treated as cancelled. The format for the contract agreement may be collected from the Executive Engineer/C.E.P.
