Balmer Lawrie & Co Ltd (BL) invites offers from Land Owners/Lease Hold Right Owners, for a tranche of non-agricultural land of 5-10 acres for industrial use, located between Chennai and Chittoor. Interested bidders should have clear title of the land, free from encumbrance, litigation/ have valid rights for transfer of land by the way of Outright Sale/ Lease/Transfer of Lease Hold Rights to Balmer Lawrie & Co. Ltd. The Company, reserves the discretion to either opt for outright purchase or Lease, based on operational requirements/commercial terms offered by bidders, and the decision of the company will be final. The tender is invited in two-bid system. The tender document consists of Technical bid and Price bid. All bids are to be completed and returned in accordance with tender requirements within the duration as mentioned above. 1. Tender document Tender Documents can be downloaded from The tender document can also be obtained from the office of AVP (SCM), Balmer Lawrie & Co. Ltd. 5, J. N. Heredia Marg, Ballard Estate, Mumbai , India in person or by to palchaudhuri.an@balmerlawrie.com 2. Earnest Money Deposit (EMD) Along with the Technical Bid, Bidders have to submit Earnest Money Deposit of Rs.12,50, (Rupees Twelve Lakhs Fifty Thousand Only) by Demand Draft/Pay order/swift/rtgs Transfer in favour of Balmer Lawrie & Co. Ltd., payable at Mumbai, India. The Demand Draft/Pay order has to be made from a Scheduled Indian Bank. The EMD, if remitted by bank transfer, should have been credited to our Bank Account at least one day prior to the Due date for the tender. The Bank and other details as required for effecting SWIFT/RTGS Transfer is detailed in Annexure- 5 of this Tender. Cheque / Cash payment is not acceptable towards EMD / Bid Bond. OFFERS RECEIVED WITHOUT EMD WILL BE REJECTED Page 1 of 13
2 a) EMD will carry no interest b) For the successful bidder, the EMD will be converted as Security Deposit c) For the unsuccessful bidders, the EMD will be refunded only after completion of due diligence EMD is liable to forfeiture in the event of: a) Withdrawal of offers by the bidders during the validity period of the offer b) Any unilateral revision made by the bidder during the validity period of the offer c) Non execution of conveyance deed by the bidder, after acceptance of the offer 3. Due Date for Submission of Bids The Original Bid along with the copies of documents requested for as per the tender requirements, must be sent either in person or through post/ courier addressed to Associate Vice President (SCM), Balmer Lawrie & Co. Ltd. 5, J. N. Heredia Marg, Ballard Estate, Mumbai , India on or before 4:30 pm on Offer received through fax/ or in any other form of open offer shall not be accepted. The Company shall not take any responsibility for any delay or non-receipt of any document. If any of the documents furnished by the bidder is found to be false/ fabricated, the bid is liable to be cancelled. The bidder should follow all the instructions mentioned in Annexure-3 (Check List for Bid submission) for sealing and sending the sealed bid/offer Late Bids Any bid received after the submission deadline will be declared Late and rejected and returned unopened to the bidder 3.2. Bid Validity The offer shall remain valid for a period of six months from the due date. 4. Bid Rejection Criteria A bid may be rejected if i. If the bidder fails to send the Earnest Money Deposit (EMD) amount along with the Technical bid. ii. If the bidder does not meet the Technical criteria and/or non-submission of documents specified in the tender. iii. The bids of any Tenderer may be rejected if a conflict of interest between the bidder and the Company is detected at any stage. 5. Technical Bid The Land offered should comply with the requirements as specified in Annexure -1 of this tender and the technical bid should be submitted with the documents specified, duly signed and sealed Opening of Technical Bid The Technical bids will be opened on at pm in the office of BL located at 5, J. N. Heredia Marg, Ballard Estate, Mumbai , India in the presence of competent authority. 7. Price Bid The Price bid is to be submitted in Annexure-4 (A) (for outright purchase) or Annexure- 4(B) (for Lease or Lease transfer). The price quoted should be Firm price, with a validity of 6 months from the due date of tender. In case the parcel of land needs development, cost towards the same, as assessed by Balmer Lawrie, will be added for the purpose of price comparison, which will be final and binding on the bidder. Statutory exclusions for the purpose of environmental requirements will not considered for land development purposes. The price bid should provide information of indicative stamp duty for registration and applicable taxes or surcharges Opening of Price Bid The Price Bid of technically qualified Bidders, whose Property has been found suitable/ approved by the BL Committee, shall only be opened. Date, time and location of Price Bid opening will be intimated to the qualified bidders, at least one week in advance of the opening. 8. Evaluation of Bid The Technical Bids will be opened on the scheduled date. A Committee of Balmer Lawrie officers, duly authorized by the Competent Authority, will evaluate and shortlist the offered properties by comparing and conforming to the pre-qualification/technical criteria. The committee, while shortlisting, will also evaluate the properties with respect to the suitability of its purposes by considering aspects such as proximity of land to National Highway, development of the area, transportation facility & access to the plot, landscape of the plot, quality of construction of factory shed & other buildings, availability of other infrastructure and utilities, etc. The decision of the Committee will be final and binding on the bidder(s). The Price Bid of the bidders, whose offers have been shortlisted by the Committee and approved by the Sanctioning Authority, will be opened in presence of the shortlisted bidders. Certain elements of the Price Bid will be subject to factoring, as explained in Annexure 6, to ensure a level playing field is available for properties located at different regions and industrial zones. 4 9. Essential conditions for the Land Parcel 9.1. Size and Location of Land: 5-10 acres of Non Agricultural Land, between Chennai and Chittoor free from any Encumbrances and demands from Statutory Authorities for Dues Ownership: It is to be noted that only bids from land owners / leasehold right owners with clear title will be entertained. For leased properties, balance lease period has to be at least forty (40) years Other requirements are: a. The Property should be easily accessible to National Highway (NH) b. The Property should be constructed on a well-developed land that is rectangular/square in shape c. The approach road to the Property should be free of overhead wiring for free access of trucks and must be minimum 20 feet wide ( Suitable for manoeuvring 40 MT trailer) d. The Property should have a minimum Frontage of 200 Feet e. The Property should be contiguous and without any pockets f. The Property, with built-up infrastructure, must have availability of HT (High Tension) Power and Water connection g. The Property should be free of Overhead Power Transmission Lines and any public/municipal drainage/sewerage lines h. The Property, with built-up infrastructure, should preferably have the following infrastructure i. Administration Building, Utilities, Pump Room, DG Set Area, Sump i. The Property, with built-up infrastructure, should have well-maintained Factory Shed(s) of minimum 30,000 sq. feet j. The Factory shed(s), if available, must be of operational quality with clear ceiling height of 30 ft. (approximately) and & 50 ft. (approximately) column span k. The Property should have adequate green cover around the shed & good access roads for movement of heavy vehicles(40 MT)/ 40 TEU containers l. The Property should not be notified and / or in the process of acquisition (present / proposed) by any Statutory Authority (ies) m. All approvals & clearances pertaining to the land & shed must be valid at least till December Negotiations Negotiations will be held with the owner/lessee of the property considered the most suitable, for the Company s needs to arrive at the final terms of procurement 11. Payment terms Full payment would be made by Cheque / NEFT only on registration of the property, in line with prevailing statute. 12. Additional Responsibilities/ Obligations of the bidder The successful Bidder would take the responsibility of execution of Conveyance Deed. The bidder should take full responsibility in offering land to the Company in compliance with all the applicable statutory provisions as is enshrined in the relevant Laws / Acts / Provisions of the State. 5 The successful bidder will not be allowed to alter/disturb land including cutting/removing of trees/structures/earth after finalisation of the deal. Non-compliance of this condition will lead to disqualification of the bid. No employment or any other preference will be given to the landowners or their dependent relatives or any other person claiming as affected person. The successful bidder will have to ensure that the Property is handed over to Balmer Lawrie in a vacant and peaceful state. Failure to comply with this requirement within 60 days of arriving at a conclusion regarding commercial terms, will automatically disqualify the bid. Balmer Lawrie may, at its own cost, appoint a third party agency to perform a detailed due diligence of the technical and price bid of the L1 bidder. If, during the due diligence, the L1 bid gets disqualified, the next higher bidder will be considered for evaluation. The process may repeat itself. Received Bids are considered only as offers and will have no legal binding on Balmer Lawrie. 8 GENERAL CONDITIONS Annexure-2 Introduction The bidder means the individual, firm or company with whom the order is placed and shall be deemed to include the bidder, successors, representatives, heirs, executors and administrators. Whenever there is a duplication of clause in the terms and conditions, the clause which is beneficial to BL will be considered applicable at the time of any dispute. Validity of the Offer The offer shall remain valid for a period of six months from the due date of the tender. Relaxation of Tender Terms & Conditions BL reserves the right to relax any of the tender conditions, if necessary, while finalizing the tender at its discretion. Rejection of Bids The bid of any bidder may be rejected if a conflict of interest between the bidder and BL is detected at any state. Balmer Lawrie & Co. Ltd reserves the right to accept any tender in whole or in part and reject any or all tenders without assigning any reason. The decision of BL in this connection will be final. Price The rate given in the offer should be expressed both in words and figures and where there is a difference between the two; rate given in words will be taken as authentic. Corrigendum to tender: As and when necessary, Balmer Lawrie & Co. Ltd. reserves the right to add/alter terms and conditions of the tender. The bidders have to keep track of any changes by viewing the addendum/ Corrigendum's issued by the Tender Inviting Authority on time-to-time basis in the Company website. The Company calling for tenders shall not be responsible for any claims/problems arising out of this. Arbitration In case of any dispute or difference arising out of this tender, the matter shall be referred for adjudication at Kolkata to a sole arbitrator to be appointed by the Chairman & Managing Director of Balmer Lawrie & Co. Ltd. and the provisions of Arbitration and Conciliation Act 1996 including any statutory modifications or enactment thereof shall apply to the arbitration proceedings. The fees of the arbitrator, if any, shall be paid equally by both the parties. The Arbitration proceedings shall be in English language and the award shall be a speaking award binding on both the parties.
