25 SPECIAL CONDITIONS OF SALE To be read in conjunction with our Standard Conditions of Sale. Any special condition which contradicts the general condition, the former shall prevail: 1. The highest bidder shall be the Purchaser and if any dispute should arise between two or more bidders the Lot shall be put up again and re-sold. No person shall retract any bid. 2. Purchasers are deemed to have read the sample Licence Agreement available for inspection at the Auction or at the Auctioneers Office prior to the sale and (if applicable) the ESA, ELS, HLS, SSSI or Environmental Stewardship management agreement prescriptions etc. before bidding for any Lot. 3. All lots to be paid for in full at the close of the sale except in the case of individual Lots sold in excess of 2500 for which a deposit of no less than 50% to be paid immediately at the close of the sale in part payment of the purchase money, and security given to the Licensor for the remainder by means of a post-dated cheque payable three months after the date of the sale, and no person shall have possession of any Lot until such security is first given and the Licensor or Licensees shall then at any time of times give further additional security if required by the Licensor of their Agents. 4. Where credit facilities as described in Condition 3 are taken the Licensee shall pay to the Auctioneers 5% plus VAT on the unpaid amount to cover additional disbursements. There will be no additional charges to Licensees paying their accounts in full at the close of sale. 5. For the avoidance of doubt the Landowner will be claiming the Basic Payment Scheme income. The Purchaser of the grass should not therefore include any land on their RPA BP5 Form. 6. The Purchasers are deemed to have inspected the Lots they are interested in. All descriptive statements contained in advertisements or catalogues or made by the Auctioneers before or at the time of the sale are in no way to be taken as a guarantee or warranty. 7. NOT to sublet or assign the benefit of this licence to any other person or company and not to bring onto the land any stock other than his own and immediately to notify the licensor of any trespass on the land. 8. TO carry out no other activities on the land other than grazing and/or mowing the pasture and those required by his being the keeper of the animals on the land under this agreement. 9. NOT to erect or alter any building nor make any other alteration to the land and not to plough or reseed any land or store any harvested crops/fodder or place any round feeders or troughs on the land. 10. IF applying any fertilizers then only as directed in the Special Conditions of Sale, and if applying any pesticides, herbicides or other chemical treatments, to meet the correct rules relating to its use and supply the Licensor with the necessary details on usage and name of the product(s) used for their records. 11. TO stock the land properly with the Purchasers own Bovine cattle (other than bulls) and/or sheep only and not to stock with any other livestock and to prevent stock from straying off the land subject of this licence by erecting such temporary fencing as is thought appropriate and to remove any animal(s) if it/they become troublesome. 12. TO manage any animals on the land in accordance with the Welfare of Farmed Animals (England) Regulations 2007 or the Welfare of Farmed Animals (Wales) Regulations 2007 as appropriate. Also to adhere to the DEFRA Welfare Codes of Practice. 13. TO keep an appropriate number of stock on the land having regard to the type and quality of the soil the productivity and the drainage and in all cases so as to prevent any poaching or damage to the sward or undergrazing or wheel rutting. 14. TO comply with any limitations on stocking density or mowing imposed by the inclusion of the land within an Environmental Stewardship Scheme, Environmentally Sensitive Area agreement, Site of Special Scientific Interest management agreement, Countryside Stewardship Scheme agreement or any similar official scheme. 15. TO NOT breach the rules laid down under the Basic Payment Scheme for Cross Compliance and for Good Agricultural and Environmental Condition including those relating to supplementary feeding and grazing intensity. 16. If having mown the sward then do so no more than once, unless otherwise specified, and then graze the aftermath, if permitted, to the end of the licence period and top any thistles, nettles and docks in due season before seeding. 17. NOT to introduce any disease affecting the land or any unfit or diseased stock on the land. 18. TO be solely responsible as keeper of the animals for all compliance with the law on animal identification, animal passports and movement recording and reporting for the animals.

26 19. BEFORE moving animals onto the Land to obtain a Temporary Land Association or Temporary CPH (Holding) Number for the Land from the Animal & Plant Health Agency (APHA). 21. NOT to waste water and to report any leak of water to the licensor or his agent (and to pay for all water consumed and/or trough charge if included within the Special Conditions fourteen days after when demanded). 22. NOT to obstruct any public or private right of way or any access by any other party to any other land belonging to the licensor. 23. NOT to cause a nuisance to the licensor or any other person. 24. NOT to damage any fixed equipment belonging to the licensor, e.g. gateways, culverts, hedges, bridges, fences, etc. 25. TO notify the licensor on becoming aware of any trespass on the land. 26. TO indemnify the licensor in respect of any damage and all liabilities and costs including legal costs and expenses incurred by or as a result of the actions or negligence of the licensee or arising from his animals and to carry appropriate insurance for liability to third parties. 27. TO indemnify the licensor against any deductions or penalties applied to any payment claimed by the licensor under the Basic Payment Scheme or under any Rural Development Regulation scheme arising from any action or omission by the licensee including any breach of the Cross Compliance requirements in relation to the Basic Payment Scheme or any Rural Development Regulation scheme including the Statutory Management Requirements Good Agricultural and Environmental Condition requirements. 28. Where land is in a Nitrate Vulnerable Zone i) NOT to include the land as part of the licensee s holding in records kept for compliance with Nitrate Pollution Prevention Regulations 2008 as amended without previously obtaining the Licensor s consent. ii) TO provide to the licensor full details in writing of the numbers and type of stock kept on the land and the duration of time they are present on the land within fourteen days of being requested to do so by the licensor or his duly authorised agent or if no such request is made within fourteen days of the end date of this agreement. 29. THAT if any stock remain illegally on the land after the agreed termination date without written permission the Licensee agrees to pay the Licensor a penalty fee equivalent to 10 per acre per week or equivalent proportion thereof upon demand. 30) TO maintain and retain records for any food or feed products which are produced from or used on the land with such records to meet the requirements of Statutory Management Requirement 11 (Food and feed law) and to provide those records immediately upon request to the Licensor. IMPORTANT NOTICE 1. Animal Movement Regulations have changed (please see attached copy of our Grasskeep Purchasers Information Sheet for details)

27 FOR THE ATTENTION OF ALL GRASS KEEP PURCHASERS This information sheet aims to give you a basic guide to the Rules & Regulations governing livestock movements to and from grass keep. In 2016 the Government introduced comprehensive Guidance Notes on livestock movements. This Information Sheet aims to simplify the rules to hopefully make them more user-friendly. This Information Sheet covers both Cattle and Sheep movements. The full Guidance Notes can be downloaded from the link below:- These rules will apply to both new and previously taken grass keep, and both Cattle & Sheep farmers. A) If you take grass keep within a 10 mile radius of your main holding You are able to apply to the APHA with the attached Form (IRA75) to associate the grass keep to your main holding via a Temporary Land Association (TLA). TLAs will last up to a year (with an option to renew), during which time the land covered would be treated as part of your permanent CPH for livestock recording and reporting purposes and disease controls. This means that: movements to that land from other land covered by your permanent CPH would not need to be recorded or reported and would not trigger a standstill. movements to that land from a different CPH would need to be recorded and reported against your permanent CPH. movements reported to a CPH will trigger a standstill on all of the land it covers including any land temporarily associated with it. all land covered by a single CPH, whether permanently or temporarily, will be treated as part of that CPH from a disease testing and restriction perspective. If a CPH is registered for keeping bovine animals (cattle, buffalo or bison), a TLA will only be permitted where the land is in the same bovine TB risk area as that of the CPH to which it is to be associated. B) If you take grasskeep over 10 miles from your main holding You will need to obtain a Temporary CPH (tcph) for the land from APHA via the attached IRA75 Form. You can apply for a tcph to cover one or more pieces of land intended to be used for 12 months or less, and where you need an additional CPH number for livestock movement reporting purposes. You can get a tcph regardless of the distance between it and any other CPHs that you hold, as long as livestock on the different holdings don t mix. A tcph will last up to a year (with an option to renew) during which time the same statutory livestock movement recording, reporting and standstill requirements would apply as to a permanent holding. In summary: a separate holding register has to be kept for a tcph. all livestock movements on and off land covered by a tcph, including movements between a tcph and any other CPHs you hold, must be recorded and reported. all livestock movements on or off a tcph would trigger a standstill on the receiving holding, including movements to/from your permanent CPH(s). livestock on a tcph must be kept separate from those of any other keeper and from any other CPH(s) that you hold. For most disease control purposes testing, or movement restrictions the land included in a tcph will be treated (subject to APHA veterinary risk assessment) as part of that tcph and not as part of your permanent holding or that of the person you are renting the land from.

28 C) Further information regarding these changes is set out below i) TB Controls under the new rules:- Current TB pre-movement and post-movement testing rules will apply to movements of cattle between permanent CPHs and tcphs. Existing CPHs which straddle boundaries between TB risk areas: APHA applies the more stringent TB surveillance and control regime to the whole holding. You can get a tcph if the rented land is in a different risk area to that of your permanent CPH (movements between different CPHs are recorded and reported). However, you can only get a TLA if the land you are renting is in the same bovine TB risk area as that of your permanent CPH. There will be no fundamental changes in the way TB breakdowns involving rented land are managed by APHA. All bovine animals on your CPH will be tested at the same time. In the event of a TB breakdown, restrictions will apply to them all (including those on the temporarily associated land). APHA will treat a breakdown in the same way whether or not you have a TLA. All cattle on the same CPH, whether on land covered by a TLA or on your permanent land, will be restricted. They are considered as one group. There will also be no fundamental changes in the way TB breakdowns involving tcphs are managed by APHA. That is, APHA will not necessarily assume that bovine animals kept on tcphs are separate groups from the animals on your permanent CPH. ii) CTS Links All existing CTS links will be withdrawn by Summer 2017 under the new system. If you have a CTS link you do not need to do anything now. BCMS will contact you before your link is due to expire to explain your options. iii) Sole Occupancy Authorities (SOA) All SOA s will be withdrawn. If you have a SOA you do not need to do anything now. The APHA will write to you at some point between summer 2016 and summer 2017 before your SOA is withdrawn. iv) If you require a further IRA75 Form This can be printed off via the link below: ock-movements-ira75-form.pdf v) If you require any assistance in completing the IRA75 Form, a fee of plus VAT will be charged.
