6 Terms & onditions of Sale Notes These terms and conditions shall apply to every contract made between Unico omponents Limited ( Unico ) and any purchaser named ( the purchaser ) of goods manufactured by or supplied by Unico. 1. PRIE The price to be paid for goods comprised in any contract is that ruling at the date of dispatch by Unico. 2. DELIVERY a) Unico accepts no liability for failure to deliver goods within the time agreed. b) Upon delivery the purchaser shall examine the goods and shall thereafter be deemed to have accepted them for the purposes of the Sale of Goods Act LAIMS a) Unico accepts no liability for shortages, damage to or non delivery of any goods. i) Unless notified in writing within seven days of the purchaser receiving either the goods, an advice note or an invoice, whichever is the earlier, or ii) which have been used, treated, processed in any way or incorporated into any other product. b) Unico will accept liability for any manufacturing or other defect in goods supplied in accordance with this contract provided: i) that Unico is allowed to inspect the defective goods and may at it s discretion replace them; and ii) that if Unico agrees to pay compensation to the purchaser it is limited to the invoice price of the goods; and iii) that no claim for consequential loss is made; and iv) that all claims are made within 28 days from the date of delivery. 4. RETURNS Undamaged goods will only be accepted for return by Unico: a) by prior agreement in writing; b) subject to a handling charge of 10%; and c) upon carriage being paid by the purchaser. 5. RISK a) Goods supplied by Unico shall be at the purchaser s risk immediately on delivery to the purchaser or to any carrier. b) The purchaser shall insure all goods from the time they are delivered to him or to any carrier on his behalf. 6. PROPERTY Property in goods supplied in accordance with this contract will only pass to the purchaser when all monies due to Unico in respect of: a) The goods comprised in this contract; and b) all other goods the subject of any other contract between Unico and the purchaser which, at the time of the payment of the full price of the goods sold under this contract, have been delivered to the purchaser but not paid in full; have been paid to Unico; until that time all goods described above will remain the property of Unico. 7. SPEIAL BANK AOUNTS If, before they have been paid for in full, some or all of the goods comprised in this contract have been sold by the purchaser in the course of its business, the purchaser must pay the proceeds of sale into a bank account designated Unico omponents Limited unpaid accounts and the purchaser, and any receiver, manager liquidator or trustee in bankruptcy of the purchaser will hold the balance in that account upon trust for Unico. 8. REOVERY OF POSSESSION in the event that the purchaser goes into administration, receivership, liquidation or bankruptcy, owing unpaid contract debts to Unico or fails to pay any invoice delivered by Unico within 7 days of its receipt, Unico shall have the right: a) to repossess all goods supplied by Unico to the purchaser at any time whether they have been paid for or not; b) to take possession and sell any goods in to which the goods supplied by Unico have been incorporated, and the purchaser, for itself, its receivers, managers, liquidators or trustees in bankruptcy, grants to Unico an irrevocable license to enter its premises for the purpose of such repossession or possession. 9. INSURANE PROEEDS The purchaser hereby assigns to Unico the benefit of any insurance claim which the purchaser may make in respect of any goods supplied by Unico which have not been paid in full. 10.PROPER LAW This contract shall be governed by the law of England and Wales. DISLAIMER So far as allowed by law, UNIO OMPONENTS gives no guarantee that goods sold to customers will be suitable for the particular purpose for which they are bought. This disclaimer does not affect the customers statutory rights so far as such are available.
