The International Breed Registry for Appaloosa Horses Est February 15, 2005 Dear Commercial Exhibitor: Appaloosa excitement will once again come to Oklahoma City this summer for the 58 th National Appaloosa Show and World Championship Youth Show June 27 July 9, You re invited to apply for participation in our annual Shoppers Delight Trade Show. This year s Show will be bigger and better than ever, so be sure to apply early. Your Trade Show packet includes a National Show fact sheet, an ApHC fact sheet, a commercial exhibitor contract and booth space reservation form, commercial exhibitor guidelines, rules governing commercial exhibitors, arena maps and information about advertising to help maximize your success at the Show. Please read this information carefully. REMINDERS: New applicants (those who have never been vendors at an ApHC Trade Show) must include with their application at least two (2) photos of their assembled booth and at least one (1) professional reference. Photos will not be returned. April 15, 2005 is the deadline for all contracts, booth reservation forms, and deposits (50% of booth rental fee). The balance is due in full by June 1, Show sponsors and past exhibitors have top priority for booth reservations all other vendors will be assigned after April 15, 2005 in the order booth reservations, contracts, and payments are received. 2 Appaloosa Horse Club Fact Sheet The Appaloosa Horse Club is dedicated to preserving, promoting and enhancing the Appaloosa breed. The Appaloosa Horse Club is one of the top international equine breed registries. The State of Idaho adopted the Appaloosa as the state horse in The Appaloosa Horse Club is located in Moscow, Idaho in the heart of the Palouse region of the Northwest. The word Appaloosa comes from the phrase a Palouse horse, referring to the origin of the breed in the Palouse. More than 630,000 Appaloosas have been registered since the ApHC's founding in The ApHC registered over 16,000 Appaloosas in 2003 and The top five states in registration numbers are Texas, Minnesota, Missouri, California, and Oklahoma. The foreign countries leading in Appaloosa registrations are Canada, France, Germany, Italy, and Belgium. True to their reputation as an extremely versatile breed, Appaloosas can be found in nearly every discipline setting speed records on the racetrack, working cattle, performing dressage, jumping, performing western pleasure, endurance riding or serving as reliable family horses. In 2004, Appaloosas competed in over 800 approved regional shows, more than 40 approved international shows, and 547 Appaloosa races. Appaloosas ran for a total of $2,949,454 in purse monies during Appaloosa enthusiasts can become involved at a local level by joining one of the 130 chartered regional clubs. Most clubs offer local shows, pleasure rides and year-end awards. The ApHC offers extensive youth and non-pro programs. While many activities occur during the Youth World/National Show, other activities are also offered throughout the year, including youth scholarships, year-end awards, certificates of recognition, honors of merit and an art and essay contest. Appaloosa Journal, the official publication of the ApHC, is a colorful, award-winning, monthly publication dedicated to the promotion and improvement of the Appaloosa horse. Some Appaloosas do not display characteristics typical of the breed, including the unique and colorful coat patterns. Solid-colored horses are blood typed to verify Appaloosa parentage if they are raced, shown, or bred.

3 2005 Fact Sheet 58th National Appaloosa Show World Championship Youth Show Oklahoma City, Oklahoma The National Appaloosa Show is the nation s oldest single breed championship event in the country. It was first held in 1948 in Lewiston, Idaho. More than 1,100 individual Appaloosa horses will be competing at the State Fairgrounds during the 2005 Show, June 27 - July 9. The Show will attract over 10,000 equine enthusiasts from all across the United States and several foreign countries. The Appaloosa horse competes in a number of unique events. For example, the ApHC is the only breed registry whose game classes are raced horse against horse rather than against the clock making these classes very exciting to watch! Additionally, the ApHC is the only breed registry to hold the annual Rope Race class. The first week of the 58th National Appaloosa Show, June 27 - July 2, is dedicated to the World Championship Youth Show. The youth classes are divided into four age divisions: 10 & Under (Walk Trot), 12 & Under, 13-15, and Additional activities will include a stall decoration contest, a team tournament competition and parade, a dummy roping contest, a speech contest, a youth ice-cream social and an exhibitors party. Entries at the Youth Show will total approximately 1,800, and because of the Appaloosa s versatility, youth riders will use their horses in an average of four different events. Classes for professional (open) and non-professional (non-pro) exhibitors will be held July 1 - July 9, with an estimated 900 non-pro and 1,100 open class entries. Horses will be judged in-hand (meaning led by a handler), under saddle (being ridden) and in harness (pulling buggies). By the Show s end, 190 Champions will be named. In addition to class winners, a number of special high-point awards will be given in the youth, open, and non-pro divisions. These awards include trailers, saddles, and merchandise worth thousands of dollars donated by Platinum, Gold, Silver, and Bronze Show sponsors. 5 COMMERCIAL EXHIBIT CONTRACT Subject to the rules governing exhibitors and pending acceptance by the Appaloosa Horse Club ( lessor ) to be indicated herein below, we the undersigned lessee, hereby agree to lease exhibit space at the 58 th National Appaloosa Show and World Championship Youth Show in Oklahoma City, Oklahoma. (Leased space) as diagrammed in the commercial exhibit packets, a copy of which has been made available to us, and is on file in the office of lessor, for the 58 th National Appaloosa Show and World Championship Youth Show, for the period of time commencing on June 27, 2005, and ending on July 9, (Booth dates inclusive, hereinafter sometimes called the lease term, ) for which we agree to pay to the lessor at its office in Moscow, Idaho no later than April 15, 2005, a 50% deposit, the sum of $, balance payment thereof to be made no later than June 1, 2005, remaining sum of $ for booth space(s). Upon acceptance of the contract by the lessor, the leased space shall be reserved for lessee for the lease term. Moneys accompanying contracts not accepted by the lessor will be refunded. We understand and agree that this contract cannot be cancelled by us, and we agree to pay in full the sum herein provided in accordance with the terms hereof, regardless of whether or not we occupy the leased space for any portion of the lease term. The merchandise and exhibit materials which we will place in the leased space are described as follows: Special instructions: We agree that in the event of any proposed change or addition in merchandise or exhibit material to be placed in the lease space from that listed above, or any changes in our expressed intention with respect to selling or taking orders for merchandise, we will submit a written request to the lessor, setting forth such requested change or addition; and we understand that the lessor reserves the unqualified right to approve or disapprove any such change or addition. Neither this contract nor any of the privileges granted herein nor any part thereof may be assigned, sublet, subleased or otherwise transferred. We acknowledge that we have read the rules governing exhibitors, set forth in this packet and incorporated herein; we agree that our use and occupancy of the leased space shall be in all respects subject to such rules, and we agree to comply fully with all rules. 6 COMMERCIAL EXHIBITOR GUIDELINES The following guidelines will help answer many frequently asked questions about commercial exhibit space. DATES June 27 July 9, 2005 TRADE SHOW HOURS LOCATION 9:00 a.m. 7:00 p.m. The 58 th National Appaloosa Show and World Championship Youth Show will take place at the Oklahoma State Fairgrounds in Oklahoma City, Oklahoma. The main commercial exhibit area will be around the Coliseum Concourse. Outside space will be available. (Please refer to the enclosed maps.) MOVE-IN Move-in will begin from 1:00 9:00 p.m. on June 25 and continue from 8:00 a.m. 9:00 p.m. on June 26. All commercial exhibitors must be completely set up and open for business by 9:00 a.m. on June 27. LATE ARRIVALS WILL NOT BE PERMITTED WITHOUT OBTAINING PRE-AUTHORIZATION FROM THE TRADE SHOW COORDINATOR. MOVE-OUT SHIPPING & LABOR SECURITY BOOTH CONTENTS RENTAL RATES PAYMENTS CANCELLATIONS & REFUNDS SHOW DECORATOR BOOTH ASSIGNMENTS LODGING NEW APPLICANTS All exhibitors can begin to move out at 6:00 p.m. on July 9 when the Trade Show officially closes NO EARLIER! The entire exhibit and all of the lessee s property must be removed from the premises no later than 12:00 midnight on July 10, Early move-outs will NOT be permitted. EXHIBITORS WHO DO MOVE OUT EARLY WILL INCUR A $ FINE AND WILL LOSE PRIORITY SPACE. The following address can be used for deliveries: Appaloosa Horse Show State Fairgrounds of Oklahoma Attn: Your Name and Booth Number 333 Gordon Cooper Blvd. Oklahoma City, OK For assistance in setting up or moving out, appropriate order forms will be included with the decorator information. The ApHC is not responsible for any lost, stolen, or damaged deliveries. Deliveries will not be accepted prior to June 23, Security will be provided in the outside areas 24 hours a day commencing Monday, June 27 through Saturday, July 9. Mounted, off-duty Oklahoma City policemen and county sheriff deputies will be patrolling the grounds, the parking areas, and the barns. The ApHC does not assume any financial responsibility for damaged, missing or stolen equipment or merchandise. There will be roaming security on foot in the Coliseum Concourse area from 7:00 p.m. 9:00 a.m. daily. 8 back wall with 4 side walls, one 8 or 6 draped table, two folding chairs, one wastebasket, and one 7 x44 identification sign. Exhibit space in the Coliseum Concourse: $5.00 per square foot. Outside space: $2.00 per square foot. Applications not accompanied by a deposit or full payment will not be processed. The ApHC MUST receive your signed booth space reservation form, signed contract and deposit by April 15, The balance of the booth rental fee is due no later than June 1, Booth space WILL NOT be reserved if payment is not received at that time. After your application and payment have been processed, full refunds cannot be issued. If written notification of cancellation is received before May 15, a 50% refund will be issued. No refunds will be issued for any cancellations thereafter. Detailed information regarding on-site decorating services and electricity will be sent to you directly from the show decorator after they receive our confirmed list of 2005 National Trade Show vendors. At that time, arrangements may be made directly with the decorator for rental of additional furniture and other show services. Appropriate order forms and payment requirements will be included with the decorator information package. To reserve a telephone hook-up, please call the Oklahoma State Fairgrounds at The phone hook-up costs $ for the duration of the show and will only service local and 800 numbers. Your reservation for phone hook-up is due no later than June 15. SPACE IS LIMITED! The ApHC reserves the right to assign exhibit space according to the needs and requirements of the Show. Show sponsors and past exhibitors have top priority. Exhibitor confirmation packets will be mailed after May 1, The official headquarters hotel: Biltmore Hotel, 401 S. 7 RULES GOVERNING COMMERCIAL EXHIBITORS 1. Liability. Lessee agrees to indemnify and hold harmless the Appaloosa Horse Club ( lessor ), lessor s agents, officers and employees from all claims, losses, costs, damages or expenses resulting or arising from any and all injuries to or death of any person or damage to any property caused by any act, omission or neglect of lessee s agents, employees, invitees, contractors, or guests which occur in or about the leased space. Lessee agrees to use and occupy the leased space at lessee s own risk, and hereby releases lessor, its agents, officers, employees and invitees from all claims for any damage, loss or injury to persons or property to the full extent permitted by law occurring in or about the leased space, including, but not limited to damages, resulting from the acts of other lessees, theft, vandalism, fire and other casualty damage or damage arising from any defects in the premises. 2. Parking and exhibitor s passes. Exhibitor s do not need parking passes. Free parking is available. Exhibitor passes are not needed for entry. 3. Installation of exhibits. All lessee s exhibits shall be set up, decorated in complete form and approved by lessor or its designed agent BEFORE business may commence. Exhibits must be set up and open for business no later than 9:00 a.m. June 27, Dismantling of exhibits. Lessee shall not dismantle or remove any portion of his/her exhibit until July 9, 2004 at 6:00 PM, and lessee shall not remove any of the equipment or property associated with the exhibit prior to that time. The entire exhibit and all of lessee s property must be removed from the premises no later than midnight, July 10, In the event that lessee fails to vacate the leased space before that time, lessor may, and is hereby authorized and made the agent of the lessee, to remove the exhibit and all property of lessee situated in or about the leased space, and to store the same at the cost of the lessee. The lessee shall indemnify and hold harmless the lessor for any cost or liability incurred in connection with such removal. Lessee shall be responsible for the supervision, control and maintenance of the leased space during the entire term for which the leased space is reserved or used by lessee. The leased space shall be returned to lessor in original condition, and lessee shall reimburse the lessor for any cost or expense of lessor in repairing any damage occurring during the lease term. 5. Exhibit display. Booths are draped with 8-foot high back walls and 3-foot high side walls. EXHIBITS WILL NOT EXCEED THESE DIMENSIONS WITHOUT PREAUTHORIZED PERMISSION. Lessee may, at lessee s option, upon obtaining prior written approval from lessor, construct a semipermanent booth, foundation or similar improvements within the leased space. The expense for any such improvements shall be the sole responsibility of lessee. Lessee must not obstruct the view of an exhibit in an adjoining exhibitor s space, nor permit such exhibit to be placed or operated in any manner offensive or objectionable, in the reasonable opinion of the lessor, to the adjacent or surrounding exhibitors or to show as a whole. Lessee shall display his exhibit number, assigned by lessor, in a conspicuous place in the leased space. 6. Exhibition hours. Lessee shall maintain a responsible individual or individuals in the leased space at all times during the exhibition hours. Lessee shall be responsible for the conduct of any employees, agents, visitors or guests of lessee in or about the leased space. Lessee shall cause all such employees, agents, visitors or guests of lessee to be familiar with all rules governing exhibitors. 7. Taxes. All sales taxes, income taxes, FICA or other withholding taxes arising out of or in connection with lessee s use of the leased space are the sole responsibility of the lessee. 8. Compliance with laws. Lessee, his agents, employees, or assigns shall comply with all rules, regulations and requirements of the fire marshal, the health department of the host city, or any governmental entity having jurisdiction over the premises. Lessee may be required at lessor s sole option to immediately cease its operations and vacate the leased space if lessee s exhibit operation thereof, or the conduct of its agents, employees or assigns should be found to be in violation of any such lawful requirements. 9. Use of leased space. a. No sound systems, musical instruments, noise-makers, loudspeakers, microphones or other sound amplification or broadcasting devices of any kind may be used. b. Lessee may not conduct a registration for a drawing of any kind without the prior written consent of the lessor. c. No demonstrators, trophies, decorations, portals, fountains, signs, banners, advertising matter or exhibits of any kind or character will be allowed in the aisles or public passageways or attached to the show building walls, posts or doors. d. General distribution of brochures, pamphlets, leaflets, flyers, newspapers, magazines or other literature or promotional materials of any kind or character is strictly prohibited; but such literature or materials may be made available on counter space or otherwise within the leased space, and may be distributed upon specific request therefore. Notwithstanding the foregoing, materials designed to be stuck to walls, car bumpers, balloons, hats, t-shirts, and similar materials shall not be distributed under any circumstances. e. Lessee agrees not to use the leased space for any political or religious purposes. f. Solicitation of funds for any political, educational or charitable corporation or association of any other corporation, association, group individual or cause of any kind or character is strictly prohibited. g. LESSEE AGREES NOT TO PLACE ANY ITEM OR MERCHANDISE OUTSIDE OF THE DESIGNATED BOOTH AREA. h. Lessor, at its discretion, reserves the right to assign exhibitors to the best space available, and to make shifts in location as deemed necessary. I. NO DISPLAY SPACE SHALL BE SUBLET. THERE WILL BE NO EXCEPTIONS. 10. Removal of exhibits by lessor. The lessor reserves the right to prohibit any exhibit (I) which, in lessor s reasonable judgment, may detract from the general character of the show; (II) if the business or exhibition carried on by the lessee or the manner of conducting the same is not as represented at the time of making this contract or is not in keeping with the traditions or character of the show; (III) if the exhibit was entered under false pretenses; or (IV) if the exhibit is in violation of any of these rules governing exhibitors. If an exhibit is prohibited under the terms of the paragraph or because of a violation of any of the terms hereof, lessor shall have the right, but no obligation, to remove the exhibit or any banner, advertising matter or other property of the lessee situated within or about the leased space but such removal shall in any event be at the cost and expense of lessee, and lessee shall immediately reimburse lessor for any cost or expense of lessor incurred in so removing lessee s exhibit or portion thereof. Under such circumstances, lessee shall not be entitled to a refund of moneys paid to lessor under the terms of the contract. Appaloosa Horse Club show management shall rule upon any questions, disputes, or problems which may arise pertaining to matters specifically covered and agreed upon in the foregoing paragraphs of this contract and such rulings shall be binding upon all interested parties.
