1 1 VENUE RENTAL AGREEMENT This Venue Rental Agreement ("Agreement") is entered into on this date:, by and between: Raw 1899 ("Lessor") 38 North Chadbourne and San Angelo, Texas Coordinator/Organization ( Lessee ) Address City/State/Zip The parties hereto, intending to be legally bound, and in consideration of the mutual covenants hereinafter contained, agree as follows: GRANT Lessor, on the dates and times set forth herein, and subject to the terms and conditions of this Agreement, hereby grants to Lessee permission to rent Raw 1899 ("Facility") for ( Event Name) to be held on from to. (Date) (Time) TIMES OF PERMITTED ACCESS TO FACILITY Access to the Facility for the Event will be permitted at on the date of the (Time) Event and will end at. No storage space will be provided for Event in advance of Event date. (Time) MAXIMUM NUMBER OF OCCUPANTS The maximum number of occupants must not excel 80 persons at any given time per the San Angelo, Texas Fire Marshal. RENTAL FEE Lessee shall pay to Lessor as a rental fee for the use by Lessee of the Facility, the sum of $, plus all other charges to be paid by Lessee under this Agreement (the "Rental Fee"). Lessee will pay 50% of the total sum as a deposit at the time this Agreement is signed. The balance of the Rental Fee shall be paid in full by Lessee on the day of the Event. See the attached Venue Rental Fee schedule. Note that food/beverages purchases will be tracked

2 during the Event on Lessor s TouchBistro Point-of-Sale ipad and the amount exceeding the minimum must be paid for at the conclusion of the Event.* 2 PAYMENT The deposit may be made with cash, check, or credit card. Payment for the amount exceeding the food/beverage minimum must be paid with a credit card at the conclusion of the Event. USE OF FACILITY: Facility may not be decorated in any way without permission by Lessor. Use of candles is prohibited. Furniture should not be moved without permission of Lessor. If furniture is brought in with Owners approval, it must be removed by Lessee at the conclusion of the event. NON-SMOKING VENUE: Smoking is prohibited in this venue by the City of San Angelo. MUSIC: Live music arrangements must be approved by Lessor, or Lessee may request the use the existing sound system. CHILDREN: It is not recommended that children under 10 years old be in this Facility. Children and teens must be supervised at all times. PHOTOGRAPHY Photos may be taken of the venue and of the Event, but not photos of only the art and art identification cards. FOOD, BEVERAGES, AND OUTSIDE VENDORS Lessee will make choices from the wine list and food menus provided by Lessor. Adjustments to the choices may be made up to seven (7) business days in advance of event, but no later. Lessee may use outside food vendors with the understanding that it still must meet the food/beverage

3 minimum. However, no wine or beer may be brought in to the Facility. Liquor is allowed, and Lessor will provide set-ups at $8 per, which includes an ice bucket, cup, and Sprite or Coca-Cola. 3 INDEMNIFICATION Lessee shall indemnify, defend and save harmless Lessor, its officers, agents and employees from and against any and all loss, cost (including attorneys' fees), damage, expense and liability (including statutory liability and liability under workers' compensation laws) in connection with claims, judgments, damages, penalties, fines, liabilities, losses, suits, administrative proceedings, arising out of any act or neglect by Lessee, its agents, employees, contractors, Lessees, invitees, representatives, in, on or about the Facility. This indemnity shall survive the termination of this Agreement. Lessee hereby releases Lessor from any and all liability or responsibility to Lessee or anyone claiming through or under Lessee by way of subrogation or otherwise for any loss or damage to equipment or property of Lessee covered by any insurance then in force. "AS-IS" CONDITION Lessee agrees to accept the Facility in its "as-is" condition "with all faults." ADA COMPLIANT Facility is compliant with the American Disabilities Act. ASSIGNMENT AND SUBLICENSING Lessee shall not assign any interest in this License Agreement or otherwise transfer or sublicense the Facility or any part thereof or permit the use of the Facility to any party other than Lessee. INTERFERENCE Lessee shall use the Facility in a manner which shall not cause interference with the use or occupancy of the other portions of the Building by Lessor or others in any way. Lessee's use hereunder will be done in such a manner so as not to interfere with or impose any additional expense upon Lessor in maintaining the Building. RESTORATION If any damage occurs to the Facility, or if any repairs or replacements need to be made to the Facility as a result of Lessee's exercise of its rights under this License, Lessee shall pay Lessor for any such damage, repairs, or replacements upon demand by Lessor.

4 CANCELLATION Lessee may cancel this Agreement at any time up to 15 business days prior to Event Date by providing written notice of such election to Lessor, at no cost to Lessee. If Lessee shall elect to so cancel this agreement less than 15 days prior to the Event Date, Lessee will forfeit the deposit paid when this Agreement was signed. We will make every effort to re-book the event. If a cancellation is successfully re-booked, the Lessee s deposit will be refunded. 4 SPECIAL LESSEE REQUESTS APPROVED BY LESSOR GOVERNING LAW This Agreement shall be governed by and construed in accordance with the laws of the State of Texas. Any legal actions, claims or demands shall be handled in a court of competent jurisdiction within the State of Texas. SIGNATORIES This Agreement shall be signed by Nathana Cox or Lisa Curry on behalf of Raw 1899 and by on behalf of Lessee. The parties have executed this Agreement as of the day and year first above written. Lessee understands that a Raw 1899 representative will be at the Event to assist.
