2 EOI NUMBER: EOI04 Terms & Conditions of Expression of Interest Submission of Expression of Interest and Notification 1. All offers must be in writing, display the correct EOI number and contain all other information required. The submission of an Offer constitutes acceptance of these Terms & Conditions. An Offer may not be withdrawn. 2. Closing Time: Offers close at 5.00pm AEST Thursday 12th March 3. Seller s Discretion: The highest or any offers may not necessarily be accepted. 5. Delays: Neither the seller or Agent will be liable for nor take any responsibility for offers not received by the closing time for any reason, including (but not limited to) industrial disputes, electronic or technical difficulties. 6. Notification: The successful Offeror (Purchaser), if any. Will be notified by using the details provided in the Offer within 5 business days of the closing date specified. Unsuccessful Offeror s may not be notified. 7. Full payment must be received by the Agent in BANK CHEQUE or TELEGRAPHIC TRANSFER within 3 working days of notification of acceptance of offer. 8. Ownership of a Lot shall not pass to the buyer until the Agent has clear title to the full payment from the buyer. 9. All bids will be considered to be inclusive of a 10% Goods & Services Tax (GST) unless the Vendor or the Agent and the buyer agree that the bid is not subject to GST. If the buyer is exporting goods, the buyer may be entitled to a credit or refund providing proof to the satisfaction of the Vendor or the Agent is supplied and the buyer meets all requirements imposed by the Australian Taxation Office. 12. At the time of full payment, the buyer will be required to pay a Buyer Administration Fee to the Agent of 8.25% ( inc GST ) of the tendered price, IN ADDITION to the price of the goods. 13. The Vendor reserves the right to not sell the goods to certain offeror s or accept certain offers due to inter Government arrangements or relationships or Government policy or for any other reason. 14. Clear title to ownership of the goods is warranted by the Vendor and following full payment for the goods by the buyer. 15. Whilst the Vendor and the Agent have taken every reasonable precaution to ensure that the goods are accurately described, condition remarks, quantities and opinions are furnished on the strict understanding that they serve as a guide only. 16. The Lots are offered on an as is, where is basis with all faults. 17. To the full extent permitted by law, the Vendor and the Agent will not be liable for any loss, damage, cost or expense suffered by the buyer arising out of the sale and purchase of a Lot, any errors, inaccuracies, omissions or misrepresentations in the contents of, or description given in, any catalogue, advertising, inspection, report or any material issued by the Vendor or the Agent or any representation in relation to the Lot as to its condition, quality, fitness for purpose, merchantability or compliance with any description. 18. Subject to all applicable laws, any liability of the Vendor or the Agent shall be limited to a refund or a credit of the charge made for the services provided by the Agent 19. Any deficiency in the goods sold shall not vitiate the sale; but neither the Vendor nor the Agent shall be bound to deliver more than is in their possession. 20. Any duties, taxes or delivery charges are to be paid by the purchaser where and when applicable. 21. Removal and transportation of the items are at the purchaser s expense. 22. The items will be available for pick up by appointment and following receipt of full payment. 23. The successful purchaser acknowledges that they are aware it is illegal to supply unsafe plant to the workplace in Australia. Significant financial and prison penalties apply to companies and individuals who are found to be negligent in relation to injury or death which occurs in the workplace as a result of the installation or use of unsafe plant. 24. Any person who has the responsibility of the removal of the goods must ensure that all local applicable Work Health & Safety requirements and other applicable laws are met during the removal, loading, and installation process. 25. All Lots shall be at the buyer s risk from the time it is notified in writing that it has been successful in its tender. Neither the Vendor nor the Agent shall be accountable for any deficiency, damage or loss which may arise thereafter. 26. Neither the Vendor nor the Agent shall be responsible for any damage to property or injury to or death of persons incurred during the removal of lots purchased. The buyer indemnifies the Vendor and the Agent and will keep them indemnified against any loss, damage, cost or expense of the Vendor or the Agent or both arising out of any claim or demand made against both or either of them in connection with any damage to property, or injury to or death of persons concerning the removal of the goods from the premises by the buyer, the buyer s employees, representatives or contractors. 27. Whilst every care has been taken in the preparation of material relating to this expression of interest, it is given without any responsibility being accepted. In making an offer, prospective buyers should satisfy themselves as to the accuracy of all information by their own investigation. 28. Upon any buyer failing to comply with any of the above conditions, any money deposited in part payment shall be absolutely forfeited and the item may be resold. The deficiency (if any) on such resale, together with all losses, costs and charges consequent upon such resale, shall be made good by the defaulter at this sale.
