In support of their Objection and Reservation of Rights, PLC, PDC and Norfolk Southern respectfully state: BACKGROUND 1. On August 3, 2015 (the Petition Date ), each of the Debtors filed voluntary petitions for relief under chapter 11 of title 11 of the United States Code (the Bankruptcy Code ) in the United States Bankruptcy Court for the Eastern District of Virginia (this Court ). 2. Upon information and belief, the Debtors are operating their businesses and managing their properties as debtorsinpossession pursuant to sections 1107(a) and 1108 of the Bankruptcy Code. 3. PLC and PDC are two of the largest lessors in these chapter 11 cases; as of the Petition Date, the Debtors, PLC and PDC were parties to approximately 400 active leases, contracts and other agreements (collectively, the PLC Leases ). 1 In addition, as of the Petition Date, the Debtors and Norfolk Southern (or its affiliated entities) were parties to certain leases and contracts (collectively, the Norfolk Southern Leases ), certain of which are administered by PLC or PDC as agent for Norfolk Southern. 4. On October 22, 2015, the Debtors filed their Combined Motion for Entry of an (A) Order Establishing Bidding and Sale Procedures for the Potential Sale of Certain Mining Properties and Related Assets and Granting Related Relief and (B) One or More Orders Approving 1 The term PLC Leases shall also refer to any contract or lease between the Debtors and Pocahontas Development Corporation. 2

The First Bidding Procedures Motion sought, inter alia, approval of the sale of certain mining properties relating to closed and idled mines that (a) are not generating revenue for the Debtors business but (b) impose reclamation, maintenance and other costs on the Debtors estates (the Prior Assets ) and executory contracts and leases associated with the Prior Assets. 5. On November 6, 2015, this Court entered its Order (I) Approving Bidding and Sale Procedures for Certain Mining Properties and Related Assets, (II) Approving the Form and Manner of Notice of the Related Assumption and Assignment of Executory Contracts and Unexpired Leases, and (III) Scheduling an Auction and Sale Hearing (Docket No. 855) (the First Bidding Procedures Order ). 6. On November 23, 2015, the Debtors filed their Notice of (A) Potential Assumption and Assignment of Executory Contracts and Unexpired Leases and (B) Cure Amounts (Docket No. 987) (the First Assumption and Assignment Notice ) In the Prior Assumption and Assignment Notices, the Debtors gave notice of their intent to assume and assign certain of the Debtors unexpired executory contracts and leases associated with certain of the Debtors mining assets and operations identified in the First Bidding Procedures Motion (the Prior Potentially Assigned Agreements ), including certain of the PLC Leases and certain of the Norfolk Southern Leases. 8. On January 11, 2016, PLC, PDC and Norfolk Southern filed their Objection and Reservation of Rights of Pocahontas Land Corporation, Pocahontas Development Corporation and 2 As amended by the Second Notice of (A) Potential Assumption and Assignment of Executory Contracts and Unexpired Leases and (B) Cure Amounts [Docket No. 1081] and the Third Notice of (A) Potential Assumption and Assignment of Executory Contracts and Unexpired Leases and (B) Cure Amounts [Docket No. 1136] (collectively with the Prior Assumption and Assignment Notice, the Prior Assumption and Assignment Notices ). 3

4 Case KRH Doc 2958 Filed 07/06/16 Entered 07/06/16 15:05:56 Desc Main Document Page 4 of 12 Norfolk Southern Railway Company to Debtors Notices of Potential Assumption and Assignment of Executory Contracts and Unexpired Leases and Cure Amounts (the First PLC Cure Objection ) (Docket No. 1243) because, among other things, PLC, PDC and Norfolk Southern were unable to accurately identify the Prior Potentially Assigned Agreements in the Prior Assumption and Assignment Notices On January 20, 2016, PLC, PDC and Norfolk Southern filed their Objection and Reservation of Rights of Pocahontas Land Corporation, Pocahontas Development Corporation and Norfolk Southern Railway Company to Debtors Combined Motion for Entry of (A) An Order Establishing Bidding and Sale Procedures for the Potential Sale of Certain Mining Properties and Related Assets and Granting Related Relief and (B) One or More Orders Approving the Sale of such Properties (the First PLC Sale Objection ) (Docket No. 1328). 10. On February 8, 2016, the Debtors filed the their Omnibus Motion for Entry of: (I) An Order Establishing Bidding and Sale Procedures for the Potential Sale of Certain Mining Properties and Related Assets; (II) One or More Orders Approving the Sale of Such Assets; (III) An Order Approving Settlements Related to Unencumbered Assets and the PrePetition Lenders' Diminution Claims; and (IV) An Order Approving Amendments to Certain Case Milestones in Connection with the DIP Credit Agreement (Docket No. 1464) (the Second Bidding Procedures Motion ). By the Second Bidding Procedures Motion, the Debtors sought approval, inter alia, of procedures regarding: (a) the potential sale or sales of certain of the Debtors assets (the Reserve Price Assets and the Remaining Assets as defined in the Second Bidding Procedures Motion) previously not included in the Prior Assets; (b) the potential assumption and assignment of certain 3 The Prior Assumption and Assignment Notices only identified the Prior Potentially Assigned Agreements by. 4

On February 19, 2016, PLC, PDC and Norfolk Southern filed their Objection of Pocahontas Land Corporation, Pocahontas Development Corporation and Norfolk Southern Railway Company to Debtors Omnibus Motion for Entry of: (I) An Order Establishing Bidding and Sale Procedures for the Potential Sale of Certain Mining Properties and Related Assets; (II) One or More Orders Approving the Sale of Such Assets; (III) An Order Approving Settlements Related to Unencumbered Assets and the PrePetition Lenders' Diminution Claims; and (IV) An Order Approving Amendments to Certain Case Milestones in Connection with the DIP Credit Agreement (Docket No. 1580) (the Second Bidding Procedures Objection ). 12. This Court entered its Second Order Establishing Bidding and Sale Procedures for the Potential Sale of Certain Mining Properties and Related Assets on March 11, 2016 (Docket No. 1754) (the Second Bidding Procedures Order ). 13. On February 28, 2016, the Debtors filed their Third Omnibus Motion of the Debtors for an Order (I) Authorizing Them to (A) Reject Certain Unexpired Leases of Nonresidential Real Property and (B) Assume Certain Unexpired Leases of Nonresidential Real Property, (II) Extending the Deadline to Assume or Reject Certain Unexpired Leases of Nonresidential Real Property and (III) Granting Related Relief (Docket No. 1646) (the Third Omnibus Motion ). 14. In the Third Omnibus Motion, the Debtors gave notice of their intent to assume and assign or reject certain of the Debtors unexpired executory contracts and leases associated with certain of the Debtors mining assets and operations (the Unexpired Leases as defined in 5

6 Case KRH Doc 2958 Filed 07/06/16 Entered 07/06/16 15:05:56 Desc Main Document Page 6 of 12 the Third Omnibus Motion), including certain of the PLC Leases and the Norfolk Southern Leases. The Third Omnibus Motion also identified the amounts the Debtors asserted as being required to cure any obligations to PLC, PDC and Norfolk Southern as a condition of the assumption and assignment of the PLC Leases and the Norfolk Southern Leases to be assumed and assigned among the Unexpired Leases (the Cure Amount as defined in the Third Omnibus Motion) On March 18, 2016, the Debtors filed their Notice of (A) Potential Assumption and Assignment of Executory Contracts and Unexpired Leases and (B) Cure Amounts (Docket No. 1811) (the Second Assumption and Assignment Notice ) by which the Debtors gave notice of the potential assumption and assignment of certain leases and executory contracts (the Potentially Assigned Agreements as defined in the Assumption and Assignment Notice) pursuant to the Second Bidding Procedures Order. The Second Assumption and Assignment Notice also identified the amounts the Debtors assert as being required to cure any obligations to PLC and Norfolk Southern as a condition to the assumption and assignment of the PLC Leases and the Norfolk Southern Leases listed among the Potentially Assigned Agreements (the as defined in the Assumption and Assignment Notice). 16. On April 5, 2016, PLC, PDC and Norfolk Southern filed their Objection and Reservation of Rights of Pocahontas Land Corporation, Pocahontas Development Corporation and Norfolk Southern Railway Company to Debtors Third Omnibus Motion of the Debtors for an Order (I) Authorizing Them to (A) Reject Certain Unexpired Leases of Nonresidential Real 4 The Third Omnibus Motion was subsequently amended by the Debtors Notice of Amendment of Schedules of Nonresidential Real Property Leases [Docket No. 1804]; Notice of Amendment of Schedules of Nonresidential Real Property Leases [Docket No. 1805]; and Notice of Amendment of Schedules of Nonresidential Real Property Leases [Docket No. 1808] (collectively, the Amendments ). The Amendments do not affect the PLC Leases, the PDC Leases or the Norfolk Southern Leases. 6

The Assumption and Assignment Notice established a separate objection deadline of April 15, 2016 for any lease or contract scheduled exclusively on the Assumption and Assignment Notice. On April 14, 2016, PLC, PDC, and Norfolk Southern filed their Objection and Reservation of Rights of Pocahontas Land Corporation, Pocahontas Development Corporation and Norfolk Southern Railway Company to Debtors Notice of (A) Potential Assumption and Assignment of Executory Contracts and Unexpired Leases and (B) Cure Amounts (Docket No. 2093) (the Second PLC Cure Objection ). 18. On April 14, 2016, PLC, PDC and Norfolk Southern filed their Objection and Reservation of Rights of Pocahontas Land Corporation, Pocahontas Development Corporation, and Norfolk Southern Railway Company to Debtors Omnibus Motion for Entry of: (I) An Order Establishing Bidding and Sale Procedures for the Potential Sale of Certain Mining Properties and Related Assets; (II) One or More Orders Approving the Sale of Such Assets; (III) An Order Approving Settlements Related to Unencumbered Assets and the PrePetition Lenders' Diminution Claims; and (IV) An Order Approving Amendments to Certain Case Milestones in Connection with the DIP Credit Agreement (Docket No. 2095) (the Second PLC Sale Objection ). 19. On May 25, 2016, the Debtors filed their Second Amended Joint Plan of Reorganization of the Debtors and Debtors in Possession (Docket No. 2527) (the Second Amended Plan ). The Second Amended Plan provides for the assumption, assumption and assignment, or rejection of certain of the Debtors executory contracts and unexpired leases identified in certain exhibits to be attached to the Second Amended Plan. 7

8 Case KRH Doc 2958 Filed 07/06/16 Entered 07/06/16 15:05:56 Desc Main Document Page 8 of On June 29, 2016, PLC, PDC and Norfolk Southern filed their Reservation of Rights of Pocahontas Land Corporation, Pocahontas Development Corporation and Norfolk Southern Railway Company with Respect to Confirmation of the Debtors Second Joint Plan of Reorganization (Docket No. 2866). 21. On June 29, 2016, this Court entered the Assumption Procedures Order, which provides that any objections to the cure amounts proposed in the Plan Exhibits must be filed within ten (10) days after service of notice to the affected counterparties of the Debtors unexpired leases and executory contracts. 22. On June 30, 2016, the Debtors filed the Plan Exhibits. The Plan Exhibits identify the amounts the Debtors assert as being required to cure any obligations to PLC, PDC and Norfolk Southern as a condition to the assumption or the assumption and assignment of the PLC Leases and the Norfolk Southern Leases identified in the Plan Exhibits. OBJECTION 23. PLC, PDC and Norfolk Southern object to the Plan Exhibits pursuant to the Assumption Procedures Order for the reasons set forth in the First PLC Cure Objection, the Second PLC Cure Objection, and the Third Omnibus Motion Objection. In so doing, PLC, PDC and Norfolk Southern fully restate and reincorporate by reference the First PLC Cure Objection, the Second PLC Cure Objection, and the Third Omnibus Motion Objection as if fully rewritten in this Objection and Reservation of Rights. 24. PLC, PDC and Norfolk Southern hereby supplement the PLC Cure Amount, as defined in the First PLC Cure Objection, the Second PLC Cure Objection, and the Third Omnibus Motion Objection to include all outstanding amounts due and owing under the PLC Leases. The PLC Cure Amount is hereby amended to the aggregate amount of not less than $2,253, as of 8

Attached as is a schedule setting forth: (a) all PLC Leases; (b) the Debtors proposed cure amount in the Plan Exhibits; and (c) the PLC Cure Amount. 25. PLC, PDC and Norfolk Southern hereby supplement the Norfolk Southern Cure Amount, as defined in the First PLC Cure Objection, the Second PLC Cure Objection, and the Third Omnibus Motion Objection to include all outstanding amounts due and owing under the Norfolk Southern Leases. The Norfolk Southern Cure Amount is hereby amended to the aggregate amount of not less than $2,217, as of the date of this Objection and Reservation of Rights. Attached as Exhibit B is a schedule setting forth: (a) the Norfolk Southern Leases; (b) the Debtors Proposed Norfolk Southern Cure Amount; and (c) the Norfolk Southern Cure Amount. RESERVATION OF RIGHTS 26. Nothing in this Objection and Reservation of Rights is intended to be, or should be construed as, a waiver by PLC, PDC or Norfolk Southern of any of their rights under any of the PLC Leases, the Norfolk Southern Leases, the Bankruptcy Code, or applicable law. PLC, PDC and Norfolk Southern expressly reserve all such rights, including, without limitation, the right to: (a) supplement and/or amend this Objection and Reservation of Rights and to assert any additional objections with respect to any proposed assumption and assignment of the PLC Leases or the Norfolk Southern Leases on any and all grounds; (b) amend the PLC Cure Amount or the Norfolk Southern Amount; (c) assert any and all additional objections with the and amend or supplement any objections thereto; (d) assert any nonmonetary defaults under the PLC Leases or the Norfolk Southern Leases; (e) assert any rights for indemnification or contribution against the Debtors arising under the PLC Leases or the Norfolk Southern Leases; and (f) assert any additional 9

WHEREFORE, PLC, PDC and Norfolk Southern respectfully request that this Court (a) sustain this Objection and Reservation of Rights and (b) grant PLC, PDC and Norfolk Southern such other and further relief as this Court deems just and appropriate under the circumstances.
