2 REMARKS: General: This complete dispersal sale has been arranged on behalf of the Cormack Family who have decided to sell Frog Hall Farm and retire from farming. The machinery on offer has all been excellently maintained with the majority having a full service record. The sale is complimented by a number of items which have been included by local farmers. Location: Frog Hall Farm is situated off Crow Lane, between the village of Sheepy Magna and the hamlet of Pinwall - Please see location plan. Payments/Cheques: Cheques: Intending Purchasers not known to the Auctioneers must produce, prior to bidding, an acceptable Banker s reference. Cash: Cash payment is acceptable, subject to the Money Laundering Regulations. Card Payments: Debit Card payments are acceptable assuming a suitable mobile telephone line is available at the sale site. Credit Cards or any cards which make a charge against the payee are not acceptable. Bidding: The Auctioneers reserve the right to refuse the bid of any unknown potential Purchaser. Money Laundering Regulation 2007: All persons paying for lots in excess or anticipated to be in excess of 10,000 will be required to produce to the Auctioneers before bidding a form of identification such as a passport, driving licence or shotgun certificate. Viewing and Inspection: Morning of the sale or by appointment with the Auctioneers. Other Information: VAT at the standard rate will be added to the purchase price of all lots if applicable. Health & Safety: Included in this sale are a number of Lots which have not been used for some time and may be suitable for spares or are in need of repair. The Purchaser is totally responsible for the safe use of any items acquired at this sale. Clearance of Lots: All lots must be cleared within 7 days of the sale or by arrangement with the vendorsor by arrangement with the Vendors. Purchasers are reminded that all lots become the Purchasers responsibility at the fall of the hammer, and are advised to take up effective insurance immediately. Loading facilities: Loading facilities will be available on the day of the sale if required. It will be the purchasers responsibly to arrange the safe loading and transport of all their purchases. Fox Bennett or the vendor will have no obligation to assist in the loading of any purchases, but they will endeavour to do their best to assist without putting themselves, the purchaser or anyone else at risk of injury. (2) Each Lot after being knocked down shall be considered as delivered to the Purchaser thereof, and the Auctioneers will not neither will any person in their employ, hold themselves responsible for the safety of such Lot. (3) Payment in full shall be made by the Purchaser to the Auctioneers on the day of sale and if demanded by the Auctioneers or their Clerk at any time during the progress of the sale shall be paid forthwith. (4) (a) The risk in the Goods shall pass to the Purchaser on the fall of the hammer, but the ownership (whether it be equitable, beneficial, absolute, legal or otherwise) of the Goods shall not pass until payment in full to the Auctioneers by the Purchaser of all sums due has been made. (b) Until the time of such payment, the following provisions shall apply: (i) (iii) (ii) The Goods shall be stored or kept separate and apart from other Goods and livestock belonging to or in the possession of the Purchaser. The Purchaser shall take proper care of the Goods. The Purchaser shall be deemed to have authority to deal with the Goods as if the Purchaser were the owner of them, but the Purchaser must account to the Auctioneers or all sums payable to the Purchaser by a third party as a result of any dealing with the Goods until such time as payment in full to the Auctioneers has been made

7 (iv) (v) Any product, by-product or living thing derived from, produced by, born to or derived from that born to the Goods shall be the property of the Auctioneers and shall be stored and kept separate and apart from any product, by-product or living thing belonging to the Purchaser and the Purchaser shall immediately account to the Auctioneers for any consideration passing under any contract for the sale of such product or living thing. The Auctioneers may enter upon any premises where the Purchaser has stored the Goods or the Auctioneers reasonably believe the Goods to be stored in order to re-possess the Goods. (5) If the Purchaser shall fail to make payment in full on the day of sale, interest at the rate of 2% above the base rate from time to time of the National Westminster Bank Plc shall be paid by the Purchaser on any balance owing by the Purchaser from the date of sale until the date of payment unless the Auctioneers shall decide to waive the Condition. (6) In these Conditions of Sale, the words the Goods shall be deemed to include all manner of things living or dead, including livestock offered for sale by the Auctioneers. (7) The Auctioneers reserve on behalf of both themselves and of the Vendor the right to bid on behalf of the Vendor. (8) Upon any Purchaser failing to comply with these Conditions, the Lot or Lots bought by the Purchaser may be resold by Public Auction or Private Treaty, at the Auctioneers discretion and any expenses incurred or deficiency arising from such resale shall be made good by the defaulter at the present Sale. (9) Strangers paying by cheque must before the Sale produce to the Auctioneers their Bankers or other references. (10) The Terms and Conditions herein cannot be varied by any person acting or purporting to act as Employee or Agent of the Auctioneers. (11) The Terms and Conditions herein shall not be affected by any previous dealings between the Auctioneers and the Purchaser. Each particular Sale shall be regarded as a separate and new Contract, having no relation to other Contracts between the Auctioneers and the Purchaser. (12) The Purchaser shall be bound by the Auctions (Bidding Agreements) Acts 1927 and (13) All Goods whether livestock or deadstock shall be taken to with all faults and errors of description as to barrenness, time of calving, health or otherwise. COPIES OF THESE CONDITIONS ARE AVAILABLE ON REQUEST IN THE AUCTIONEER S OFFICES HEALTH AND SAFETY AT WORK ACT 1974: (and all other Acts and Regulations Applicable to Health and Safety amended legislation) The Purchaser of any lot is responsible for complying with all legal requirements as to the safe use of lots purchased at the Sale and shall ensure compliance with all relevant legislation relating to the safe use of such lots. MISREPRESENTATION ACT 1967: The attention of Purchasers is drawn to the terms of the above Act: The Auctioneers act as Agents only. Each lot, as set out in the catalogue or as divided or joined with any lot or lots at the Sale, at the sole discretion of the Auctioneers, is sold with all faults, imperfections and errors of description and neither the vendor nor the Auctioneers are responsible for the condition or quality of any lot. All statements in the catalogue as to any such matters are statements of opinion and are not to be taken as or implying statements nor representations of fact. (14) Should any question arise not provided or in the foregoing Conditions, the decision of the Auctioneers shall be final and binding on the Purchaser
