4 A meeting of the Upper Dublin Township Municipal Authority (MA) of Upper Dublin Township (UDT) was held on Friday, July 7, 2017, at 7:30 A.M., in the Township Building, Chairperson Robert Pesavento presiding. In attendance were MA members Robert Pesavento, Robert Danaher, Michael Markman and Greg Diehl. Also present were Paul Leonard, Executive Director; Jonathan Bleemer, Finance Director; David Brooman, Solicitor representing the Municipal Authority; Jack Smyth and Ronald Wagenmann of Boles Smyth; and Commissioner Liz Ferry and Township Economic Development Specialist, Graham Copeland in the audience. Commissioner Ronald Feldman arrived late. Tab 3 CORRESPONDENCE & ANNOUNCEMENTS - None Tab 4 STANDARD BUSINESS a. Mr. Feldman joined the meeting at this time. Tab 6 PRESENTATIONS a. EB-5 Investor Program and Private/Public Projects by Graham Copeland This program allows foreign investment in infrastructure as a pathway to citizenship. Regional centers manage the investment. The Delaware Valley Regional Center, a for-profit entity, did the I-95 connector with $200 Million in EB-5 money. The Pennsylvania Turnpike Commission and SEPTA were their clients. For that project, each person invested $1 Million in return for citizenship. Graham noted it is a funding option to consider for the PA Turnpike Virginia Drive Slip Ramp completion. Mr. Pesavento is concerned that the Turnpike would want to direct the monies to their highest priority projects that might not include the slip ramp. Mr. Smyth: The Township could work with Montgomery County to use this program to cover all the ramp projects. 1 4

5 Mr. Copeland: This is a controversial program that is up for a legislative vote in September. The projects selected would provide a revenue stream over time such as the Turnpike slip ramps. This would incentivize private investment. Mr. Leonard: The President has already outlined a Trillion dollar investment in infrastructure and the Turnpike Commission has already qualified for some of that money. Shovel ready projects will be first in line. We need to follow the timing on these funding opportunities and be ready for them. Mr. Markman: There are already major entities that have raised money to invest in these types of projects and it may be worthwhile to monitor how the MA may use this as a funding option. Mr. Copeland: There are also Public-Private-Partnerships (P3s). Private investment groups finance, design, construct and maintain road/bridge projects. Mr. Danaher: Why do they invest in this program? Mr. Smyth: An example is the PennDOT local bridge bundling program. The P3 group will be paid a revenue stream with a Return on Investment over the course of a stated number of years. If applied to a PA Turnpike project, the P3 group may negotiate a percentage of collected tolls. Tab 7 DISCUSSION ITEMS a. Review Project Funding Schedules to Determine Bond Amount Request. Mr. Pesavento: Any changes to schedules or priorities? Mr. Smyth: The Pine Run bridges completion did open Virginia Drive up to Camp Hill Road; the Rapp Run culvert should open today weather dependent. Mr. Leonard: We also have various options to discuss for various ways to apply an assessment. Mr. Smyth: Ron Wagenmann prepared a memo with those options to hand out. Mr. Bleemer: I also have a handout with updated spreadsheets. Mr. Wagenmann: There are several ways of applying an assessment: property square footage building square footage assessed property value or assessed property taxes number of parking spaces traffic generation street frontage impervious coverage 2 5

6 Debt service will be the MA's largest cost that has to be met on an annual fixed basis. Therefore, the selected method(s) should not be vulnerable to large annual variations or be subject to major changes. The County tax duplicates can be used for land, buildings, assessment, and taxes. For some other methods you will need to determine traffic generation or measure street frontage to calculate the assessment. We are recommending a two-tiered assessment approach. The first-tier method would apply to all properties within the boundary and would account for vacant and developed properties. The second-tier would add a second assessment method to the first-tier for developed properties. One of the problems with the building square footage usage method is it does not take into account various zoning uses. The number of parking spaces method is responsive to zoning and relates to intensity of use. It also recognizes impervious coverage and would be fairly stable. Mr. Leonard: There have been Supreme Court decisions in the last week that could affect assessments. We have to make sure that we are assessing the properties that are getting benefit. Even a vacant property gains benefit in terms of property value from improvements, which is a good reason to use property square footage or assessment in the first-tier. Mr. Markman: Building square footage is not necessarily a good indicator of use for a second-tier assessment. The less intensely developed properties could get an unfair burden. The parking space approach directly relates to the use and would be a better approach. Mr. Wagenmann: The first-tier method may be property square footage or property assessed value based on the land only. Montgomery County separates the assessed value of the land as part of the overall property assessment. Mr. Danaher: Could the assessed percentages be different for the two tiers? Mr. Pesavento: Therefore, the weighting would be different for the tiers. Mr. Danaher: Yes, as an example could 40% of the calculated overall assessment be based on the first-tier and 60% is on the second tier? Mr. Brooman: This needs to be confirmed, but it should be acceptable. Mr. Markman: Most of the properties in the park are developed. Mr. Leonard: For tier-one, property square footage would be a stable method because county assessment for the land may change, however, the square footage 3 6

7 will not. A potential benefit for use of the parking spaces method for tier-two may be developers revising their requests for over-parking. Mr. Markman: This makes sense. I would request a calculation based on a 50% tier-one property square footage and 50% tier-two parking spaces split. Mr. Danaher: I would also request a 40% tier-one and 60% tier-two split. Mr. Feldman: Does the MA have a spreadsheet with the number of parking spaces for each parcel? Mr. Leonard: No, but we could use Google to do this or use aerials that we have and count parking spaces. Mr. Smyth: The land development plans for parcels within the MA boundary should indicate the number of required versus actual parking spaces provided. Mr. Markman: Parking decks will have to be counted. Mr. Pesavento: How should the MA assess publicly owned properties? Mr. Leonard: Tax exempt properties with institutional uses are usually subject to these types of assessments. b. Update on Dresher Triangle Improvement Concepts Mr. Smyth: This is a carry-over from the last meeting and will be on the next two meetings. We are waiting on the bridges to open up to get the old traffic patterns back in place. We need Rhythm Engineering to reestablish the traffic signal timings to account for the old traffic patterns. c. Transfer Development Rights (TDR) credits. Mr. Leonard: TDR Task Force did report to the Board of Commissioners (BOC) to expand the number of receiving properties and update the map accordingly. This may be considered at a September or October hearing. Mr. Danaher: Is there anything related to this on Tuesday s BOC meeting agenda? Mr. Leonard: There is a request for discussion of a change in regulations to allow for construction in the floodplain by using established engineering methods to raise the building and parking out of the floodplain. Mr. Markman: The properties that are in the floodplain are being actively traded. 4 7
