Dear Sir, With reference to above, M/s (herein after referred to as 'REIL' on behalf of) is pleased to place NOA on M/s Diwakar Renewable and Infra Pvt. Ltd. (herein after referred to as 'Developer') for subject work as per all the terms and conditions and provisions of Tender Ref No. REIL/BID/RTS(C)/ /002 dated , for a levelized Tariff of Rs per kwh (Two Rupees and Forty Seven paise only) inclusive of GST for 25 years. The details are given below. 1.0 REFERENCE This has reference to the following: Our Notice Invitation Tender (NIT) dated Bidding documents for the subject package issued vide our NIT No.1.2 REIL/BID/RTS(C)/ /002 dated and tender ID- 2018_REIL_352814_1. Amendments to Bidding Document issued vide our Corrigendum No.-1 (Pre-bid reply) 1.3 dated , and Corrigendum No.-2 dated Clarifications to the Bidding Documents, pursuant to pre-bid conference held , 1.4 issued vide our clarifications dated AWARD OF CONTRACT AND ITS SCOPE 2.1 We confirm having accepted bid of the developer (referred to at para 1.3 & 1.4 above) read in conjunction with all the specifications, terms & conditions of the bidding documents (referred to at Para 1.2 above), and award on the developer the Contract (also referred to as the" Project" or" Scheme") for performance of all activities, as set forth in the documents, viz. Implementation of 50 MWp Grid Connected Roof Top and Small Solar Power Plants Programme for Government Buildings in different States/ Union Territories of India under RESCO model. The scope of work inter- alia includes the following: "Site Survey, Design, Engineering, Manufacture, Supply, Storage, Civil work, Erection, Testing & Commissioning of the Grid Connected Rooftop Solar PV Project including Operation & Maintenance (0 & M) of the project for a period of 25 (Twenty Five) Years under RESCO Model after Operational Acceptance". The Scope of the Work would essentially cover, but not limited to Site Survey of Identified Roof Tops and Surplus Land / Identification of New Roof Tops and surplus land, Site Visit, Solar Potential Assessment, Finalization of plant capacity for Identified Locations, execution of PPA (as per the prescribed format given in the NIT) Design, Engineering, Supply, Storage, Civil work, Erection, Testing, Commissioning, Inter-connections with the grid for net metering as per state/ut Policies, Obtaining No Objection Certificate (NOC) from Distribution Company (DISCOM) for grid connectivity obtaining all statutory approvals, quality control of the grid connected rooftop Solar PV Project including Operation and Maintenance (0 & M) of the project for a period of 25 years after commissioning of project. 2 Nett' T-PS T4071 (1 nrit4 etci 11111NEIL Any addional modification work of the roof tops in order to implement the system/ project shall be in the scope of developer. The scope of work under this NOA shall also include all such items which are not specifically mentioned in the Bidding Documents and/ or your bid but are necessary for the successful completion of the scope under the Contract for the Implementation of 110 kwp Grid Connected Roof Top and Small Solar Power Plants Programme for Government Buildings in state of Himachal Pradesh under RESCO model unless otherwise specifically excluded in the bidding documents or in this NOA. 2.2 You shall be liable solely and severally for the execution of the Project in accordance with terms and conditions of the bidding documents. 3.0 ALLOCATED CAPACITY ALONG WITH PROJECT COST. 3.1 The details of allocated capacity along with project cost as per the following break-up: State Capacity (in kwp) Levelized Tariff Rs./kWh (In INR) including GST for 25 years Himachal Pradesh The benchmark cost of the project is considered as given in the table below: 3.3 S. 3 IHNINS crug 7-4T147r el 717P-117 DISBURSEMENT OF INCENTIVE The incentive shall be disbursed as follows The incentive shall be released after commissioning of the project and submission of Project Commissioning Reports (PCRs) in SPIN portal at the end of sanction period and submission of original audited Statement of Expenditure (SOE). The developer will also make the sites/premises available for inspection by MNRE/REIL or its designated team/agency. Minimum 40% of the sanctioned capacity has to be installed in order to avail incentives. 67% (2/3rd) of the amount mentioned in the Table in clause 3.3 above shall be disbursed after successful demonstration of the desired PR of 75% against Successful Commissioning and acceptance of project and balance 33% (1/3rd) of the amount mentioned as per the table in clause 3.3 against successful demonstration of the desired CUF of 13.5% for Himachal Pradesh after completion of first year of successful 0 & M., if project is commissioned in sanctioned time. In case of non-achievement of above mentioned milestones (first at commissioning and second at first year of 0 & M), no incentive shall be disbursed. However, REIL may extend an option to developer for re-demonstrations of performance parameters after due rectification at its sole discretion well within the timelines. If the developer fails to demonstrate the required Performance Parameters after due rectification as well, the entire incentive will not be disbursed. Similarly, incentive amount shall be disbursed as per Annexure-III of this NIT for delayed commissioning proportionate to the eligible amount. REIL may consider releasing Incentive on case to case basis depending on the actions taken by the Developer and subject to meeting the following conditions: 1) The rooftop and ground mounted SPV power plant should be completed as per the Scope of NIT. 2) The building on which rooftop SPV power plant is installed has the required strength to hold the weight of the plant 3) The SPV power plant must get CEIG inspection certificate. 4) Intimate the concerned DISCOMs regarding implementation of grid connected roof top and ground mounted solar PV projects as per the given format in Annexure-M and submit the copy of same to REIL for the purpose of release of Incentive. 5.0 PERFORMANCE SECURITY / PERFORMANCE BANK GURANTEE (PBG): 5.1 Within 30 days from the date of issuance of NOA, developer shall furnish the Performance Security for the allocated capacity only. PBG shall be submitted for different states. The formula applicable to calculate the PBG amount will be: For Himachal Pradesh: PBG amount = (Rs Lakh) X Allocated Capacity in MWp in a State. 5.2 All other conditions laid in Clause 3.13 PERFORMANCE SECURITY / PERFORMANCE BANK GUARANTEE (PBG) of Part-II Instructions to Bidders (ITB). 5.3 For MSME Developers If MSME developer does not submit the performance bank guarantee as per clause 3.13 of Part - II ITB of NIT, it shall be blacklisted from all tenders of REIL or shall have to pay a penalty equivalent of EMD amount with subsequent interest calculated as 1.25 % per month on EMI) amount from the date of bid submission. 4 -{m47-4 cei 'es 7gig SCHEDULES FOR COMPLETION OF PROJECT / SANCTION PERIOD The schedules for completion of project shall be 09 (Nine) months from the date of NOA i.e. on or before Duration of the O&M shall be for a firm period of 25 (Twenty Five) years from the date of commencement of the O&M Contract. If the Developer commissions less than 40 % of the sanctioned project within specified time i.e. on or before , no incentive shall be disbursed. However, further period of 06 (Six) months shall be allowed to developer for completion of entire unexecuted allocated capacity. After 06 months [ i.e. after ], the entire project will get cancelled and the total PBG would be forfeited. 7.0 INITIAL ALLOCATION OF BUILDINGS For facilitating Developer, a list of sites in Himachal Pradesh indicating location/address/tentative roof top size/ approximate capacity potential etc. is enclosed at Annexure-I. The capacity is estimated considering 1 kwp = 10 Sq Mtr to 15 Sq Mtr. However, in actual scenario it may very as per the actual site conditions such as type of roof, shading, free space availability, load conditions etc. Accordingly, the indicative Solar Roof Top Potential may also very. The list is purely indicative. This indicative list has been prepared by REIL after assessment along with the building addresses and the states which it belongs to. Based on the above, the initial allocation has been made as per methodology stipulated in original tender document including its amendments and clarifications. Though due care has been taken in such allocation, successful developers are requested to ascertain the buildings/land, feasibility of space including their capacities allocated to them and signing of PPA Agreement in consultation with the owner of the building upon allocation by REIL. In case of any discrepancies in the allocation of buildings/land capacities, developer is requested to factor those discrepancies prior to giving acceptance of NOA. The final installation capacity shall be sanctioned by REIL based on submission of Project Sanction Documents to REIL. The initial allocation of buildings/ land shall be indicative and valid for 14 (Fourteen) days only from the date of issuance of NOA. The developers may submit their consent/ project sanction documents to REIL during this initial 14 (Fourteen) days for the allocated buildings/land. After 14 (Fourteen) days from NOA, Developer has to execute the Project on the allocated building(s)/ land as per the capacity given in the NOA. In case of change in capacity as per the consent/ project sanction documents submitted by the developer final revised capacity shall be accorded by REIL to developer. In case the Developer does not want to execute the allocated capacity or non-fulfilment of any of the conditions mentioned above under Clause no. 7 till , claim against PBG for the unexecuted capacity(ies) shall be collected by REIL. 8.0 SANCTION OF PROJECT After submission of project sanction documents by the Developer and accepted by REIL, REIL will issue the sanction letter(s) for the project(s) indicating the incentive amount(s) which will be disbursed in line with the provisions of the NIT document including its amendment(s). The developer shall complete the entire scope of the work within the due date i.e PMC CHARGES OF REIL PMC charges of REEL shall be computed as 5% of the MNRE benchmark cost minus incentives). Since, the incentive amount cannot be ascertained at the time of submission of project sanction documents, developer shall pay 5% of the MNRE benchmark cost at the time of project sanction document. The balance amount shall be refunded depending on the amount of eligible incentive amount after commissioning of capacity allocated LIQUIDATED DAMAGES If the developer fails to commission the project within the sanction time then Liquidated Damages on per day basis will be calculated and will be claimed against the Performance Security on a 06 (Six) months period basis. After six (6) Months the Project will get cancelled and the total PBG amount would be forfeited. Calculation of LD Example: If a project of!
