The tank is constructed to accommodate the placement of antennas. The County receives $18,878.65 annually from Verizon for use of the tank on Demere to mount antennas. They want to increase the number on antennas on the tank from 6 to 12 for an increase in the lease fee of $8121.35 annually. If approved, the new lease rate will be $27,000. Alternatives 1) Do not accept the amendment to the lease agreement and not allow the expansion of Verizon antennas on the Demere Water tank. 2) Approve the amendment to the lease agreement, permitting Verizon to add the antennas to the tank. 3) Propose a different rental rate and continue negotiations with Verizon Recommendation Staff recommends Alternative 2. Recommended Motion I make a motion to approve the amendment to the Demere Water tower lease agreement with Verizon Wireless which allows 12 antennas on the tower for an annual lease rate of $27,000, subject to the review and approval of the amendment by the County Attorney.

Location Code: 134325 Tenant Site Name: St. Simons South Contract #: 40361 FIRST AMENDMENT TO TOWER AND GROUND LEASE AGREEMENT THIS FIRST AMENDMENT TO TOWER AND GROUND LEASE AGREEMENT (hereinafter First Amendment ) is made as of the day of, 2007, by and between Glynn County, a political subdivision of the State of Georgia, by and through its Board of Commissioners ( Landlord ), and Verizon Wireless of the East LP, a Delaware limited partnership, d/b/a Verizon Wireless and Verizon Wireless Personal Communications LP, a Delaware limited partnership, d/b/a Verizon Wireless (collectively Tenant ); and WHEREAS, Landlord and Palmer Wireless, Inc., a Delaware corporation ("Palmer"), entered a Tower and Ground Lease Agreement dated August 7, 1996 (the Agreement ), pursuant to which Landlord leased to Palmer a portion of the tower site located at St. Simons Island, Glynn County, Georgia, and the ground space leased is described in Exhibit A attached hereto and made a part hereof, and is leased together with access and utility easement rights as described in the Agreement, and the Landlord's property is described in Exhibit B attached hereto and made a part hereof, and also is shown on Exhibit B to the Agreement; and WHEREAS, effective as of October 6, 1997, Palmer merged with Price Communications Wireless, Inc. ("Price"), and the surviving entity continued to operate under the name of Price; and WHEREAS, Price assigned its interest in the Agreement to Verizon Wireless of the East LP, effective August 12, 2002, by Assignment recorded in Deed Book 1020 at Page 499, Glynn County, Georgia records; and WHEREAS, for Tenant's purposes of lease and contract authorization, Verizon Wireless Personal Communications LP is also made a signatory to this First Amendment; and WHEREAS, Landlord and Tenant desire to amend the Agreement as provided herein; NOW, THEREFORE, for One Dollar ($1.00) and other valuable consideration, the receipt, sufficiency and adequacy of which are hereby acknowledged, the parties hereto agree as follows: 1. Capitalized terms not defined in this First Amendment will have the meaning ascribed to such terms in the Agreement. 2. Section 2(a) of the Agreement is hereby amended to allow Tenant to have up to twelve (12) antennas, and accordingly is deleted and replaced by the following provision: "(a) Up to twelve (12) antennas and one (1) microwave dish." 3. Section 3(b) of the Agreement is hereby amended to provide for automatic renewal of the Extended Terms, and accordingly the second sentence in Section 3(b) is deleted and replaced by the following provision: 1

Location Code: 134325 Tenant Site Name: St. Simons South Contract #: 40361 "Each of the Tenant's two remaining options for an Extended Term shall be deemed automatically exercised without further notice from Tenant and each Extended Term shall be deemed automatically renewed by Tenant, unless Tenant terminates the Agreement at the end of the then current term by giving Landlord written notice of the intent to terminate at least six (6) months prior to the end of the then current term." 4. In order to avoid proration of rents, to cause the annual periods within the Extended Terms to coincide with the annual periods (calendar years) for which Base Rent (payable on January 1 st ) is paid under the Agreement, to coordinate the rent payment dates with the dates for annual rent changes under the Agreement, and to provide a workable formula for such annual rent changes, the parties further agree as follows: (a) The current five-year Extended Term during which this First Amendment is made, having commenced on August 15, 2006, and scheduled to expire on August 14, 2011, is hereby extended to expire on December 31, 2011. Each additional Extended Term after December 31, 2011 shall continue to be for five (5) years, and the last Extended Term shall expire on December 31, 2021. (b) Section 4(b) of the Agreement is hereby deleted in its entirety and replaced with the following: "Base Rent Adjustment: Beginning with the annual Base Rent payment on January 1, 2008, the annual Base Rent shall increase on each annual rent payment date by an amount equal to three percent (3%) of the Base Rent owed for the previous one-year period." (c) Section 4(c) of the Agreement concerning proration of rent is hereby deleted. (d) Landlord acknowledges that rent has been paid for the period from August 15, 2007 to December 31, 2007, as contained in the payment that was due on January 1, 2007, and was previously made to Landlord. 5. The Base Rent payable under Section 4(a) of the Agreement is hereby changed to $22,478.65. 6. Section 8 of the Agreement is hereby amended to reflect Tenant s current notice address as follows: Verizon Wireless of the East LP d/b/a Verizon Wireless 180 Washington Valley Road Bedminister, NJ 07921 Attention: Network Real Estate 2

Landlord agrees that a certificate of insurance naming Landlord as additional insured under Tenant's liability insurance against bodily injury and property damage will suffice under Section 13 of the Agreement in lieu of an endorsement making the insurance primary to Landlord. 8. Except as specifically set forth in this First Amendment, the Agreement is otherwise unmodified and remains in full force and effect and is hereby ratified and reaffirmed. In the event of any inconsistencies between the Agreement and this First Amendment, the terms of this First Amendment shall take precedence. 9.
