(iii) constructing (and thereafter exercising vehicular and pedestrian rights of way thereover) an access road leading from Turners Hill to and from the land hereby transferred in the position shown brown on the accompanying plan and constructing the works referred to in the First Schedule to the Deed of Grant intended to be made between (1) the Transferor (2) the Transferee and (3) Hertford County Council (B) Of using any existing pipes wires cables and drains upon the adjoining lands for the supply of water gas electricity telephones and drainage water and soil together with any rights of connection thereto that the Transferor may have or is able to grant. NOTE: The right of way over the access road to be constructed and the rights of entry for maintenance of future boundary structures and service pipes are included in the registration only so far as such rights are validated by the Perpetuities and Accumulation Act 1964. 3 The land edged and numbered 1 in yellow on the title plan has the benefit of the following rights granted by but is subject to the following rights reserved by a Deed dated 27 November 1985 made between (1) The Mayor and Burgesses of the London Borough of Haringey (Grantor) and (2) Wates Built Homes (Blakes) Limited (Grantee):- "HEREBY GRANTS unto the Grantee full privilege right and liberty for the Grantee and its successors in title the owners and occupiers for the time being of the dominant land (i) within one month of the date hereof to carry out works (hereinafter called "the works") of construction and laying a foul sewer and ancillary apparatus and connections (hereinafter called "the foul sewer") through and under that part of the servient land shown coloured yellow on the said Drawing No. THC/B/ED/305 annexed hereto. The land coloured brown and hatched black is hatched brown on the title plan. 5 The land edged and numbered 2 in yellow on the title plan has the benefit of the following rights granted by the Transfer dated 10 December 1986 referred to in the Charges Register:- "Rights in fee simple for the benefit of the Property and each and every part thereof. A: Property Register continued 6 The land edged and numbered 2 in yellow on the title plan has the benefit of the following rights reserved by the Transfer dated 3 July 1987 referred to in the Charges Register:- "excepting and reserving unto the Transferor for the benefit of the Transferor and its successors in title the owner or owners for the time being of any part of the Estate the rights set out in Part 2 of the First Schedule to this Deed. Part 2 (Exceptions and Reservations to the Transferor and its Successors in Title) 1. The right to the running of water soil electricity and gas through the sewers drains pipes wires and cables and conduits now laid or to be laid in the Land during the Specified Period. 2. (d) Agreements similar to the above agreements with the respective prefixed (a), (b) and (c) in this Clause 8.2(i) with local authorities and statutory undertakers. (the agreements with the respective prefixes (a), (b) and (c) and (d) in this Clause 8.2(i) are hereinafter referred to as "the Development Agreements") And Except the Transferee shall be responsible for the maintenance repair and replacement of works and services or payments in respect thereof where required under the Development Agreements insofar as they relate to the Ground Rents or any part(s) of a Ground Rent or the Developments thereon. Provided that the Transferee shall not be responsible for works and services which the Transferor covenanted to undertake prior to the date hereof for the purpose of adoption by local or statutory authorities to bring roads and their accompaying footpaths rivers walks and sewers up to adoption standards of local or statutory authorities (iii) Without prejudice to the provisions of covenant 8.2(i) above the Transferee and its successors in title shall within a reasonable time of request or requests by the Transferors (or any of them)(such request or requests to be made within the period of 80 years hereof being the applicable perpetuity period) make any conveyance transfer assignment grant of lease and grant any easement in respect of any Ground Rent or any part(s) of a Ground Rent necessary to give effect to:- (a) any existing agreements requiring adoption for public purposes and/or amenity purposes and/or otherwise (b) any existing agreements with any statutory or other body or otherwise in relation to the provision of sewers drains watercourses cables wires or channels and the use of the same (c) any existing contractural obligation between the Transferors (or any of the Transferors) and the tenants and/or the purchasers of the developments situated on the Ground Rents but not given effect to in any completed leases or transfers to the said tenants and/or the said purchasers And provided that the Transferor shall be responsible for the proper legal costs of the Transferee and its successors on completion in respect of any such Conveyance Transfer Assignment Grant of Lease or Grant of Easement". (iv) The Transferee hereby covenants with the Transferors that it and its successors in title shall at any time within the perpetuity period 6 of 18

Schedule of personal covenants continued of 80 years from the date hereof (being the perpetuity period applicable) enter into such deed or deeds (and at the reasonable cost of the Transferors) and in such form as may be reasonably required by the Transferors and/or their successors in title to confirm the grant of reservation of the rights referred to in Schedule 15 hereto. Provided that in the absence of such deed or deeds and providing the execution thereof the Transferors and its successors in title shall be entitled to exercise such rights as of right. (v) The Transferee hereby covenants that upon making any disposition of any Ground Rent or part thereof the person making the disposition will forthwith give the transferors notice in writing thereof and will also procure that the person taking under such disposition shall enter into a similar covenant as contained in the whole of Covenant 8.2(ii) and 8.2(iii) Such transferee shall also covenant that it and its successors in title will enter into similar covenants with the Transferors including this covenant. The Transferee hereby covenants with the Transferors that it and its successors in title shall at any time within the period of 80 years from the date hereof (being the perpetuity period applicable) enter into such Deed or Deeds (and at the reasonable cost of the Transfeors) and in such form as may reasonably be required by the Transferors and/or its successors in title to confirm the grant or reservations of the rights referred to in this Schedule PRTOVIDED THAT in the absence of such Deed or Deeds and pending the execution thereof the Transferors and its successors in title shall be entitled to exercise such rights as of right". (d) enter the property hereby transferred to carry out any obligation the Transferors are obliged to carry out under:- (i) Agreements pursuant to Section 18 of the Public Health Act 1936 (ii) Agreements pursuant to Section 52 of the Town and Country Planning Act 1971 (iii) Agreements pursuant to Section 38 of the Highways Act 1980. (iv) Any development Agreements entered into by the Transferors or its predecessors in title. Subject to making good as soon as reasonably possible of any damage caused in the exercise of this right. 2.
