A: Property Register continued "IT IS HEREBY AGREED AND DECLARED that the Purchaser and its successors in title to the land shall not have any rights of light or air which would prejudically affect the use by the Vendors and their successors in title of the adjoining property or any part of it for any building purpose." 5 The land edged and numbered in green on the filed plan has been removed from this title and registered under the title number or numbers shown in green on the said plan. 6 The land has the benefit of the following rights reserved by but is subject to the following rights granted by a Transfer of the land edged and numbered CH200126 in green on the filed plan dated 27 July 1982, made between (1) Pochin (Development) Limited and (2) Pochin's PLC:- "Together with the rights mentioned in the First Schedule hereto excepting and reserving in fee simple unto the owners from time to time of the land retained by the Transferor comprised in Title Number CH142302 (hereinafter called "the retained property") the rights mentioned in the Second Schedule hereto." The free use of all watercourses outfalls gas water pipes electric cables and telephone wires and other services now laid through or under the retained property or which are laid within the Perpetuity Period. 4. Full and free liberty to enter upon the retained property to connect into and inspect the condition of the said watercourses outfalls gas water pipes electric cables and telephone wires and other services the transferee paying a due proportion according to user of the expense of maintaining renewing and repairing the same and 5. The free right and liberty at all times and for all purposes to pass and repass with or without animals and vehicles of any description over and along the road known as Aston Way and all other estate roads situate upon the retained property the transferee paying a due proportion according to user of the expense of maintaining renewing and repairing the same SECOND SCHEDULE 1. The free running of water and soil from the retained property through and along the sewers or drains now laid through or under the property hereby transferred 2. Full and free liberty to enter upon the property hereby transferred to inspect the condition of the said sewers or drains and to connect into such sewers or drains the transferor making good all damage caused to the property hereby transferred by such inspection and connection and paying a due proportion according to user of the expense of maintaining repairing and renewing such sewers or drains 3. The free use of all watercourses outfalls gas water pipes electric cables and telephone wires and other services now laid through or under the property hereby transferred or which are laid within the Perpetuity Period 2 of 7

Full and free liberty to enter upon the property hereby transferred to inspect the condition of the said watercourses outfalls gas water pipes and electric cables and telephone wires and other services the transferor making good all damage caused to the property hereby transferred by such inspection and connection and paying a due proportion according to user of the expense of maintaining renewing and repairing the same 5. Any right of light or air which would prejudicially affect the user by the transferor and its successors in title of the retained land for building purposes are hereby expressly excepted from the effect of this transfer and it is hereby declared that the transferee and its successors in title shall not become entitled to any such rights for the benefit of the property hereby transferred" 7 The eastern boundary of the land included within the red edging on the filed plan has been amended. 8 (28.12.2012) A Transfer of the land in this title and other land dated 30 November 2012 made between (1) Pochin Investments Limited and (2) Pochin's Plc contains a provision excluding the operation of section 62 of the Law of Property Act 1925 as therein mentioned. C: Charges Register continued 2 A Conveyance of the land in this title dated 4 May 1979 made between (1) Bert Moreton and Jean Isable Maureen Moreton (Vendors) and (2) Pochin (Development) Limited (Purchaser) contains the following covenants:- "THE Purchaser covenants with the Vendors for the benefit of the adjoining property and every part of it so as to bind the land and every part of it into whosesoever hands it comes that the Purchaser and its successors in title to all or any part of the land shall: (a) Provided Always that the necessary Planning Permission referred to in Clause 1(b) hereof has been obtained and Provided Always that the Highway Authority shall have completed all necessary changes to the Holmes Chapel Road to allow vehicles to come on to the land complete the construction of a roadway along the strip and an access to the adjoining property at the point marked "T" on the plan by the 29th day September 1980 and if the said Planning permission shall not have been granted or the said Highway Authority have not carried out the said work by that date then the Purchaser will construct the said roadway within three months of any alternative Planning Permission being granted as more particularly mentioned in Clause 1(b) hereof or within three months of such said work being carried out by the Highway Authority whichever shall be the later (b) Within six months from the date hereof erect and forever after maintain a post and wire stock proff fence 1.5 metres high between the points marked "X" and "B" on the plan (except at the point marked "X" while access to the adjoining property is possible through the gate at that point and except at the access points marked "Y" and "Z" on the plan from when such accesses come into use) (c) If any of the Consents referred to in Clause 1(b) hereof is obtained: (i) not undertake any development on the land unless the purchaser or its successors in title has first constructed a roadway along the strip or the said alternative access road in accordance with all relevant Local Authority or other requirements (ii) permit the Vendors or their successors in title to construct an access to the adjoining property at the point marked "Z" on the plan." C: Charges Register continued in the Town and Country Planning Act 1971" "EXCEPTING AND RESERVING to the Vendors and their successors in title the owners and occupiers for the time being of the adjoining property the rights: (a) to pass and re-pass at all times and for all purposes with or without vehicles from the access point indicated by the letter "X" on the plan to Holmes Chapel Road until such time as such access point is closed by the order of the Local Authority or the Local Highway Authority (b) subject to the provisos contained in this sub-clause to pass and re-pass (which rights shall hereinafter be referred to as "the said right of way") at all times and for all purposes with or without vehicles along the strip and to gain access to the adjoining property at the access points marked "Y" and "Z" on the plan PROVIDED ALWAYS AND IT IS HEREBY AGREED AND DECLARED that because Planning and any other necessary Consents for access from the said right of way on to Holmes Chapel Road at the point indicated on the plan has not yet been obtained the grant of the said right of way is conditional upon the necessary Permission being obtained and in the event of such Permission not being obtained by the 29th September 1980 the said right of way contained in this sub-clause shall automatically be released and extinguished PROVIDED ALWAYS AND IT IS FURTHER HEREBY AGREED AND DECLARED that the Purchaser shall use its best endeavours to obtain planning and any other necessary consents to enable it to grant the said right of way and in the event of such Permission not being granted by the said date then the Purchaser shall use its best endeavours to obtain consent for an alternative access road from the land on to Holmes Chapel Road and in the event of such consent being granted then the Purchaser shall grant a similar right of way as is contained in this sub-clause to the Vendors from the said alternative access on to Holmes Chapel Road to the positions marked "Y" and "Z" on the plan (c) during the perpetuity period to enter any part of the land and connect into any of the conduits now or which may at any time during the perpetuity period be constructed in on or under the land by the Purchaser or its successors in title and to break up the surface and dig trenches in any part of the land for the purposes of making such connections (d) the passage and running of water surface water and foul drainage to and from the adjoining property by and through the conduits and any connections to them now or within the perpetuity period laid in on or under any part of the land (e) enter any part of the land to inspect repair maintain clean or replace any conduits or connections to them now or within the perpetuity period laid in on or under any part of the land PROVIDED ALWAYS that (except in case of emergency) no such connections inspection repairs maintenance cleansing or repairing shall be carried out until plans and specifications (where practicable and appropriate) or descriptive details of all workings shall have been submitted to and approved of in writing by the Purchaser or its successors in title (such approval not to be unreasonably withheld) PROVIDED ALWAYS and it is hereby agreed and declared that the exceptions and reservations herein contained shall be subject to the persons exercising the rights set out in this Clause: (i) making good any damage (excluding consequential loss) caused by the exercise of such rights to the reasonable satisfaction of the Purchaser or its successors in title and (ii) paying a proportionate part according to user of the cost of 5 of 7

C: Charges Register continued inspecting repairing maintaining cleansing and replacing any conduits or connections to them to which connection has been made for the benefit of the adjoining property" 4 The parts of the land affected thereby are subject to the leases set out in the schedule of leases hereto. The leases grant and reserve easements as therein mentioned. 5 (27.07.1993) The land is subject for 999 years from 30 June 1993 to such rights of way and drainage as granted by a Lease of Unit 31 dated 30 June 1993 in favour of Firmin Coates & Sons Limited. 6 (08.10.2012) A Deed dated 19 September 2012 made between (1) Pochin Investments Limited (2) Robin Lester Longdon and Susan Longdon and (3) Genesys Holdings Limited is supplemental to the lease dated 24 March 1994 referred to in the schedule of notices of leases hereto. NOTE: Copy Deed filed under CH591634. 7 (12.09.2014) REGISTERED CHARGE dated 15 August 2014. 8 (12.09.2014) Proprietor: NATIONAL WESTMINSTER BANK PLC (Co. Regn.
