1 Page 1 of 16 RULES AND REGULATIONS The following Rules and Regulations have been established for the benefit of all members of Tahoe Beach & Ski Club Owner s Association ( Vacation Plan Owner ). All of these Rules and Regulations are established by and subject to change by the Board of Directors of the Association, as the authority is vested under the Declaration of Vacation Plan of Tahoe Beach & Ski Club (the Declaration ). In the event there is a conflict between the Declaration and the Rules and Regulations, the Declaration shall prevail. I. DEFINITIONS The terms used in these Rules and Regulations which are defined terms in the Declaration, shall have the same meanings set forth in the Declaration. To assist you in reading these Rules and Regulations, some of the definitions contained in the Declaration are repeated or paraphrased below. Several definitions not contained in the Declaration are also included. 1. Association shall mean Tahoe Beach & Ski Club Owner s Association whose members are Vacation Plan Owners. 2. Vacation Plan(s) shall mean, individually or collectively, either: A. Regular Vacation Plan an undivided 1/7, 140 fee interest in the Property, which entitles its Owner to one Use Week in a respective Unit Type and Season during each Use Year as described in the Grant Deed associated with the undivided interest and recorded at El Dorado County, California. B. Biennial Vacation Plan shall mean an undivided 1/14, 280 fee interest in the Property, which entitles its Owner to one Use Week in said Owner s respective Unit Type and Season during each even-numbered year or odd-numbered year, as described in the Grant Deed associated with the undivided interest and recorded at El Dorado County, California. 3. Use Week shall mean one of the numbered one (1)-week periods commencing at Check in Time (no earlier than 4:00 p.m.) and ending at Check out Time (no later than 11:00 a.m.) as designated on the Use Week Calendar. (See http://tahoebeachandski.com/wp-content/uploads//04/tbsc-use-week-cal- 2.pdf) 4. Use Year shall mean, with respect to or a Regular Vacation Plan, a calendar year, commencing January 1 st. With respect to a Biennial Vacation Plan, Use year shall mean the alternate one (1)-calendar year period commencing in either an evennumbered or odd-numbered calendar year, depending upon the description of the

2 Biennial Vacation Plan in the grant deed. Each Biennial Vacation Plan entitles its Owner to only one (1) Use Week every two (2) calendar years. 5. Permitted User means any person whom an Owner permits to occupy a Vacation Plan Unit during the Owner s Use Period. 6. Unit Type means the floor plan and/or accommodations associated with each of the Units as stated in Article 1, Section 1.37 of the Convenants, Codes and Restrictions (CC&Rs), and is the type of Unit the Owner may reserve for use during the Owner s Season if the Owner follows the reservations procedure set forth below. An Owner of a Use Week at Tahoe Beach & Ski Club, owns a Vacation Ownership in one of the following specific Unit Types: Unit Type Max Occupancy Kitchen Floors One Bedroom 4 Partial 1 58 One Bedroom Deluxe 4 Full 1 15 Two Bedroom 6 Partial 1 4 Cabin 6 Full 2 1 Studio 2 Partial 1 36 Townhouse 4 Partial 2 26 Total 140 Number Per 7. Reservations System refers to the Reservations Services employed by the Association. 8. Use Period means the calendar dates of a confirmed reservation. II. AMENDMENTS The Association Board may amend these Rules and Regulations from time to time, at its discretion and upon notice to the Association membership, consistent with the provisions of the Business and Professions Code Section 11210 Vacation Ownership and Time-share Act. III. VIOLATIONS Failure of Owners and Permitted Users to abide by the Rules and Regulations or the terms and conditions contained in the Declaration may result in fines and/or suspension of the Owners rights and privileges as a Vacation Plan Owner, subject to the Declaration. See Exhibit A TBSC Homeowner Association Fining Policy. IV. SOLICITATION No solicitation by industry, business, trade, occupation or profession of any kind, including commercial, religious, educational or otherwise shall be permitted at the resort, unless specifically authorized in writing by the Board of Directors.

RESERVATIONS BY VACATION PLAN OWNERS Subject to all the terms and conditions contained in the Declaration and in these Rules and Regulations, An Owner has the right for each Vacation Plan owned, during each of said Owner s Use Years, to use and occupy a Vacation Plan Unit which is of the same Unit Type as the owned Unit Type for seven (7) consecutive nights, provided the Owner has reserved such use and occupancy in accordance with the following: A) Reservations shall be honored on a first-come, first-served basis. B) Requests for reservations can be made by telephone or online within the following parameters: 1. Prime Season Also known as Christmas and New Year s Season means, for each Use Year, the 2-week period commencing at check-in time on the first day of Week #51 and ending at check-out time on the last day of Week #52, except during Leap Year when Christmas and New Year s Season shall commence on the first day of Week #52 and the end on the last day of Week #53. All unit weeks within Prime Season will open for purposes of making reservations approximately 27 months in advance according to the following schedule: A. Saturday reservations for the following unit types: One Bedroom Deluxe, Two Bedroom and Cabin open on Tuesday. B. Friday reservations for the following unit types: Studio, One Bedroom and Townhouse open on Wednesday. C. Saturday reservations for the following unit types: Studio, One Bedroom and Townhouse open on Thursday. See The Tahoe Beach & Ski Club Use Week Reservation Request Calendar for Use Week request. Winter means, for each Use Year, the two time periods described as follows: (i) the 15-wk period commencing at check-in time on the first day of Week #1 as set forth in the calendar check-out time on the last day of Week #15 and (ii) the 2- week period commencing at check-in time on the first day of Week #50, except during Leap Year when the latter winter period shall be a 3-week period commencing at check-in time on the first day of Week #49 and ending at check-out time on the last day of Week #51. Summer means, for each Use Year, (i) the 17-week period commencing at check-in time of the first day of Week #21 and ending at check-out time on the last day of Week #37, as designated on the calendar. All unit weeks within High Season will open for

4 purposes of making reservations approximately 27 months in advance according to the following schedule: A. Saturday reservations for the following unit types: One Bedroom Deluxe, Two Bedroom and Cabin open on Tuesday. B. Friday reservations for the following unit types: Studio, One Bedroom and Townhouse open on Wednesday. C. Saturday reservations for the following unit types: Studio, One Bedroom and Townhouse open on Thursday. See The Tahoe Beach & Ski Club Use Week Reservation Request Calendar for Use Week request. Swing Season means, for each Use Year, the two time periods described as follows: (i) the 5-week period commencing at check-in time on the first day of Week #16, as set forth in the calendar and ending at check-out time on the last day of Week #20 and (ii) the 11-week period commencing at check-in time on the first day of Week #38 and ending at check-out time on the last day of Week #48. All unit weeks within Swing Season will open for purposes of making reservations approximately 27 months in advance according to the following schedule: A. Saturday reservations for the following unit types: One Bedroom Deluxe, Two Bedroom and Cabin open on Tuesday. B. Friday reservations for the following unit types: Studio, One Bedroom and Townhouse open on Wednesday. C. Saturday reservations for the following unit types: Studio, One Bedroom and Townhouse open on Thursday. See The Tahoe Beach & Ski Club Use Week Reservation Request Calendar for Use Week request. (see http://tahoebeachandski.com/wpcontent/uploads//04/tbsc-use-week-cal-2.pdf) C) Visit https:/ownerreservations.gpresorts.com/owner/ to book Use Week. To access account, Owner should enter account number, the last 4 digits of SSN or Personal Code that may have already been selected and the last name on the account. Once Owner has accessed account, Owner may start booking use week by clicking View Available Weeks for the Use Year the Owner wishes to reserve. Owner will then be directed to a list of all available weeks within Owner s season. Owner then selects preferred dates and clicks Book Now to book week. A confirmation will be sent to the Owner shortly after booking. D) Reservations will be booked for a Use Week based on a calendar year commencing January 1 st.

5 E) Individual Units within the same Unit Type may differ in certain particulars such as size or view. An Owner s unit floats within a Unit Type. This means the Owner will be assigned in the Unit Type associated with Vacation Plan owned, but Unit location and Use Week may change Use Year to Use Year. F) Assignments of Units are made at the sole discretion of Management and are always subject to availability. However, Management will make every effort to accommodate special requests for a particular Unit on a first-come, first-served basis. Owners may request a specific Unit at any time commencing with time of reservation and up until check-in. 90 days prior to check-in, the Unit assignment will be emailed to Owners having email addresses on record with the Association. Although efforts will be made to honor requests on a first-come, first-served basis based on the time and date of the reservation, fulfillment cannot be guaranteed. G) High season and Swing season Vacation Plan Owners will be allowed to book unreserved reservation time in Prime season for an upgrade fee (see Exhibit B). The reservation may be requested no more than 90 days prior to check-in in Studio, one Bedroom and Townhouse unit types only. H) Vacation Plan Owners will be allowed to make a reservation only if current on all charges due to the Association. I) If an Owner cancels a reservation that has a unit request, that unit will be released back into the general inventory pool and available for occupancy. J) A reservation for a Use Period may not be made earlier than 27 months prior to the first day of the Use Period sought to be reserved. (See http://tahoebeachandski.com/wp-content/uploads//04/tbsc-use-week-cal- 2.pdf) K) Owner s holding confirmed reservations cannot make another reservation using the same Vacation Plan, for the same Use Year until the confirmed reservation has been cancelled. L) A reservation for a FULL WEEK Use Period shall be honored only on a Friday-to- Friday or Saturday-to-Saturday based on the unit type owned. Early departure will constitute forfeiture of the unused confirmed time. M) A reservation for a SPLIT WEEK Use Period shall be honored under the following conditions: 1. Only 5 day/2 day or 4 day/3 day split week requests may be made. 2. Owners may repeat any days of the week except Friday and Saturday. 3. Payment of an Administrative split week fee will be collected upon booking a Reservation. A cleaning fee will be collected upon check-

6 out at the Resort on the second portion of the split week. (See Exhibit B) 4. Split time may not be used for exchange. 5. Both portions of the split week must be used within the same calendar year. 6. No mid-week cleaning is provided for either portion of a split week. N) Owners must have a confirmed reservation for it to be valid. Reservation confirmations are provided by email at time of booking. Additionally, Owners may request a copy of the confirmation by contacting the Central Reservations or visiting the online portal at https:ownerreservations.gpresorts.com/owner/. O) A reserved Use Period may be cancelled by giving notice at least 14 days prior to check-in time of the first day of the entire Use Period for which the reservation was made. A new reservation for the same calendar year may be made subject to availability. P) Late Check-in Day Rule: Owners have 48 hours from scheduled check-in day to either check in or notify the resort of late arrival. Should the Owner not notify the resort and not check in by the end of the 48 hours, Management will cancel the balance of the reservation. Any revenue that may be generated as a result of the cancellation will accrue to the Association. Q) The Association may reserve seven (7) nights and days, not necessarily consecutive, during each Use Year as a service period for each Resort Unit. During the period, the Association may maintain, refurbish, and/or repair the Unit as necessary. The Association shall determine which days and nights will be contained within the service period for each Unit. This determination may change from time to time. R) In the event reservation requests are received by Central Reservations at approximately the same time and cannot all be confirmed for a particular Use Period, Central Reservations shall confirm reservations on a first-come, first-served basis. S) In the event an Owner uses fewer than seven (7) nights of a Use Period, the entire Use Period for that Use Year will be deemed to have been used. If any of your seven (7) nights are not used in any Use Year, there shall be no accrual or carry-over of unused time. T) Prior to occupancy of a unit by an Owner or Permitted User, all charges due to the Association must be paid in full. U) Any Owner wishing to exchange a unit must first contact Central Reservations in order to help facilitate the exchange process. In order for an Owner to bank a future week with an exchange company, Owner must first pay the current assessed amount for the Unit Type being reserved for each year being banked. An additional amount may be assessed in the year of use based on that year s total assessment.

7 V) Owners reserving through RCI points should refer to guidelines set by RCI. W) Reservations and confirmations must be in the name of the Owner of the unit(s). If an Owner assigns a Use Period to a Permitted User, a Guest authorization form must be sent to the resort Front Desk via mail, email or fax. VI. BONUS TIME Subject to availability and all terms and conditions contained in the Declaration and in these Rules and Regulations, an Owner has the right to occupy a Vacation Plan Unit for time periods in addition to the seven (7) nights per Vacation Plan owned, provided such use and occupancy ( Bonus Time ) has been reserved in accordance with the following procedures: A) Bonus Time reservations may be made no more than 30 days prior to 8:00 a.m. on the day which begins the Bonus Use Period. Reservations for Bonus Time are subject to availability. Availability is based on unreserved Owner Use Time. B) Bonus Time reservations can be made for a maximum of seven (7) nights consecutively per reservation for each vacation plan owned, subject to availability. C) Reservations for Bonus Time shall be honored on a first-come, first-served basis and may be made by telephone. D) If a Bonus Time reservation has been confirmed and the Owner fails to occupy the reserved Bonus Time Unit, the Owner will be billed for the confirmed Bonus Time charges, unless the reservation is canceled a minimum of 48 hours notice prior to 8:00 a.m. on the day which begins the confirmed Bonus Time Period. Any reservations made within the 48 hour period prior to arrival will be charged the full amount and are non-cancellable. E) The cost of Bonus Time is set by the Association Board of Directors. Vacation Plan Owners may make a Bonus Time reservation only if current on all charges due to the Association. The Vacation Plan Owner as identified by the Grant Deed must be present at check-in. VII. DAY USE Day Use is limited to Deeded Owners only, as identified by the Grant Deed and a maximum of six (6) Guests per Vacation Plan owned. The Owner must be present for Day Use and must accompany Guests at all times. A) Owners are required to check in at the Front Desk to be issued one (1) Day Use Parking Permit and one (1) Key Pass. Vehicles cannot be left on property overnight.

8 Owners must present a valid driver s license or state issued ID that will be held at the Front Desk until the day use key and parking permit have been returned. B) Full Day Use privileges will be limited to a maximum of 20 Vacation Plan Owners per day, unless an exception is made by Management. C) Owners on Day Use during holiday periods must park off site and are required to check in at the Front Desk to be issued an ID wristband. Rules for number of ID wristbands will be determined by Management. Owners will be permitted to check in for Day Use only if current on all charges due to the Association. E) All minors under the age of 18 accompanying an Owner during Day Use must have adult supervision. F) An adult Owner 18 years of age or older must be present for Day Use. G) All Owner parties having more than 12 Guests must have prior approval from Management. VIII. UNTIMELY RESERVATION REQUESTS A Vacation Plan Owner s untimely request for occupancy shall be honored unless every Vacation Plan Unit of such Vacation Plan Owner s Unit type has been reserved by a Vacation Plan Owner or rented to a member of the general public prior to Central Reservations receipt of such Vacation Plan Owner s reservation request. IX. CHECK IN AND CHECK OUT: SERVICE PERIOD Check-in time shall commence no sooner than 4:00 p.m. and check-out time shall be no later than 11:00 a.m. The five (5) hour period from 11:00 a.m. (check out time) to 4:00 p.m. (check in time) between Use Periods is reserved exclusively as a service period for the cleaning, repair and maintenance of the Vacation Plan Unit. Owners must not disrupt Housekeeping staff on designated check in day. Owners shall not enter assigned Unit prior to official checkin with the Front Desk. Violation of this rule will result in penalties as outlined in Exhibit A The Tahoe Beach & Ski Club Homeowners Association Fining Policy. A photo ID and a credit card, debit card or cash deposit are required at check-in. X. FAILURE TO VACATE If an Owner or Permitted User fails to vacate a Vacation Plan Unit by 11:00 a.m. on the last day of the reserved Use Period, such failure to vacate may result in the consequences set forth in the Declaration Article II. 2.3.

9 XI. CARE OF INTERIOR FURNISHINGS AND EQUIPMENT If an Owner, Guest of Owner or Permitted User occupies an assigned Unit, the Vacation Plan Owner is responsible for any damages done to the Unit and its furnishings during the Use Period, other than normal wear and tear. Any charges or fines for damages or loss will be added to the Owner s bill at checkout time or will be billed directly tothe Vacation Plan Owner or charged to the Vacation Plan Owner s account. Owners or Guests of Owners should report any damage or deterioration of the assigned Unit or its common furnishings to the Front Desk as soon as possible after checking in. All Vacation Plan Owners and Guests shall be responsible for removing all personal property from assigned Unit(s) at check-out time. The Association is not responsible for personal property left behind by an Owner or Guest. XII. BUILDING OR FURNITURE MODIFICATIONS No structural changes, reorganization or removal of furniture, wall hangings, or floor coverings or redecoration of any type within the assigned Unit or other areas of the property are permitted to be made by any occupant. Hanging towels or clothing on balconies or railings is prohibited. XIII. HOUSEKEEPING SERVICE Housekeeping service is provided without additional charge to assure that assigned Unit(s) will be clean and neat upon arrival. One mid-week cleaning with towel and sheet exchange is provided without additional charge. Replenishment of in room supplies is limited to paper products only. This service is not provided on split weeks. Daily clean towels, at no additional charge, are available by exchanging soiled towels at a specified location as determined by Management. Additional Housekeeping service will be available to occupants upon request for an additional charge at the then current rate. A charge shall also be made for Housekeeping service required by reason of any occupants damage occurring during occupancy of a Unit. Charges for such additional Housekeeping service shall be payable upon departure. Room towels are not to be removed. Pool or beach towels will be supplied in the Unit. A fee will be imposed if pool towels are not left in the Unit upon departure. Additional pool/beach towels are available at a location designated by Management. (See Exhibit A) XIV. ESTABLISHMENT OF CHARGING PRIVILEGES To establish charging privileges for the duration of occupant s stay, for miscellaneous items such as telephone calls, Transient Occupancy Taxes, movie rental, activity fees, and items purchased at the Resort, and so forth, a credit card, debit card authorization or cash deposit at check-in time. The credit card or debit card must be in the name of the occupant of the Unit. All items or service charges incurred by the occupant of the Unit are room charge only and

10 must be paid at check-out. The name of the occupant of the Unit and the credit card on file must match and only those person(s) are allowed to incur charges to the Unit. XV. INVENTORY OF INTERIOR FURNISHINGS AND EQUIPMENT Each Unit contains an inventory list of items provided in the Unit. If an occupant determines that items on the list are missing or damaged, that information must be immediately reported to the Front Desk or the occupant may be charged for said items. Thus, every occupant should make a careful inventory using the inventory list provided to protect from unwarranted charges. During occupancy of assigned Unit, please report any damage or loss of any items of the common furnishings to Management as soon as possible after checking in. XVI. DAMAGES Any damages caused by an Owner or an Owner s Guests will be the responsibility of the Vacation Plan Owner. XVII. VALUABLES The Association and Management Company will not be responsible for items missing due to theft or loss. Additionally, the Association or Management Company will not be responsible for loss or damage to Owner or Guest vehicles or vehicle contents. Safe deposit boxes are provided for convenience only and the Association and Management Company are not responsible for items missing due to theft or loss from the safety deposit boxes. XVIII. PASS KEY Management is provided with a pass key to all Units. In case of emergency, the Manager or employees of the resort may enter any Unit, and, in such case, shall notify the registered occupant as soon as reasonably possible, of the reason for such entry. XIX. SAFETY AND HEALTH RULES A) Management and the Association Board reserve the right to establish specific rules governing potentially loud or disturbing activities. B) No animals may be brought onto the premises other than registered Service Animals. All Service Animals must be registered at the Front Desk prior to check-in. Failure to adhere to this rule will result in a fine levied on the Vacation Plan Owner and the Owner or Owner Guest may be denied use of the unit and the loss of the Use Period. Owners and Guests may not leave animals in vehicles at any time while on resort property. (See Exhibit A) C) For the health and safety of all Owners and Guests, smoking or utilization of electronic smoking apparatus with any substance for any purpose is not allowed in

11 common areas and/or exterior areas, Units, patios and/or balconies. Common areas include but are not limited to all interior of buildings, courtyards, pool, hot tubs, and the beach. Smoking is allowed at outside designated areas only. Please see property map for location of designated smoking areas. Violation of this rule will result in penalties as outlined in Exhibit A. D) No running in any interior areas. E) Audio and video surveillance will be conducted in certain portions of common areas at the resort. F) Glass containers are not allowed at pool/spas areas, volleyball court and playground XX. STORAGE The Association and/or Management Company shall not be responsible for any belongings left by any occupant at the expiration ofthe Use Period. No storage of personal items on the property is allowed by individuals who are not registered occupants, without prior written permission of The Management Company. XXI. POOLS, SPAS, SAUNA, TAHOE ROOM, FITNESS CENTER, & BEACH A) Children under fourteen (14) years of age are not permitted to use the Pool, Sauna, Spa or Fitness Center unless accompanied by an adult. Management recommends that children 13 and under do not use any of the exercise equipment. No tents or large sunshades are allowed on the beach. Personal size beach umbrellas are permitted. Music must be kept at a low level. B) Glass containers are not allowed at pool/spas areas, volleyball court and playground. C) All Owners, Permitted Users and Guests of Owners acknowledge that the use of any and all of the recreational equipment onsite is at the user s own risk and agree to hold harmless the Association, Management and its agents and employees from any injury that may result from the use of the equipment. XXII. SUPERVISION OF CHILDREN Parents shall be responsible for the conduct of children. Unsupervised children are not permitted to play in any common areas to include but not limited to the Tahoe Room, Fitness Center, corridors, stairways, or lobby. A) Failure to supervise children will result in fines as stated in the attached fining policy.

12 B) Running in any interior areas is prohibited. C) No skateboarding, in-line skating or use of foot-powered scooters on resort property is prohibited. XXIII. MAXIMUM OCCUPANCY Based on the Declaration of Vacation Plan Article 2.4, the maximum allowable occupancy for a Studio Unit is two (2) persons, a One-Bedroom Unit is four (4) persons, a Deluxe One- Bedroom Unit is four (4) persons, a Townhouse Unit is four (4) persons, a Two-Bedroom Unit is six (6) persons, and the Cabin is six (6) persons. One parking permit will be allocated per unit. Two Bedroom and Cabin Units will be allocated two parking permits. Additional permits may be provided at the discretion of Management. XXIV. GUESTS A) Every Guest residing at Tahoe Beach & Ski Club must register with the Front Desk. The resort s insurance precludes occupancy of a Unit by a minor without the presence of a responsible adult 18 years of age or older who would supervise the health and safety of said minor(s). Owners may lend a Use Period to others and may invite Guests to share occupancy of the assigned Vacation Plan Unit during the Use Period(s), provided that the maximum allowable occupancy limits are not exceeded. Bonus Time shall only be used by a Vacation Plan Owner. A Vacation Plan Owner must be present at check-in. Bonus Time shall only be used by a Vacation Plan Owner. B) The Management will not give access to any Vacation Plan Unit use week without written permission from the Vacation Plan Owner in whose name there is a confirmed reservation. The Owner shall acknowledge in writing that he has advised the Guest(s) of the TBSC Rules and Regulations. If an Owner intends to allow a Guest to occupy the reserved Use Period, the occupant must inform the Association in writing prior to the first day of the Use Period reserved. This notice must include the name(s), phone number(s) and address of the Guest(s) and a statement that the Owner has advised the Guest(s) of the TBSC Rules and Regulations. Upon check in, Owners and Guests will be required to show proof of identification, and provide a credit card, debit card, or cash deposit, and sign a registration card. If, during the course of your occupancy, Guests other than those residing with the registered occupant must be registered at the Front Desk if Guestsare going to use the amenities of the resort. Guests will be issued a key pass. Parking permits will be issued based on availability. Additional permits will be provided based on availability and discretion of Management. XXV. PARKING POLICY All vehicles must display a valid parking permit. VEHICLES WITHOUT PARKING PERMITS WILL BE TOWED AWAY AT OWNERS EXPENSE. Parking permits will be issued to registered Owners, Permitted Users and for Day Use. One parking permit will be issued per Unit. Two bedroom and Cabin Units will be issued two parking permits. Any

13 additional parking permits will be provided based on availability and at the discretion of Management. Prohibited Vehicles & Recreational Equipment: The following vehicles may not be parked at the resort: 1. Boats or personal watercraft motorized or not 2. Trailers of any size 3. Recreational vehicles [RVs] 4. Campers 5. Snowmobiles Any motorized vehicles exceeding the limits of a standard parking spot will be asked to relocate off property. Enforcement Procedures: Vehicles in violation of the parking policy shall be notified by attaching a violation notice on the windshield of the offending vehicle. After the first violation, the vehicle will be towed at the Owner s expense and will incur an additional fine. (See Exhibit A) XXVI. NOTIFICATION OF SALE OF VACATION PLAN No later than thirty (30) days prior to the sale or transfer of any Vacation Plan under circumstances whereby the transferee becomes the Owner thereof, the transferor shall notify the Association in writing pursuant to Section 8.3 of the Association s Bylaws, and in whatever form, if any, required by the Association of such pending sale or transfer. Such notice shall set forth the name and address of the transferee and transferor, the date on which such sale or transfer is to be consummated and the purchase price to be paid by the transferee for such Vacation Plan. Any outstanding and unpaid Assessments and Personal Charges shall be paid to the Association prior to the transfer of such Vacation Plan. Unless and until such notice is given and any unpaid Assessments and Personal Charges have been paid to the Association on behalf of the transferor, the Association shall not be required to recognize the transferee for any purpose, and any action taken by the transferor as an Owner may be recognized by the Association. Prior to receipt of any such notification by the Association or the Managing Agent, or the payment of Assessments and Personal Charges by the transferor any and all communications required or permitted to be given by the Association shall be deemed duly given and made to the transferee if duly and timely made and given to such transferee s transferor. XXVII. RESORT ASSOCIATES Resort Associates may not accept any gifts, gratuities and/or cash in exchange for the manipulation of the Rules and Regulations or any other inappropriate activity that may be contrary to the best interests of the Tahoe Beach & Ski Club membership and all other resort Guests. This section is not meant to discourage gratuities toassociates for superior service. Associates are required to report gifts or gratuities in accordance with current employee

14 policies and procedures. Owners or Guests who violate the above policy are subject to fines and disciplinary action by the Board of Directors.

15 Exhibit A: Tahoe Beach & Ski Club Homeowner Association Fining Policy This policy is designed to permit reasonable fines associated with an Owner s or Guest s flagrant violations of the Rules and Regulations of the Association. Management may, by consent of the Board of Directors, levy reasonable fines against a Member an Owner and/or an Owner s Guest for any flagrant violation of the Rules and Regulations. In the event of a violation and fine, the Owner will be notified in writing. In the event of a violation and subsequent fine imposed, the Owner shall be entitled to a hearing before a BOD designated committee to contest the violation and/or fine. Any fines shall be the personal obligation of the Owner and shall be posted to their individual Owner account if not paid upon check-out at the resort. The Owner shall be liable for all fees incurred by the Association, including attorney fees, for collection of the fine. The Association will apply all payments by the Owner to outstanding balances in the following order: Regular Assessments Special Assessments Collection fees Fines No acceptance of partial payments will waive the Association s right to pursue full payment and/or enforce its Bylaws, Declaration, and Rules and Regulations. This list is not exclusive.
