The Town Approvals consst of varous plats, agreements and resolutons, ncludng the followng: 1. Resoluton of the Town Councl of the Town of Mountan Vllage, Colorado Approval of Fnal Planned Unt Development Applcaton as recorded at Recepton Number 391879 ( PUD Approvng Resoluton ). 2. Development Agreement Lot 126R and Lot 152R Town of Mountan Vllage Planned Unt Development recorded a Recepton No 397458 ( PUD Agreement ). 3. The subdvson of the Property that s ted to the PUD Agreement and PUD Approvng Resoluton as recorded at Recepton Number 397455 ( PUD Subdvson ). 4. The Frst Amendment to the Development Agreement Lot 126R and Lot 152R Town of Mountan Vllage Planned Unt Development as recorded at Recepton Number 412188 ( Frst Amendment ). 5. The Second Amendment to the Development Agreement Lot 126R and Lot 152R Town of Mountan Vllage Planned Unt Development as recorded at Recepton Number 429312 ( Second Amendment ). Northlght has determned that t wshes to develop a new plan for the Property, smlar wth the types of mxed uses that have been approved for the project, but wth the followng modfcatons (collectvely referred to as the Updated Development Program Goals ): 1. Reduced scale and mass wth no buldng heght varatons. 2. Reducton n buldng footprnt areas, whch wll result n ncreased open space. 3. Retenton of the mxed uses current approved for the Property (resdental, hotel/accommodatons and commercal) but at reduced densty and buldng volume. Northlght s suggestng that the PUD extenson be approved wth the followng condtons: 1. The PUD extenson s vald for two (2) years and wll expre on March 18, 2020 and s beng granted to allow Northlght tme to submt development applcatons wth the Town to ether amend the exstng approved PUD or submt a new Master PUD ( MPUD ), wth ether process for the purpose of pursng a

new or modfed development plan for the Property based on the Updated Development Program Goals set forth above. 2. On or before March 18, 2018, Northlght shall submt an applcaton as requred by the Communty Development Code ( CDC ) PUD Regulatons for ether: (a) a major PUD amendment to the exstng PUD approval or (b) a new Master PUD. Thereafter, Northlght wll contnue to dlgently pursue Town approval of ts new or modfed plan applcatons. f Northlght fals to submt such an applcaton by March 18, 2018 or not dlgently pursue the amendments, the Town may schedule a meetng to consder revokng the extenson and, thereupon, may determne that the current PUD approvals and ths extenson shall expre. CURRENT DENSTY, PUD VARATONS AND SPECFC APPROVALS The Town Approvals were orgnally granted n 2007, wth the Town approvng PUD extenson two tmes. The Town Approvals are currently set to expre on March 18, 2018, wth the excepton that the PUD Subdvson and densty assgned to the Property wll reman effectve. The Town Approvals permt 67 condomnum unts, 56 hotel unts, 19 hotel effcency unts, 17 employee dorms, 5 employee apartments and 38,000 sq. ft. of commercal on the Property ( Zoned Densty ), whch was lad out pursuant to certan ste and project specfc archtectural desgn and massng plans and drawngs ( Project Desgn Plans ). The Zoned Densty as set forth by the PUD Approvng Resoluton s lsted n Table 1, and runs wth the Property even f the Town Approvals expre. Table 1. NA NA NA Total 164 355 Total Equvalent Densty The Town Approvals granted approval of the Zoned Densty and the Project Desgn Plans, along wth certan varatons and certan specfc approvals to the LUO and Desgn Regulatons that were n effect n 2007. The PUD Agreement and PUD Approvng Resoluton noted a seres of varatons and DRB specfc approvals that were beng requested by the applcaton and delneated the communty benefts that were offered and accepted by the Town n connecton wth the grantng of the project approvals.

FOUNDATON TO PUD EXTENSON Northlght s seekng the condtonal extenson to allow tme to work through and pursue n an open, publc process a revsed development plan consstent wth the Updated Development Program Goals. The Updated Development Program Goals wll be rooted n a project wth reduced denstes as well as reduced buldng mass/scale/footprnts, whch we beleve wll be favorably receved by the communty. The nature of the Town s approvals, ncludng the Zoned Densty, plattng of the lots, grantng of varous easements and smlar documents do not expre and wll run wth the land. The opportunty to keep the exstng approvals n place, but proceed wth a new applcaton descrbed above wll enable a more logcal and orderly revew process wth the Town and avod the problem of what happens to these approvals should the exstng PUD approvals expre. Keep n mnd that the certan aspects of the approvals, nclusve of elements of the Communty Benefts have already been conferred on the Town, ncludng the provson of almost twce as much open space as exsted pror to the Town Approvals 1, and the addton of one dorm and three employee apartments over the housng requred pror to the Town Approvals. The exstng Town Approvals, ncludng the PUD varatons, specfc approvals and communty benefts assocated wth the approved Project would contnue as stated n the Town Approvals, unless and untl modfed by the Town as reflected n approvals antcpated for the revsed project desgned to acheve the Updated Development Program Goals. PUD EXTENSON The Mountan Vllage Land Use Ordnance ( LUO ) was n effect when the PUD Agreement was orgnally approved n 2007. The LUO had the followng regardng PUD vested property rghts and extensons: 4-609-5 VESTNG Approval of a Fnal PUD Plan Applcaton by the Town Councl shall consttute a Ste Specfc Development Plan for purposes of vestng a property rght, and as such s subject to the vested rghts provsons of Artcle 6. Fnal PUD Plan Approval shall reman n effect for three (3) years followng the date of the Town Councl Resoluton approvng the PUD, unless the tme frame s extended by Town Councl. The Frst Amendment was granted under ths LUO provson wth the Town Councl approvng the extenson after a notced publc hearng. The process to extend a PUD was nadvertently omtted from the CDC when t was adopted n February of 2013. Ths omsson was dentfed by the applcant for the Second Amendment and resulted n a wrtten CDC nterpretaton that follows: The only process n the CDC to extend a PUD s the major PUD amendment process. The old LUO had a provson that allowed the Councl to extend a PUD wth publc notce. Consder amendng the CDC to provde a new process that s based on requestng an extenson of vested property rghts as a new Class 5 applcaton wth publc notce of the process. The CDC has not been amended to create a specfc process to extend a PUD and the assocated vested property rghts, wth the nterpretaton that a PUD can be extended by the major PUD amendment process, whch s a class 4 development applcaton wth a DRB recommendaton and a Town Councl approval. The Second Amendment was approved pursuant to ths CDC nterpretaton, wth the extenson only focused on the 1 OSP-126 and OSP-118 contan 0.91 acre and are zoned and platted as open space.

Enhance the natural beauty of the Town s surroundngs; Ensure that uses and structures enhance ther stes and area compatble wth the natural beauty of the Town s settng and ts crtcal natural resources; The Town Councl found that ths proposed development enhances the natural beauty of the Town s surroundngs by respectng the exstng rdge lnes, the vared topography of the lots and ultmately the desgn standards set by the Town s Desgn Regulatons. The thoughtful and careful desgn of ths resort development wll provde a new, vtal and vbrant attracton for the Mountan Vllage. The Town Councl found that ths Applcaton proposes to zone currently platted land on lots 118 and 126 along the rdge-lnes, whch s not used n the development, to passve open space that wll therefore lmt the uses of these envronmental and vsually senstve areas nto the future. Foster a sense of communty; The Town Councl found that the Lot 126 Hotel and Resdental Resort development wll enhance an exstng Mountan Vllage neghborhood by provdng an easy connecton from the Country Club Drve neghborhood to the Vllage Center. The tax dollars that wll be generatedfrom the vstors and resdents 5

of ths resort wll assst the Mountan Vllage n provdng for ts communty nto the future. Ths development wll create new job opportuntes for the communty. Promote good cvc desgn and Development; The Town Councl found that ths proposed development wll comply wth the desgn goals and standards set by the Town s Desgn Regulatons. The proposed development wll be orented to mnmze the mpacts to the rdge lne and vew corrdors of adjacent propertes. Create and preserve an attractve and functonal communty; The Town Councl found that an attractve communty s preserved through the Lot 26 Hotel and Resdental Resort s vllage-lke massng that s broken nto many buldngs, each wth focused vews to the surroundng peaks and vared archtecture. n addton, the ndvdual unts clmb the hllsde respondng to the topography and rdgelnes. The archtecture s nspred by the European resorts that are emulated n Mountan Vllage and the prstne envronment of south-western Colorado. Wood balcones, welcomng freplaces, and rustc sdng over natural rock bases creates the mountan appeal characterstc of Mountan Vllage whle also blendng nto the surroundng materals of ths unque ste. Promote the economc vtalty of the Town; Promote the resort nature and toursm trade of the Town; Protect property values wthn the Town. The Town Councl found that the Lot 126 Hotel and Resdental Resort development creates exceptonal resort amentes that wll serve to promote the economc vtalty and resort nature of the Town. Ths creatve development on sx (6) assembled lots creates the necessary amentes to support the short term bed base and the accompanyng resdences. The Town Councl found that ths development adds to the overall status of Mountan Vllage as a world class resort and ad n mantanng the communty s exstng property values. (2) The Development proposed for the PUD represents a creatve approach to the Development and Use of land and related physcal facltes to produce a better Development than would otherwse be possble under the strct Applcaton of the requrements of the underlyng Zonng Desgnaton, Zone Dstrct and Land Use and Densty and wll provde amentes for resdents of the PUD and the publc n general. The Town Councl found that the Lot 126 Hotel and Resdental Resort development would not be possble wthout the creatve assembly of lots 118, 126, 130, 52A, 152B and 152C nto one unj?ed development project. The changes to zonng, densty, plat and mnor ncrease n heght are requred to allow for the development of the amentes requred to attract and retan ths short term bed base. The Town Councl found that the proposed desgn for ths resort development respects the exstng rdge lne, mnmze ths development s mpact to the adjacent neghbors, create and preserve open space, and amp118 the European mountan resort theme establshed by the Town s Desgn Regulatons. The amentes provded by ths development to the publc nclude a restaurant and caf/aprt?s sk bar. The Town Councl found that other amentes that wll be enjoyed by ths resort and the publc nclude the newly created overlook at the Jurassc and Boomerang tral head, and new pedestran access to the Vllage Center. The Town Councl found that the locaton of ths new resort development, and the proposed mprovements to Country Club Drve and the adjacent tral heads, wll allow easy pedestran access to 6

the Vllage Center, and represents a creatve and approprate locaton to use densty currently n the Densty Bank. (3) The Development proposed for the PUD s desgned to be compatble wth the surroundng envronment, neghborhood and area relatve to, but not lmted to, archtectural desgn, scale, bulk, Buldng heght, buffer zones, character, and orentaton and shall not unreasonably affect exstng land Uses and the future Development of the surroundng neghborhood and area. The Town Councl found that the overall desgn of the Lot 126 Hotel and Resdental Resort development s compatble wth the surroundng envronment and neghborhood. Ths development s unque n that the assembly of these sx (6) lots together nto a un$ed project allows for the majorty of Lot 11 8 to be dedcated to newly createdpassve open space, and the heght of the buldng s dsbursed throughout the central porton of lot 126R and away from the edges of the Property, mnmzng the mpacts to the adjacent property owners, to bufer ths overall development from the surroundng sngle famly homes. The Town Councl found that the heght ncrease requested by ths Applcaton s dsbursed throughout the central porton of lot 126R and away from the edges of the Property, to mnmze the mpact to the adjacent property owners and to the rdge lne vew corrdor, The proposed massng of ths development nto several, separate buldngs, and the orentaton of the structures away from exstng propertes, provdes for the development of the densty and amentes needed to support ths short term bed base but also mnmzes the scale of ths development to the surroundng envronment. n addton, substantal landscape bufers wll be nstalled between the development and adjacent propertes. Ths development comples wth the Town's Desgn Gudelnes n relaton to buldng form and artculaton. (4) The landscapng and publc spaces proposed for the PUD shall provde suffcent bufferng of Uses from one another to mnmze adverse mpacts and shall create attractve publc spaces consstent wth the character of the surroundng envronment, neghborhood and area. The Town Councl found that the actve amentes for ths resort development, such as the pool terrace, restaurant outdoor seatng area, and entrance to the caf&/aprh sk bar are stuated as to mnmze the mpact to the resdents and guests of the resort and the exstng, adjacent property owners. The reroutng of Boomerang Tral to cross Country Club Drve at the pont that the tral contnues westward s postve. Sgnfcant landscapng wll be proposed n areas where ths development abuts neghborng propertes. The loadng dock and servce areas are nternalzed wthn the proposed underground parkng garage. (5) The Development proposed for the PUD provdes suffcent parkng and traffc crculaton. The Town Councl found that ths proposed development wll provde the number of parkng spaces requred by the development. The hotel functon wll be servced wth valet parkng and the resdents wll have the ablty to selfor valet park. Whle ths resort development proposes four (4) curb cuts from Country Club Drve, sx (6) curb cuts would be allowed fthese lots were developed separately. The porte cochere area s desgned wth enough space to accommodate vehcles as large as fre trucks. All delveres are relegated to the underground parkng garage wthn the development to mnmze the mpacts to the development tself and to adjacent property owners. Traffc along Country Club Drve wll be mnmzed by the transportaton servces ofered by the resort to the Vllage Center. (6) Each phase (f any) of the Development proposed for the PUD shall be self-suffcent and not dependent upon later phases. Phases shall be structured so that the falure to develop subsequent phases wll not have any adverse mpacts on the PUD, the surroundng envronment, 7

neghborhood and area. The Town Councl found that the Applcant wll provde the Town wth a constructon Phasng Plan to nsure that the falure to develop subsequent phases wll not have any adverse mpacts on the PUD, the surroundng envronment, neghborhood and area. The Plan wll be revewed by the Desgn Revew Board and the Town Councl. (7) f the development proposes a PUD for a Sngle Famly Lot, the Sngle Famly Lot must be located adjacent to or wthn close proxmty to ether the Vllage Center or Mult Unt Lots, or s n a locaton suffcently buffered from Sngle Famly Lots, and that specal ste characterstcs exst that justfy the development of the property as a PUD. The Town Councl found that ths Applcaton s requestng the rezone of lot 118from sngle famly to mult unt outsde the Vllage Center. Lot 118 s adjacent to lot 130, whch s currently zoned multfamly outsde the Vllage Center wth ten (1 0) condomnum unts. The lots dagonally across the street from lot 118-152A, 152B and 152C - are also zoned multfamly outsde the Vllage Center - wth a total of twenty-two condomnums currently zoned on these lots. The Town Councl found that the rezonng of lot 1 8 ntegrates approprately wth the surroundng neghborhood. Ths development s unque n that the assembly of these sx (6) lots together nto a unfedproject allows for the majorty of Lot 118 to be dedcated to newly created actve and passve open space between the development and the adjacent sngle famly homes to buffer ths development from these propertes. The Town Councl found that a specal ste characterstc for Lot 118 s ts topography. Lot 118 s a rdge lne lot wth ts adjacent property boundares to other sngle famly lots on the northern boundary slopng downhll and away from the development proposed by ths Applcaton. The Town Councl found that the orentaton of development on lot 1 8 s away from the adjacent sngle famly lot, lot 119, protectng that lot s vew corrdor. n addton, the proposed development n the area of lot 118 wll be bufferedfom the adjacent sngle famly lot by the newly created open space, wth landscapng, and approprate buldng stng to mnmze vsual, lght and nose mpacts. The DRB dscussed spec3cally the condton placed on Conceptual Plan approval by Town Councl that lmted the scope and massng of the development to be n keepng wth the concept plan approved by the Town Councl. The Town Councl found that whle the buldng dd get larger snce concept revew, the changes n massng actually make the development look smaller. The elmnaton of buldng mass out of the center of the development by pushng the development further nto the adjacent open space resulted n a project that looked smaller than a Conceptual revew. n addton, the revsons done to the roof structures help reduce the appearance of bulk on the property. The Applcant wll cooperate wth the Town to partcpate n a coordnated traffc study that shall nclude the traffc mpacts, mprovements and mtgaton presented by the development proposed for proposed Lots 126R and 152R. The Applcant shall partcpate n the prorate share of the cost of the traffc study. The Applcant agrees to cooperate wth the Town to mplement the recommendatons adopted by the Town from the traffc study that are applcable to proposed Lots 126R and 152R. The Applcant shall be responsble for payment of ts reasonable and equtable share of the costs of any nfrastructure mprovements whch are part of the adopted recommendatons from the traffc study and whch are attrbutable to the development of proposed Lots 126R and 152R under ths Applcaton, ncludng but not lmted to the mprovements related to the project as recommended by A1 Testa on hs llustrated ste plan dated October 26,2007. The Applcant wll further allow the necessary mprovements approved from the traffc study to be located or constructed upon proposed Lots 126R and 152R to the extent that Applcant can reasonably accommodate such mprovements on the Property at the Applcant's cost, as provded heren. Pror to and as a condton of the ssuance of a temporary certfcate of occupancy for any porton of the Property under ths Applcaton, the Applcant shall submt an Operatons Plan for Property to the Town for Town Councl revew and approval that addresses, at a mnmum, the operatons of the back of house, valet parkng, traffc and parkng coordnaton (ncludng prohbton of parkng on Country Club Drve), delveres, loadng dock and doors, parkng garage door requrements, snow removal, and waste locaton, handlng and dsposal. The Operatons Plan shall nclude provsons regardng enforcement and remedes n the event of default. At the dscreton of the Applcant, the Applcant may seek to apply for a buldng permt for gradng, excavaton andlor foundaton separate from a Buldng Permt for occupable space n the Project. Contemporaneous wth the submsson of any Buldng Permt for the Project, the Applcant shall submt a constructon stagng plan and constructon transportaton, traffc and 10

parkng plan for the work contemplated by the Buldng Permt to the Town Councl for revew and approval at a publc hearng. Town Councl wll conduct ts revew of such plan jontly wth the DRB, when practcal. Such plan shall address at a mnmum constructon worker housng, the amount, method and operatons of transportng workers, materals and equpment to and from the Property durng the entrety of the constructon occurrng on the Property and shall nclude a constructon schedule and tmeframe. The schedule shall nclude a reasonable estmate of the number of workers requred to be located on the Property durng the varous phases of constructon. n addton, the Applcant wll partcpate n the Constructon Mtgaton Task Force and agrees to abde by the decsons of the Task Force. 10. The Applcant wll provde approval from the benefcares of the easements to be altered, pror to the ssuance of a Buldng Permt for the project. 1 1. The Applcant wll work wth Town Staff and Town's legal counsel to nsure that the easements provded on the proposed Replat submtted for Town Councl Fnal PUD Plan revew are adequate. 12. 22. The Applcant wll ensure that the coolng equpment wll not have a negatve mpact on the occupants of the proposed dorm unts wth wndows opened and closed. The Applcant wll submt proof of complance to staff for revew. 23. The Applcant wll change the sk chalet and brdge roof materal from Corten steel to patna copper 24. The Applcant wll protect and save the trees located n the swtchback of relocated porton of Boomerang Tral as desgnated n the plans presented to the DRB and Town Councl. 25. The Applcant wll use best management practce to nsure approprate slope stablty n the constructon of the relocated porton of Boomerang Tral. 26. The Applcant wll create large scale mock ups of each exteror materal palette to be vewed on ste by the Desgn Revew Board pror to the orderng of exteror materals (ncludng wndows and doors) for nstallaton on the development. Such revew wll not requre a publc notcng process by the Applcant. 27. The Applcant shall provde wrtten proof of approval to do plantngs off the Applcant's property pror to the ssuance of a landscape permt. 28. The Town reserves the rght to revew the lghtng n the future and no exteror lghtng other than the lghtng shown on the approved Lghtng Plan shall be nstalled. 29. The Applcant wll plant addtonal trees on exstng Lot 1 18 between the proposed relocated Boomerang Roadtral and Lot 1 17 (8 Evergreens and 21 Aspens) as represented by Applcant at the Town Councl hearng on the Fnal PUD Plan. 30.
