The property is hereby transferred together with a joint right of access with the Transferor and the occupiers of Numbers 1 and 2 Knotts Square over the area cross-hatched blue on the said plan and is sold subject to a right of way belonging to the occupiers of Numbers 1 and 2 Knotts Square across that part of the rear garden of the property coloured green on the said plan and through the doorway indicated on the said plan for the purpose of gaining access to the said area shown cross-hatched blue on the said plan 3. A right in common with the Transferor and the occupiers of 1 and 2 Knotts Square aforesaid to the drainage of surface water into the soakaways situated in the rear garden of 2 Knotts Square and together with the benefit of a right in common with the Transferor and the occupiers of 1 and 2 Knotts Square to the drainage of foul water through the sewers drains and drain pipes in or under the passageway between Numbers 20 and 22 North Street into the main sewer situated in North Street and subject to the right of the Transferor and of the occupiers of 1 and 2 Knotts Square to the drainage of foul water through the sewers drains and drain pipes in or under the rear garden of the property 4. A right to have that part of the cottage comprised in the property shown coloured yellow on the said plan supported upheld and maintained by the adjoining building owned by the Transferor and there is reserved for the benefit of the same adjoining building a right of support and protection The property hereby transferred subject to and with the benefit of all 3 of 38

A: Property Register continued other subsisting rights quasi rights easements quasi easements and privileges belonging to or enjoyed by any adjoining or neighbouring property of the Transferor or by the property hereby transferred." NOTE: The area cross-hatched blue referred to is cross-hatched blue on the title plan. The land coloured green referred to is cross-hatched brown on the title plan and the doorway referred to lies at the northern end thereof. The courtyard coloured pink referred to is known as Knotts Square and the passage coloured pink referred to is that leading from Knotts Square into North Street, The land coloured yellow referred to is numbered 3 in black on the title plan. 32 The land has the benefit of the following rights reserved by the Transfer dated 23 February 1982 referred to in the Charges Register:- "(a) The right for the Transferor its successors in title and the occupiers from time to time of number 28 North Street Ashford aforesaid (with or without workmen) to enter upon the property hereby transferred and to erect scaffolding if necessary for the purpose of repairing maintaining and cleansing number 28 North Street aforesaid or the services thereto subject to reasonable notice being served upon the Transferees or the owner for the time being of the property hereby transferred (except in the case of emergency) the Transferor its successors in title or the said occupiers making good any damage caused by the exercise of such right (b) The right of support and protection from the property hereby transferred (including the buildings thereon) (c) The right to use any sewers drains watercourses pipes cables wires or other channels or conductors now laid or within twenty-one years hereafter to be laid in under or over the property hereby transferred with the right at reasonable times (except in the case of emergency) to enter thereupon for the purpose of making connections with repairing renewing maintaining inspecting or cleansing the same the Transferor or its successors in title making good any damage occasioned by the exercise of such right (d) All rights of drainage eavesdropping passage light air and water and all rights liberties privileges and advantages now used or enjoyed (whether as easements quasi-easements or otherwise and whether or not continuous apparent or reasonably necessary) with the adjoining land." 33 The land has the benefit of the following rights reserved by the Transfer dated 1 April 1982 referred to in the Charges Register:- "There is excepted and reserved out of the Transfer unto the Company for the benefit of their adjoining or adjacent property or so much thereof as is capable of benefiting thereby (i) The right for the Company and all persons authorised by it at any time to rebuild or alter any of the adjoining or neighbouring buildings and to build upon or otherwise use any adjoining or neighbouring land notwithstanding any interference thereby occasioned to the access of light or air to the property hereby transferred. (ii) All rights easements quasi easements and privileges belonging to or enjoyed by any adjoining or neighbouring property of the Company." 34 9,11, and 13 North Street have the benefit of the following rights reserved by the Transfer dated 29 November 1983 referred to in the Charges Register. " A right of way for the benefit of the land retained by the Transferor and known as numbers 9,11 and 13 North Street and comprised in Title Number K255719 at all times with or without vehicles in common with the Transferee and its tenants and licensees and others entitled to a like right over the land coloured brown on the said plan. The Transferor as Registered Proprietor of the premises known as Numbers, 9,11 and 13 North Street Ashford retained by the Transferor and being the land or part of the land lettered L, V, X and KK on the title Plan of Title Number K255719 HEREBY COVENANTS with the Transferee 4 of 38

A: Property Register continued for the benefit of the land hereby transferred but so that the Transferor shall not be liable after it shall have parted with all interest in the said land not to park vehicles or in any way obstruct the use of the road coloured brown on the said plan by the Transferee or its lessees tenants and others authorised by the Transferee or entitled to use the same." NOTE: The land coloured brown referred to is hatched mauve on the title plan. 35 28 and 30 North Street have the benefit of the following right also reserved by the above mentioned Transfer dated 29 November 1983. "The right for the Masonic Hall shown on Plan Numbered "2" and Numbers 26,28 and 30 North Street Ashford being part of the premises remaining in Title Number K255719 to the full and free running of water and soil as now exist through the drain laid under the former passageway hatched green on plan Numbered "2" leading into The Ringway (formerly Somerset Road) together with rights of entry as now exist for repairing and maintaining the same." NOTE: The passageway hatched green referred to is the land hatched yellow lying within the part edged and numbered K561844 in green on the title plan. 36 The land has the benefit of the following rights reserved by but is subject to the following rights granted by a Transfer of the land edged and numbered K587150 in green on the title plan dated 12 April 1985 made between (1) Charter Consolidated Services Limited (Transferor) and (2) Sunley Holdings Limited (Transferee):- "TOGETHER WITH the easements rights and privileges mentioned in the First Schedule hereto for the benefit of the Property EXCEPT AND RESERVED unto the Transferor for the benefit of the remaining land of the Transferor. THE FIRST SCHEDULE Grant of Easements 1. A: Property Register continued of repairing and cleansing the said number 20 North Street or the services thereto subject to reasonable notice being served upon the Transferee or the owner for the time being of the Property (except in the case of emergency) the Transferee or the said occupiers making good any damage caused by the exercise of such right (b) The right of support and protection from the Property (including the buildings thereon) (c) The right to use any sewers drains watercourses pipes cables wires or other channels or conductors now laid or within 21 years hereafter to be laid in under or over the Property with the right at reasonable times (except in the case of emergency) to enter thereupon for the purpose of making connections with repairing renewing maintaining inspecting or cleansing the same the Transferor making good any damage occasioned by the exercise of such right (d) All rights of drainage eavesdropping passage light and water and all liberties privileges and advantages now used or enjoyed (whether as easements quasi-easements or otherwise and whether or not continuous apparent or reasonably necessary) with the Retained Land." 37 The land has the benefit of the following rights reserved by the Transfer dated 10 May 1985 referred to in the Charges Register:- "EXCEPTING AND RESERVING unto the owners and occupiers of the said 22 and 24 North Street the right of support and protection from the property hereby transferred (including the building thereon)." 38 The land has the benefit of the following rights reserved by the Transfer dated 25 June 1985 referred to in the Charges Register:- "EXCEPTING AND RESERVING unto the owners and occupiers of Number 22 and 24 North Street, Ashford and Numbers 1 2 and 3 Knotts Square and the remaining land of the Transferor comprised in Title Number K255719 respectively ('the adjoining property') in fee simple the rights specified in the Second Schedule hereto THE SECOND SCHEDULE Rights Excepted or Reserved (a) The right for the occupiers from time to time of Number 22 and 24 North Street Ashford to enter upon the property and to erect scaffolding if necessary for the purpose of repairing and maintaining and cleansing Number 22 and 24 North Street or the services thereto subject to reasonable notice being served upon the Transferees (except in the case of emergency) the occupiers of Number 22 and 24 making good any damage caused by the exercise of such right (b) The right of support and protection from the property (including the buildings thereon) and in particular the right to have the part of Number 3 Knotts Square shown for the purpose of identification only coloured yellow on the said plan supported upheld and maintained by the property (c) The right to use any sewers drains watercourses pipes cables wires and other channels or conductors now laid or within 21 years hereafter to be laid in under or over the property with the right at reasonable times (except in the case of emergency) to enter thereupon for the purpose of making connection with repairing renewing maintaining inspecting or cleansing the same the occupiers for the time being of the adjoining property making good any damage occasioned by the exercise of such right (d) All rights of drainage eavesdropping passage light and water and all liberties privileges and advantages now used or enjoyed (whether as easement quasi-easement or otherwise and whether or not continuous apparent or reasonably necessary) with the adjoining property (e) The right of access of the Transferor and the occupiers of Numbers 1 2 and 3 Knotts Square over that area shown for the purpose of identification only coloured green on the plan and a right of way 6 of 38

THE SECOND SCHEDULE (a) The right of the Transferor and the occupiers from time to time of Number 11 North Street Ashford Kent (with or without workmen) to enter upon the property to erect scaffolding if necessary for the purpose of repairing maintaining and cleansing the said Number 11 North Street or the services thereto subject to reasonable notice being served upon the Transferee or the owner for the time being of the property (except in case of emergency) the Transferor or the said occupiers making good any damage caused by the exercise of such right (b) The right of support and protection from the property (c) The right to use any sewers drains watercourses pipes and cables wires or other channels or conductors now laid or within twenty one years hereafter to be laid in under or over the property with the right at reasonable times (except in case of emergency) to enter thereupon for the purpose of making connections with repairing renewing maintaining inspecting or cleansing the same the Transferor making good any damage occasioned by the exercise of such right (d) All rights of drainage eaves-dropping passage light and water and all liberties privileges and advantages now used or enjoyed (whether as easements quasi-easements or otherwise and whether or not continuous apparent or reasonably necessary) with the adjoining land. 40 The land has the benefit of the following rights reserved by a Transfer of the land edged and numbered K612214 in green on the title plan dated 20 August 1986 made between (1) Charter Consolidated Services Limited (Transferor) and (2) Anthony William Grant Abel, Ian Arthur Milner and Peter Luscombe (Transferees):- "The Transferor reserves the right to enter onto the property together with all authorised persons for the purpose of repairing and maintaining Number 13 North Street insofar as such repairs and maintenance are not practicable otherwise and: 1. Excepting and reserving to the Transferor, the owners, occupiers and lessees of Number 13 North Street and the Licencees of the two car parking spaces at the rear of Number 13 a right of way over the yard and passageway hatched brown on the plan annexed hereto. 2.... 3. The Transferor reserves the right of drainage, free passage and running of water soil gas electricity and other services from and to Number 13 North Street for the benefit of the owners occupiers and lessees of Number 13 by and through the sewers channels drains watercourses pipes wires and conduits passing on under or through the property sold." damage to such adjoining land or buildings to the reasonable satisfaction of the Grantor (c) A right of way for the Grantee and its successors in title and the persons authorised by it or them for all purposes with or without vehicles in common with the Grantor and others entitled to a like right after the completion of the works of construction over the Road until the Road shall be adopted as a public highway as aforesaid (d) Further drainage rights in respect of such part of the surface water drainage system of the Road and other road works as are outside the limits of the Road and are required in the reasonable opinion of the Ashford Borough Council for the proper construction of the Road and other works TO HOLD the same unto the Grantee in fee simple subject to:- (i) the right of way over the Road or such part thereof as is affected thereby for the Registered Proprietor for the time being of the property known as 26 North Street Ashford contained in a Transfer dated the 23rd day of February 1982 and referred to in Entry Number 57 on the Charges Register of Title Number K255719 which said property is now registered under Title Number K531339 (ii) rights of way over the Road or such parts thereof as are affected thereby for the Grantor and the lessees tenants and occupiers of the adjoining land and buildings of the Grantor on either the east or west sides of the Road with or without vehicles as are now existing and necessary to gain access to and egress from such adjoining parts of the Grantor's property and Park Street (2) IN consideration of the rights hereinbefore granted to the Grantee in clause (1) hereof the Grantee for itself and its successors in title HEREBY COVENANTS with the Grantor for the benefit of the land comprised in Title Number 255719:- (a) That the Grantee will forthwith apply for Planning Permission and all necessary Consents and Approvals from the Highway and other authorities for the works of consideration of the Road subject to plans and specifications giving details thereof first being approved by the Grantor (such approval not to be unreasonably withheld) (b) That the Grantee will carry out the works of construction in a good and workmanlike manner to the reasonable satisfaction of the Grantor and of the Highway Authority in accordance with the said plans and specifications (c) That the Grantee will enter into binding obligations with the Highway Authority to dedicate the Road as a public highway in accordance with the provisions of the Highways Act 1980 (d) That the Grantee will at its own expense repair and maintain the Road and satisfy all the requirements of the Highway Authority after the works of construction have been completed so that the Road is in such a state and condition as will enable the Highway Authority to adopt the Road as a public highway as aforesaid (e) That the Grantee will not during the works of construction interfere or disturb the use and enjoyment of the Grantor or its lessess tenants and occupiers or adjoining owners of its or their rights of way over the Road without giving the Grantor or such person affected reasonable prior notice of such intended interference or disturbance and so far as practicable provide alternative access thereto over the land adjoining the Road (3) IT IS HEREBY AGREED and DECLARED that the Grantee shall when carrying out the works of construction provide at its own expense such vehicle crossing over the kerbs of the footpaths and other ancillary works as shall be properly required by the Grantor for the benefit of the adjoining land of the Grantor and approved by the Highway Authority."
