Phone: , , , , Fax: , Tender Notice Renting of Grading /Packing Lines,Controlled Atmosphere Stores and Cold Stores. HPMC has installed Hi- Tech Computerized Grading and Packing lines at Jarol Tikker and Patlikhul. The grading lines have been imported from Italy and Holland and are equipped with the latest washing, brushing and drying lines, waxing unit, computerized colour grading and sizing systems. The capacity of these grading and packing lines is 4 to 5 M.T. hour each (200 to 250 boxes). s be quoted on a box and the minimum quantity to be packed would be 2.80 lac boxes. The parties would deposit an EMD of Rs 3,00,000/-. The Corporation has also installed Controlled Atmosphere Stores (CA) at Gumma and Jarol Tikker with a capacity of 640 M.T. having 8 chambers and the Corporation intends to rent out 6 chambers having a capacity of 480 M.T. s. Parties interested in taking these CA stores on rent may offer their best rates for 480 M.T. s on monthly basis for a iod of three months. The interested parties would deposit an EMD of Rs 5,00,000/-. The Corporation has installed Cold Storages at Oddi (Kumarsain) and Rohru in Shimla and Patlikuhal (Kullu) with a capacity of 1,000 MT having 4 Chambers each and a cold store at Jabli having capacity of 500 MT and the Corporation intends to rent out these Cold Storages on monthly basis for a iod of three months. The parties may offer their best rates for storing of 30,000 boxes in Cold Stores of Oddi, Rohru and Patlikuhal and 15,000 boxes in cold store of Jabli Distt Solan. The Corporation intends to rent out these facilities to individuals, societies, firms and Companies, initially for a iod of one year to those parties having sound professional skills on oating and managing such ventures and should have a sound financial background. The bid packages can also be downloaded from the websites i.e. or However, the intending bidders who use bidding documents downloaded from the websitee should submit the documents sale price of Rs.5,000/- for each bid package by way of Demand Draft in favour of H.P. Horticultural Produce Marketing and Processing Corporation, Limited, payable at Shimla at the time of submission of bid failing which the bid is likely to be rejected. The last date of receipt of Tender will be 14 th. INSTRUCTIONS TO TENDERERS 1.1 The tenders shall be received on the prescribed format and complete with all details / Annexure as required. 1.2 No tender will be received after expiry of the due date and time as indicated in the tender under any circumstance. No telegraphic, fax or tenders shall be considered. 1.3 Tender Instruction and format document can be purchased from this office on payment of Rs 5000/- ( Rupees Five thousand only) 1.4 For each packing grading line, CA store and Cold Store the tender instructions and document would have to be purchased separately and accordingly the EMD would be separate for each unit. 1.5 Earnest money as indicated in the tender shall be deposited in the form of crossed Demand Draft payable at Shimla favouring H.P. Horticultural Produce marketing and processing Corporation Ltd. Any tender not accompanied with the EMD would be summarily rejected. No interest will be allowed on the earnest money. 1.6 EMD of the successful and highest bidder would be treated as security deposit for the iod of the contract. 1.7 The lease iod would initially be for a iod of five years; however the extension of the lease iod beyond each year would depend on the successful completion of each year. 1.8 An increase of the tendered rates on an yearly basis would be mutually decided by the Corporation and the lessee. 1.9 The highest bidder would enter into an agreement with the Corporation for the oation of the lease The machines of the grading & packing,ca store and Cold Store would be oated by staff of HPMC, however, the manpower for handling the oations in the pack house and CA store would be that of the lessee No Changes would be made by the lessee to the building and machinery of the Corporation without the written consent of the Corporation Any damage to the machines and proty of the Corporation by the manpower appointed by the lessee would be recovered for the lessee on the basis of the actual loss which would be determined by the cost of replacing the unit / part List of the machinery installed in the units to be leased out is enclosed The capacities of the grading packing lines is 4 to 5 M.T hour or 4.50 lac boxes (based on the average weight of fruit of 150 gms)

The grading lines comprise of cold water feeder, inspection conveyor, washer pre dry waxing unit, drying unit, colour and dimension sorter 2 lane, Fork lift, hand pallet trolleys and 4500 PVC crates. b. For the first year the capacity utilized would be 2.80 lac boxes. c. The rates be quoted on a box basis. d. The rates of grading and packing to be charged from the fruit growers by the lessee would be finalized in consultation by the Corporation, and in no case would be more than the approved rates. e f Recoveries on account of packing and grading charges from the fruit growers would be the sole responsibility of the lessee. The Lessee would make payment for the grading and packing of boxes to the Corporation on weekly basis and in no case should the amount payable exceed the EMD/ security amount. g. Any dispute with the fruit growers towards the grading and packing would be the sole responsibility of the lessee and the HPMC would not in any case be a party to the dispute The capacity of the Controlled Atmosphere Store (CA) is 640 M.T. each. a. The store has eight chambers of 80 M.T. each. b. The Corporation would rent out six chambers of 480 M.T. capacity. c. 250 bulk bins of 300 kgs each would be provided with the CA stores at Gumma and Jarol Tikker respectively. d. s be quoted on a kg basis. e. Log book of the CA store would be maintained by the Corporation and countersigned by the representative of the lessee. f. Regular inspection of the fruit stored would be conducted by the Corporation and the lessee and a joint inspection report would be prepared. g. The Corporation would not be responsible for any loss accruing to the lessee on account of the storage of fruit.

6 h. Rent on account of the chambers would be deposited on a monthly basis with HPMC. i. Of the eight chambers, two chambers of the CA store would be kept for storage of fruit by the fruit growers, in case they are not utilized the same can be utilized by the lessee on basis of the rates quoted for other chambers The capacity of the Cold Store of Patlikuhal, Rohru and Oddi is 1000 M.T. each and Jabli 500 MT. a. The store of Patlikuhal, Rohru and Oddi has four chambers of 250 M.T. each and Jabli has two chambers b. The Corporation would rent out four chambers of 1000 M.T. capacity at Patlikuhal, Oddi and Rohru and two chambers of 500 MT at Jabli. c d s be quoted on a box basis. Log book of the Cold store would be maintained by the Corporation and countersigned by the representative of the lessee. e. Regular inspection of the fruit stored would be conducted by the Corporation and the lessee and a joint inspection report would be prepared. F The Corporation would not be responsible for any loss accruing to the lessee on account of the storage of fruit. g. Rent on account of the chambers would be deposited on a monthly basis with HPMC. 2. Pre- Qualification requirement for Bidders:- 2.1 For packing and grading house EMD of Rs 3,00,000/- (Rupees Three lacs) in favour of H.P. Horticultural Produce marketing and processing Corporation Ltd, 2.2 For CA Store EMD of Rs 5,00,000/- (Rupees five lacs) in favour of H.P. Horticultural Produce marketing and processing Corporation Ltd, 2.3 For Cold Store EMD of Rs 2,00,000/- (Rupees two lacs) in favour of H.P. Horticultural Produce marketing and processing Corporation Ltd, 2.4 The party intending to rent out these facilities can be individuals, societies and companies.

7 2.5 The parties should have a sound financial base, and should have sound professional skills on oating and managing such ventures. The details of the exience in the field be authenticated by documentary evidence. 2.6 Net worth of the Company for the last three years should be positive. 2.7 The tender must be signed by an authorized signatory giving proof of the powers given to him to sign the document. 3. Contents of Tender:-The tender will be in two parts: Part-I Technical 3.1 The original copy of Part I of tender must be stamped and signed by the bidder on all pages and submitted duly completed in all respects including Tender Form in acknowledgement of acceptance of all terms. 3.2 EMD in the manner specified in the general terms and conditions of contract. 3.3 Documents required to be submitted in support of pre-qualification. 3.4 An authorization on letter head of the company with seal duly signed by Managing Director/Director/Authorized signatory in favour of son signing the bid documents or a duly signed power of attorney must be submitted. 3.5 Bidder must also furnish the following details with the Technical Bid documents: (a) (b) Copies of Registration Certificate of the company (duly attested) VAT, Income Tax Copy of PAN No.); List of works being undertaken by the party. Complete details about the achievements with regard to similar works undertaken during the last three years.

8 4. Part-II (Financial) 4.1 The audited Balance Sheet of the Company for the last three years; 4.2 The bidder will give target figures which the bidder will be able to achieve during the next five years i.e to in each of the grading and packing houses and CA stores and cold stores and quote the rates on a box / kg basis. 4.3 Both the parts I & II above will be submitted in SEPARATE SEALED ENVELOPES with the tender form Part-I and Part-II as appropriately indicated on the top of envelope. EMD shall be enclosed with Part-I. 4.4 HPMC reserves the right to reject/negotiate all or any of the tenders and to accept in whole or part of any of the tenders without assigning any reason for so doing. The successful bidder will be considered for oation of the grading and packing facilities and CA stores and Cold Stores will be required to sign an agreement within the form approved by the HPMC for fulfillment of the contract renewable on year to year basis based on the formance of the party. 4.5 The EOI shall remain valid for a iod of fifteen days from the date of opening of tender. In the event of the bidder withdrawing his offer within the validity iod, for any reason what- so- ever, Earnest Money deposited with the tender will be forfeited by HPMC. 4.6 Bidder is advised in his own interest to satisfy himself about the areas wherein he is to carry out the activities of grading and packing, CA store and Cold Store for which he will be submitting the bid prior to submission of the bid. He shall be deemed to have full knowledge of all the accompanying tender documents, technical /financial bids and other conditions. The expenses incurred in getting information or carrying out demand survey to be conducted by him before giving the bid shall not be reimbursed in any case Conditional and / or incomplete tenders are liable to be rejected The bidder who will be awarded the oation of grading and packing, CA store and Cold Store shall as soon as possible but not later than seven days after the date of issue of appointment letter, have to enter into an agreement with the HPMC.

9 4.9. Contract Agreement: - A formal agreement shall be entered into by the agency with the HPMC within seven days from the issue of appointment letter. In case the agreement is not executed by the awarded bidder within seven days, the HPMC will reserve the right to award the agency to the next highest bidder and the EMD of first bidder shall be forfeited Payment Terms: The bidder will make the payments of the grading and packing charges on a weekly basis and of CA store and Cold Store on a monthly basis Performance Guarantee: The successful bidder will give a Performance Guarantee in the form of an irrevocable bank guarantee amount to 5 % ( Five cent) of the total target contracted to be achieved and the rates given by the bidder. The formance guarantee will be released after satisfactory completion of the contractual iod. Wherever the agreement is rescinded, the Performance Guarantee will be encashed and the amount of the same will be forfeited. In the event of non formance of contractual obligation the formance guarantee will be forfeited If at any time, during the continuance of this agreement, the formance in whole or in part by either party of any obligation under this contract shall be prevented or delayed by reason of any war, hostility, acts of public enemy, civil commotion,sabotage, serious loss or damage by fire, explosions, epidemics, strikes, lockouts or acts of God (hereinafter referred to events) provided, notice of the happening of any such event is given by either party to the other within ten days from the date of occurrence thereof, neither party shall by reason of such event, be entitled to terminate this contract nor shall either party have any claim for damages against the other in respect of such non-formance of delay in formance arrangements under the contract shall be resumed as soon as practicable after such event has come to an end or ceased to exist, and the decision of the HPMC s authority as to whether the arrangements have been so resumed or not shall be final and conclusive. SCOPE OF WORK HPMC has its grading and packing houses to be leased out at Jarol Tikker and Patlikuhl, CA stores at Jarol Tikker and Gumma and Cold Stores at Oddi, Rohru and Patlikuhal and Jabli.

Dear Sir, I/We have read and examined the following documents relating to NOTICE FOR INVITING OFFERS FOR renting of grading and packing houses, Controlled Atmosphere Stores and Cold Stores. (a)notice inviting offers (b)instructions to Tenderers Technical / Financial conditions; 2. I/We hereby tender for Grading and Packing Houses / Controlled Atmosphere Stores/Cold Stores at Upon the terms and conditions contained or referred to therein and in accordance with the technical/financial conditions given in Part I and Part II, the relevant details regarding technical conditions are enclosed in sealed cover and the financial conditions viz. rate wise targets year-wise for five years given in Part-II are enclosed in sealed cover. 3. In consideration of I/We being invited to give offer, I/we agree to keep the tender open for acceptance for days from the date of submission thereof and not to take any modification in its terms and conditions which are not acceptable to HPMC. 4. A Demand Draft No. dated for Rs. payable at Shimla in favour of H.P.Horticultural Produce Marketing & Processing Corporation,Limited in payment of earnest money for the bid submitted is forwarded herewith. If I/We fail to keep the tender open as aforesaid, or make any modification in the terms and conditions of the tender which are not acceptable to the HPMC, I /We agree that HPMC shall without prejudice to any other right or remedy, be at liberty to forfeit the said earnest money absolutely. Should this tender be accepted, I / hereby agree to abide by and fulfill all the terms and conditions and provisions of the aforesaid document. 5. If, after the tender is accepted, and I/We fail to commence the work of grading and packing / CA store and Cold Stores as provided in the conditions,, I /We agree that the HPMC shall without prejudice to any of their right or remedy be at liberty to forfeit the said earnest money absolutely or execute the work at risk and cost to me/us, whichever is beneficial to HPMC. 13 AGREEMENT TO BE EXECUTED WITH PARTY FOR RENTING OF CA STORE / COLD STORE AND PACKING HOUSES. AGREEMENT This agreement made on this day of 2013 between M/S Himachal Pradesh Horticultural Produce Marketing and Processing Corporation Ltd, Company registered under Companies Act 1956, with its head Office at Nigam Vihar Shimla through its, hereinafter called the First Party (which expression unless repugnant to the context shall include his successor, executors, administrator and agreed assignees) of the First Part, And M/s with its head office at through its hereinafter called the second Party (which expression unless repugnant to the context shall include his successor, executors, administrator and agreed assignees) of the First Part. Whereas the First Party is willing to rent out its facilities available with the Second Party for the grading and packing of Apple at Packing and grading house and Controlled Atmosphere store (CA) / cold store at for storage of apple on the following terms and conditions mutually agreed upon. 1. That the rent iod would initially be for a iod of five years; however the extension of the agreement beyond each year would depend on the successful completion of each year. 2. That an increase of the tendered rates on a yearly basis would be mutually decided. 3. That the machines of the grading and packing, CA store and Cold Store would be oated by staff of HPMC, however, the manpower for handling the oations in the pack house, CA store and Cold Store would be that of the Second Party. 4. That no additions, alteration / changes would be made by the Second Party to the rented building building and machinery of the Corporation without the written consent of the First Party. 5. That any damage to the machines and proty of the First Party by the manpower appointed by the Second Party would be recovered from the Second Party on the basis of the actual loss which would be determined by the cost of replacing the unit / part. 6. That list of the machinery installed in the units to be leased out is enclosed. 7. That the capacities of the grading packing lines is 4 to 5 M.T hour or 4.50 lac boxes in an apple season.

That any dispute with the fruit growers towards the grading and packing would be the sole responsibility of the Second Party and the First Party would not in any case be a party to the dispute. 8. The capacity of the Controlled Atmosphere Store (CA) is 640 M.T. a. That the store has eight chambers of 80 M.T. each. b. That the Corporation would rent out six chambers of 480 M.T. capacity. c The capacity of the Cold Store of Patlikuhal, Rohru and Oddi is 1000 M.T. each and Jabli 500 MT. d. The Cold store of Patlikuhal, Rohru and Oddi has four chambers of 250 M.T. each and Jabli has two chambers. e. The Corporation would rent out four chambers of 1000 M.T. capacity at Patlikuhal, Oddi and Rohru and two chambers of 500MT at Jabli.

15 f. 250 bulk bins of 300 kgs each would be provided with the CA stores at Gumma and Jarol Tikker respectively. g. That the rate payable to the Corporation for CA store the rate would be Rs kg month and for cold store the rate would be Rs /- box month. That the rates to be charged from the growers would be finalized and approved by the first party. h. That the CA store and Cold store would be oated by the first party, however the material stored in the stores would be in the custody of the second party. i. That Log book of the CA store and cold store would be maintained by the Corporation and countersigned by the representative of the lessee. j. That regular inspection of the fruit stored would be conducted by the Corporation and the second party and a joint inspection report would be prepared. k. The Corporation would not be responsible for any loss accruing to the second party on account of the market fluctuations. l. Rent on account the chambers would be deposited on a monthly basis with HPMC. m. Of the eight chambers, two chambers of the CA store would be kept for storage of fruit by the fruit growers, in case they are not utilized the same can be utilized by the lessee on basis of the rates quoted for other chambers. 9. Other conditions:- a. For packing and grading house EMD of Rs 3,00,000/- (Rupees Three lacs) in favour of H.P. Horticultural Produce marketing and processing Corporation Ltd, b. For CA Store EMD of Rs 5,00,000/- (Rupees five lacs) in favour of H.P. Horticultural Produce marketing and processing Corporation Ltd, c. For Cold Store EMD of Rs.2,00,000/-(Rupees two lacs) in favour of H.P. Horticultural Produce marketing and processing Corporation Ltd, d. That the First Party shall have the right to terminate the agreement after seven days notice in case the Second party fails to fulfill the obligations of the contract. The First Party shall make efforts to arrange for utilization of

16 the capacities at its own at the cost and risk of the Second Party and differential amount over and above the agreed rates shall be recovered from the Second Party. In addition to it, First Party will also forfeit the Bank Guarantee/Security Deposit/ formance guarantee to recover the losses if any. 10. Payment Terms: The second party will make the payments of the grading and packing charges on a weekly basis and of CA store and Cold Store on a monthly basis. 11. Performance Guarantee: a. The second party shall give a Performance Guarantee in the form of an irrevocable bank guarantee amount to 5% of the total target contracted to be achieved and the rates given by the Second Party. The formance guarantee will be released after satisfactory completion of the contractual iod. Wherever the agreement is rescinded, the Performance Guarantee will be encashed and the amount of the same will be forfeited. In the event of non formance of contractual obligation the formance guarantee will be forfeited. 12. FORCE MAJEURE: That the non-fulfillment of the obligations contained in the agreement by the parties here to shall not constitute the default herein under or give rise to any claim for damages or loss. If such delay or failure is caused by occurrence beyond the control of the party effected, such as acts of God or the public enemy expropriation, compliance with any order or request of any government authority or the son purporting to act. Therefore, act of war whether declared or undeclared, public disorder, rebellion, or sabotage, floods, riots, civil commotion, epidemic, accident, fire or earthquake or any other cause whether or not of the class or kind of these specifically named above not within the control of the parties effected and which by the exercise of reasonable diligence, the transporter was unable to prevent providing notice of any such cause is given within seven days. 13. That the First Party shall issue T.D.S. certificate after deducting the T.D.S. from the Second Party. T.D.S. amount shall be deducted as applicable under the Income Tax Act.

That in case of any dispute/question arising out of the agreement, the same shall be referred to the arbitration of the sole son to be appointed by the Managing Director of hpmc, whose decision shall be conclusive and binding upon both the parties. 15. Jurisdiction :- That all dispute arising out of this agreement shall be subject to the jurisdiction of the Shimla Courts of Himachal Pradesh.
