(hereinafter referred as seller) pursuant to the directions issued by the Hon ble BOARD OF INDUSTRIAL & FINANCIAL RECONSTRUCTION (BIFR) Offers/EMD are invited in sealed cover from reputed and genuine parties for purchase of land situated at Block No. 96 and 97, Village-Venthewad, Tal- Jhagadia, Distt-Bharuch, Gujarat. Property Description Land at Block nos. 96 and 97, Village- Venthewad, Tal-Jhagadia, Distt-Bharuch, Gujarat Reserve Price (Rs. Lakh) Earnest Money Deposit (Rs. Auction/ bidding shall only be through online electronic mode on from 10:00 a.m. to 11:00 a.m. IST. For participating in e-auction sale the intending bidders should register their details with the Service Provider M/s. e-procurement Technologies Limited (abcprocure) Ahmedabad, well in advance and get the User Id and Password. Only Those bidders who will deposit the EMD amount of Rs.4.86 lakh with IDBI Bank Ltd. (OA) upto (16:00 hrs), will be issued User ID and Password by the service provider (abcprocure). Only the password may be changed on receiving it. Bidders are required to hold digital signature certificate for participating in the e-auction. 6. Bid increment Amount will be in the multiple of Rs.1.00 lakh (Rupees One lakh) only. 7. The sale of property is on as is where is basis as is what is basis whatever there is basis and no recourse basis as per the process and terms mentioned in the tender document. 8. The bidders shall submit their offer/bid strictly in accordance with the terms & conditions mentioned in the tender document. 9. The bidder should deposit 5% of the notified reserved price in the respect of the each asset / package as Earnest Money Deposit (EMD) along with the bid. Bids not accompanied by the EMD shall be rejected. EMD shall be forfeited if the party whose offer / bid is finally accepted defaults in making the balance payment in terms of the conditions of sale and completing other sales formalities within the due date. If, however, the sale is completed within the specified time limit, the EMD shall be adjusted towards the final sale price. The EMD will not carry any interest. EMD received from unsuccessful bidders will be refunded without any interest. 10. The interested buyers may submit their unconditional and unqualified tenders in two separate sealed covers addressed to Shri R. K.Meena, Chairman, ASC, c/o IDBI Bank Ltd., Videocon Tower, 1 st Floor, E-1, Jhandewalan Extension, New Delhi so as to reach not later than 16:00 hours on , one sealed cover containing a demand draft (DD) drawn in favour of IDBI Bank Ltd, payable at New Delhi as Earnest Money Deposit (EMD) and the envelope shall be superscribed EMD for Land of M/S Remi Metal Gujarat Ltd and another sealed cover superscribed with Tender for Land of M/S Remi Metal Gujarat Ltd containing the Tender document. 11. The successful bidder will be required to pay the balance amount of sale consideration after adjustment of the EMD amount, in two installments of 50% each payable, before the end of 45 days and 90 days respectively from the date on which intimation regarding the final acceptance of the bid is dispatched to the successful bidder by Registered Post (AD) / Speed Post at his notified address. 12. The successful bidder shall within 15 days of the receipt of intimation regarding the acceptance of his bid, shall furnish a bank guarantee valid for one year, as may be

4 considered satisfactory by the OA/MA, to secure full and timely payment of consideration for the assets purchased. 13. ASC reserves the right to accept or reject any or all tenders without assigning any reasons. 14. INTRODUCTION Pursuant to directions of Hon ble Board for Industrial & Financial Reconstruction of India (BIFR/Board), Asset Sale Committee (ASC) constituted with representatives of IDBI Bank Ltd. (MA), Bank of Baroda, Federal Bank, Andhra Bank, Corporation Bank, Laxmi Vilas Bank and Remi Metal Gujarat Limited (RMGL) is inviting offers for purchase of land Block nos. 96 and 97, Village-Venthewad, Tal-Jhagadia, Distt-Bharuch, Gujarat. Brief description of the Property / Assets ALL THOSE pieces and parcels of free hold land at Block nos. 96 and 97, Village-Venthewad, Tal-Jhagadia, Distt-Bharuch, Gujarat, area of 32,400 Sqr. Mtr. Terms and Conditions 1. Asset Sale Committee (ASC) constituted pursuant to the direction of BIFR/ Board is selling the Assets mentioned in page nos.2-4 and at Annexure A herein and the same are being sold free from charges and encumbrances. 2. The Tender document is on sale from to between 1000 to hours and can be obtained from RMGL/IDBI Bank by making payment of Rs. 5000/- (Rupees Five thousand only) (Non-refundable) towards the cost of the bid documents by way of Demand Draft (DD) drawn in favour of IDBI Bank Ltd, payable at New Delhi. 3. The sale of assets is on as is where basis "as is what is basis and whatever there is basis and no recourse basis. The ASC do not take any responsibility for any shortfall of the immovable assets or for procuring any permissions, etc. or for the dues of any authority established by law. 4. The reserve price for entire property to be sold is Rs Lakh (Rupees Ninety seven lakh and twenty thousand only). 5. The interested buyers can inspect the assets, with prior appointment between 11:00 hrs to 17:00 hrs on & , at their own cost, in the presence of the official appointed by the ASC available at the site to facilitate the inspection. 6. The interested buyers may submit their unconditional and unqualified tenders in two separate sealed covers addressed to Shri R. K.Meena, Chairman, ASC, c/o IDBI Bank

The EMD of the unsuccessful bidders will be refunded without any interest. 8. The successful bidder will be informed in writing about the decision of the ASC after obtaining of confirmation of sale from the Hon ble BIFR, if required. The successful purchaser shall within 15 days of the receipt of intimation regarding the acceptance of his bid, furnish a bank guarantee valid for one year to secure full and timely payment of consideration for the assets purchased and will be required to pay the sale consideration by way of Demand Draft drawn in favour of IDBI Bank Ltd, payable at New Delhi as follows: A 50% of the sale consideration after adjustment of EMD amount, within 45 days from the date of the letter declaring them as successful bidder, and B The balance amount within 90 days from the date of the letter declaring them as successful bidder. 9. In case, the successful bidder fails to pay the sale consideration as mentioned in clause 9(A) or / and 9 (B), the ASC shall forfeit the EMD. 10. The defaulting purchaser (successful bidder) shall forfeit all claims to the assets or to any part of the sum for which it may be subsequently sold. 11. On confirmation of sale and compliance of the terms by the successful bidder, seller shall complete the documentation for consummation of the transaction. 12. The possession of the Assets shall be handed over by seller to the successful bidder on receipt of the entire sale consideration and after completion of documentation. 13. The interested buyers may carry out their own due diligence. They may also verify at their own cost and in their own interest the relevant information before submitting the bids. 14. The purchaser will be required to bear all the necessary expenses like stamp duty, registration expenses, sales tax, etc. for transfer of assets in their name, except transfer charges payable to State Government of Gujarat, which shall be borne by the seller. 15. The ASC will be at liberty to amend/modify/delete/drop any of the above conditions as may be deemed necessary in the light of the facts and circumstances.

7 16. A bidder shall be deemed to have full knowledge of the relevant documents, assets etc. whether they inspect or visit or not. 17. The ASC reserves the right to accept or reject any or all bids/tenders without assigning any reasons. 18. IDBI Bank/ASC/BIFR shall finalize the sale of assets as per this document through forward auction mode. IDBI Bank/ASC/BIFR has made arrangement with M/s. e- Procurement Technologies Ltd, Ahmedabad, (ETL) who shall be IDBI Bank/ASC/BIFR s authorized service provider for the same. Please go through the guidelines given below and submit your acceptance of the same. 19. Computerized Forward auction shall be conducted by IDBI Bank/ASC/BIFR, on prespecified date, while the buyers shall be quoting from their own offices/ place of their choice. Internet connectivity and other paraphernalia requirements shall have to be ensured by buyers themselves. In the event of failure of their inter connectivity due to any reason whatsoever it may be it is the buyer responsibility. It is to be noted that neither IDBI Bank/ASC/BIFR nor ETL shall be responsible for these unforeseen circumstances. In order to ward-off such contingent situation, buyer are requested to make all the necessary arrangements / alternatives whatever required so that they are able to circumvent such situation and still be able to participate in the forward auction successfully. However, the buyers are requested to not to wait till the last moment to quote their bids to avoid any such complex situations. 20. Please note that the start price of assets in online forward auction is open to all the participating buyer. Any buyer can start bidding, in the online forward auction, from the start price itself. Please note that the first online bid that comes in the system during the online forward auction can be equal to the auction's start price, or higher than the auction's start price by minimum one increment. The subsequent bid that comes in to outbid the H1 rate will have to be higher than the H1 rate by minimum one increment value or in multiples of the increment value. 21. ETL shall arrange to train your nominated person(s), without any cost to you. They shall also explain you, all the Rules related to the Forward Auction to be adopted along with bid manual. You are required to give your compliance on it before start of bid process. 22. BIDDING CURRENCY AND UNIT OF MEASUREMENT : Bidding will be conducted in Indian Rupees (INR). 23. Starting Bid/Bid Increment: The opening price of the FA and the bid increment value shall be available to the buyer on their bidding screen.

8 24. BID PRICE : The Buyer has to quote the Total Price. 25. VALIDITY OF BIDS : The Bid price shall be firm for a period specified in the tender document and shall not be subjected to any change whatsoever. 26. Procedure of Forward Auctioning Online English Forward (no ties) Auction {Forward Auction}: 27. IDBI Bank/ASC/BIFR will declare its Starting Price (SP), which shall be visible to the all buyers during the start of the forward Auction. Also, Please note that the start price of assets in online forward auction is open to all the participating buyer. Any buyer can start bidding, in the online forward auction, from the start price itself. Please note that the first online bid that comes in the system during the online forward auction can be equal to the auction's start price, or higher than the auction's start price by minimum one increment. The subsequent bid that comes in to outbid the H1 rate will have to be higher than the H1 rate by minimum one increment value or in multiples of the increment value. 28. The minimum bid increment amount shall be Rs.1,00,000/- (Rupee One Lakh only). 29. English Forward (no ties) shall be conducted on from AM to Noon IST and there will be maximum 15 extensions (each of 10 Minutes) available during the Online Forward Auction. if required. If a buyer places a Bid in the last 10 minutes of Closing of the Auction, the auction shall get extended automatically for another 10 minutes. In case, there is no Bid in the last 10 minutes of closing of Auction, the Auction shall get closed automatically without any extension. 30. Your bid will be taken as an offer to purchase. Bids once made by you, cannot be cancelled / withdrawn and you shall be bound to purchase as mentioned above at your final bid price. Should you back out and not purchase as per the rates quoted, IDBI Bank/ASC/BIFR shall take action as appropriate, including forfeiture of EMD. 31. You will be able to view the following on your screen along with the necessary fields in the English Forward (no ties) {Forward Auction} : (a) Highest Bid in the Auction (b) Bid Placed by you (c) Opening Price & Increment Value (d) Your rank in the auction Terms & Conditions of Forward Auction: 1. LOG IN NAME & PASSWORD: Each Buyer is assigned a Unique User Name & Password by ETL. Buyers are requested to change the Password after the receipt of initial Password from ETL. All bids made from the Login ID given to the buyer will be deemed to have been made by the buyer.

9 2. BIDS PLACED BY BUYER: The bid of the buyer will be taken to be an offer to execute the contract. Bids once made by the buyer cannot be cancelled. The buyer is bound to execute the contract as mentioned above at the price that they bid. Should any buyer back out and not execute contract as per the rates quoted, IDBI Bank/ASC/BIFR and/or ETL shall take action as appropriate, including forfeiture of EMD and amounts deposited. 3. HIGHEST BID OF A BUYER: In case the buyer submits more than one bid, the highest bid will be considered as the buyer s final offer to execute the contract. 4. AUCTION TYPE: 1). English Forward No Ties Auction. 5. DURATION OF AUCTION: The auction will be conducted on from AM to 11 Noon IST (There will be Max. 15 (Each of 10 Min.) extensions available during the Online Forward Auction. if required). Such extension will be allowed to continue till no quote is placed within 10 minutes of the last quote. However, buyer are advised not to wait till the last minute or last few seconds to enter their bid during the auto-extension period to avoid complications related with internet connectivity, network problems, system crash down, power failure, etc. (THIS SCHEDULE IS TENTATIVE. IF ANY CHANGE IN THE SCHEDULE, THE SAME SHALL BE COMMUNICATED TO YOU). 6. BID INCREMENT: The minimum Bid increment shall be available to the Buyer at the start of the auction. The buyer can view the same by clicking on the Item details at the start of the auction. The buyer can bid higher than the highest Bid in the auction by minimum one increment. Also, please note that the first online bid that comes in the system during the online forward auction can be equal to the auction's start price, or higher than the auction's start price by minimum one increment. The subsequent bid that comes in to outbid the H1 rate will have to be higher than the H1 rate by minimum one increment value or in multiples of the increment value. 7. AUCTION WINNER : At the end of the Forward Auction, IDBI Bank/ASC/BIFR will evaluate all the bids submitted and will decide upon the winner.

I/We agree that if any of the statement/information revealed by me/us is found to be incorrect and/or untrue, the bid submitted by me/us is liable to be cancelled and the ASC is at liberty to annul the offer made to me/us. In case our bid for purchase of assets is accepted by the ASC and I/We fail to accept the terms & conditions of the sale or am/are not able to complete the transaction within the specified period for any reason whatsoever and/or fail to fulfill any/all the terms & conditions of the bid and the Earnest Money Deposit and any other monies paid by me/us are liable to be forfeited by the ASC and that the seller have also a right to proceed against me/us for specific performance of the contract.
