2 TERMS AND CONDITIONS 1. The Cyprus Cooperative Bank Ltd ( the Bank ) is not obliged to accept the highest or any other offer. 2. The published information, as well as the physical condition of the Property concerns the status of the property as it is. Furthermore, any urban/planning characteristics mentioned are for indicative purposes only and the Tenderers are advised to confirm their validity with the relevant authorities. 3. The submission of the Tenders can be done by completing the Tender Form for Property Purchase (the Form ) which can be downloaded from the Bank s property disposal webpage (the Webpage )and by either sending it in a sealed envelope to the Tender Box of the Cyprus Cooperative Bank at the following address: OFFER FOR THE PURCHASE OF THE PROPERTY XXXXXXXXX TENDER BOX CYPRUS COOPERATIVE BANK LTD 8, GREGORI AFXENTIOU STR. 1096, NICOSIA (where XXXXXXXXX the Reference Number of the Property) or by sending it to the secure address propertytender@ccb.coop.com.cy Depending on the method of communication of the Tender (as it has been described above), the Tenderer must state the Reference Number of each property as this is advertised on the Webpage, on the submitted envelope or in the Subject field of the Omissions and/or incorrect completions of the information given on the Form may result in the cancellation the present Tender. 5. In the case of a legal entity the Form must be signed by a duly authorized representative and sealed with the official seal of the entity. Also, a written authorization of the representative of the entity (See attached) must be attached to the present Form, together with the following documents : a. Certificate of entity s formation b. Certificate of address of Registered Office c. Certificate of the Company s Director and Secretary d. Certificate of Registered Shareholders 6. Together with the submission of the Tender, the Tenderer must co-submit the Commitment for non-withdrawal of his/her Tender (hereinafter the Commitment ) which must be thoroughly completed and signed. By submitting this document, the Tenderer is committed to retain the Tender for the tender period, according to the terms of the Commitment. In the case where the conditions are not met, the Tender will be considered as void and the Tenderer will pay 10% of the amount of his/her Tender as compensation. PROPERTY SALES DEPARTMENT PAGE 2
3 7. The validity of the submitted Tenders will expire after three (3) months from the submission date. During this period the final decision for the disposal of the asset will be taken and the Tenderers will be notified in writing whether their Tender has been accepted. 8. The information or data contained in the Webpage publication, as well as any other information/data given to the Tenderers during their contact with the authorized departments of the Bank, is given to them with every reservation as to its accuracy. The Bank has no liability in relation to the validity and/or accuracy of this information/data to the interested Tenderers. The Tenderers have the responsibility to examine the validity of the information/data which is related to their Tender and where they discover that the details of the property differ from those found in the Webpage publication, they must inform the Bank immediately. 9. The Tenderers may submit their Tenders within seven (7) calendar days from the date that the property is uploaded in the Webpage. In the case where it is decided that the period of seven (7) calendar days is not sufficient, the period may be extended by an announcement to that effect in the Webpage. 10. Following the expiration of the submission period, if no Tender has been submitted, the property will remain on the Website of the Bank. Otherwise, in the case where a Tender has been received, the property will be removed from the Webpage. 11. Tenders which will be received after the expiration date will be considered overdue and will not be taken into consideration. 12. In the case where the Tender for the purchase of the property is accepted, the procedure will be concluded by the full settlement of the purchase amount and the transfer of the ownership of the property to the Tenderer. This procedure must be concluded within one (1) month from the date of notification of the acceptance of the Tender. 13. In the case where the full settlement of the purchase amount and the transfer of the property is not concluded within one (1) month as described in clause 12 above, the acceptance of the Tender is cancelled and/or will cease to be valid, unless the Bank decides otherwise. The Bank may in its discretion extend the period of settlement of the purchase amount and the transfer of the property. 14. The submission of Tender for purchase of any property of the Bank by real estate agents will be accepted, only if the agent is registered in the records of the official Council of real estate agents and his/her commission is in accordance with the legislation relating to real estate agents. In such a case, the following documentation shall be submitted: a. Registration Certificate of Real Estate Agent in the record of real estate agents b. Annual Professional License c. Information relating to Buyer/interested person d. Written statement of the buyer for his representation by the Estate Agent (See attached) e. Written statement of the Real Estate Agent for his commission (See attached) 15. In the case where the submission of a Tender involves the services of a registered, licensed, real estate agent, no commission and/or other payment and/or expenses shall be payable to the agent PROPERTY SALES DEPARTMENT PAGE 3
4 16. The Bank will not in any way be liable to pay any commission, other payment or expenses to that agent at the stage of the assessment of the Tender. The commission of the agent will be remunerated with the final sale price of the property. The payment of any commission to the agent will be given after the full settlement of the sale price of the property by the Tenderer. 17. The transfer fees for the ownership of the property as well as any stamp costs or duties in relation to transfer of the property in the name of the Tenderer are solely paid by the Tenderer/Buyer. 18. The VAT charge (where it is applicable) will burden the buyer and will not be mentioned separately in the announcement. 19. In cases where the amount of the Tender is more than Proof of funds shall be attached from a Banking institution in Cyprus or abroad/international which may be submitted within two weeks after the submission date of the Tender. 20. All the pages of the present document must be initialed.
