July 10, 2017 cityofnovi.org SUBJECT: Acceptance of Open Space Easement Agreement and Wetland Conservation Easement from Manchester 13 Mile Road, LLC to protect the existing wetlands and to assure the permanent preservation and maintenance of open space areas, development amenities and common areas as part of the Manchester project site, JSP 15-52, located south of Thirteen Mile road and east of Novi Road in Section 11 of the City. SUBMITIING DEPARTMENT: Community Development Department- CITY MANAGER APPROVAL:~ BACKGROUND INFORMATION: The applicant received Site Plan approval of a multiple-family residential development which consists of 23 buildings with 172 units in total a community clubhouse, and corresponding amenities and site improvements on the 21-acre site. The subject property was originally approved by a Planned Unit Development Agreement dated July l, 1991 as part of Sandstone Development. On April 10, 1995 the project name was changed to Vistas Planned Unit development in which the subject property was referred to as Phase 11, 12 and 13. A consent judgement was recorded on July 24, 2002, in which the recommended use for the subject property was commercial. On July 22, 2014, the applicant requested to amend the consent judgement to change the allowable use of the property from mixed-use commercial to multiple-family residential and a small amount of commercial space. Council approved the request to amend the consent judgement on December 7, The amendment included the deviations identified and approved by the Council. The deviations are approved not to exceed those depicted on the Approved Preliminary Site Plan dated September 14, The consent judgement required the applicant to propose a mechanism to assure the permanent preservation and maintenance of open space areas, development amenities, and common areas, subject to review and approval by the City Attorney. The mechanism is intended to permit the City to perform maintenance and preservation functions and to assess the cost of such performance to the property owner, in the event of the failure of the property owners to preserve and maintain those areas. The attached Open Space Easement Agreement provides the necessary assurances for three areas of the site: two central green space areas, and another area along the south property line with the total area amounting to approximately 129,620 square feet (2.97 acres). The site contains four small wetland areas along the southern property line which are part of a major wetland on adjoining property. The four wetland areas amount to approximately 13,298 square feet, or 0.3 acres. The attached Wetland Conservation Easement provides for the protection of the noted wetland areas. The City Attorney's Office has reviewed both proposed Wetland and Open Space easements and has indicated that the documents are in a form ready for acceptance by the City Council. Staff and Engineering consultants approved the exhibits. RECOMMENDED ACTION: Acceptance of Open Space Easement Agreement and Wetland Conservation Easement from Manchester 13 Mile Road, LLC to protect the existing wetlands and to assure the permanent preservation and maintenance of open space areas, development amenities and common areas as part of the Manchester project site, JSP 15-52, located south of Thirteen Mile road and east of Novi Road in Section 11 of the City.

The Open Space Agreement has been provided for the purpose of ensuring that the property owner undertakes ongoing maintenance of the open space areas within the Development in accordance with the final approved site plan. In the event that the property owner fails to maintain the open space in accordance with the approved site plan, the City may enforce the requirements pursuant to the procedure set forth in Paragraph 9 of the Stipulated Order Amending Consent Judgment, which controls the development of the property. The Open Space Easement Agreement is satisfactory for the purposes provided, subject to the approval of the attached exhibits by the City's Planner and/or Consulting Engineer. The Wetland Conservation Easement has been provided for the purpose of preserving certain existing wetlands within the development, as shown on Exhibit B. The Wetland Conservation Easement is satisfactory for the purposes provided, subject to the approval of the attached exhibits by the City's Planner and/or Consulting Engineer. Once approved by City Council, the Wetland Conservation Easement and Open Space Easement Agreement should be recorded with the Oakland County Register of Deeds in the usual manner. 6 WETLAND CONSERVATION EASEMENT THIS CONSERVATION EASEMENT made this ~day of ~V\C.., 20.Qt, by and between Manchester 13 Mile Road, LLC, whose address is 1700 W. Big Beaver Rd., Suite 120, Troy, Michigan (hereinafter the 11 Grantor"), and the City of Novi, and its successors or assigns, whose address is Ten Mile Road, Novi, Michigan (hereinafter the "Grantee 11 ). R E C I T AT I 0 N S: A. Grantor owns a certain parcel of land situated in Section 11 of the City of Nevi, Oakland County, Michigan, described in Exhibit A, attached hereto and made a part hereof (the "Property 11 ): Grantor has received final site plan approval for construction of a multi-family residential development on the Property, subject to provision of an appropriate easement to permanently protect the existing wetland areas located thereon from destruction or disturbance. Grantor desires to grant such an easement in order to protect the area. B. The Conservation Easement Areas (the "Easement Areas 11 ) situated on the Property are more particularly described on Exhibit B, attached hereto and made a part hereof, the second page of which contains a drawing depicting the protected area. NOW, THEREFORE, in consideration of the sum of One Dollar ($1.00), in hand paid, the receipt and adequacy of which are hereby acknowledged, Grantor hereby reserves, conveys and grants the following Conservation Easement, which shall be binding upon the Grantor, and the City, and their respective heirs, successors, assigns and/or transferees and shall be for the benefit of the City, all Grantors and purchasers of the property and their respective heirs, successors, assigns and/or transferees. This Conservation Easement is dedicated pursuant to subpart 11 of part 21 of the Natural Resources and Environmental Protection Act being MCL , et seq., upon the terms and conditions set forth herein as follows: 1. The purpose of this Conservation Easement is to protect the existing wetlands as shown on the attached and incorporated Exhibit B. The subject areas shall be perpetually preserved and maintained, in their natural and undeveloped condition, unless authorized by permit from the City, and, if applicable, the Michigan Department of Environmental Quality and the appropriate federal agency.

Except for and subject to the activities which have been expressly authorized by --- permitrthere -sl:lall.be -nq~disturbance -ofthe:existing.wetland-s=-witbio=thea~ase.rneot:::af~~hln~ludil"lg - altering the topography of; placing fill material in; dredging, removing or excavating soil, minerals, or trees, and from constructing or placing any structures on; draining surface water from; or plowing, tilling, cultivating, or otherwise altering or developing, and/or constructing, operating, maintaining any use or development in the Easement Area. 3. No grass or other vegetation shall be planted in the Easement Areas after the date of this Conservation Easement with the exception of plantings approved, in advance, by the City in accordance with all applicable laws and ordinances. 4. This Conservation Easement does not grant or convey to Grantee, or any member of the general public, any right of ownership, possession or use of the Easement Area, except that, upon reasonable written notice to Grantor, Grantee and its authorized employees and agents (collectively, "Grantee's Representatives") may enter upon and inspect the Easement Area to determine whether the Easement Area is being maintained in compliance with the terms of the Conservation Easement. 5. In the event that the Grantor shall at any time fail to carry out the responsibilities specified within this Document, and/or in the event of a failure to preserve and/or maintain the wetland areas in reasonable order and condition, the City may serve written notice upon the Grantor setting forth the deficiencies in maintenance and/or preservation. Notice shall also set forth a demand that the deficiencies be cured within a stated reasonable time period, and the date, time and place of the hearing before the City Council, or such other. Council, body or official delegated by the City Council, for the purpose of allowing the Grantor to be heard as to why the City should not proceed with the maintenance and/or preservation which has not been undertaken. At the hearing, the time for curing the deficiencies and the hearing itself may be extended and/or continued to a date certain. If, following the hearing, the City Council, or other body or official, designated to conduct the hearing, shall determine that maintenance and/or preservation have not been undertaken within the time specified in the notice, the City shall thereupon have the power and authority, but not obligation to enter upon the property, or cause its agents or contractors to. enter upon the property and perform such maintenance and/or preservation as reasonably found by the City to be appropriate. The cost and expense of making and financing such maintenance and/or preservation including the cost of notices by the City and reasonable legal fees incurred by the City, plus an administrative fee in the amount of 25% of the total of all costs and expenses incurred, shall be paid by the Grantor, and such amount shall constitute a lien on an equal pro rata basis as to all of the lots on the property. The City may require the payment of such monies prior to the commencement of work. If such costs and expenses have not been paid within 30 days of a billing to the Grantor, all unpaid amounts may be placed on the delinquent tax roll of the City, pro rata, as to each lot, and shall accrue interest and penalties, and shall be collected as, and shall be deemed delinquent real property taxes, according to the laws made and provided for the collection of delinquent real property taxes. In the discretion of the City, such costs and expenses may be collected by suit initiated against the Grantor, and, in such event, the Grantor shall pay all court costs and reasonable attorney fees incurred by the City in connection with such suit. 2

This Conservation Easement has been made and given, for a consideration of a value less than One Hundred ($ ) Dollars, and, accordingly, is (i) exempt from the State Transfer Tax, pursuant to MSA 7.456(26)(2) and (ii) exempt from the County Transfer Tax, pursuant to MSA 7.456(5)(a). 8. Grantor shall state, acknowledge and/or disclose the existence of this Conservation Easement as of the day and year first above set forth. 17 OPEN SPACE EASEMENT AGREEMENT THIS OPEN SPACE EASEMENT AGREEMENT (this "Agreement") is made on )~~~\All\~ 2017, by and among MANCHESTER 13 MILE ROAD, LLC, a Michigli ted liability company, whose address is Market Street, Shelby Township, Michigan ("Grantor"), and the CITY OF NOVI, a Michigan municipal corporation, whose address is Ten Mile Road, Novi, Michigan ("Grantee"). Grantor and Grantee are, collectively, hereinafter referred to as the "Parties" and individually as "Party." RECITALS WHEREAS, the Grantor is the owner of certain land located in the City ofnovi, County of Oakland; State of Michigan, more particularly described on the attached Exhibit A (the "Grantor's Property"); and WHEREAS, on June 24, 2016, a Stipulated Order Amending Consent Judgment dated July 24, 2002, and June 25, 2002 Agreement for Entry of Consent Judgment as to 21-Acre Property Only (the "Order") was entered and covered Grantor's Property; and WHEREAS, the Order established certain open space and amenities requirements for the Grantor's Property; and WHEREAS, the Parties wish to enter into this Agreement to memorialize the Order and establish the terms and conditions between the parties as to the relevant open space and amenities. AGREEMENT NOW, THEREFORE, for good and valuable consideration, the receipt and sufficiently of which is hereby acknowledge, it is agreed by and between the Parties hereto, as follows: 1. Grantor hereby represents, warrants, and covenants to the Grantee that Grantor, and its successors and assigns, shall permanently preserve and maintain, at Grantor's sole cost and expense, in a commercially reasonable manner, the open space areas, Development Amenities (as defined in Section 2) and common areas located within 1

18 that certain portion of the Grantor's Property more particularly described in the attached -Ex.Jiih'it'R~ctne,-''Easement A.rea'')~ -= ~,- =----= For the purposes of this Agreement, the "Development Amenities" mean those certain improvements located within the Easement Area, including, but not limited to the clubhouse, as shown on the site plan attached hereto as Exhibit C. At the time the Parties enter into this Agreement, the Parties acknowledge that the Development Amenities have not yet been constructed. The Grantor acknowledges that it is Grantor's obligations to construct the Development Amenities and the Grantee acknowledges that the Grantor is permitted to construct the Development Amenities within the Easement Area. 3. If Grantor fails to preserve or maintain the open space areas, Development Amenities, and common areas, located within the Easement Area, as required by Section 1 ofthis agreement in accordance with the final approved site plan and the Order, Grantee shall be permitted to enter upon Grantor's Property, in accordance with the procedures set forth in Paragraph 9 of the Order, and make any necessary repairs, improvements or alterations necessary to satisfy Grantor's obligations under this Agreement and assess the resulting costs of performance to Grantor, in accordance with the procedures set forth in Paragraph 8 of the Order. 4. Modifications or alterations to the Development Amenities or within the Easement Area shall be subject to the prior review and approval by Grantee in accordance with the procedures and in accordance with the standards set forth in the Order. 5. Subject to this Agreement, Grantor shall continue to have all rights and responsibilities as owner of Grantor's Property. 6. This Agreement shall be binding up on the successors and assigns of the Parties and shall run with Grantor's Property in perpetuity unless modified or terminated by written agreement of the Parties. 7. This Agreement may be modified only in writing through amendment ofthe Agreement signed by both Parties. 8. This Agreement shall be a covenant running with the land. All future deeds, mortgages, land contracts, plats, and any other legal instrument used to convey an interest in Grantor's Property shall be subject to this Agreement. 9. If any portion of this Agreement is determined to be invalid by a court of law, the remaining provisions will remain in force. 10. This Agreement will be construed in accordance with Michigan law. 11. This Agreement sets forth the entire agreement of the Parties and is intended to supersede all prior discussions or understandings 2
