1 Terms and Conditions Nature s Dynamics SEALED BID AUCTION Moecker Auctions, Inc. and BankUnited, N.A. will offer for sale a bulk lot consisting of inventory of vitamins and vitamin supplements, office furniture, computers and related equipment, (2) pallet jacks, shelving units and packing supplies, any and all assets of Nature's Dynamics including any pending purchase orders, covered by Bank United's UCCs. identified in the attached list. It is the intention of the Bank to sell the inventory via a Sealed Bid Auction, however, it is expressly understood all final Sealed Bids are subject to confirmation by the Bank. All bidders are urged to inspect the property prior to placing a bid. The failure to inspect the property shall not constitute cause for cancellation of sale. The descriptions and images of items appearing in advertising prior to this auction are believed to be correct. Nevertheless, neither those descriptions, images nor any oral statements made by the owner (or his agents or officers) or the Auctioneer (or his agents or officers) concerning any item shall be construed as a warranty, either expressed or implied. The bidder shall be the sole judge of value, condition, age, genuineness, authenticity and defectiveness. CONDITION Bulk lot will be sold AS IS, WHERE IS with no warranty expressed or implied, subject to higher and better offers and subject to Bank approval. Sale shall be free and clear of liens or encumbrances unless otherwise notified. BIDDER REQUIREMENT Sealed Bids received are subject to the confirmation of the Bank. Bids must be placed on the form provided on Moecker Auctions website ( Only completely filled out bid forms will be accepted. Bidders must provide the following

2 pertinent information: primary contact name, address, telephone number and address. METHOD OF SALE The assets are being offered as one bulk lot only. Moecker Auctions and the Bank reserve the right to accept or reject any and all bids received. Sealed Bids are due on Friday, February 23 rd, 2018 by 12:00 P.M. Sealed Bids can be hand delivered, ed or fax to Moecker Auctions, Inc. Bids received after the date set forth will not be considered by the Bank. The highest and/or best bid will be awarded the property. BUYER S PREMIUM This Sealed Bid auction will not impose a buyer s premium. SALES TAX Winning bid will include Florida Sales Tax in the amount of 6.5% of the total price. Dealers who purchase for resale must provide a copy in person or fax the 2018 resale certificate to (954) DEPOSITS Sealed Bids must include a deposit in the amount of 25% of the sealed bid total. This deposit must be in the form of a Cashier s Check, Wire Transfer, Official Check or Money Order made payable to Moecker Auctions Trust Account.In the event that a bidder s sealed bid is rejected/denied, deposits submitted will be returned via regular mail within (3) business days. OPENING\CLOSING OF SEALED BIDS Sealed Bid auction will start on Friday, February 16 th, 2018 and end of Friday, February 23 rd, 2018 at noon. PAYMENT Winning bidder s balance of payment must be received by Monday, February 26 th by noon. Full payment must be in the form of a Cashier s Check, Wire Transfer, Official Check or Money Order made payable to Moecker Auctions Trust Account. REMOVAL/BIDDER CHECK-OUT The assets will be removed (by appointment only) within an agreed upon removal period for all parties involved from the time the auction is completed. It is the buyer s responsibility to pick up or arrange to have items picked up by the allotted time and must supply their own handling equipment, trucking and personnel. Buyer is responsible for all shipping and handling costs. Failure to remove the assets within the time agreed

3 upon will result in forfeiture of all deposits and/or funds paid to the Moecker Auctions. Purchaser, purchaser s agent(s) including hired moving companies, vehicle transport and/or riggers does hereby indemnify and hold harmless Moecker Auctions and seller from any and all damages, claims or liabilities from injuries to persons or property of any type whatsoever caused during the sale or by the removal of items purchased. The seller and auctioneer shall have no liability to the buyer of any lot for non-delivery of any purchased item(s). EXPORTATION The buyer of any and all purchased equipment at this auction understands that if their intention is to export any equipment from this sale they will be responsible for confirming and following all of the US government s guidelines pertaining to the legal exportation of any equipment to that country, the buyer will be referred to as the exporter. The exporter will be responsible for any export licensing, export declaration fees and preparation of any documents needed to ship overseas. I understand that if I am the successful bidder I will be responsible for the bid price plus applicable sales tax. I understand that I am responsible for removal of merchandise and must supply my own handling equipment and personnel. It is understood that this bid is not subject to any post inspections or contingencies. Personal property is sold as is, where is, with no warranty expressed or implied.
