3 TERMS AND CONDITIONS (Unless otherwise specified) 1. LIABILITY OF COSTS. The Bidder agrees that San Juan County shall not be held liable for any costs incurred in preparation of this bid. 2. NON-COLLUSION. In, signing this bid, the Bidder certifies that he/she has not, either directly or indirectly, entered into any action in constraint of free competitive bidding in connection with this bid submitted to the Procurement Manager. 3. NON-DISCRIMINATION. Bidders doing business with San Juan County must be in compliance with the Federal Civil Rights Act of 1964 and Title VII of the Act, (Rev.,1979), and the Americans Disabilities Act of (Public Law ). 4. BID AWARD. San Juan County is not obligated to award to the highest bidder, but reserves the right to accept and/or reject any and all bids, in whole or in part, to waive technical irregularities, and to award to the bidder whose bid is deemed to be in the best interest of the County. 5. LATE BIDS. Any bid received after the specified time and date will be declared a "Late Bid" and will NOT be considered. 6. SPECIAL INSTRUCTIONS. A. To preclude possible errors and/or misinterpretations, bid prices must be affixed LEGIBLY in ink, or typewritten. Corrections or changes must be signed or initialed by bidder prior to scheduled bid opening. Failure to do so will be just cause for rejection of bid. The Bid shall be stated in both numerals and written words. In case of discrepancies, the amount in written words shall govern. B. Clarifications and questions must be addressed to the Procurement Manager in sufficient time to provide a written response to all prospective bidders. C. Bids may be withdrawn upon receipt of written request, prior to scheduled bid opening for the purpose of making any corrections and or changes. Such corrections must be properly identified and signed or initialed by bidder. Resubmittal must also be prior to scheduled bid opening for consideration. D. After bid opening, no modifications shall be permitted. A bidder alleging a material mistake of fact after bids have been opened may be permitted to withdraw the bid upon written request prior to award at the discretion of the Procurement Manager. SPECIFICATIONS AND REQUIREMENTS SCOPE. The following property is owned by the San Juan County Sheriff s Office and is being offered for sale, on their behalf, to the highest bidder. NO historical records are available. See Exhibit A, Container Report, attached. VIEWING. The guns will be available for viewing December 9, 2014 from 9-11 AM, local time at the San Juan County Sheriff s Department, 211 S. Oliver Drive, Aztec, NM. You must bring a valid Federal Firearms License (FFL) in order to view the guns. 3

4 QUALIFICATIONS. Only those individuals that possess a valid Federal Firearms License (FFL) may view the guns and participate in the sealed bid. Only those individuals that possess a valid FFL shall be permitted to pick-up awarded items. STATEMENT OF WORK. This Statement of Work contains the minimum services required by the County to complete the Project identified as: SALE OF GUNS, LOT #1 Purpose of the Work: The purchase and removal of the property from the San Juan County Sheriff s Office to be be sold or reused by the Bidder, providing partial recovery of asset value and net economic benefit to the County. The County is seeking a monetary payment for the property by the Bidder with the Bidder handling the orderly removal process of the equipment. The property consists of thirty (30) hand and long guns depicted in Exhibit A of this bid offer. It is expressly understood by the Bidder that the Condition of the property is AS IS and the location of the property is at SJC Sheriff s Office. Disposition of property is required within six (6) weeks following award. THE PROPERTY DESCRIPTION IS BELIEVED TO BE CORRECT, BUT NO WARRANTY OR GUARANTEE, AS SUCH, IS EXPRESSED OR IMPLIED. THE PROPERTY IS SOLD ON AN AS IS, WHERE IS BASIS, WITH ALL FAULTS AND DEFECTS THEREIN, WITHOUT EXPRESS OR IMPLIED WARRANTY, INCLUDING THE WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR ANY OTHER WARRANTY WHICH MAY ARISE AT LAW OR EQUITY. THE BUYER, IN CONSIDERATION OF THE SALE OF THE PROPERTY, AGREES TO PROTECT, INDEMNIFY AND HOLD HARMLESS SAN JUAN COUNTY NEW MEXICO, THEIR ELECTED OFFICIALS, OFFICERS, AGENTS, AND EMPLOYEES FROM AND AGAINST ANY AND ALL DAMAGES, INCLUDING ATTORNEYS' FEES, ASSERTED AGAINST OR INCURRED BY SAN JUAN COUNTY RESULTING FROM ANY INJURY OR DEATH TO PERSON(S), DAMAGES TO PROPERTY, OR OTHER CAUSES OF ACTION ARISING IN ANY WAY FROM THE PROPERTY. METHOD OF AWARD. The bid may be awarded to the responsive bidder offering the highest acceptable bid for the property. The County reserves the right to accept or reject any or all bids, or to award the bid in its best interest, at its sole discretion. PAYMENT / REMOVAL DATE. THE SUCCESSFUL BIDDER AGREES TO PAY FOR THE PROPERTY PRIOR TO REMOVAL AND WITHIN SIX (6) WEEKS OF BID AWARD. SAN JUAN COUNTY RESERVES THE RIGHT TO CANCEL THE AWARD IF PROPERTY HAS NOT BEEN REMOVED WITHIN THE TIME PERIOD SPECIFIED. PAYMENT SHALL BE IN THE FORM OF CASHIER S CHECK OR BANK MONEY ORDER MADE PAYABLE TO SAN JUAN COUNTY. IN CASE OF DEFAULT OF THE SUCCESSFUL BIDDERS, SAN JUAN COUNTY MAY SELL THE ITEM TO OTHER SOURCES AND HOLD THE BIDDERS RESPONSIBLE FOR ANY EXCESS COST OCCASIONED THEREBY. GOVERNING LAW. Any agreement awarded to a Buyer, as a result of this solicitation, shall be governed in accordance with the laws of the State of New Mexico. 4
