2 CITY OF LOCKPORT PROPERTY AUCTIO OFFICE OF THE CITY TREASURER Public Auction TERMS OF SALE The premises described below will be sold under the directions of Michael E. White, City Treasurer, upon the following terms: Sale of the property will be awarded to the qualified person or persons submitting the highest dollar amount, subject to provisions herein; 1. Twenty percent (20%) of the purchase money of said premises will be required to be paid in cash or check to the City Treasurer at the time and place of sale. A buyer premium of 10% of the bid will also be due, in a separate check payable to Auctions International. 2. The balance of said purchase money will be required to be paid by cash, money order or certified check (U.S. funds only) payable to "Lockport City Treasurer" at his office at the Municipal Building, One Locks Plaza in Lockport, ew York within thirty (30) days of the bid date, or sooner. 3. The City Treasurer will file the original deed in the iagara County Clerk's Office. Said Deed shall be subject to any easements and restrictions of record. Every Deed shall contain a covenant to the effect the City of Lockport shall in no event be or become liable for any defects in the title so conveyed for any cause whatsoever, or that no claim or demand of any nature shall ever be made against the City of Lockport arising from such sale or any proceedings leading thereto. O SALE SHALL BE COTIGET UPO THE SUCCESSFUL BIDDER OBTAIIG AY TYPE OF FIACIG. 4. The City Treasurer is not required to send any notice to the purchaser. The City Treasurer, within his sole discretion, may deem it proper to extend the time for completion of said purchase. In case any purchaser shall fail to comply with the above terms and conditions of this sale, the purchaser will forfeit any funds paid the property will be re-bid in accordance with Paragraph 12 of the Terms of Sale. 5. The City Treasurer, at his options, may, if the bidder fails to comply with the Terms of Sale or fails to contact the City Treasurer to request and receive an extension of time, declare said bidder in default and the property will be re-bid in accordance with Paragraph 12 of the Terms of Sale. 6. Purchaser will be responsible for all real property taxes, refuse, and water and sewer bills levied after the date of this auction including the School Tax. 7. The purchaser of said premises will, at the time and place of sale, sign a memorandum of their purchase and an agreement to comply with the terms and conditions of sale herein contained. All purchase agreements and deeds will be made out the same way in which the purchaser registered for the auction and signed by that person. Purchasers will not be allowed to change their information after they have registered auction day. Should any purchaser fail to comply with the Terms of Sale or fail to execute any necessary closing

3 documents within 30 days of the sale date, the purchaser will forfeit any and all monies paid to the City of Lockport associated with this transaction. The purchaser will pay, in addition to the purchase money, the recording fees and deed stamps for each parcel separately sold. 8. The original Treasurer's Deed will be returned to the purchaser after it has been duly recorded at the iagara County Clerk's Office. Unless an Early Occupancy Agreement is obtained and signed by both parties, the purchaser will have access to the property only after the recording of the deed with the iagara County Clerk s office. Early Occupancy Agreement Forms may be obtained from the Treasurer s Office. 9. The City will not provide a title search or survey. The property is to be sold without any warranties in "as is" condition and all responsibilities, including the physical condition of the property, become those of the purchaser upon transfer of the Deed. The risk of loss or damage by fire, water, vandalism or other cause (except by taking under the power of eminent domain) between the time of sale and delivery of the deed, is assumed by the purchaser. Buyer assumes responsibility for water meter replacement. The successful bidder shall allow access to the property for inspection by the City s Building Inspection Department and, if necessary, cause the property to be brought into conformity with all Building Code requirements within such time period as directed by the Building Inspection Department, but in no event later than one year from the date of this auction. 10. The property is being sold subject to: (a) Rights of the public and others in and to any part of the premises that lies within the bounds of any street, alley, or highway; and restrictions and easements of record. (b) Any state of facts that an accurate, currently dated survey might disclose. (c) Rights of tenants, if any. It shall be the responsibility of the purchaser to evict or remove any parties in possession of premises being foreclosed herein. There shall be no adjustment on a pro-rata basis in favor of the purchaser for any rents that are paid for a period after the date of this sale. 11. The City Treasurer shall have the right to refuse the transfer of title to any individual, corporation or entity found by the City to be delinquent in tax payments on any real property located in the City of Lockport, to have lost property in a City of Lockport In Rem proceeding since January 1, 1990, or to have outstanding housing violations at the time of execution of the Memorandum of Sale. The City Treasurer shall also have the right to refuse the transfer of title to any individual, corporation or entity that has defaulted on an Installment Agreement with the City of Lockport within three years of the auction date. Properties sold at this auction will not be eligible for future Installment Agreements for a period of three years following the date of transfer of title. Upon such findings of delinquency, the monies deposited shall be forfeited and the property re-bid in accordance with Paragraph 12 of the Terms of Sale. 12. In case any purchaser shall fail to comply with any of the conditions of sale, the premises so struck down to him may again be put up for sale under the direction of said Referee, without application to the Court, unless the City s attorney shall elect to make such

4 application. In the alternative, the Referee reserves the right to sell the premises to the second highest bidder. In the event of a resale, purchaser shall be held liable for the difference between the amount received upon resale and the amount of purchaser s original bid, interest on the original bid at 9 per cent per annum from the date of the first sale to the ultimate delivery of the Referee s deed, plus costs, expenses and fees (including attorneys fees) occurring as a result of said resale. Purchaser s deposit shall be applied to said deficiency, with any overage refunded to said purchaser. Purchaser shall be liable for any remaining deficiency. 13. Although the successful bidder shall be bound by his executed memorandum of purchase referred to in Paragraph 7 above, such sale shall not be binding upon the City until such sale shall have been approved and confirmed by subsequent resolution and vote of the City Council of the City of Lockport, ew York, and that prior to such approval and confirmation the city will have the right to reject any or all bids and sale for any or no reason. 14. If the successful bidder owes any outstanding delinquent taxes to the City of Lockport those delinquent taxes must be paid in full within three (3) business days of notification of said delinquency. Failure to comply with this requirement will be grounds for disqualification and the property will be re-bid in accordance with Paragraph12 above. Michael E. White Lockport City Treasurer

5 About the City of Lockport, Y Geography According to the United States Census Bureau, the city has a total area of 8.6 square miles of which 8.5 square miles is land and 0.1 square miles is water. The Erie Canal passes through the center of the city, turning south toward Tonawanda Creek. It climbs the iagara Escarpment through a series of two modern locks. Originally, a double set of five combined smaller locks were used. Lockport is at the junction of several major truck roads, including Y Route 78 (Transit Road), Y Route 31, Y Route 77 and Y Route 93. It is 17 miles north of Interstate 90 via Y Route 78 (Transit Rd.). Lockport lies in the 716 Area Code. Climate Lockport experiences cold, snowy winters and hot, humid summers. Precipitation is moderate and consistent in all seasons, falling equally or more as snow during the winter. The city has snowier than average winters compared to most cities in the USA, however less than many other cities in Upstate ew York including nearby Buffalo and Rochester Demographics At the 2010 census, there were 21,165 people, 9,153 households and 5,172 families residing in the city. There were 10,092 housing units. The racial makeup of the city was 87.5% White, 7.2% Black or African American, 0.5% ative American, 0.5% Asian, 0.02% Pacific Islander, 0.8% from other races, and 3.5% from two or more races. Hispanic or Latino of any race were 3.2% of the population.25.8% of the population were under the age of 18, 8.4% from 18 to 24, 30.6% from 25 to 44, 20.9% from 45 to 64, and 14.3% who were 65 years of age or older. The median age was 36 years. For every 100 females there were 91.7 males. For every 100 females age 18 and over, there were 87.4 males.

6 Tourist Attractions The Lockport Locks and Erie Canal Cruises boat rides are offered on the Erie Canal, with one proceeding upward through the modern locks for a short cruise, and returning to pass downstream under two lift bridges and then returning to the docks. The Lockport Erie Canal Museum is located in an old lock control structure between the modern Locks 34 & 35 and the remaining original "Flight of Five" Locks spillway and contains historic photographs, maps, engineering drawings and antique machinery. The Canal Discovery Center is housed in an old church about 100 yards to the west of the locks. Lockport has the widest bridge (399' wide x 129' length) in orth America which spans the canal to the southwest of the locks. The Lockport Cave and Underground Boat Ride tour can be taken near the locks. The iagara County Historical Society located at 215 iagara Street. It is a complex of buildings that together tell the story of iagara County history. 100 American Craftsmen is an annual show of arts and crafts held at the Kenan Arena. The arena is located on the historic Kenan Center campus. Ida Fritz park plays host to the Taste of Lockport every August and to a Cruise ight every Monday during the summer. Lockport has recently added a new ice rink for the Clarence Mustangs called Cornerstone Arena.
