1 ATTENDEES: 2011 Heron Bay Community Association Annual Meeting Minutes Tuesday, November 29, 2011 Heron Bay Residents: 45+/- in attendance Heron Bay Association Board of Directors, Association Management: Brian Davison, Managing Partner of Minerva and President of the Heron Bay Community Association; Sheila Wolfe, Heron Bay Community Manager; Kim VanRoyen, Heron Bay Community Association Resident Care and Administrator; Marketing: Mikala Carver, Marketing Manager. The meeting was called to order by Sheila Wolfe at 6:00 pm. I. Sheila Wolfe, Heron Bay Community Manager welcomed everyone and provided an agenda of the topics to be discussed. She asked all attendees to sign the attendance sheet and take one of the handouts that were available. She covered the handouts as listed below. Handouts: o Memo Heron Bay Community Association ( the Association or HOA ) Safety & Security Tip Meeting Summary: A Heron Bay Community Association Safety & Security Tip Meeting was held here at the Lodge, hosted by Jason Hart, Henry County Police Officer and Diana Brown, CLC Chair on November 8, There were 32 families or 3+% of all of the Heron Bay Community represented at the meeting. (*UPDATE: A second instructional neighborhood watch program was conducted on Feb. 8 th, 2012 with both Henry and Spalding County police in attendance along with Diana Brown, CLC Chair. Individual neighborhood watch programs began on 2/28 thru 3/6/12 so that each community would have instruction on how to set up this very important program. Those communities that establish neighborhood watches will have a neighborhood watch sign installed within their community.) o Heron Bay Community Association Safety & Security FAQ s & Tips: This valuable information was provided to everyone at the Safety & Security Meeting held on November 8, This information was also posted on the HOA portion of the Heron Bay website for those residents that were not in attendance. 2 o Copy of Ballot Amendment to the Declaration for Initiation Fees: 67% For votes in the community must be collected before the Amendment can be passed. The Heron Bay Community Association is in need of 133 more For votes in order for the Amendment to be passed. Sheila asked everyone in attendance to please vote if they had not already done so. o How to Register on Heron Bay s New Website: Heron Bay has a new and exciting website. Anyone that has not already registered will need to go to the new website and register. This sheet will give you instructions on how to register on the new website. Please go to to register. o 2011 Budget Update through October 31, 2011: A copy was provided to all in attendance to use as a comparison to the 2012 Projected Cash Flow Budget. o 2012 Projected Cash Flow Budget: A copy was provided for discussion purposes in the meeting. This document contained what the estimated cost to run the community would be for the upcoming year. o Heron Bay Community Association Committee Members and Association Administration Contact Sheet: Members of the Positive Standards Committee, Safety Committee, Community Liaison Committee and the Social Committee are listed with telephone numbers and addresses, as well as the Heron Bay Community Association Management Team. This information is for all Heron Bay residents who have questions or concerns and wish to contact any committee member or Association Management office or team. II. III. The Heron Bay Management Team and Lodge Staff were introduced by Sheila Wolfe, Community Manager. Kim VanRoyen, Heron Bay Community Association Resident Care and Administrator and Mikala Carver, Marketing Manager were recognized and in attendance; and Judith Smith, realtor for Heron Bay Luxury Sales and Tawanna Morant, Accounts Payable and Receivable were not in attendance. Heron Bay Committee and Resident Volunteer Overview: Sheila requested all residents who were on the last two (2) year term of committee members and volunteers to stand. She thanked everyone for their dedication to Heron Bay and asked everyone to give them a round of applause for volunteering their time. She stated that a new two (2) year term began in September, 2011 and each Committee Chair was introduced as follows: a. Diana Brown, Community Liaison Committee (CLC) Chair: i. Diana Brown has served previously on the Safety Committee and is now in her second term for the CLC. Diana Brown has hosted and played an instrumental part in the Page 2

3 instruction of the Neighborhood Watch Program throughout the community as well as many other community programs. Diana encourages resident participation not only for the Neighborhood Watch program but also in support of the other Heron Bay Community Association Committees. Note: If you have any questions in regard to the Neighborhood Watch program, please direct all questions to either Diana Brown at or the Heron Bay Community Association Management Team at ii. Diana then introduced all Committee Members as follows: Teresa Jacob, Dorothy Brown and Stephanie Cleary, in attendance; and Roger Johnson and Petita Rentz, not in attendance. b. Whit Lilly, Safety Committee Chair: i. Whit Lily is a first time Safety Committee member and Chair. He is dedicated to maintaining the safety standards of Heron Bay. He and the Safety Committee are always looking for suggestions on how to make Heron Bay safer. He introduced all committee members as follows: Roosevelt Pearce, Lu Sancea and Greg Gwyn, in attendance and Debbie Lovett, Dwight Peebles and Adrian Ocampo, not in attendance. (Note: If you have any questions, you can contact Whit directly or any Safety Committee member on the Committee Contact sheet or if you wish to be on this important committee, please let Whit know.) c. Sheri Shelton, Positive Standards Committee Chair: i. Sheri is a first time Positive Standards Committee member and Chair. She is dedicated to keeping the standards high within Heron Bay by following the covenants & Heron Bay Residential Guidelines. She and the Positive Standards Committee review the entire community. (Note: See calendar on the website for dates of their property reviews.) This committee is always seeking ways to educate the Heron Bay residents to give them a full understanding of the Heron Bay Residential Guidelines and covenants. She introduced all committee members as follows: David Cleary and Jim Mays, in attendance; and Harold Utt, Darrel Anderson, Larry Rentz and Tyrone Jones, not in attendance. d. Cynthia Thomas, Social Committee Chair: i. Cynthia was unable to be in attendance for the meeting. Cynthia is a second term Social Committee member and Chair. She is actively involved with resident and community events and projects. This committee is always looking for volunteers as many of the events require resident participation. If you are interested, please contact the main Lodge Phone # at: 770/ Myrtis Herrod, Roderick Prince and Rosa Chambers, Committee members were not in attendance. IV. Sheila Wolfe, Property Manager then introduced Brian Davison, Managing Partner with Minerva and President of the Heron Bay Community Association. Page 3

4 V. Brian Davison: Climate of Heron Bay and the Heron Bay Community Association Brian started the discussion by stating that he is very happy even through these economic times and that Heron Bay continues to hold its own. The Heron Bay Community stands out in comparison to other neighborhoods of this size. He went on to say that From a residential developer s point of view, Heron Bay is extremely stable compared to other communities throughout the surrounding areas. He continued the discussion by saying Heron Bay still has a low annual assessment in comparison to other similar communities within the Metro-Atlanta area even after raising the dues to $ for Overall, most home prices seem to be stabilizing at this point; however, the averages seem to be sliding because the banks are still trying to get rid of current foreclosed inventory. The number of foreclosures in the market is down about 60% from where they were at this time last year. Georgia is getting a head start on foreclosures as the state law allows the banks to begin the foreclosure process quicker and easier. It can take up to a year or longer to start the foreclosure process in other states. Heron Bay home values are stable compared to other areas where the communities are not maintained or where homes are located in poorer parts of the Metro-Atlanta area. The numbers of available homes in the area seem to be down and remaining house inventory out there is getting consumed. He stated, Heron Bay is very lucky to still have builders interested in building in the Heron Bay community. There are very few communities where you still see active building taking place. We have several builders building in the community. One of the builders here in Heron Bay has 70 developed lots in another community, but has come to Heron Bay to build as this seems to be a better place to build at the current time. Buyers are really starting to see the differences between Heron Bay and other comparable communities. Many of our competitive communities do not look as good as Heron Bay. He went on to say that Generally speaking, Heron Bay and other Minerva properties still have more house inventory in the higher price range homes, but I anticipate that we should see more sales activity in the next 6 months to a year. Brian continued by saying that Across the board, I feel good about Heron Bay. While Henry County has experienced some job loss over the past couple of years, new opportunities seem to be forthcoming in the near future with several large corporations purchasing in the Henry County area, such as Piedmont buying out Henry Medical. Heron Bay and Sun City Peachtree are two Minerva projects that are doing extremely well. Minerva continues to keep these two communities at very high levels. (Brian) sees an upward movement in the Heron Bay community and states that Minerva has invested a huge amount of Page 4

5 money into the Heron Bay Community. There are currently 985+/- homes occupied in the Heron Bay Community. There are many repairs that need to be done in the Heron Bay Community to the Lodge, pool areas and other miscellaneous common areas. There are also deferred repairs that the HOA anticipates being completed in the 1st quarter and hopefully no later than the 2 nd quarter of All repairs will be dependent on assessment collection. In 2010, the increase of unpaid assessments contributed to the number of hardships and foreclosures which made the Association have a much larger shortfall than in previous years. Brian also stated that Minerva is still putting a substantial amount of money into Heron Bay to keep it running at the high standard that has been set. These dollars have helped maintain the marketing program and has helped the community to have quick sales on foreclosed homes which in turn helps to stabilize the community. He went on further to say that replacement inventory of new homes should help to stabilize the home prices in Heron Bay. He defined subsidy as what the developer pays when expenses are higher than income. Over the past 4+/- years, Minerva and Cole Tract owners, Brian Davidson and Joe Harris have subsidized 3+/- million dollars into the Heron Bay community. The goal is to get the community to be self-sustaining so there will be an easier future transition for the community. He states that he has hopes there will not be a major assessment increase when the community is turned over to the residents and this is what the current Board of Directors and Association Management is working towards. Assessment fees will be $765 for When paying by check or money order, the 2012 annual assessment fees can be paid in installment payments of $390 by February 1, 2012 and the other payment of $390 by May 1, There will be a one-time administrative charge of $15.00 or $7.50 per payment to help with the extra cost to process the two payments. The increase will help the Association maintain the high standard levels here at Heron Bay. Residents also have the option to pay in full no later than February 1 st, 2012 with no additional fee. As of December 1, 2011, Heron Bay residents will now have the option to pay by credit card. The Association will not charge an additional administrative fee for assessments paid by credit card. The resident, however, may incur a site fee as established by the bank that holds their credit card and bank service who receives the payment. Site fees are not established by the Association. (Important Note: If either payment is late whether for the Feb. 1 st payment or the second payment date of May 1, 2012, there will be a late fee incurred.) The 2011 Budget (hand out) shows actual figures through October 31, 2011 and projected figures for November and December, 2011; the Association anticipates being $10,000+/- under budget with the Association still maintaining the standards in the community. This figure is subject to change as we finish the 2011 fiscal year. Overview of 2012 Cash Flow Projected Budget: When creating the 2012 projected cash flow budget, actual figures from 2011 are taken into consideration, estimated cost increases and other contributing factors are reviewed to establish the 2012 estimated projections. 6 On page 2 of the 2012 cash flow budget, there are entries at the bottom for community improvements and repairs that were deferred from Under the income portion, you will see where there is a line item for dues that we have not received from foreclosures, bankruptcies and hardships. The Association can only collect assessment $$ from the date of foreclosure forward. Sheila Wolfe, Property Manager, works closely with the Association attorney and on behalf of the Heron Bay Community Association has filed 43 liens against homeowners who have unpaid annual assessments. In 2012, we hope to be able to collect $38,000+/- in unpaid assessments, late fees and collection fees, but cannot be sure of the exact amount due as the number of foreclosures varies. The Heron Bay Community Association and Minerva have been working hard from a number of angles to raise revenue and cut costs. Sheila Wolfe, Property Manager, who is dedicated to the operation of the Heron Bay community has been and continues to work very closely on the budget to cut costs. Volunteering and community involvement is important. For community activities and expansion of the Heron Bay Community Social Events and Activities, fundraisers are key for Minerva has a major investment in Heron Bay. There is land yet to be developed and neighborhoods to be created. Heron Bay is not yet at a 50% build out. Minerva is dedicated to Heron Bay and will be here for a long time to support the community. Our European investors are very positive about Heron Bay. Brian continues this discussion by saying that he encourages more of the Initiation Fee Amendment ballots to be signed. The Heron Bay Community Association actually needs 67% of the community to vote For the amendment change before the amendment can be passed. The amendment will require that anyone purchasing a home in Heron Bay will have to pay an initiation fee of 75% of the annual dues; this will include both new homes sales and resale homes. He emphasized that this amendment would not impact current homeowners within Heron Bay i.e. no additional $$ out of pocket if they sell their home. He stated this would be a continual funding source to the community. Brian ended the discussion by saying, This has been a very interesting year in the marketing area for Heron Bay. We have many new and exciting things happening with the marketing department. We have added Mikala Carver, Heron Bay resident, as the Marketing & Events Manager for Minerva. Mikala has done a great job with new events such as updating the website for Heron Bay, which has allowed us to take credit card payments online. Hopefully, this will help cut down on some of delinquencies. Marketing has also added new signage for the Heron Bay Community, which has added extra depth to the community and should make a big difference when buyers come into the community. Every resident should volunteer and be involved to make your community a place where everyone wants to live. Page 6

7 Questions and Answers: The assessments were raised last year, so why are the assessments being raised again this year? Minerva has advanced or subsidized the Heron Bay Community Association thousands of dollars this quarter and last year. The goal is to get the HOA to a point where it is self-sufficient. The community is not at a selfsufficient point. The only way to keep the HOA fees down is to either cut budget items or get more residents to pay instead of having so many delinquencies or foreclosures which in this economic climate remains unpredictable. We are hopeful the 2013 annual assessment will not go up and the budget should be close to the 2012 Budget, which again, is dependent on several factors, collections, # of foreclosures, replacement of aging equipment, landscaping replacement, removal of fallen trees, etc. Because Minerva is not developing additional neighborhoods now, the HOA still has to maintain items and fix repairs as equipment ages. Minerva plans to expand Heron Bay as the economy improves. A couple of years ago, you had a street cleaner clean the streets of Heron Bay. Is there any way we can get this back? A street cleaner was brought into Heron Bay by the developer (Minerva) when there was a lot of building going on, which caused mud to be in the streets. During building, it is mandatory by the county for the developer to have the streets cleaned. Now that there is not as much building going on, the developer is not required to continue to have the street cleaner and the HOA doesn t want to add the extra expense to the HOA budget, which could cause the annual dues to go up. The Heron Bay Community Association, at this point, relies on residents to let us know if there is a severe problem with the roads and we in turn will have the Serenity Landscaping crew take care of the problem. As noted by Sheila Wolfe, Property Manager, When Kim and I ride the community, Serenity seems to be doing a good job keeping the streets clean, but we always appreciate an extra pair of eyes. We appreciate hearing from our Heron Bay residents! When will the landscaping contract be bid again? Are there any ways to cut cost of landscaping, i.e., less pine straw? The landscaping contract is typically rebid every 2-3 years, but can vary i.e. the HOA in the past has bid out landscaping in less than a 2 year period. Serenity tends to be and remains 10-15% under the lowest bidder. No, there is no way to cut landscaping costs without affecting the overall look of the community. The homes that are vacant or rented, the yards are looking really bad. Who is responsible for these yards? Whoever owns the property, whether it is a bank or an investor, is responsible for making sure the grass is cut. The Heron Bay Positive Standards Committee reviews property for non-compliance items (i.e., yards need cutting, weeds, shrubs need trimming, etc.) and a notice is sent out to the owner of the property, giving them reasonable time to correct the problem. If the owner does not take care of the non-compliance issue, then the Heron Bay Community Association will enforce self-help or begin a fining process. Self-help means the HOA Page 7

8 sends out Serenity landscaping to take care of the issue and then the owner of the property is billed for this service. Pursuant to the covenants, the Association has the right to enter the property. Many times, the HOA is unable to recover the cost for self-help. This expense would then have to come out of the HOA funds. It was stated by a Lakeview resident, the maintenance of the Lakeview gates in insufficient and the security gate is broken and anyone can get in the gates at anytime. If there are problems with the Lakeview gate, there is a Lakeview Gate Committee in place. The Lakeview Gate Committee members will in turn contact the Association to let them know. **See below for the Lakeview Gate Committee member s information: Lakeview Gate Committee Members Melissa Alessi, Secretary mlalessi@bellsouth.net Pam Copeland, President paigeshorty@bellsouth.net Vernon Huskey, Vice President veetel@bellsouth.net Is the annual assessment $ for this year and can it go down next year? Yes, the 2012 annual assessments is $ However, it is possible the rates will remain the same next year, but is dependent on variable factors i.e. the number of homes that sell in the community in 2012, the number of delinquencies and if we can get the initiation fee amendment passed, to name a few. One of the best ways for the annual assessments to go down or to stay the same is if more homes are sold in the community, which would bring in more assessment fees and hopefully more initiation fees, which would all go into the HOA account. The annual assessments seem to go up every year in increments of $100 per year, but if and when they go down, will they go down in increments of $100 each year? Again, this is dependent on many factors. Costs and materials continue to rise. However, if more homes sell in the community and if and when the Initiation Amendment Ballot is passed, this will increase HOA funds to run the community. What is the process of getting delinquent accounts paid? 1. The Heron Bay Community Association Management sends out late letters each year as an attempt to collect any unpaid assessments and late fees. 2. If no response is received from the resident, the Association attorney is contacted and a formal notice (warning of lien) is sent to the homeowner asking them to pay all past due amounts, late fees and attorney fees within 30 days. 9 3. If the assessment and late fees remain unpaid, the attorney will notify the homeowner and a lien will be filed on the property in which the delinquencies have not been paid. 4. The Association is notified by the attorney and has the right to begin a lawsuit process. 5. The Association attorney will send out a letter warning the homeowner of a lawsuit and again asking for the assessments to be paid. 6. If the assessments, late fees and legal fees remain unpaid, the resident is notified that a lawsuit has been filed on behalf of the Association. 7. In most cases, the resident goes to court and their wages could be garnished until the assessment, incurred fees, etc.; are paid. (*Note: The homeowner is responsible for legal fees.) If the property has foreclosed or if the homeowner has filed bankruptcy, all fees from the date of foreclosure or bankruptcy back will be wiped out. The Association can only collect $$ from the date of foreclosure forward. Historically, the Association has tried to work with every resident and set up payment plans. Going forward, the Association will be a little stricter when it comes to collecting outstanding debts. The Association is hoping that by accepting credit card payments online, this will cut down on the number of delinquencies. With the Annual Assessments continuing to go up, what is best way to generate income into the HOA account? One of the best ways to generate more income into the HOA account would be to get the initiation amendment ballot passed. The initiation amendment would increase the initiation fee from $ to 75% of the current annual assessment. Also it would require that anyone moving into the community pay the initiation fee i.e. on resales, not just those purchasing new homes. If enough residents had signed it last year and the amendment had passed, everyone could have possibly seen a decrease in the Assessments as much as $50-$55 a year. The Heron Bay Association Management Team, along with Diana Brown, CLC Chair and the CLC Committee has been actively involved in trying to get everyone to sign this initiation amendment ballot. We need everyone s help in getting more initiation amendment ballots signed. It was asked Can this be put online? and Sheila Wolfe, Property Manager, answered Yes, the ballot can be put on the website, but an actual signature is required. Please sign and return to the Lodge. If you decide to do the payment option in two payments for the annual assessment dues, is it just a one-time fee of $15? What happens if I am not able to pay by the established due dates of Feb. 1 and May 1? Yes, it is just a one-time fee and will be split into $7.50 per payment. If you decide to do the payment option using your credit card, there will be no fees incurred by the Association. As previously explained, you may incur a site fee as established by the bank that holds the credit card you are using. You must meet each date Feb. 1 and May 1 to avoid late fees. Page 9

10 Just to be clear, is the 2012 budget a self-sufficient budget? The community cannot yet operate by itself based on the number of foreclosures, bankruptcies and hardships (slow payments). However, if all variables that have been factored in the 2012 budget go as planned, it could be a self-sufficient budget. Again, one of the major contributing factors will depend on the number of foreclosures, collections which the Association Management is going after and other variables. The community is not yet in a position to run on its own. Have all accounts that are delinquent, have all of the liens been filed with the courts? Yes, currently we have filed 43 liens to date. There are also 13 pending lawsuits. Why are the Lakeview Gate Maintenance Fees on the budget and the Cottages and Villas items are not on the budget? The Cottages and Villas is a sub-association and are under perpetual cares. All of their expenses are paid separately from the Cottages and Villas Homeowners Association. The Lakeview gate maintenance fees are all paid by the Lakeview property owners and not the remainder of residents in Heron Bay. Note: Update- Lakeview is not a sub-association but is part of the Master Association. There is a line item under income ($ collected) specific to the Lakeview Gates and a line item under expenses which shows $$ that is paid by the property owners of the Lakeview. It was suggested that the HOA have someone check into county information or things that are being done within the county, such as when they added a water tower and report that information to the residents of Heron Bay. The Heron Bay Community Association Management Team was not informed that a tower was being installed. The tower was installed on land belonging to the county and was a county decision. Because it was not built on property owned by the developers of Heron Bay, there would not have been any reason for the county to notify the developer or the Association. The Association Management Team obtains its information like everyone via newspaper, radio, TV or word of mouth. If at any time, a resident or committee member is aware of any news that is going on in Henry or Spalding County, the Heron Bay Community Association Management office welcomes this information and will seek a confirmation so it can be shared with the community via website. Who controls or locks the fence that is located on Trestle Road, which is a road that is located off Blue Sky Drive in the Brookside subdivision? Henry County owns the property where the fence is located and therefore, Henry County monitors the fence and determines when the fence is locked or opened. If you have a grievance with the fence being locked, you may want to contact you county commissioner. Page 10

11 What is going to happen to the lots in the Enclave subdivision? Bob Adams Homes owned the lots at one time; however, they are no longer in business. The lots then were in the possession of Park Avenue Bank, and they are no longer in business. Several builders have tried to buy the lots. Minerva has the final control of what builder will purchase and develop the Enclave lots. Bank of the Ozarks is the current owner of these lots. However, Minerva s ultimate goal is to purchase those lots and build in that community. Does Minerva or the Heron Bay Community Association have control over landlords renting to Section 8 tenants? Is there any way the Association can refuse to rent to Section 8 tenants? No, neither Minerva nor the Heron Bay Community Association has control over any homeowner or landlord leasing to Section 8 renters as this is a government program. Discrimination laws prohibit us from forbidding certain people to rent or allowing landlords not to rent to certain tenants. A resident stated that Officer Hart stated to them that there have been some fires in the parks in the Wildewood subdivision and the question is were all the picnic tables were removed because there are Section 8 tenants that live in the Wildewood subdivision? As stated by Brian Davison, I don t think there is any correlation between the fires and Section 8 renters in the Wildewood Community. I think there might be more of a concern that the renters may not be able to keep up the maintenance of the property, which if not, the HOA would enforce self-help. We are lucky that we have an HOA onsite manager that can enforce self-help with the property owners rather than dealing with a community management company. Do the Section 8 tenants or renters have to pay the same dues as everyone else in Heron Bay? No, renters do not pay, but all property owners that rent to any person or Section 8 person have to pay assessments in Heron Bay. Additional comments made: Brian Davison, President of the Heron Bay Community Association, stated that if he becomes aware of a bank that is trying to sell any of their inventories of foreclosed properties at really low prices, Minerva will try and buy these properties and sell them at a higher price in order to keep the appraisals up in the community. A Heron Bay resident raised the question about the property in the Meadow Glen Subdivision that had burned up and has been boarded up, Is there anything going to be done about this property? No, not at the current time. It is still tied up in litigation with the insurance company and property owner s family due to special circumstances. Page 11

12 With the landscaping line item being $38,000, Is there any way to cut the cost of putting down pine straw? Has the Association considered putting down bark chips instead of pine straw in order to keep from having to put out pine straw as much? The Heron Bay Community Association has taken steps to cut the cost of landscaping. However, we have to find a balance that is a good standard for all. For an example, some residents want to see the pine straw while others do not care as much. As stated by Brian Davison, Heron Bay Community Association President at the 2011 Heron Bay Community Association Annual meeting, the cost of mulch is definitely higher and very costly compared to pine straw. The initial installation could also involve the cost of removal of pine straw. At this time, the Association cannot afford paying the additional $$. The 2012 budget is planned for one installation of pine straw. While the costs of bark mulch can be researched for consideration in a future year, it will be dependent on several variables, specific to what the community can afford or if the residents are willing to pay additional $$ that will result in raising the assessment or an additional special assessment. What is being done about the school that was suppose to go in at the front of the community and/or what will happen to that property? Can the Association install flowers or shrubs on this property? Are there any future plans to finish this entrance to Heron Bay? The Supreme Court ruled against all charter schools in Henry & Spalding counties. Hopefully, everyone will see the legislature pass the charter schools the next time it goes before the courts. The land at the front of the community is owned by Minerva and they will continue to control who buys the land or what the land will be used for.
