4 A meeting of the Upper Dublin Township Municipal Authority (MA) of Upper Dublin Township (UDT) was held on Friday, January 5, 2018, at 7:30 A.M., in the Township Building. In attendance were MA members Ronald Feldman, Robert Pesavento, Michael Markman, and Greg Diehl. Also present were Jonathan Bleemer, Finance Director; Tom Panzer, Solicitor representing the Municipal Authority; Jack Smyth and Ronald Wagenmann of Boles Smyth. Commissioner Liz Ferry, Township Economic Development Specialist, Graham Copeland, and Glenn Griffin, Planning Commission member were among those in the audience. MA member Robert Danaher was not present. Mr. Bleemer: We have with us today representatives of the Delaware Valley Regional Finance Authority (DVRFA) Lucian Calhoun and Jeff Calhoun. Mr. Calhoun: The resolution you are considering today would authorize the issuance of a guaranteed revenue note to the DVRFA and execution of a guarantee agreement with the MA, DVRFA and Upper Dublin Township. The Township would also have to take similar action to authorize the execution of the guarantee agreement. That guarantee that will constitute lease rental debt under the Local Government Unit Debt Act will have to be approved by the Department of Community and Economic Development. Mr. Bleemer: The Township Board of Commissioners will consider this next Tuesday night. Mr. Calhoun: We are very pleased that the MA has chosen the DVRFA as its instrument to complete the financing. 2 5

6 Mr. Bleemer: Why does page six of the proposal show a maximum interest rate of 15%? Mr. Calhoun: All of the loans from DVRFA are approved as variable rate transactions. Although the MA plans is requesting a fixed rate, you could request the fixed rate back to a variable rate at a later date. Under the terms of the Local Government Unit Debt Act the lease rental debt has to be approved at the highest possible interest rate. However, the fixed rate can be set as soon as the Township authorizes its guaranty. Therefore, the day after the Township passes the ordinance the rate can be fixed. Mr. Bleemer: That is the same process that the Township goes through. The current rate is 2.7 or 2.6%. Mr. Markman: What was the reason for the decision to go through DVRFA? Mr. Bleemer: Cost and speed. Mr. Markman: Is the Township going for other financing with DVRFA? Mr. Bleemer: No this is independent. Mr. Calhoun: The advantage of DVRFA is cost which is less than half of a bond deal. The interest rate has averaged 0.6% lower than a bond deal. Any Township or Authority would have the same interest rate regardless of their rating. Mr. Feldman: In November the Township borrowed at 2.5%. Mr. Feldman motioned with Mr. Markman seconding to approve Resolution MA to borrow a $6 Million bond issue through DVRFA. Tab 8 DISCUSSION ITEMS VOTE ON MOTION 4-0 YES MOTION CARRIED a. Pre-assessment Correspondence to Property Owners Mr. Copeland: Mr. Danaher wanted a change to the pre-assessment brochure with the bottom line shown at the top of the notice noting that it will involve an assessment and a square foot cost estimate. Mr. Pesavento: We are assessing by property's assessed value. Mr. Bleemer can provide estimates for inclusion in the brochure. Mr. Copeland: Page 2 shows an aggregate. Mr. Diehl: State the total amount and the assessment per 1,000 sq. ft. 3 6

7 Mr. Bleemer: Do we want a lower assessment since this year bond repayment is lower or have a level assessment? Mr. Markman: It should be level so property owners have a consistent, stable annual assessment amount. Mr. Feldman: The brochure should reference the MA website for more information. Mr. Bleemer: Are tax exempt properties going to be assessed? Mr. Pesavento: Yes, because this is not a tax. Mr. Feldman: Yes the Township, School District and Churches in the Authority area should be assessed. Mr. Diehl: This brochure gives a full grasp of what is happening. Mr. Copeland: Will this be a signed document? Mr. Pesavento: Yes, I will provide an electronic version of my signature. Send us an update for more comments? How many total property owners are being mailed the brochure? Mr. Copeland: 123 in the office park proper, plus a few properties in the MA area that are not in the office park, but adjacent. Mr. Feldman: We should this to the business owners as well. Mr. Copeland: I have those s and can send it to them. Mr. Bleemer: This would go out the end of the month and then schedule the assessment for around March 15, Tab 10 NEW BUSINESS Mr. Pesavento: Jack can you give us an update on current projects? Mr. Smyth: The construction for the Virginia Drive Road Diet and Trail is affected by the weather, but is on schedule for the first segment of Cross County Trail to be completed in May. The other projects are moving through design. The final segment of the trail which extends the trail currently under construction from 1100 Virginia to Susquehanna Road is advancing through the PennDOT process and final design and should be going out to bid through PennDOT in the late summer. 4 7

8 At the Commerce Drive end we are working with AECOM, PennDOT s representative to phase the Fort Washington Cross County Trail & Road Diet project and the Zip Ramp project. Phase 1 is proposed for construction of local Commerce Drive from the PA 309 overpass to Delaware Drive and includes the new signalized intersection and the shared LifeTime Fitness/Tru-Mark Financial drive. Phase 2 would be the zip ramp construction and Phase 3 would be the remainder of Commerce Drive construction along with Bodenstein Channel work. The full culvert replacement of Bodenstein Channel is still under consideration for the project. The meeting with Tru-Mark will need to be rescheduled for coordination. The next project is the Delaware Drive section and now that the project has been awarded grants for $1.2 Million total from the CFA Multimodal Transportation Fund (MTF) and $250,000 from PA DCNR, the next step is the authority's consideration for design Boles, Smyth would like to submit a proposal at next month s meeting. Mr. Feldman: Does the grant awards take us further than the planned $6 Million? Mr. Smyth: Yes this does take us further. The Priority 1 project funding for this project accounted for last year's CFA MTF award of $400k but not the additional grant awards received this year for $1.05 Million. Mr. Pesavento: Make sure that Graham has the most up to date information on the grants for the brochure. Mr. Pesavento: When is the annual audit? Mr. Bleemer: The end of February. Mr. Copeland: Are the grants reimbursement or paid up front? Mr. Smyth: Some are strictly reimbursement, but others divide it in partial payments. It depends on the grant. Mr. Pesavento: Anything new on the Dresher Triangle pavement marking? Mr. Smyth: We submitted a grant for the Critical Connections portion of the Limekiln Pike project. In talking to DVRPC and PennDOT adding the pavement marking was too much of an ask. From a grant perspective, there have not been any applications yet specific to the Dresher Triangle. Now that the middle section of the road diet and trail is funded, the focus could now shift to getting the Cross County Trail through the Dresher Triangle along Virginia Drive and Dreshertown Road out to Welsh Road. The first step may be to go for a planning grant to make sure the County is on board with the placement of the trail along Dreshertown Road to connect with the Promenade Trail system. 5 8

9 Mr. Markman: That might be good for a Local Share Account grant, which is funded through casino revenue. Mr. Smyth: There are two small bridges on Dreshertown Road that need to be considered and one is posted for weight limits. That would be part of the overall analysis. The widening would need to be incorporated. Mr. Markman: Next month can you give us a list of the next grants we should be looking at? Mr. Smyth: Yes. Mr. Markman: After the bond money is received, are we paying back the Township and then investing the balance and do we authorize that next month? 15 Fort Washington Office Park Modernization Program Update Dear Property Owner, February 2018 We value the commitment that you have made to our community, with your ownership in the Fort Washington Office Park. This communication to all property owners in and around the Office Park provides an update on the infrastructure improvements done to date, those coming in the future, and the financing of their costs. As you likely have seen, Upper Dublin Township is now in the midst of an ambitious, multifaceted revitalization plan - designed to improve the physical conditions of this 60-year-old business park, reverse the economic decline and enhance its position in a competitive market. This ongoing initiative includes major infrastructure improvements, transportation planning and a pending new mixed-use zoning ordinance. As a result, property values and rental incomes are expected to increase. All of the completed projects and those in progress have been funded exclusively by grants and Upper Dublin Township s general fund. Future projects will require cost sharing, with financial participation from property owners. The newly-created Upper Dublin Municipal Authority has approved a bond issue for $6,000,000 to augment additional grants and Township funding. The annual debt service for this bond and operating expenses will be paid by an annual assessment levied on all properties except single family residential, within the authorized boundaries (see map on p. 5). The annual assessment will amount to $555,000 per year. This translates to approximately $0.106/ building sf/year. The bond amount represents approximately 15.5% of the total that has been invested and will be spent on the improvements over the next four years. Annual assessment charges per property are computed on a pro-rata basis - by multiplying that portion of the district s annual budget attributed to assessments ($555,000) by a ratio of the assessed value of your property to the total assessed valuation of all the properties except single family residential in the district (2018 total = $ ). The operating expense budget is available online at Following numerous planning studies, the Township Commissioners first major action was to authorize the construction of two massive dry dams directly upstream from the Office Park, completed in 2013, 15

16 Fort Washington Office Park Modernization Program Update to address the historic flooding (a $14.8 million project, funded 78% by state grants). Additional stormwater mitigation projects downstream followed, including the recent replacement of two structurally deficient bridges on Virginia Drive and a culvert. Groundbreaking occurred in September 2017 for the construction of a road diet and a section of the Cross County Trail, which will ultimately connect the office park to the SEPTA train station, to address the Last Mile Commuter Challenge. Phase 1 Costs - Fort Washington Office Park Improvement Projects In September 2016, Upper Dublin Township Commissioners authorized the formation of a new General Municipal Authority, to manage the ongoing office park improvement program. This public agency filled a void created over time by the office park s fragmented ownership base and the lack of centralized property management. The Municipal Authority now meets monthly to oversee the planning, design and financing of the Park s improvement projects. These meetings are open to the public and held on the first Friday of every month, 7:30 am, at the Upper Dublin Township Building, 801 Loch Alsh Avenue, Fort Washington, PA. Minutes and video recordings of all meetings are posted on the Township website, With civil engineering support, the Municipal Authority has developed a priority list for transportation and infrastructure projects (copy included below). At its January 2018 meeting, the Municipal Authority authorized the issuance of a $6 million bond to finance the continuation of this improvement project work. To meet this financial obligation, the Municipal Authority is now introducing a necessary costsharing requirement for all properties within the Municipal Authority s boundaries. This March, the first annual assessment will be levied on all properties except single family residential, based on their assessed values (land and improvements). The annual assessment of $555,000 per year represents just 15.5% of the estimated total Phase 1 project costs + operating expenses over the 25-year bond term, while the balance will continue to be funded by state and county grants. 16 Page 2

18 Fort Washington Office Park Modernization Program Update To date, the business community s response to the Township s modernization program has been overwhelmingly positive. Real estate developers and investors have expressed considerable interest and confidence, supported by a surge of new tenants. According to a JLL Research report, the 2017 YTD leasing volume in Fort Washington Office Park exceeded all other submarkets in the Philadelphia region. As occupancy rates continue to decline and rents increase, ultimately property values are expected to climb as well. 18 Page 4

19 Fort Washington Office Park Modernization Program Update Property owners are also expected to benefit from three additional new initiatives. First, to further stimulate the intended changes, a new mixed-use zoning ordinance is now being drafted, according to the latest Smart Growth planning principles. The new zoning will allow multifamily residential and retail development, embracing the Live Work Play approach to the changing mix in today s suburban office parks. Secondly, Upper Dublin Township has made a further commitment to improve the usability of the Office Park by acquiring 520 Virginia Drive where the public library will be relocated. This property will provide Office Park businesses and their employees easy access to township activities and resources. This former pharma corporate facility features a 300-seat auditorium, presenting exciting opportunities to serve the community. The Township is now planning for various uses in this building and is engaging the public in the planning process. And finally, to proactively address the issues of traffic congestion, environmental impact and air quality at our local level, Upper Dublin commissioned a Transportation Demand Management study, the first of its kind in the region. This TDM plan analyzed office park employees commute patterns and modes, and recommended new policies and practices. This initiative is designed to be used by businesses to attract and retain their valued employees, and by extension landlords can use this to attract and retain tenants in their properties.
