5 1 Introduction The Personal Property Securities Register (PPSR or the Register) allows lenders and businesses to register security interests. Secured parties, buyers and other interested parties can search the PPSR to find out if a security interest is registered over the personal property recorded on this register. From the Confirm Main Menu, under Corporate and Individual Searches, select PPSR Personal Properties Security Register. The ESIS for PPSR Home screen will be displayed. The Home screen is the main page where you can perform your PPSR transactions. You can Create New or View Existing registrations and searches as well as generate reports. 5 of 53

6 Menu bar: Drop-down lists of the functions that will allow you to process and manage your PPSR transactions. This includes Search, Registrations and Reports. The availability of functions depends on the access assigned for your Account code. Search Only users can only see the Search menu bar, PPSR Search and Search Grid buttons. Create New: Quick access buttons for creating a new Registration and searching PPSR. View Existing: Quick access buttons for viewing existing registrations, completed searches and reporting. PPSR Availability: Check which PPSR services are available, as indicated by the green colour. Red indicates a PPSR service is offline. Refresh: This button updates the current status and contents of PPSR. Note: By default, all users will be given access to the PPSR Search functions only. 7 2 Searching PPSR Search allows users to search the PPSR database. Search options available are: Grantor Organisation Grantor Individual Motor Vehicle PPSR Number Serial Number Bulk Search Files 2.1 Search by Grantor If a person or organisation is applying for credit, a search by grantor can be used to check if there is an existing security interest against the person/organisation. A grantor search can also be done to determine which organisation/s has a security interest registered against you Grantor Organisation search Grantor Search by Organisation allows you to search for security interests registered against an organisation that may have been registered using a variety of identifiers. Multiple searches of the Register can be conducted at once; each search is charged separately. Searching against multiple criteria enables you to do a more thorough search of migrated registrations. A Grantor Search by Organisation can be done using ABN, ACN, Verified Name, Search Name, ARBN or ARSN. 7 of 53

8 To conduct your search: a) Enter your reference in the Reference field for all search types this will appear in the Confirm Inbox and on your Usage report to assist in identifying transactions. i. Enter the search criteria, and select Verify to check the details against ASIC and the ABR database. This information will pre-populate into the appropriate fields. ii. Select the check boxes next to each identifier to conduct a search using that information. b) The Description may be used to record information related to the search. c) You can also conduct multiple searches using different associated identifiers by manually entering the information into the fields: i. Select the check boxes next to each identifier to conduct a search using that information. d) If you would like to retrieve all search certificates automatically with your search results, by default the checkbox is selected to Auto Retrieve Certificates. e) You also have the option to include a search filter to narrow your search to a specific collateral type or date range. f) Once you have completed the fields, click Search to search on the PPSR for the criteria selected. Note: A search of the PPSR will be conducted for each field selected. You will be charged a search fee for each criterion selected. To view and download your search results: g) The Search Results grid will display the searches. You can view and sort all the results found. To view the details of a registration, click on the required result row to display the details in the Preview section of the screen. 8 of 53

9 h) To view the PPSR Search Certificate for a result, click on the link at the top of the Preview section, the Search Certificate will open in PDF format. i) If there are multiple search results, click Request All Certificates or Download All Certificates to have all results downloaded into one ZIP file. The buttons displayed depends on whether the Auto Retrieve Certificates option was selected when the search was conducted. j) To view a Search Summary in PDF format, click Print. k) To view the results in an Excel format, click Extract. l) Filter, at the top right of the Search Results grid, enables you to filter the search results by several criteria including date range, collateral class, PMSI, migrated and transitional, inventory and security interest only. Clear (next to Filter) clears the filter settings. m) On the PPSR tab additional search details are provided, such as Search Number, Search Date and Expiry, Results Count, Status and Verification. 9 of 53

10 2.1.2 Grantor Individual search The Grantor Search by Individual is based on the individual grantor's name and date of birth. The search will only return exact matches on the name searched; therefore, multiple searches may be required to search name variations. If the individual Grantor is also registered with an ABN (for example Sole Traders), you can instead use an ABN for your search. To conduct your search: a) Enter the Given Names, Family Name and Date of Birth for each name to be searched. Up to 3 Names may be searched at once. An ABN can also be searched on, and the Verify button can be used to check the ABN before proceeding with the search. b) Once you have completed the fields, click Search to search on the PPSR for the criteria selected. c) If many search results are returned, use the Collateral and Date Range filters to refine your results. d) To view and download your results, follow the steps h-m in above Search by Motor Vehicle The search by motor vehicle allows you to search for any security interests registered against a motor vehicle. The search identifiers that can be used are VIN, chassis or manufacturer s number. PPSR has an interface with NEVDIS (National Exchange of Vehicle and Driver Information System) which provides additional information on motor vehicles when registrations and searches are undertaken. a) On the menu bar, click Search>Search by Motor Vehicle. The MV Search (NEW) screen will display. 10 of 53

11 b) Enter your Reference, and then enter the serial number that you would like to search. Note: You do not need to fill out all the serial number fields. Each search criterion will be treated as a separate search, and you will be charged for each serial number entered. c) Click Search to commence the search on PPSR. The Search Results pane will display the searched vehicles registered on PPSR, while the Preview tab displays the registration details of the selected result on the grid. d) To view and download your results, follow the steps h-m in above Search by PPSR Number The Search by PPSR Number allows you to search PPSR for a specific registration number. To conduct your search: a) On the menu bar click Search>Search by PPSR Number. The Reg Num Search (NEW) screen will display. 11 of 53

12 b) Enter your Reference, then enter the PPSR Registration Number. c) Click Search to commence the search on PPSR. The Search Results pane will display the search registration on PPSR, while the Preview tab displays the registration details of the selected result on the grid. d) To view and download your results, follow the steps h-m in above Search by Serial Number Aside from a motor vehicle, you can also search for other registered security interests by serial number such as aircraft, watercraft, patents, trademarks, plant breeder s right and design. To conduct a) On the menu bar click Search>Search by Serial Number. The Serial Num Search (NEW) screen will display. b) Enter your Reference and select a serial number type from the dropdown menu. c) Enter the serial number then click Search to commence the search on PPSR. d) The Search Results pane will display the search serial number registered on PPSR, while the Preview tab displays the registration details of the selected result on the grid. To view and download your results: 12 of 53

13 f) If there are multiple search results, click Request All Certificates or Download All Certificates to have all results downloaded into one ZIP file. (the button displayed depends on whether the Auto Retrieve Certificates option was selected when the search was conducted). g) To view a Search Summary in PDF format, click Print. h) To view the results in an Excel format, click Extract. 13 of 53

14 2.1.6 Bulk Search The Bulk Search function allows you to upload a ZIP file containing a prepared spreadsheet in a comma delimited (CSV) format. This search option is useful for conducting many searches at once. Note: To request a copy of the Bulk Search template, contact the Confirm Service Centre on or via at confirm@citec.com.au. a) On the menu bar click on Search>Bulk Search Files Grid. The Bulk Search Files screen will display. b) Click Upload, The Upload Bulk Search File window will display. c) Enter a Description d) Either drag the bulk search file and drop it into the bulk search file box, or you can click in the box to browse and select the required file. e) Click Upload to commence the bulk search. 14 of 53

15 f) You can view and download your results from the Bulk Search Files Grid. g) To access the search results for the uploaded file, click on the Esis ID link. h) To view the results in an Excel format, click Download Extract Report. i) To download a copy of the original uploaded file, click Download uploaded file. 15 of 53

16 2.1.7 Search Grid The search grid is where you can view the results of all your searches in a table-like format. You can find your search results by search criteria including All, Esis ID, Criteria and Reference. a) Enter a search field, then click on the search icon to begin the search. b) The Search Type Filter can be used to filter the grid by Registration Number, Grantor or Serialised. All displays everything regardless of the search type. The search grid can be sorted in ascending or descending order by clicking on the column heading. c) The Search Criteria and Search Results tabs provide additional information about a selected search result. 16 of 53

17 3 Registrations Registration of security interests protects you against the grantor s insolvency and helps to preserve your priority position against other lenders or suppliers. There are 3 options for registering your interests using our PPSR solution; via Registration Express, via the Registration Wizard or via a Bulk Upload. Before you can register any security interests, you will need to create a Secured Party Group. Note: By default, all users will be given access to the PPSR Search functions only. To arrange access to the Registrations functions please contact the Confirm Service Centre on or confirm@citec.com.au. 3.1 Secured Party Groups A secured party is a person or entity that holds a security interest in personal property. A Secured Party Group (SPG) is made up of one or more secured parties that can be a combination of organisations and individuals. Every secured party must be part of an SPG and cannot exist separately on the register. The concept of SPGs has been created for the sole purpose of registering on the PPSR. A new SPG can be created for secured parties if one does not exist, or to change the membership (i.e. add or remove parties) of an existing SPG. All new SPGs are allocated a unique SPG Number that is used to identify the group, and an access code that is used to authorise users to view and/or amend the Secured Party Group details. If there is more than one Secured Party in the group, each party uses the same SPG Number and access code. Secured Party Groups Functions: SPG can search and retrieve all registrations recorded for that SPG SPG can change their address for service for all registrations for that SPG Access their registrations when working within the secured party workbench without having to specify the individual registration tokens Existing registrations can be transferred from one SPG to another SPG. SPGs can be created, amended and retrieved on/from PPSR. Most organisations have only a single SPG setup. However, if you are processing transactions on behalf of a number of organisations, you can choose to have all your SPGs listed within our PPSR solution. 17 of 53

18 3.1.1 The Secured Party Group Grid a) On the menu bar click Registration>Secured Party Group Grid. The Secured Party Groups screen will display. b) If you have multiple SPGs, you can use the Search function to find and filter the SPGs within the grid. Select one of the following search criteria then click on the search icon to search for the SPG: All (default) Secured Party Group Secured Party c) The SPG Status Filter will filter the grid by the SPG s status: Under Review, Delegate, Pending, Error, Registered. All displays everything regardless of the status. d) The grid can be sorted in ascending or descending order by clicking on the column heading. e) The Secured Parties tab displays the Secured Party/Parties associated with the currently selected SPG showing the secured party name, type and organisation number. f) Convert to Delegate enables you to convert a full SPG to a delegate. g) Transfer enables you to transfer a selected SPG from the current business entity to another business entity. h) Click the SPG s ESIS ID link to view the Secured Party Group and Secured Party details. 18 of 53

19 3.1.2 Create a new Secured Party Group a) On the menu bar click Registration>Create Secured Party Group. The SPG Wizard (NEW) screen will display. b) Select the type of SPG required. Select Create a New Standard Secured Party Group to create a new SPG for registration on the PPSR. Select Create a Delegate Secured Party Group if you are registering security interests on behalf of a SPG. A delegate SPG will allow you to register a security interest using a SPG that has been created outside of the PPSR solution. c) Enter the name for the Secured Party Group and click Next to proceed to the next tab. d) Enter the Mailing Address. If the SPG has the same address for both Mailing and Physical Address then click Copy from Mailing Address to populate the details, then click Next. e) Enter the new Secured Party details. The address and mailing address will be prefilled form the previous tab. f) Use Verify to validate the organisation number against the ASIC or ABR databases. Note: If you ve entered and verified an ABN that has a valid ACN, the company information will be displayed and will fill the Organisation Number field with the ACN. g) Click Add. The Secured Parties information will display. Click Edit to make any changes, and then Next. Note: If you want to check any of the details before submitting the SPG to PPSR, click Save and then you can close the screen. The saved partially completed SPG will be available from the Secured Party Group grid, on the Under Review tab. h) Review the Secured Party Group Details. Once you are satisfied that all the information is correct, click Submit. The SPG Wizard NEW screen will automatically close. 19 of 53

20 3.1.3 Amend or View Details of a Secured Party Group a) From the Secured Party Groups grid, select the SPG to be amended by clicking on the link under Esis ID. The Secured Party Group details will display. b) Click Amend, then OK to continue. Then click Edit and select the fields to edit. Once the changes have been made, click Submit. The SPG s status will change to Pending, and then to Confirmed Registration Grid The Registration Grid is where you can find all existing registrations, discharges, due to expire registrations and newly created unsubmitted registrations. The tabs below the grid show the preview, PPSR details and grantor details. a) You can find your search results from the search grid by selecting from one of the available search criteria. Enter the search detail, then click on the search icon to begin the search. b) The Status Filter will enable you to filter the grid by registration status: Under Review, Pending, Registered, Discharged/Expired, Due to Expire, Alert. All displays everything regardless of the status. c) The grid can be sorted in ascending or descending order by clicking on the column heading. d) The Registration Details tabs provides additional information about a selected registration on the grid. e) To print the verification statement for the currently selected registration, click Print Verification. f) Delete All allows you to delete any unfinished registrations. 20 of 53

21 3.1.5 Creating a Registration using Registration Express Registration of a new security interest is faster using the Registration Express function. To use the Express option, you will need to have Contract Types set-up. Refer to section 3.2 Contract Types for details on setting up Contract Types. Once Contract Types are ready, on a single screen you can then select the SPG, Giving of Notice Identifier, Trading Name, collateral using a contract type, grantor, category and the User Defined Fields (UDFs), then click Submit to submit the registration to PPSR. Note: User Defined Fields (UDFs) are used to add information specific to the client to the registration. There are two ways to initiate a registration using the Express option. From the menu bar click Registration>Create Registration Express, or, from the Create New menu click Express Registration. The Registration Express (NEW) screen will display. a) If you have multiple SPGs set-up, ensure that the correct one is selected from the droplist. b) Enter the Giving of Notice Identifier (GONI). c) Enter a Trading Name. d) Select the Collateral Type. Commercial is the default. e) Select the Contract Type from the droplist, then click Add. The selected collateral will display on the right section of the screen. f) Choose the Grantor Type; Organisation is the default. 21 of 53

22 g) For an Organisation enter the Organisation Number. h) Click Verify. The Organisation number will be checked against the ASIC and ABR databases. The status will be displayed in the Company Information window. The Number Type and Name will be prefilled. Note: As per the PPSA, if an organisation has both an ABN and ACN you need to register by the ACN. i) Enter a Customer Reference. j) Click Add. The details entered will be displayed on the right section of the screen. k) For an Individual Grantor enter the Given Name/s and Surname and Date of Birth. l) If you have categories set-up, then select a category from the droplist. m) The Client UDF fields can be used to record additional information about the registration. Note: Details entered in the field Client UDF 1 will be recorded as the reference for this transaction in your Confirm usage reports. n) If you need to amend the selected Grantor and/or Collateral, click X to remove, and then repeat the selection process. o) Once all information has been entered, click Submit to send the registration to PPSR. The Registrations Grid will display the status of the registration. The status of Confirmed means that the registration has been completed and is now recorded on PPSR Creating a Registration using the Registration Wizard The Registration Wizard is different from the Express Registration in that no Contract Types are required to be set-up. However, if you do have Contract Types they can be used. There are two ways to initiate a registration using the Wizard. From the menu bar, click Registration>Create Registration Wizard, or, from the Create New menu click Registration Wizard. 22 of 53

23 The Registration Wizard (NEW) screen will open on the Details tab: a) If you have multiple SPGs set-up, ensure that the correct one is selected from the droplist. b) Enter the Giving of Notice Identifier (GONI). c) Enter a Trading Name. d) Move to the Collateral tab. You can either create a new Collateral item, or use an existing Contract Type to prefill defined fields. Next, click OK. 23 of 53

24 e) Confirm the Collateral details, then click Add. Click Next to move to the Grantor tab. f) Select the Grantor type, Organisation is the default. g) For an Organisation, enter the Organisation number and click Verify. h) The Organisation number will be checked against the ASIC and ABR databases. The status will be displayed in the Company Information window. The Number Type and Name will be prefilled. i) Enter a Customer Reference. j) Click Add. The details entered will be displayed on the right section of the screen. k) For an Individual Grantor enter the Given Name/s and Surname and Date of Birth. l) If you have categories set-up, then select a category from the droplist. m) The Client UDF fields can be used to record additional information about the registration. Note: Details entered in the field Client UDF 1 will be recorded as the reference for this transaction in your Confirm usage reports. p) On the Review page, check that all the details entered are correct, then click Submit to send the registration to PPSR. q) The Registrations Grid will display the status of the registration. The status of Confirmed means that the registration has been completed and is recorded on PPSR Amending a Registration Refer to Appendix 1: Amendments to registrations for a breakdown of the elements of a PPSR registration that may/may not be amended. a) To find the Registration to be amended, go to the Registrations Grid and click on either the Registered or All status buttons. b) Choose a search option from the droplist; either All, Registration Number, or Giving of Notice Identifier, then enter the detail and click the search icon to search for the registration. c) The matching registration will be displayed in the grid. Click the Esis ID link to display the Registration details. 24 of 53

25 d) Click Amend, then OK to continue. e) Make the amendments, then click OK to proceed. f) Click Submit to complete the amendment. Note: If the amendment was saved, and not submitted then the Registration will sit in Under Review. If you then decide to cancel the amendment and revert to the registration s previous state, click Sync to PPSR Renewing a Registration Extending a current registration s expiry date can be done using the renew function. If a registration has expired, then it cannot be renewed. a) Locate the required registration and click Amend, then OK to continue. b) Click Renew, the Renew Expiry Date window will display. Enter the new Expiry date, or, the number of years to extend it from today. There is also an option to change it to No Duration. c) Click Submit to complete the renewal. 25 of 53

26 3.1.9 Discharging a Registration a) To find the Registration to be discharged, go to the Registrations Grid and click on either the Registered or All status buttons. b) Choose a search option from the droplist; either All or Registration Number. c) Enter the registration number and click the search icon (magnifier) to search for the registration. d) The matching registration will be displayed in the grid. Click the ESIS ID link to display the Registration details. e) Click Discharge and then click OK to proceed. Once the discharge has been confirmed the registration will be visible in the Discharged/Expired grid Bulk Load: Registration, Amendment and Discharge The Bulk Registration function allows you to upload a ZIP file containing prepared spreadsheet in a comma delimited (CSV) format. This option is useful for conducting many registrations, discharges or amendments. Note: To request a copy of the Bulk registration file template, contact the Confirm Service Centre on or via at confirm@citec.com.au. a) On the menu bar click Registration>Bulk Registration Files Grid. The Bulk Registration Files screen will display. b) Click Upload. The Upload Bulk Registration File window is displayed. 26 of 53

27 c) Choose the file type, registration is the default, and enter a Description. d) Either drag the bulk registration file and drop it into the bulk registration file box, or, click in the box to browse and select the required file. e) Click Upload to commence the bulk processing. f) The Exception tab displays any issues by line number and the error. You can also delete any failed uploads. g) To view the registration details of the bulk upload in Excel format, click Download Extract Report. 3.2 Contract Types Contract Types are predetermined collateral profiles or defaults that can be selected when doing new registrations, through the Registration functions or via the Bulk Registration upload. Contract Types enable default collateral details to be stored so that you only need to select a contract type code when creating registrations. By creating Contract Types upfront, you can streamline your internal workflow and minimise repetitive data entry. Where more than one security interest is to be registered, Contract Types provide an efficient way of grouping these interests in one transaction, rather than needing to create registrations one at a time. Contract Types are also useful for reducing the likelihood of data entry errors that could invalidate a security How to create a contract type a) On the menu bar, click on Administration>Contract Types, and click Add. The Contract Type (NEW) screen will display. 27 of 53

28 b) Enter a Code for the Contract Type, for example OG for Other Goods, OGi for Other Goods Inventory. c) Enter a Title, for example Other Goods. d) Enter an optional Description, then select the Collateral Type (Commercial or Consumer). e) Click Add Collateral, the Select Collateral window will display. 28 of 53

29 f) Select the collateral class and whether it is serialised then click OK, the Select Collateral window will close. 29 of 53

30 g) Add and/or edit the details for contract type and associated collateral, then Click Save to complete the set-up of the new Contract Type Viewing Contract Types Existing contract types can be viewed on the Contract Types grid. a) On the menu bar, click on Administration>Contract Types. The Contract Types screen will display. b) To view the details of a Contract Type, select the relevant item in the grid and the details will be displayed. 30 of 53

31 3.3 Reports The reporting functions are useful to understand or audit the security interests that are currently registered, discharged or due to expire. These reports can be downloaded in Excel format and can be generated for your Account code (called Entity here), or by Secured Party Groups. a) Click Reports from the menu bar or View Existing. b) Select the report required from the Reports List. c) If you have multiple Secured Party Groups set-up, the Reports by Entity option is recommended, as the reports will generate all registrations from all your SPGs. If you need to generate the report by SPG, then the Registrations by Secured Party Group is recommended, and select the SPG required from the droplist. d) Enter a date range in format dd/mm/yyyy, or use the date picker. e) In the Status filter, select from the droplist (Registration, Discharged, Due to Expire) f) Click Download Excel Report to generate the report Grantor search comparison The Grantor search comparison is used to compare two searches conducted and will generate the following: Show any new registrations not in the original search Registrations in the first search no longer in the second discharges. 31 of 53

32 4 Glossary The following information is sourced from the PPSR Glossary provided by Australian Financial Security Authority. To view the glossary online, go to A ABN (Australian Business Number) The ABN is a unique 11-digit identifier issued to all entities registered in the Australian Business Register (ABR). It is used when dealing with government agencies (including the Australian Taxation Office) and other businesses. An ABN can have a status of active or cancelled. A status of cancelled means the business has ceased trading. If an entity with an ABN has an associated ACN, ARBN or ARSN you can search ABN Lookup using that ACN, ARBN or ARSN. See the Australian Business Register website for more information about ABNs. access code When you create a secured party group (SPG), you will be given a secured party group number and an access code which acts as a password. This information will be ed to the person who is nominated during set-up of the SPG. This code can be changed (see example below). An SPG access code is a unique 12-character alphanumeric identifier. Any user who has the SPG number and access code can make changes to a registration (to view, modify and discharge), and access the SPG's workbench so it should only be provided to authorised users. Example: AccessCode1@ If you change your code it must: Not contain space characters Be 12 characters long Have at least one uppercase character Have at least one lowercase character Have at least one numeric character Have at least one of the following special characters: ]~@#^:;<>,.[() \"`*$-+?_&=!%{}/ ACN (Australian Company Number) An Australian Company Number (usually shortened to ACN) is a unique nine-character number issued by the Australian Securities and Investments Commission (ASIC) to every company registered under the Commonwealth Corporations Act 2001 as an identifier. The number is usually printed in three groups of three digits, for example If an entity with an ACN has an associated ABN, ARBN or ARSN you can search ABN Lookup using that ABN, ARBN or ARSN. See the Australian Securities and Investments Commission website for more information about the ACN. agriculture As a collateral class, includes crops and livestock. 32 of 53

33 aircraft As a collateral class, includes: a machine or craft that can travel in the air and has a nationality and registration mark an aircraft engine an airframe, or a helicopter. aircraft engine Aircraft engine means engines (other than those used in military, customs or police services), powered by jet propulsion or turbine or piston technology, and: in the case of jet propulsion aircraft engines, have at least 1750 lb. of thrust or its equivalent, and in the case of turbine-powered or piston-powered aircraft engines, have at least 550 rated take-off shaft horsepower or its equivalent, together with all modules and other installed, incorporated or attached accessories, parts and equipment. See definition of aircraft engine' in the PPS Regulations. Aircraft that is further described as aircraft engine must be described by serial number in a registration. The serial number for aircraft engine comprise of: the engine's manufacturer's number; that is, the serial number attached to the engine by the manufacturer the manufacturer's name, and the manufacturer's generic model description. airframe Airframe means airframe (other than those used in military, customs or police services) that, when appropriate aircraft engines are installed thereon, are certified by a competent aviation authority (in Australia, this is the Civil Aviation Safety Authority) to transport: at least eight (8) persons including crew, or goods in excess of 2750 kg, together with all modules and other installed, incorporated or attached accessories, parts and equipment and data manuals. 34 This type of collateral means all present and after-acquired property, except for an item or class of personal property stated in the registration as being exempt. Amendment demand A written demand (authorised by the Act) from a person with an interest in the collateral, requesting the secured party amend its registration by registering a financing change statement, which may terminate the registration or omit certain collateral. If the secured party does not amend the registration, the requestor may invoke a further procedure through the Registrar or the court. ARBN (Australian Registered Body Number) ARBNs are issued to registrable Australian bodies and foreign companies. The ARBN is a unique 9-digit identifier and no two bodies can have the same ARBN. If an entity with an ARBN has an associated ABN, ACN, or ARSN you can search ABN Lookup using that ABN, ACN or ARSN. Australian Business Register A register of information provided to the Australian Taxation Office by businesses and other entities when registering for an ABN. Publicly available information on entities with an ABN is available publicly from the ABN Lookup website. authorised search purpose The PPS Register can be searched using either: the serial number of the collateral (for example, the VIN of a motor vehicle), or the details of the grantor. Where a search is undertaken against an individual grantor, the PPS Act requires that the search must be undertaken by a person with an authorised purpose (as set out in section 172 of the PPS Act). 34 of 53

35 B bailment A situation where a person (the bailee) is voluntarily in possession of goods belonging to another (the bailor) and therefore it's wider than a lease, but is covered by 'PPS lease' for situations where the bailor is regularly engaged in bailment transactions, and where the bailee gives value for the bailment. For more information refer to the Leases and Bailment under the Personal Property Securities Act 2009 fact sheet. business day According to section 10 of the PPS Act, business day means a day other than: a Saturday or a Sunday; or a day which is a public holiday for the whole of: o any State; or o the Australian Capital Territory; or o the Northern Territory; or a day that falls between Christmas Day and New Year s Day; or a day on which the Registrar has refused access to the register, or otherwise suspended the operation of the register, in whole or in part (see subsection 147(5)); or a day that is prescribed by the regulations for the purposes of this definition. C change number A unique sequential number that is allocated for certain transactions relating to a registration, including creation, amendment or discharge. change type This is the type of change that generates a change number for a registration. For non-registration events this is the type of change performed on the register. chassis number The chassis number is a serial number used to identify a motor vehicle manufactured prior to It is made up of a series of numbers/letters that are attached or stamped on the vehicle's chassis by the vehicle manufacturer to identify the vehicle. chattel paper A writing which evidences both a monetary obligation and a security interest in, or lease of, specific goods; for example, a hire-purchase agreement. It would not include a negotiable instrument, an investment instrument, an investment entitlement or a document of title. Chicago Convention The Convention on International Civil Aviation signed on 7 December 1944 in Chicago. The Chicago Convention establishes rules on the allocation of nationality and registration marks for aircrafts. Under this Convention, Australia is assigned the nationality mark 'VH'. An example of a nationality and registration mark for an Australian aircraft is 'VH-WOV'. circuit layout Circuit layout refers to the original layout designs for integrated circuits and computer chips. Circuit layout rights are intangible personal property. 35 of 53

36 circulating asset For the purposes of Part 9.5, has the meaning given in section 340 of the PPS Act. collateral Personal property offered up as security for a debt or other obligation owed to sellers, financiers or other secured parties. Collateral is personal property that has a security interest attached to it and must be described when registering on the PPSR. collateral class Used to describe the personal property that is being used to secure payment or performance of an obligation. The PPSR separates collateral classes under four broad categories: Tangible property o Motor vehicles o Watercraft o Aircraft o Agriculture o Other goods General property o All present and after acquired property no exceptions o All present and after acquired property with exceptions Intangible property o Account o General intangible o Intellectual property Financial property o Chattel paper o Currency o Document of title o Intermediated security o Investment instrument o Negotiable instrument Each registration must only relate to a single collateral class. collateral description The description of the collateral being registered on the PPS Register. collateral registration A registration of a financing statement on the PPS Register. In addition to details about the collateral, the registration also includes: details about the grantor (where relevant), or secured party details about the address for service (address to which correspondence relating to the registration must be sent) giving of notice identifier (see 'giving of notice identifier'), and details about the security interest (for example, whether it is a purchase money security interest or whether it is subordinate to another interest). collateral registration identifier A unique identification number allocated by the system to a collateral registration at the time of registration. 36 of 53

37 commercial consignment A commercial consignment is a consignment that meets additional defined criteria under the PPS Act. It is deemed to be a security interest even if it doesn t meet the standard PPS Act definition of a security interest. A consignment is traditionally recognised as an arrangement where a person (the consignor) delivers their property to another person (the consignee) so they can sell that property on their behalf. A consignment is considered to be a commercial consignment if: 1. the consignor still keeps an interest in the goods that they have delivered to the consignee; and 2. they have delivered those goods for the purpose of sale, lease or other disposal; and 3. the consignor and the consignee both deal in those types of goods in their ordinary course of business. The two exceptions to this rule are consignments under which the goods are delivered to: 1. an auctioneer for the purpose of sale; or 2. a consignee, (for sale, lease or other disposal), if it is generally known to its creditors to be selling or leasing goods of others. An interest of this type may be a PMSI see PMSI. commercial property Personal property that is held in the course or furtherance, to any degree, of carrying on an enterprise. It does not include consumer property see 'consumer property'. See definition of 'commercial property' in section 10 of the PPS Act. conditions of use Every user of the PPS Register must agree and adhere to the conditions of use when using the PPS Register or data obtained from the PPS Register. consumer property Personal property held by an individual, and not for any use in a business with an ABN. See definition for 'consumer property' in section 10 of the PPS Act. control Control is one way of perfecting a security interest in controllable property. See definition for 'control' in section 10 of the PPS Act. copyright Copyright is a type of legal protection for ideas and information in certain forms. The most common forms are: writings, visual images, music and moving images. Copyright is intangible personal property. crops This refers to crops (whether matured or not and whether naturally grown or planted) that have not been harvested. Examples of crops include: the products of agriculture or aquaculture, if the products have not been harvested, and trees (but only if they are personal property), if the trees have not been harvested. currency Currency that is used as a medium of exchange in Australia or any other country. 37 of 53

38 D debtor A person, organisation, company of other entity who owes a debt. design Design relates to the features of shape, configuration, pattern or ornamentation which, when applied to a product, gives the product a unique appearance. Design is intangible personal property. discharged registration A registration that has passed its expiry date or has been removed from the PPS Register. duration The length of time of a registration from the start time to the end time. When you register a security interest, you will be asked to provide a duration for the registration. The duration categories are: Seven years or less More than seven years but less than 25 No stated end-time Registrations in respect to goods with a serial number, such as watercraft, are limited to a maximum of seven years in duration. E end date The end date of a registration. This is the date at which the registration expires. Expiry will occur at the last moment of the nominated end date (that is, at 23:59:59 on the end date). F financial property Financial Property is one of the four collateral class categories. It includes: chattel paper currency documents of title investment instruments negotiable instruments, and investment entitlements. financing change statement The data amending a registered financing statement. financing statement The data registered pursuant to an application for a registration. 39 giving of notice identifier (GONI) The giving of notice identifier is the reference number or text that is used to identify, or to provide more information, about the registration. As a secured party you can choose to enter a giving of notice identifier on a PPSR registration which identifies a record of the registration for your secured party. The giving of notice identifier, where it exists, must be included in correspondence to the secured party relating to that registration. goods Goods means tangible personal property, including: crops livestock wool extracted minerals, and satellites and other space objects but does not include financial property or an intermediated security. grantor An individual or an organisation who owns or has an interest in the personal property to which a security interest is attached. A grantor includes an individual or an organisation who receives goods under a commercial consignment, a lessee under a PPS lease, and a transferor of an account or chattel paper. grantor identification Grantor identification or identifier refers to the details that are used to identify the grantor in a registration. The rules for grantor identification are set out in the PPS Regulations. In brief, the Regulations provide that where the grantor is an individual, the identifiers are to be sourced from the documents in this order: the current driver's licence issued by an Australian state or territory proof of age card issued by an Australian state or territory Australian passport Australian visa passport from country grantor usually resides, or details on birth certificate. If the grantor is an organisation, different rules apply depending on whether the grantor is a body corporate, a partnership, trustee of a trust, or a body politic. See the PPS Regulations for more information on the grantor identification rules. H helicopter Helicopter means machines (other than those used in military, customs or police services) lifted by power-driven rotors and which are certified by a competent authority (in Australia this is the Civil Aviation Safety Authority) to transport: at least five persons including crew, or goods in excess of 450 kg. See definition of 'helicopter' in the Regulations. Aircraft that is further described as helicopter must be described by serial number in a registration. The serial number for helicopter comprises: 39 of 53

40 the helicopter's manufacturer's number; that is, the serial number attached to the helicopter by the manufacturer the manufacturer's name, and the manufacturer's generic model description. HIN (Hull Identification Number) A HIN is the nautical equivalent of the VIN (Vehicle Identification Number) on your car. Most Australian boats will have a HIN attached or stamped into the hull. This is usually a 14-character alphanumeric code containing letters and numbers that identify the country, manufacturer, serial number and date of manufacture. See definition of 'intellectual property' under section 10 of the PPS Act. interest In relation to personal property, includes a right in the personal property. interested party Any individual or business entity that is interested in a specific collateral registration and/or information held on the PPS Register. intermediated security The right of a person in whose name an intermediary maintains a security account over personal property. See definition of 'intermediated security' under section 15 of the PPS Act. inventory Personal property used in the ordinary course of business by an entity with an ABN, including: property held for sale, or lease property held to be provided under a contract for services property held as raw materials or as work in progress, and property used or consumed as materials.
