1 CONTRACT #C2624 CONTRACT AMENDMENT BETWEEN THE FLORIDA DEPARTMENT OF CORRECTIONS AND CANTEEN VENDING SERVICES This is an Amendment to the Contract between the Florida Department of Corrections ( Department ) and Canteen Vending Services ( Contractor ) to provide vending machines, vending products and related services at Visiting Parks in Region II. This Contract was formerly between the Department and Tampa Bay Vending, Inc. d/b/a Corporate Services Group, as Contractor. As of May 17, 2011, Tampa Bay Vending, Inc. d/b/a Corporate Services Group, assigned the Contract to Canteen Vending Services. As of May 17, 2011, Tampa Bay Vending, Inc. d/b/a Corporate Services Group, granted, bargained, sold, assigned, transferred and set over unto Canteen Vending Services, its successors and assigns all money thereafter to become due Tampa Bay Vending, Inc. d/b/a Corporate Services Group, under the Contract by execution of an Assignment and Assumption Agreement (the A&A Agreement) Attachment 6. The Department accepted the assignment by execution of Attachment 7. Whereas, Canteen Vending Services has accepted said assignment of the Contract and agrees to faithfully perform all obligations and assume all responsibilities to be performed by Tampa Bay Vending, Inc. d/b/a Corporate Services Group under the Contract that arise after May 17, 2011, according to its terms and conditions and the terms and conditions of the A&A Agreement. Whereas, this Amendment: Changes the identity and FEID number of the Contractor; Revises Section II., E., Contractor s Responsibilities, to add #11, Utilization of E-Verify; Revises Section IV., A., Departments Contract Manager; Revises Section IV., B., Department s Contract Administrator, first paragraph; Revises Section IV., C., Contractor s Representative; Revises Section VII., E., Sponsorship; Adds Attachment 6; and Adds Attachment 7. Original contract period: June 14, 2010 through June 8, 2013 In accordance with Section V., CONTRACT MODIFICATION; the following changes are hereby made: 1. In accordance with Section VII., N., Assignment, the Department consents to the assignment between Tampa Bay Vending d/b/a Corporate Services Group and Canteen Vending Services. Canteen Vending Services is hereafter substituted throughout the contract as Contractor as if so originally named. The Contractor s FEID number is Section II., E., 11. Utilization of E-Verify, is hereby added: Page 1 of 8

2 CONTRACT #C Utilization of E-Verify As required by State of Florida Executive Order Number , the Contractor identified in the Contract is required to utilize the U.S. Department of Homeland Security s E-Verify system to verify employment eligibility of: all persons employed during the contract term by the Contractor to perform employment duties within Florida; and all persons including subcontractors assigned by the Contractor to perform work pursuant to the Contract with the Department. ( 3. Section IV., A., Department s Contract Manager, is hereby revised to read: A. Serve as the liaison between the Department and the Contractor; 2. Verify receipt of deliverables from the Contractor; 3. Monitor the Contractor s progress; 4. Evaluate the Contractor's performance; 5. Direct the Contract Administrator to process all amendments, renewals and terminations of this Contract; 6. Review, verify, and approve invoices from the Contractor; and 7. Evaluate Contractor performance upon completion of the overall Contract. This evaluation will be placed on file and will be considered if the Contract is subsequently used as a reference in future procurements. The Contract Manager may delegate the following functions to the Local Contract Coordinator: 1. Verify receipt of deliverables from the Contractor; 2. Monitor the Contractor s performance; and 3. Review, verify, and approve invoices from the Contractor. The Local Contract Coordinator for this Contract will be: Page 2 of 8

8 DEPARTMENT OF CORRECTIONS ACCEPTANCE OF REQUEST TO ASSIGN CONTRACT CONTRACT #C2624 Attachment 7 Pursuant to the provisions of subsection VII., O., Assignment, of Contract #C2624 originally entered into between the State of Florida, Department of Corrections (the Department ) and Tampa Bay Vending, Inc. d/b/a Corporate Services Group, for operation of Visitors Park Vending Services in Region II, Tampa Bay Vending, Inc. d/b/a Corporate Services Group, has submitted a formal written request to assign all of its rights and interests, and future duties and responsibilities under the Contract to Canteen Vending Services. In support of such request, Tampa Bay Vending, Inc. d/b/a Corporate Services Group. and Canteen Vending Services, have executed a formal Assignment and Assumption Agreement, dated as May 17, 2011 and have provided a copy of same to the undersigned Contract Manager and to the Contract Administrator. The Department herein accepts the request to assign Contract #C2624 and consents to the aforesaid Assignment and Assumption Agreement, subject to the following conditions: a) Canteen Vending Service has or shall have assumed operation of said Visitors Park Vending Services in Region II within thirty days of the date of signature below. Services shall comply with all conditions/terms of the Department s Contract and shall be in compliance with all applicable state and federal laws, rules and regulation governing the operation of the subject of Contract #C2624. b) As of the date of signature of this Acceptance document, Canteen Vending Services. shall be qualified to operate Visitors Park Vending Services in Region II as contemplated under Contract #C2624. c) Tampa Bay Vending, Inc. d/b/a Corporate Services Group. shall have or shall immediately cease any and all operation related to Contract #C2624 at the location(s) currently serviced by the Canteen Vending Services. Failure to comply with the above-stated conditions shall result in rescission of this Acceptance of Request to Assign Contract. In the event, the Department reserves the right to require Tampa Bay Vending, Inc. d/b/a Corporate Services Group to comply with the terms and conditions of Contract #C2624 or to take such other action as in provided for under the Contract, including termination.
