1 Case Document 490 Filed in TXSB on 01/12/17 Page 1 of 6 IN THE UNITED STATES BANKRUPTCY COURT FOR THE SOUTHERN DISTRICT OF TEXAS In re: ) Chapter 11 ) LINC USA GP, et al. 1 ) Case No (DRJ) ) Debtors. ) (Jointly Administered) ENTERED 01/10/2017 STIPULATION AND AGREED ORDER RESOLVING CLAIMS OF CALHOUN COUNTY APPRAISAL DISTRICT Upon the motion of the above captioned debtors and debtors in possession (the Debtors ) for approval of a stipulation and agreed order resolving the claims of Calhoun County Appraisal District (the Motion ), and the Debtors and Calhoun County Appraisal District ( Calhoun CAD ) having reached an agreement regarding the claims of Calhoun CAD, the Court has determined that the agreement should be approved as desibed herein. I. STIPULATION The Debtors and Calhoun CAD (the Parties ) stipulate as follows: A. On May 29, 2016 (the Petition Date ), each of the Debtors filed a voluntary petition for relief under chapter 11 of title 11 of the United States Code, 11 U.S.C (as amended, the Bankruptcy Code ), thereby commencing the Chapter 11 Cases. The Debtors continue to operate their businesses and manage their properties as debtors in possession pursuant to Bankruptcy Code sections 1107(a) and The Debtors in these chapter 11 cases, along with the last four digits of each Debtors federal tax identification number, are: Linc Energy Finance (USA), Inc. (6684); Linc USA GP (5234); Linc Energy Resources, Inc. (9613); Linc Gulf Coast Petroleum, Inc. (6790); Linc Energy Petroleum (Louisiana), LLC (1074); Linc Alaska Resources, LLC (2362); Paen Insula Holdings, LLC (1681); Linc Energy Petroleum (Wyoming), Inc. (9859); Diasu Holdings, LLC (9626); Diasu Oil & Gas Company, Inc. (8926); and Linc Energy Operations, Inc. (5806).

Since the Petition Date, the Debtors have managed their affairs and conducted their business as debtors in possession pursuant to sections 1107 and 1108 of the Bankruptcy Code. No trustee or examiner has been appointed in these chapter 11 cases. C. As of the Petition Date, the Debtors assets included real and personal property located within Calhoun County, Texas, Calhoun County Independent School District, and Calhoun County Groundwater Conservation District (the Property ). The Property was sold pursuant to the Order (A) Authorizing and Approving (I) the Asset Purchase Agreement for the Gulf Coast Assets; (II) the Sale of the Debtors Gulf Coast Assets Free and Clear of All Liens, Claims, Encumbrances, and Interests; and (III) The Assumption and Assignment of Certain Executory Contracts and Unexpired Leases; and (B) Granting Related Relief [Dkt. No. 347] (the Gulf Coast Sale Order ). D. The Gulf Coast Sale Order provides, among other things, that: For the avoidance of doubt, the ad valorem tax liens of Cleveland ISD, Galveston County, Harris County, Hull-Daisetta ISD, Orange County, Chambers County Tax Office, Barbers Hill ISD, Dickinson ISD, Sheldon ISD, Brazoria County Tax Office, Calhoun CAD, Goose Creek CISD, and Lee College District for the 2016 tax year are hereby expressly retained against the Assets until payment is made to fully satisfy the 2016 ad valorem taxes, and any penalties or interest which may ultimately acue to those 2016 taxes if not timely paid. (Gulf Coast Sale Order 24). E. On June 8, 2016, Calhoun CAD (on behalf of Calhoun County, Calhoun County Independent School District, and Calhoun County Groundwater Conservation District) filed Claim No. 25 against Linc USA GP in the amount of $55, (the Claim ). The Claim was amended on August 26, 2016 to state a revised amount of $4, The Claim asserts a basis of property taxes and purports to be a secured claim. -2-

The Debtors and Calhoun CAD agree that the Debtors have paid the amounts included in the Claim attributable to ad valorem taxes for years 2015 and prior. The Parties further agree that the amounts included in the Claim attributable to ad valorem taxes for the 2016 year are the responsibility of the purchaser of the Property pursuant to the terms of the Gulf Coast Sale Order. Accordingly, the Debtors and Calhoun CAD agree that the Debtors payment of the amounts listed in the Claim for ad valorem taxes for years 2015 and prior was made in full satisfaction of all claims of Calhoun CAD against the Debtors estates. II. AGREED ORDER Therefore, based on the agreement of the Parties, it is hereby ORDERED: 1. Claim No. 25 filed by Calhoun County Appraisal District against Linc USA GP is disallowed. 2. Calhoun County Appraisal District shall not file any additional proofs of claim, requests for payment of administrative expense, or any other requests for payment in these bankruptcy cases. The amount paid by the Debtors for ad valorem taxes for years 2015 and prior was in full satisfaction of all claims of Calhoun County Appraisal District against the Debtors estates.
