1 Sept. 30/16 The VANGUARD TESLA MODEL X GIVEAWAY* (the Contest ) OFFICIAL RULES (the Official Rules ) The Contest is being presented and administered by Yonge Grandview Corp. (the Sponsor ). In these Official Rules, the term Sponsor includes, where the context permits or requires, any representative or representatives of the Sponsor. The Contest opens at noon Eastern Daylight Time ( EDT ) on October 15, 2016 and closes at 6:00 p.m. EDT on November 3, 2016 (the Contest Period ). Note that, unless otherwise specified, all times referred to in these Official Rules are stated in EDT and the Sponsor s time-keeping device shall be conclusive as to the time which is applicable to any requirement set out in these Official Rules. No purchase is necessary to enter the Contest. 1. ELIGIBILITY Subject to the provisions of these Official Rules, the Contest is open to all residents of Canada who have reached twenty years of age by the commencement of the Contest Period except: 1.1. residents of the Province of Quebec; 1.2.any person who is not an acceptable credit-risk and otherwise is not acceptable to Tesla Motors Canada ULC (the lessor ) in accordance with the lessor s leasing policies applicable to the Prize vehicle and to the lease of the Prize vehicle; 1.3.any person who at any time during the Contest Period was or is directly associated with the Contest, including employees, officers, directors, advertising or promotional agencies, subsidiaries, the parent corporation, franchisees, dealers or representatives of the Sponsor or of the lessor; 1.4. any person engaged in the development, production or distribution of materials for the Contest; and 1.5. Any person who is or purports to be an immediate family member 1

2 (defined as spouse, half-sister, half-brother, or step-, biological foster or in-law or adoptive mother, father, sister, brother, daughter, or son and each) of, or who resides in or is domiciled in the same household as, any person in any of the preceding categories. Any person to whom the Contest is open is described in these Official Rules as an eligible person. 2. THE GRAND PRIZE, THE ODDS OF WINNING AND WARRANTY MATTERS There is one (1) Grand Prize available to be won in the Contest. The odds of winning the Grand Prize will depend upon the number of Entries (each an Entry, and collectively Entries ) which are deposited, in the manner required by these Official Rules, in the entry form box (the entry form box ) on the Draw Date. The Grand Prize is four (4) years of the basic rental payments under a four (4) year lease* (the lease ) of a new 2016 Tesla Model X 75D motor vehicle (the Prize vehicle ). Note that the Sponsor reserves the right in its sole discretion to substitute four (4) years of the basic rental payments on a four (4) year lease of a 2017 model year Tesla Model X 75D motor vehicle to be the Prize vehicle and the Grand Prize in the Contest. The Sponsor has made arrangements with the lessor to co-sign the lease along with the eligible person who, subject to the provisions of these Official Rules, is declared by the Sponsor to be the verified winner of the Grand Prize. In order to be declared to be the verified winner of the Grand Prize, in addition to complying with all of the other provisions of these Official Rules, the applicable eligible person must be creditworthy under the lessor s leasing requirements (the credit requirements ) then in effect and must be accepted by the lessor to be a co-lessee (along with the Sponsor) of the Grand Prize. The lessor may grant that acceptance, or withhold it, in the lessor s sole discretion. The Sponsor will pay to the lessor, as and when they are due and payable, each of the basic rental payments under the lease for the four (4) year term of the lease. The approximate value of the Grand Prize is $90,000 CDN [applicable taxes are included in this lease value determination]. Grand Prize Winner s Lease Responsibilities: The lease will provide for a maximum yearly mileage of 25,000 kilometers. The Grand Prize winner will be solely responsible to pay directly to the lessor, as and when due and payable, any charge or other penalty made or imposed under the 2

3 terms of the lease by lessor for mileage exceeding this limit. Save and except for the payment of the base rental, the Grand Prize winner will be responsible to perform to the lessor s and the Sponsor s entire satisfaction all of the obligations provided for in the lease including, without limitation, continuously insuring the Prize vehicle against collision damage and carrying public liability and property damage applicable to the driver and the Prize vehicle in the amount(s), and meeting all other insurance requirements as provided for in the lease, maintaining the Prize vehicle, and returning the Prize vehicle to the lessor upon the expiration of the lease. When an eligible person becomes the verified winner of the Grand Prize, the Sponsor will inform him/her of the obligations he/she must undertake and for which he/she will be responsible under the lease. The Sponsor then, with the prior written consent of the lessor (which consent the lessor may arbitrarily withhold), will co-sign the lease with the Grand Prize winner and deliver the lease to the lessor. SUBJECT TO THE PROVISIONS OF THESE OFFICIAL RULES, THE GRAND PRIZE IS PROVIDED AS IS WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, AND THE SPONSOR HEREBY DISCLAIMS ALL SUCH WARRANTIES, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND/OR NON-INFRINGEMENT. THE PRIZE VEHICLE WILL BE DELIVERED TO THE GRAND PRIZE WINNER SOLELY WITH THE EXPRESS LIMITED WARRANTIES SET OUT IN THE PRIZE VEHICLE S OWNER S MANUAL, WHICH WARRANTIES SHALL RUN FOR THE TERM SET OUT IN SUCH MANUAL. 3. HOW TO ENTER THE CONTEST IMPORTANT NOTE: IN ORDER FOR AN ELIGIBLE PERSON TO ENTER THE CONTEST AND BECOME THE POTENTIAL WINNER OF THE GRAND PRIZE, THAT ELIGIBLE PERSON A) MUST BE PRESENT PERSONALLY AT THE DRAW LOCATION ON THE DRAW DATE OF SATURDAY, NOVEMBER 5, 2016, AND B) MUST BE PRESENT PERSONALLY AT THE TIME THE DRAW IS HELD ON THE DRAW DATE. For the purposes of this Rule 3., the term Draw Location means the Vanguard Presentation Centre at 7089 Yonge Street, Markham, Ontario and the term Draw Date means Saturday, November 5, The term Entry refers to an original entry which is required in order to enter the Contest. The term the Draw means the random selection of an Entry which will occur at the Draw Location on the Draw Date as more fully described in Rule 4 below. To enter the Contest, an eligible person must be entitled to receive an Entry or Entries (see below how to become entitled to receive one or more 3

4 Entries) AND must attend at the Draw Location on the Draw Date, must obtain the number of Entries which is applicable to that eligible person (see below), must deposit his/her Entries into the entry form box on the Draw Date and must perform the requirements for Contest entry as are more fully described below in this Rule 3. How to Become Entitled to Receive One or More Entries a) To become entitled to receive one (1) Entry on the Draw Date, an eligible person must attend at the Draw Location during the Contest Period, during the hours the Draw Location is open for business (noon to 6 p.m. ET Monday to Thursday, and noon to 5 pm ET Saturday and Sunday), and, in a manner which is satisfactory to the Sponsor take a tour of the Sponsor s Presentation Centre which is situated at the Draw Location. That eligible person will then be given an information form which he/she must complete and return to the Sponsor s representative, at that time and place. The information form has places for the eligible person to fill in the information the Sponsor s representative requires in order that the eligible person can be identified as being entitled to receive one (1) Entry on the Draw Date. The eligible person is not permitted to fill in the name of any person other than himself/herself on the information form in the space provided for Name of Entrant on that form. On the Draw Date, no eligible person will be entitled to obtain more than one Entry, no matter how many tours of the Sponsor s Presentation at the Draw Location he/she has made during the Contest Period. b) To become entitled to receive fifty (50) Entries on the Draw Date, an eligible person must have entered into a purchase agreement with the Sponsor to purchase a condominium unit in the Vanguard condominiums located at 7089 Yonge Street, Markham, Ontario on or before 1:59 p.m. ET October 24, 2016 and such purchase must have become fully and unconditionally firm and binding on the eligible person with all purchase requirements having been satisfied by the eligible person by the end of the Draw Date. There is no limit to the number of such purchase agreements an eligible person may enter into in order to receive his/her entitlement to fifty (50) Entries in the manner set out in this Rule 3 b). Note however that, if more than one person has signed a particular purchase agreement with the Sponsor as referred to above, only one of those persons will be entitled to receive Entries pursuant to this provision of these Official Rules. For greater clarity, without limitation, and as an example only, if a husband and wife sign a purchase agreement, only one of those persons will be entitled to receive the number of Entries which is applicable to that transaction. It is the responsibility and obligation of the signatories to a purchase agreement to decide among themselves before the Draw Date which one of them will seek to receive the number of Entries applicable to their particular transaction. 4

5 c) To become entitled to receive fifty (50) Entries on the Draw Date, an eligible person must be a duly licensed real estate broker, registered and in good standing with the Ontario Real Estate Association, and must be verified, in the manner determined by the Sponsor in its sole discretion, by the purchaser of the applicable condominium unit as having been the representative of an eligible person in respect of an applicable condominium purchase transaction which was entered into after 1:59 p.m. ET September 1, 2016 and qualified that eligible person to receive Entries under the provisions of Rule 3 b) above. d) To become entitled to receive ten (10) Entries on the Draw Date, an eligible person must be a duly licensed real estate broker, registered and in good standing with the Canadian Real Estate Association, and must be verified, in the manner determined by the Sponsor in its sole discretion, by the purchaser of the applicable condominium unit as having been the representative of an eligible person in respect of an applicable condominium purchase transaction (for a condominium unit in the Vanguard condominiums located at 7089 Yonge Street, Markham, Ontario) which was entered into on or before 1:59 p.m. ET September 1, 2016 and such purchase must have become fully and unconditionally firm and binding on the purchaser with all purchase requirements having been satisfied by the eligible person by the end of the Draw Date. How An Eligible Person Who Is Entitled to Receive One or More Entries Actually Can Receive the Applicable Number of Entries and Enter the Contest See above in this Rule 3 how to become entitled to receive an Entry or Entries into the Contest and how many Entries an eligible person is entitled to receive upon fulfilling the applicable condition(s). In order to receive the Entry or Entries to which he/she is entitled, an eligible person must attend at the Draw Location on the Draw Date (and before 2:00 p.m. on the Draw Date). Upon arriving at the Draw Location on the Draw Date, that eligible person must satisfy the Sponsor s representative who is located at the Draw Location for such purpose that the eligible person is entitled to receive one or more Entries, and if so, the number of Entries which are applicable to him/her. Every eligible person who requests an Entry agrees to cooperate fully with the Sponsor s representative in order for the Sponsor s representative to be satisfied that, pursuant to these Official Rules, the eligible person is entitled to receive an Entry, and, if so, the number of Entries to which the eligible person is entitled. That cooperation, in the Sponsor s sole discretion and without limitation, may include the eligible person s providing the Sponsor s representative with such identification as he/she may request (including for example, but without limitation, a valid and current driver s license, a valid and current passport, or other photo 5

6 identification duly issued by a governmental authority). When the eligible person has done what is set out in the preceding paragraph of this Rule 3 before 2:00 p.m. ET on the Draw Date, the Sponsor s representative will give him/her the number of Entries to which he/she is entitled. Note: No person other than the eligible person who, in accordance with the provisions of these Official Rules, is entitled to receive an Entry or Entries, as the case may be, will be given any Entry or Entries by the Sponsor s representative. The Sponsor s representative will determine, in its sole discretion, whether or not a person is an eligible person and whether that eligible person is entitled to receive any Entry based upon the criteria and conditions set out above in this Rule 3, and if so the number of Entries to which an eligible person is entitled. The eligible person then must personally deposit his/her original Entry/Entries in the entry form box which will be located at the Draw Location on the Draw Date and is intended to receive Entries. Only original Entries will be accepted for the Draw. No Entry may be deposited in the entry form box after 2:00 p.m. ET on the Draw Date and no Entry will be accepted for participation in the Contest other than an Entry which has been obtained and deposited in the entry form box in accordance with the provisions of these Official Rules. Any Entry which does not comply with the applicable provisions of these Official Rules will be null and void, of no effect, and will be discarded, irrespective of the reason(s) that the Entry was obtained, completed and/or deposited in the entry form box other than in compliance with these Official Rules. 4. THE CONDUCT OF THE DRAW, THE DECLARATION AND RELEASE, COOPERATION IN PUBLICITY, RELATED CONTEST MATTERS AND THE VERIFICATION OF THE GRAND PRIZE WINNER It is planned that, on or about 2:30 p.m., Saturday, November 5, 2016, at the Draw Location, the Sponsor will conduct or will cause to be conducted a public, random draw of one (1) Entry from all Entries which have been deposited in the entry form box at Draw Location and will announce clearly to those present at the Draw the person s name which applies to the selected Entry, asking that such eligible person identify himself/herself publicly at that time. If the person whose name applies to the selected Entry fails to identify himself/herself publicly at that time and place, the Sponsor will discard the Entry which was selected and will proceed to draw at random another Entry. The Sponsor then will announce clearly to those present at the Draw the person s name which applies to that selected Entry, asking that such eligible person identify himself/herself. If and as necessary, the Sponsor will continue this process of selecting Entries at random until a person whose name applies to a 6

7 selected Entry identifies himself/herself publicly at that time and place. When an eligible person whose name applies to the Entry which is selected identifies himself/herself publicly at that time and place, the Sponsor will declare that such eligible person is the potential winner of the Grand Prize, subject to proper completion by him/her of the declaration and release (the declaration and release ) referred to below in this Rule 4 (and correctly answering the mathematical skill-testing question which appears in the declaration and release), and subject to him/her providing the Sponsor with such other documents and assurances as are reasonably required by the Sponsor, and as are required in its sole discretion by the lessor, in relation to the lease, the execution of the lease and in relation to the transfer of possession of the Grand Prize to that Prize winner. The Declaration and Release The potential Grand Prize winner acknowledges and agrees that, in order to be verified as the Grand Prize winner, among other things [including without limitation satisfying the credit requirements] he/she must execute and deliver to the Sponsor (at the time and place specified in its sole discretion by the Sponsor) a declaration and release which the Sponsor will provide to the potential Grand Prize winner together with instructions to the potential Grand Prize winner concerning the completion of the declaration and release. The declaration and release, among other things, will contain an acknowledgement of compliance by the potential winner with all of the provisions of the Official Rules, a liability and publicity release, a mathematical skill-testing question (the Skill-Testing Question ) which the potential Grand Prize winner must correctly answer, without any mechanical, electronic or other assistance, and an agreement by the potential winner to observe and comply in full with all of the terms of and perform all of the obligations to be performed by him/her under the lease. Additional Requirements Which the Potential Grand Prize Winner Must Fulfil In Order To Become the Verified Winner of The Grand Prize The potential Grand Prize winner further acknowledges and agrees that, as a condition of becoming the verified winner of the Grand Prize, he/she will be required to provide to the Sponsor, and to the lessor, when and where requested by the Sponsor and, as applicable to the lessor, any other documents and confirmations as are reasonably required by the Sponsor and as are required in its sole discretion by the lessor (including, without limitation, proof of meeting the credit requirements, a valid driver s license which is in good standing, and proof of the insurance required under the provisions of the lease) in order to qualify to co-sign the lease, and to qualify to take possession of and use the Prize vehicle. In order to become the verified winner of the Grand Prize, the potential Grand Prize winner also must agree in writing to participate in any announcement(s) 7

8 and/or presentation ceremony or ceremonies and/or event or events organized or presented by the Sponsor in its sole discretion related to the granting of a Prize to the Grand Prize winner and/or related to the Grand Prize winner s participating in the Grand Prize, including the use and enjoyment of the Prize vehicle, and including, without limitation, press events before, during and/or after the awarding of the Grand Prize to the Grand Prize winner. Once the potential Grand Prize winner has fulfilled, satisfactorily and in full, all of the Sponsor s requirements as set out in these Official Rules, the Sponsor will declare that the potential Grand Prize winner is the verified winner of the Grand Prize. 5. THE BACK-UP DRAW, IF ANY If the eligible person whom the Sponsor has declared at the Draw to be the potential winner of the Grand Prize neglects or fails to fulfil or perform any of the matters or actions, as set out in these Official Rules, which are necessary on his/her part to fulfil or perform in order to become the verified winner of the Grand Prize, he/she will disqualified from the Contest, and will have no claim against the Sponsor or any other person, firm or corporation in respect of the Contest, the Draw, or the Grand Prize. In such a case, as soon as possible after the disqualification, the Sponsor will conduct or cause to be conducted a further random draw of one (1) Entry from all Entries which remain in the entry form box, and the eligible person whose name applies to the Entry selected in this back-up Draw will become the potential winner of the Grand Prize. The Sponsor then will make reasonable efforts to contact that person, at the telephone number which applies to Entry, in order to begin the verification process described in Rule 4 above (including, without limitation, completion of the declaration of release and production of a driver s license and proof of insurance and credit-qualification for and execution of the lease) in order for a potential Grand Prize winner to become a verified winner of the Grand Prize. After three (3) such calls over two days, if the Sponsor is unable to actually speak with the eligible person in question, that eligible person s Entry will be discarded, that eligible person will be disqualified from disqualified from the Contest, and will have no claim against the Sponsor or any other person, firm or corporation in respect of the Contest, the Draw, or the Grand Prize and the Sponsor will conduct or cause to be conducted a further random draw, or if required draws, of an Entry or Entries in the manner and of the nature just described until an eligible person in fact is identified and verified as the winner of the Grand Prize. 6. DELIVERY OF POSSESSION OF THE PRIZE VEHICLE TO THE GRAND PRIZE WINNER 8

9 The Grand Prize must be accepted as awarded and cannot be transferred or assigned to another person, has no cash value, and cannot be exchanged for money or exchanged in whole or in part for cash, subject to any rights of the Sponsor as set out in these Official Rules. The Sponsor will inform the Grand Prize winner within thirty (30) days of that person being declared to be verified as the Grand Prize winner of the details and times which will apply to the execution of the documents and fulfilment of any other requirements which are required by the lessor in its sole discretion and by the Sponsor to permit the Sponsor to co-sign the lease with the Grand Prize winner and to deliver, or cause to be delivered, possession of the Prize vehicle to the Grand Prize winner, including, without limitation, the production to the Sponsor at the delivery time of a current and valid driver s license and proof of insurance in accordance with the lease requirements. The Prize vehicle must be accepted as awarded (including colour) with no substitutions, except in lessor s sole discretion. Unless in the Sponsor s sole discretion the Sponsor otherwise decides, when the Prize vehicle is ready for delivery to the Grand Prize winner, it will be delivered by the Sponsor or at the Sponsor s direction, to the Grand Prize winner at 1325 Lawrence Avenue East, North York, Ontario. The Sponsor or the lessor will contact the Grand Prize winner when the Prize vehicle is ready for delivery. The Grand Prize winner then, along with the Sponsor, must execute the lease and take delivery of the Prize vehicle at the location just specified, at a time which is agreeable to the Sponsor, and within two (2) weeks after the Sponsor is advised that the Prize vehicle is ready for delivery. If the Grand Prize winner refuses, neglects, or fails to execute the lease and/or to take delivery of the Prize vehicle at the agreed upon time then the Grand Prize winner will be deemed to have declined to accept the Prize vehicle and to have forfeited the Grand Prize, will be disqualified from the Contest, and will have no claim against the Sponsor or any other person, firm or corporation in respect of the Contest, the Draw, or the Grand Prize, and the Grand Prize will not be awarded in the Contest. The Grand Prize winner is responsible for all costs associated with any upgrade/option package not included in the Grand Prize description. The Sponsor reserves the right to extend the delivery date or, in its sole discretion, to substitute another model or another vehicle in the event that the Prize vehicle is not available for any reason including, without limitation, scarcity due to limited production or unavailability for any other reason. The Grand Prize winner is responsible for the cost of his/her transportation to the designated location to take delivery of the Prize vehicle. No cash equivalent is available for any portion of the Grand Prize. If the actual value of the lease is lower than the ARV stated in these Official Rules, the Grand Prize winner will not be entitled to the difference. 7. GENERAL PRIZE SUBSTITUTION AND UNAVAILABILITY In the event that, for any reason, the Sponsor is unable to award the 9

10 whole, or any part, of the Grand Prize in the Contest, the Sponsor has the right to substitute a prize of equal or greater value, or, at the Sponsor s sole discretion, the cash value of the Grand Prize or part of the Grand Prize. 8. NO RESPONSIBILTY FOR CERTAIN EVENTS Neither the Sponsor, nor any representative of the Sponsor is or shall be responsible to any person: a) for any miscommunications, failed, jumbled, scrambled, delayed, or misdirected telephone or other transmissions or hardware or software malfunctions, failures or difficulties; or for any technical malfunctions, failures, or difficulties; b) for any lost, delayed, misdirected or failed mail or other delivery of any document or other thing or communication in or in connection with the Contest, irrespective of the cause of the delay, misdirection or failure; c) for any theft or loss, however caused or occasioned, of any information form, any Entry or any other record in the Contest, or d) for the failure of the person, for any reason, to be accepted by the lessor as assignee of the lease. 9. GENERAL PROVISIONS RE PRIZE NUMBER AND COST RESPONSIBILTY FOR CERTAIN EVENTS Subject to these Official Rules, in no event will more one (1) Grand Prize, or any other kind of Grand Prize than that which is stated in these Official Rules as being available to be won in the Contest, be awarded in the Contest. Any cost or expense (including, without limitation, any applicable taxes) which is incurred by the winner or potential winner of the Grand Prize, whether in claiming, receiving or using the Grand Prize or any part of the Grand Prize, or otherwise, and which is not expressly included in the description of the Prize in these Official Rules, is the sole responsibility of the winner of the Grand Prize. 10. COOPERATION WITH SPONSOR; SPONSOR S DECISIONS ARE FINAL AND BINDING AND RELATED MATTERS The eligibility of the potential Grand Prize winner is subject, at the sole discretion of the Sponsor, to verification by the Sponsor and the lessor. By entering the Contest, all eligible persons agree to cooperate fully with the Sponsor, and at their own expense, in assisting the Sponsor in carrying out any such identification and eligibility verification which the Sponsor and/or the lessor, in its/their sole discretion, may decide to perform. The Sponsor reserves the right in its sole discretion to declare ineligible any person. 10

11 The Sponsor reserves the right to determine how the Grand Prize will be presented to the Grand Prize winner and the Grand Prize winner agrees to cooperate in full in, and in connection with, any such presentation which, in the sole discretion of the Sponsor, may be via a media event or in person or in some other manner. Any failure by the Grand Prize winner to cooperate fully with, or to follow all reasonable directions and instructions of, the Sponsor in respect of the presentation of a Prize or any part of a Prize may, at the sole discretion of the Sponsor, result in the disqualification of the Grand Prize winner and forfeiture of the Prize, in which case the Grand Prize will not be awarded in the Contest. All decisions made by the Sponsor (and as applicable the lessor), or by any representative of the Sponsor or the lessor, in respect of any matter(s) involved in the Contest will be final and binding upon all persons, and no such decision is subject to appeal. The Sponsor and the lessor will not engage in any communication or correspondence with any person other than with a potential Grand Prize winner and the Grand Prize winner. 11. COLLECTION OF PERSONAL INFORMATION By seeking to enter and/or entering the Contest, each eligible person consents to the collection by the Sponsor of his/her personal information in connection with the Contest. The Sponsor will only use that personal information for the purposes of this Contest and the awarding of the Grand Prize and in accordance with the Sponsor s Privacy Policy which may be reviewed by visiting the Sponsor s website: An eligible person s personal information may be supplied to the lessor in connection with the Contest and the server or servers of the lessor are or may be located outside Canada. In such case, an eligible person s personal information is or may be subject to the provisions of the privacy laws in force in such foreign jurisdiction. With the consent of an eligible person whose name applies to an Entry, the Sponsor may use the eligible person s name, address and/or address to send the eligible person information by post or or otherwise about new products, services and/or special offers which the Sponsor believes may be of interest to that eligible person. Such a person may withdraw that consent in accordance with the Sponsor s Privacy Policy. 12. CANCELLATION/MODIFICATIONS OF CONTEST IN CERTAIN SITUATIONS AND RELATED MATTERS The Sponsor also reserves the right, subject to any required governmental approval, to cancel or modify the Contest (without any notice to any person) if, in the Sponsor s sole opinion, the Contest cannot be held as originally planned, due, without limitation, to fraud, technical failures, human or other errors or omissions, or any other causes or occurrences that may compromise 11

12 or that have compromised the administration, safety, fairness or integrity of the Contest. Any person entering the Contest, or trying to do so, by any means which would or could corrupt the fair and honest conduct or operation of the Contest or would or could affect the chances of any other person to enter or win the Grand Prize, whether by mass or substitute or fraudulent Entries, or other entries or otherwise, will be disqualified, and in any such case the Sponsor reserves the right to seek recourse and damages at its discretion and to the fullest extent permitted by law, including criminal prosecution. 13. LIABILITY AND PUBLICITY RELEASE As referred to above, the potential Grand Prize winner must sign and deliver to the Sponsor, in the manner and at the time required by the Sponsor in its sole discretion, the declaration and release which contains a declaration of compliance with these Official Rules and a liability and publicity release, in a form prepared by the Sponsor, declaring that the potential Grand Prize winner accepts the Grand Prize as awarded, has complied in full with all of the provisions of these Official Rules, is an eligible person, releasing the Sponsor and the Sponsor s directors, officers, shareholders, and employees and the Sponsor s franchisees, dealers, affiliates, subsidiaries, divisions, parents and advertising or promotional agencies (and the directors, officers and employees of those franchisees, dealers, affiliates, subsidiaries, divisions, parents and advertising or promotional agencies) from any loss, cost, damage or harm of any nature whatever, including property damage and personal injury or death, incurred through entry into the Contest, participating in the Contest, by or in connection with the receipt, use or misuse of any part of the Grand Prize which the potential Grand Prize winner receives in the Contest, and granting to the Sponsor in perpetuity and without geographic limitation the right (but not the obligation) to broadcast, publish and disseminate the Grand Prize winner s name, address (city/town and Province/Territory), photograph, likeness and voice, in connection with any promotion, publicity or information in connection with the Contest or for any other publicity purposes in any medium of any nature whatsoever whether now known or hereafter developed (including the Internet) without further notice, approval or compensation. By entering the Contest, each eligible person grants to the Sponsor in perpetuity and without geographic limitation the right (but not the obligation) to broadcast, publish and disseminate his/her winner s name, address (city/town and Province/Territory), photograph, likeness and voice, in connection with any promotion, publicity or information in connection with the Contest or for any other publicity purposes in any medium of any nature whatsoever whether now known or hereafter developed (including the Internet) without further notice, approval or compensation. 14. GOVERNING LAW 12

13 All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules or the rights and obligations as between one or more eligible entrants and the Sponsor in connection with the Contest shall be governed by and construed and interpreted in accordance with the federal laws of Canada, and in accordance with the internal laws of the Province of Ontario, Canada, including the procedural provisions of those Ontario laws, without giving effect to any choice of law or conflict of law rules or provisions that would cause or bring about the application of any other jurisdiction s laws. All eligible entrants, the Sponsor and all other parties hereby attorn to the jurisdiction of the courts of the Province of Ontario, sitting in the City of Toronto, Ontario, in respect of the determination of any matter or dispute arising under or in respect of the Contest or these Official Rules and agree that any such determination shall be brought solely and exclusively before such courts in the Province of Ontario. 15. GENERAL Subject to applicable laws, these Official Rules govern all aspects of and bind all eligible persons in the Contest. The Contest is subject to all applicable federal, Provincial and municipal laws. The invalidity or unenforceability of any provision of these Official Rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Official Rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. Headings and captions are used in these Official Rules solely for ease of reference, and shall not be deemed or considered to affect in any manner the meaning or intent of these Official Rules or any provision hereof. These Official Rules cannot be modified or amended in any way except in writing by a duly authorized representative of the Sponsor. Subject to the provisions of these Official Rules, employees of the Sponsor are not authorized to modify, amend or waive these Official Rules. In the event there is a discrepancy or inconsistency between disclosures or other statements contained in any information form, or declaration and release, or advertising or other publicity or materials or communications concerning or related to the Sponsor or the Contest or the Draw, and the provisions contained in these Official Rules, the provisions in these Official Rules shall prevail, govern and control. 16. THE OFFICIAL RULES A copy of these Official Rules may be viewed from the beginning of the Contest Period until midnight November 5, 2016 on the Sponsor s website and are available for review at the Vanguard 13
