( RouteOne ) 2015 Gift Card Giveaway Incentive Program - Official Program Rules RouteOne LLC Northwestern Highway, Suite 200, Farmington Hills, MI RouteOne Canada Corp Woodbine Avenue Markham Ontario L3R 9Y4 The RouteOne 2015 Giftcard Giveaway Incentive Program (the Program ) will run from August 17, 2015 at 12:01 a.m. Eastern Daylight Time through September 16, 2015 at 11:59 p.m. Eastern Daylight Time (the Incentive Period ). The following Program rules and description apply: 1. The Program is open to Dealership-authorized users, who are legal residents of Canada and have reached the legal age of majority in their province/territory of residence, are an employee of a RouteOne-designated Canadian dealership (each, a Dealership ), and who register for the Incentive Program (each, a User ). For greater certainty, employees, representatives, or agents (and those with whom such persons are living, whether related or not) of RouteOne, its parent companies, subsidiaries, affiliates, suppliers, advertising/promotion agencies and any entity involved in the development, production, administration, or fulfillment of the Program, are not eligible to enter the Program. 2. Users must agree to these Program Rules to participate in the Program. 3. Determination that an entrant is a qualified User shall be at RouteOne s sole discretion. 4. Users receiving Incentives (as defined below) must be employed by the Dealership at the time of receipt of the Incentive. 5. By enrolling, User and User s Dealership agree to RouteOne, its agents and/or representatives, storing, sharing and using the personal information submitted with the User s enrollment only for the purpose of administering the Program and in accordance with RouteOne s privacy policy (available at: The User may also opt to receive marketing material via the address provided during the enrollment process. 6. NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER. In order for a User to become eligible to receive an Incentive: a. The User must complete the Required Questions in the first section of the 2015 Canadian Dealer Satisfaction Survey, as marked with an asterisk (*), at or to be eligible for one (1) entry to be randomly selected as a recipient of Incentive One (as defined below). b. The User must complete the Required Questions in the first section of the 2015 Canadian Dealer Satisfaction Survey, as marked with an asterisk (*), as well as all of the Optional Questions in the second section of the survey at or to be

2 eligible for one (1) entry to be randomly selected as a recipient of Incentive Two (as defined below). For greater certainty, there will be two (2) Entry Pools : Entry Pool One in respect of Incentive One, consisting of those eligible Users who completed only the Required Questions, and Entry Pool Two in respect of Incentive Two, consisting of those eligible Users who completed both the Required Questions and all of the Optional Questions. A User will only receive an entry in either Entry Pool One or Entry Pool Two, not both. 7. All entries are subject to verification at any time and for any reason. RouteOne reserves the right, in its sole and absolute discretion, to require proof of identity and/or eligibility (in a form acceptable to RouteOne including, without limitation, government issued photo identification): (i) for the purposes of verifying an individual s eligibility to participate in this Program; (ii) for the purposes of verifying the eligibility and/or legitimacy of any entry or other information entered (or purportedly entered) for the purposes of this Program; and/or (iii) for any other reason RouteOne deems necessary, in its sole and absolute discretion, for the purposes of administering this Program in accordance with these Rules. Failure to provide such proof to the complete satisfaction of RouteOne within the timeline specified by RouteOne may result in disqualification in the sole and absolute discretion of RouteOne. The sole determinant of the time for the purposes of this Program will be the Program server machine(s). 8. On September 23, 2015, at approximately 12:00 p.m. Eastern Daylight Time, in Markham, Ontario, a random drawing will be used by RouteOne to select two (2) Users through a random drawing. One (1) potential winner of Incentive One will be randomly selected from all eligible entries in Entry Pool One. One (1) potential winner of Incentive Two will be randomly selected from all eligible entries in Entry Pool Two. 9. Before being deemed a winner, the selected Users must correctly answer a time-limited mathematical skill-testing question to be administered by mail, internet, or telephone as determined by RouteOne in its sole and absolute discretion, and the potential winner, and an authorized representative of the potential winner s Dealership (either a Dealer Principal, General Manager, or General Sales Manager), must sign and return RouteOne s form of Consent & Release, within the timeline specified by RouteOne. 10. Following confirmation of such Users by RouteOne and receipt of a valid Consent & Release, RouteOne will publish the names of the recipient and award the respective Incentive. No substitution for, or transfer of an Incentive will be allowed. 11. If the selected entrant: (a) fails to correctly answer the skill-testing question; (b) fails to return the properly executed Program documents within the specified time; (c) cannot accept (or is unwilling to accept) the Incentive (as awarded) for any reason; and/or (d) is determined to be in violation of these Rules (all as determined by RouteOne in its sole and absolute discretion); then he/she may, in the sole and absolute discretion of RouteOne, be disqualified (and, if disqualified, will forfeit all rights to the Incentive) and RouteOne reserves the right, in its sole and absolute discretion and time permitting, to randomly select an alternate eligible entrant from among the remaining eligible entries submitted and received in accordance with these Rules (in which case the foregoing provisions shall apply to such newly selected entrant).

3 12. The chances of being selected depend upon the total number of eligible entries received in the User s Entry Pool. 13. Users, by entering this Program, consent to the use of their name and/or photograph, without compensation, in any future publicity carried out by RouteOne in connection with this Program, and/or in any other publicity or advertisement carried out by or on behalf of RouteOne in any manner or medium whatsoever, including print, broadcast or the internet. 14. Users are responsible for obtaining approval of their Dealership to receive an Incentive, and are solely responsible for compliance with any policies their Dealership may have for participation in promotions such as the Program. The recipient will, on request, provide RouteOne with the written consent/permission of the recipient s Dealership to receive an Incentive. In the instance such written consent/permission is not received by RouteOne upon its request, RouteOne, in its sole and absolute discretion may disqualify the User and per the process set forth in these Program Rules, select a new winner. Arrangements for delivery of an Incentive to a confirmed User will be made only with the confirmed User. 15. A User is eligible to receive not more than one (1) Incentive during the Incentive Period. 16. Available Incentives are as follows: 1) one (1) gift card valued at $400 CAD (a $400 CAD value) ( Incentive One ) and one (1) gift card valued at $500 CAD (a $500 CAD value) ( Incentive Two ). 17. Users may not participate with multiple addresses, nor may Users use any device or artifice to enter multiple times or as multiple users. A User may not create or attempt to create multiple entries by completing the survey more than once. Limit of one (1) entry per User. Any User who attempts to enter with multiple addresses, under multiple identities or uses any other device or artifice to enter multiple times will be disqualified from participation in the Program and all entries submitted by the entrant will be void; the determination of this shall be at RouteOne s sole discretion. Your entry may be rejected, in the sole and absolute discretion of RouteOne, if the entry survey is not fully completed with all required information and submitted and received in accordance with these rules during the Incentive Period. RouteOne is not responsible for late, lost, misdirected, delayed, incomplete or incompatible entries (all of which are void). 18. Recipients of Incentives shall be responsible for any and all income taxes which may be owed as a result of receiving an incentive, and will be responsible for any property tax, excise tax, or any other tax, fee, or registration fee which may be imposed. Dealership and User must agree to comply with applicable federal and provincial tax laws, rules and regulations in Canada. 19. RouteOne reserves the right to revoke, withhold, or deny distribution of any Incentive in the event of a malfunction of the website, the survey website, or in the event of abuse or misuse of the RouteOne CAS, non-compliance with the Program rules, noncompliance with any federal or provincial law or regulation, or any other violation of the RouteOne Dealer Participation Agreement or RouteOne Use Policy by the Dealership or User, as determined by RouteOne in its sole discretion.

4 20. All entries become the property of RouteOne. This Program is subject to all applicable federal, provincial and municipal laws. The decisions of RouteOne with respect to all aspects of this Program are final and binding on all entrants without right of appeal, including, without limitation, any decisions regarding the eligibility/disqualification of Entries and/or entrants. By participating in this Program, you are agreeing to be legally bound by the terms and conditions of these Rules. ANYONE DEEMED BY ROUTEONE TO BE IN VIOLATION OF THESE RULES FOR ANY REASON IS SUBJECT TO DISQUALIFICATION IN THE SOLE AND ABSOLUTE DISCRETION OF ROUTEONE AT ANY TIME. 21. RouteOne will not be liable for: (i) any failure of any website during the Program; (ii) any technical malfunction or other problems of any nature whatsoever, including, without limitation, those relating to the telephone network or lines, computer on-line systems, servers, access providers, computer equipment or software; (iii) the failure of any entry or other information to be received, captured or recorded for any reason whatsoever, including, but not limited to, technical problems or traffic congestion on the internet or at any website; (iv) any injury or damage to an entrant s or any other person s computer or other device related to or resulting from participating in the Program; and/or (v) any combination of the above. 22. RouteOne reserves the right, subject only to the approval of the Régie des alcools, des courses et des jeux (the Régie ) in Quebec, to withdraw, amend or suspend this Program (or to amend these Rules) in any way, in the event of any cause beyond the reasonable control of RouteOne that interferes with the proper conduct of this Program as contemplated by these Rules, including, without limitation, any error, technical problem, computer virus, bugs, tampering, unauthorized intervention, fraud or technical failure. Any attempt to deliberately damage any website or to undermine the legitimate operation of this Program in any way (as determined by RouteOne in its sole and absolute discretion) is a violation of criminal and civil laws and should such an attempt be made, RouteOne reserves the right to seek remedies and damages to the fullest extent permitted by law. RouteOne, with the consent of the Régie, reserves the right to cancel, amend or suspend this Program, or to amend these Rules, in any way without prior notice or obligation, in the event of any accident, printing, administrative, or other error of any kind, or for any other reason whatsoever. Without limiting the generality of the forgoing, RouteOne reserves the right, in its sole and absolute discretion, to administer an alternate test of skill as it deems appropriate based on the circumstances and/or to comply with applicable law. 23. For Quebec residents: Any litigation respecting the conduct or organization of a publicity contest may be submitted to the Régie des alcools, des courses et des jeux for a ruling. Any litigation respecting the awarding of a prize may be submitted to the board only for the purpose of helping the parties reach a settlement. 24. RouteOne reserves the right, subject only to the approval of the Régie in Quebec, to adjust any of the dates, timeframes and/or other Program mechanics stipulated in these Rules, to the extent necessary, for purposes of verifying compliance by any entrant or entry with these Rules, or as a result of any technical or other problems, or in light of any other circumstances which, in the opinion of RouteOne, in its sole and absolute discretion, affect the proper administration of the Program as contemplated in these Rules, or for any other reason.

In the event of any discrepancy or inconsistency between the terms and conditions of these English Rules and disclosures or other statements contained in any Program-related materials, the terms and conditions of these English Rules shall prevail, govern and control to the fullest extent permitted by law.
