Hayes, City Manager SUBJECT: Request for acceptance of Letter of Intent and authorization to pursue a Purchase Agreement for real property identified by Tax Parcel Identification Number (Alt. Key No ) located on Limit Avenue in Lake County, Florida, (Property), owned by Mount Dora Groves Company Introduction: This is a request for acceptance of the Letter of Intent and authorization to pursue a Purchase Agreement for real property identified by Tax Parcel Identification Number (Alt. Key No ) located on Limit Avenue in Lake County, Florida, (Property), owned by Mount Dora Groves Company. Discussion: The City has negotiated an agreement with the property owner to purchase 8.15 acres located on Limit Avenue adjacent to the City s Water Plant #1 property. The purchase price of $645,000 includes the land cost of $570,000 (per acre $69,939) and a deferred payment contribution of $75,000 for five (5) foot sidewalks on the future extension of Grandview Avenue that is also owned by Mount Dora Groves Company. The City will construct the Public Work administration building and possibly a Fire Station. The City has worked with City Appraiser and he believes the purchase agreement will compare to the purchase price. The sidewalk contribution will provide connectivity to future developments and the properties on Grandview Avenue on the south side of Limit Avenue providing a benefit to the public. The City will do the additional due diligence and bring back a purchase and sale agreement expected to be presented at the April 2, 2019 City Council meeting. 3 Office of the City Manager Memorandum -- Page 2 of 2 Budget Impact: Although the City Council has previously issued debt totaling $33,900,000 for the construction of fire stations (3) ($21,740,000) and a new public works complex ($12,160,000), funds were not specifically appropriated for the purchase of land. Staff is reviewing options for the funding of this proposed purchase including but not limited to redirecting a portion of the amounts appropriated for the construction of the facilities to the purchase of land, as well as utilization of alternative funding sources, i.e. infrastructure sales surtax or fire impact fees. Staff anticipates we will be prepared to make a funding recommendation at such time as a contract for purchase is presented to the City Council for consideration. Strategic Impact: Infrastructure, Growth Management and Economic Development Recommendation City Council accept of Letter of Intent and authorize City Manager to pursue a Purchase Agreement. 5 ATTACHMENT #2 CITY OF ~ MOUNT DORA LETTER OF INTENT Si;;;r2:tft1'{JI!!, '1p,r>1i!f The purpose of this Letter of Intent is to identify, address and express the terms and conditions of a basic understanding between the City of Mount Dora, a Florida municipal corporation, acting through its City Manager ("Mount Dora"), and Mount Dora Groves Company (" OWNER"). (1) GENERAL INTENT. It is hereby the intent of Mount Dora to purchase or conde1m1 a portion of that property identified by Tax Parcel Identification Number (Alt. Key No ) located on Limit Avenue in Lake County, Florida, (Property). The office and barn portion of the property shall not be included in the purchase; however, the City shall have right of first refusal to purchase said portion of the property to be defined in the Real Property Purchase Agreement executed by the parties. The Prope1iy shall be determ ined by boundary survey obtained by the City, at the City' s expense, within the thirty (30) day period following execution of this letter by the OWNER. The intended land to purchase is identified on Attachment 1. (2) PURCHASE PRICE AND AGREEMENT TERMS. It is intended by Mount Dora that the parties enter into a detailed purchase and sale agreement, to be prepared by the City Attorney of Mount Dora. The purchase price shall be an amount not to exceed Five Hundred Seventy Thousand Dollars ($ $570,000), based on the size of the Property being 8.15 acres as verified by boundary survey, and which shall be contingent on the receipt of a current appraisal which justifies said amount. It is contemplated that the City shall contribute $75, for future five foot sidewalks on the Grandview Street extension north of Limit A venue, and this amount is not included in the purchase price of the Prope1iy. In addition, any such purchase and sale agreement shall be contingent upon the City's satisfaction with its inspection of the Property. The purchase price will be inclusive of Real Estate Broker's commissions and any attorney' s fees. Mount Dora agrees to pay all other closing costs relative to the subj ect purchase including, but not limited to, the Owner' s Title Insurance Premium and any Endorsements, Title Search Fee, Municipal Lien Search Fee, Recording Costs and Documentary Stamps, if applicable. The City will provide both a landscape buffer and security fence along the eastern Property boundary. The fencing will be a six-foot green chain link fence. The landscape buffer will be ten feet in width. The landscape materials will include both trees and hedges with the intent to obscure the view of the Prope1iy from future adjacent development on the extension of Grandview Street. (3) BINDING ACTION. This Letter of Intent does not and is not intended to contractually bind the parties. The parties shall not be contractually bound unless and until they enter into a formal, written purchase and sale agreement, which must be in form and content satisfactory to each pa1iy and/or to each party' s legal counsel, in their sole discretion. The purchase and sale agreement to be entered into by Mount Dora and OWNER must be submitted to the Mount Dora City Council February 28, 2019 Special Session Agenda Packet Page 5 of 6
6 Page 2 of2 Letter of Intent Mount Dora Groves Company for final approval and will not be binding on the City without official action. Notwithstanding the provisions of this paragraph, the OWNER agrees not to negotiate with any other party during the inspection period as set forth hereinafter. (4) CONSIDERATION AND EXCLUSIVITY OF NEGOTIATIONS. OWNER recognizes that Mount Dora has relied upon the representations made herein by OWNER and Mount Dora recognizes that OWNER has relied upon the representations made herein by Mount Dora's City Manager. Accordingly, based upon the foregoing, OWNER agrees not to negotiate a purchase and sale agreement with any other party for a period of ninety (90) days from the date hereof while the City is engaged in its inspection of the Property. The OWNER agrees to allow the City and its contractors to access the Prope1iy as needed at all reasonable times during the thirty (30) day period following the date hereof. Reciprocally, the City Manager will use her best effo1is to submit a purchase and sale agreement to the Mount Dora City Council on or before April 2, 2019, which is conditioned upon the receipt of a boundary survey, valid appraisal justifying the purchase price and a satisfactory inspection of the Property. (5) AUTHORIZATION CERTIFICATE. The undersigned parties certify that, as representatives of their respective entities, each had, at the time of execution of this Letter of Intent, full power and authority to execute this Letter of Intent.
