3 INTRODUCTION The publication of our Annual Report is an opportunity to reflect on the year gone by, recognise our accomplishments and evaluate our next steps in realising future goals. This year, I look back on 2015 with a particular sense of pride for all we have achieved in what has been my final year as Chief Executive. Our core function is to improve the professional lives of those we represent. Passion and dedication are the hallmarks of our staff, directors and voluntary officers, resulting in the continuous pursuit of innovation and greater efficiencies was a year where we achieved significant progress in fulfilling this mission. Recognising members changing needs, we redesigned the Professional Certificate in Insurance (APA) based on extensive research. This better aligned the programme with individual and corporate requirements and created a more cost-effective way for members to become MCC compliant. Initial exam results already indicate a substantial improvement in student performance. Our relocation to the IFSC was another important strategic development, allowing us to avail of greater synergies in our service to members and the wider sector. Another priority for the organisation is the promotion of insurance as a career to reverse the talent acquisition challenges in the industry. The government has also recognised the importance of addressing these challenges, by approving our proposal for the creation of a professional apprenticeship for the insurance sector. With Zurich, we established a steering group of cross-industry representatives to develop and launch this apprenticeship, which I believe is vital to the sustainability of our industry. As we celebrated the 130th anniversary of the organisation s foundation, we also felt it appropriate to pay tribute to our heritage of professional and academic excellence by reintroducing our traditional crest into our corporate brand. This, together with a greater member focus in our services and communications, reinforces our position as a leading professional membership organisation. The year so far The first quarter of 2016 has been marked with further achievements. The Insurance Institute s policy of continuous staff development resulted in our being named the Best Learning and Development Organisation in the not-for-profit category at the IITD National Training Awards. This was a fantastic recognition of the calibre of the services we deliver. We also engaged in a review of our internal processes to ensure consistent quality in our services. I am delighted to announce this has resulted in our being awarded the ISO 9001 Quality Management System certification, a standard that all staff are deeply committed to maintaining. A word of thanks It has been a great privilege to have led the organisation in a most exciting, yet challenging, period in its 130 year history. Our achievements this year have been made possible by many stakeholders to whom I am greatly indebted. Firstly, I would like to thank our outgoing president, Gearoid Gilley, whose hard work, dedication and insights have been of enormous value to the organisation. I would also like to thank Chairperson Richard Endersen and the Board of Directors for their commitment and passion, which has remained steadfast throughout my entire tenure as CEO. Finally, to our Local Institutes whose work with members nationwide cannot be underestimated, I thank you for your time, effort and relentless enthusiasm. A final word of recognition to my colleagues at The Insurance Institute for their devotion, passion and loyalty; they are the real heroes of the Institute s success and I thank you all for the fond memories, which I will carry with me into my retirement. 4 MESSAGE FROM THE OUTGOING PRESIDENT It has been a privilege to serve as President of The Insurance Institute for its milestone 130th year. In particular, I am proud to have been part of the organisation s significant achievements over the last 12 months, which have further strengthened my belief in the institute s value to the insurance industry and by extension, our customers. I admire the ability of Eamon and his team to consistently innovate in order to respond to the changing needs of members and the wider industry. I look forward to serving on the Board for the coming year and contributing to the implementation of further strategic priorities throughout I d like to wish incoming president Jim Duncan every success as he takes the helm during a period of great change and advancement within the organisation. My thanks goes to Richard Endersen, Chairperson of the Board of Directors, Professor Gerard McHugh, Chair of the Professional Standards Committee and all members of our National Council and Local Institutes for their committed service to our institute and the wider insurance community. Finally, a special word of thanks to Eamon for his years of dedicated leadership of The Insurance Institute. 6 INTRODUCING THE INCOMING PRESIDENT Jim Duncan of Chubb Insurance will assume the role of President of The Insurance Institute for 2016/17. Jim is General Manager of Chubb Insurance in Ireland and CEO of Chubb Bermuda International, following the acquisition of Chubb by ACE Group in January 2016*. A native of Scotland, Jim began his career in the insurance industry in 1992 with Ellis & Buckle (now Cunningham Lindsey) in Glasgow. Before joining the industry, Jim was an Inspector with the Royal Hong Kong police for three and a half years. He became involved in the insurance industry as a Loss Adjuster after postgraduate research in Fire Investigation at Edinburgh University. Jim moved to Ireland in 1994 and has made significant contributions to the Irish insurance sector since. Jim holds the Advanced Diploma in Insurance (ACII) and is on his way to becoming a Fellow of the Chartered Insurance Institute (FCII). Speaking of his appointment, Jim noted: It is a privilege to serve as President of The Insurance Institute, an ambassadorial role which affords a significant opportunity to give something back to the industry. I look forward to influencing the direction of The Insurance Institute over the next 12 months during what will be an exciting time for the organisation and the wider sector. *The new company has retained the Chubb name

12 DIRECTORS REPORT The Directors have pleasure in presenting their report and the Financial Statements of the Company for the year ended 31 December Statement of Directors Responsibilities The Directors are responsible for preparing the Annual Report and the Financial Statements in accordance with applicable law and regulations. Irish Company law requires the Directors to prepare Financial Statements for each financial year which give a true and fair view of the state of affairs of the Institute and of the surplus or deficit of the Company for that year. Under the law, the Directors have elected to prepare the Financial Statements in accordance with Irish Generally Accepted Accounting Practice in Ireland, including Financial Reporting Standard 102 The Financial Reporting Standard applicable in the UK and Republic of Ireland and promulgated by the Institute of Chartered Accountants in Ireland and Irish law. Under company law, the Directors must not approve the Financial Statements unless they are satisfied that they give a true and fair view of the assets, liabilities and financial position of the Institute for the financial year end date of the surplus or deficit of the Company for that financial year and otherwise comply with the Companies Act In preparing these Financial Statements, the Directors are required to: select suitable accounting policies and then apply them consistently; make judgements and estimates that are reasonable and prudent; and prepare the Financial Statements on the going concern basis unless it is inappropriate to presume that the Institute will continue in business. The Directors confirm that they have complied with the above requirements in preparing the Financial Statements. The Directors are responsible for ensuring that the Company keeps or causes to be kept adequate accounting records which correctly explain and record the transactions of the Company, enable at any time the assets, liabilities, financial position and surplus or deficit of the Institute to be determined with reasonable accuracy, enable them to ensure that the Financial Statements and Directors Report comply with the Companies Act 2014 and enable the Financial Statements to be audited. The Directors are also responsible for safeguarding the assets of the Institute and hence for taking reasonable steps for the prevention and detection of fraud and other irregularities. The Directors are responsible for the maintenance and integrity of the financial information included on the Institute s website. Legislation in the Republic of Ireland governing the preparation and dissemination of Financial Statements may differ from legislation in other jurisdictions. Legal Status Incorporation The Company incorporated on 17 October 2012 as The Insurance Institute of Ireland and commenced trading on 1 January The Company does not have a share capital and consequently the liability of the members is limited by guarantee. Principal Activities and Business Review The principal activity of the Company is the provision of education and training to the general insurance industry in Ireland. The Directors are satisfied with the performance of the Company during the year under review. Principal Risk and Uncertainties The Directors consider the following to be the principal risks and uncertainties facing the Company: Entry into the market served by The Insurance Institute of Ireland by competitors Changes to the regulatory environment Continued fragmentation of the market due to reducing indigenous companies The Directors are satisfied that appropriate measures are undertaken to ensure the wellbeing of the Company. Results The results for the year are set out in the Company Income and Expenditure Account on page 23. As the Company is limited by guarantee and does not have a share capital the Directors have not recommended a dividend. Important Events Since The Year End There have been no significant events affecting the Company since the year end. Accounting Records The measures taken by the Directors to ensure compliance with the requirements of Section 281 to 285 of the Companies Act 2014 with regard to the keeping of accounting records, are the employment of appropriately qualified accounting personnel and the maintenance of computerised accounting systems. The Company s accounting records are kept at the Company s registered office, 5 Harbourmaster Place, IFSC, Dublin 1, D01 E7E8. 13 INDEPENDENT AUDITORS REPORT TO THE TRUSTEES AND MEMBERS INCOME AND EXPENDITURE ACCOUNT We have audited the Financial Statements of The Insurance Institute of Ireland for the year ended 31 December 2015 which comprise the Income and Expenditure Account, Balance Sheet, Statement of Changes in Equity, Cash Flow Statement and the related notes. The financial reporting framework that has been applied in their preparation is Irish law and accounting standards issued by the Financial Reporting Council and promulgated by the Institute of Chartered Accountants in Ireland (Generally Accepted Accounting Practice in Ireland). This report is made solely to the Company s shareholders, as a body, in accordance with Section 391 of the Companies Act Our audit work has been undertaken so that we might state to the Company s shareholders those matters we are required to state to them in an auditor s report and for no other purpose. To the fullest extent permitted by law, we do not accept or assume responsibility to anyone other than the Company and the Company s shareholders as a body, for our audit work, for this report, or for the opinions we have formed. Respective Responsibilities of Directors and Auditor As explained more fully in the Directors Responsibilities Statement set out on pages 20 21, the directors are responsible for the preparation of the Financial Statements giving a true and fair view and otherwise comply with the Companies Act Our responsibility is to audit and express an opinion on the Financial Statements in accordance with Irish law and International Standards on Auditing (UK and Ireland). All of the activities for the Company are classified as continuing. 22 Scope of the Audit of the Financial Statements An audit involves obtaining evidence about the amounts and disclosures in the Financial Statements sufficient to give reasonable assurance that the Financial Statements are free from material misstatement, whether caused by fraud or error. This includes an assessment of: whether the accounting policies are appropriate to the Company s circumstances and have been consistently applied and adequately disclosed; the reasonableness of significant accounting estimates made by the Directors; and the overall presentation of the Financial Statements. In addition, we read all the financial and nonfinancial information in the Annual Report to identify material inconsistencies with the audited Financial Statements and to Matters on which we are required to report by exception We have nothing to report in respect of the provisions of the Companies Act 2014 which requires us to report to you if, in our opinion, the disclosures of Directors remuneration and transactions specified by law are not made. Information on the impact of first-time adoption of FRS 102 is given in Note 20. The preparation of financial statements in compliance with FRS 102 requires the use of certain critical accounting estimates. It also requires management to exercise judgement in applying the Company s accounting policies. The following principal accounting policies have been applied: The accounting policies and notes on pages form part of these Financial Statements. c) Depreciation of Fixed Assets All fixed assets are initially recorded at cost. Fixed assets are depreciated at appropriate rates in order to write them off over their expected useful lives. 16 NOTES TO THE ACCOUNTS NOTES TO THE ACCOUNTS d) Local Institutes All the administration support for Local Institutes is provided under The Insurance Institute of Ireland. Therefore, transactions of Local Institutes are reflected in the Income and Expenditure account of the Company. e) Turnover The Insurance Institute of Ireland derives its turnover from member subscriptions and income from examinations. f) Debtors Short term debtors are measured at transaction price, less any impairment. g) Cash Cash is represented by cash in hand and deposits with financial institutions repayable without penalty on notice of not more than 24 hours. h) Creditors Short term creditors are measured at transaction price. 2. SIGNIFICANT JUDGEMENTS AND ESTIMATES When preparing the Financial Statements, management makes a number of judgements, estimates and assumptions about the recognition and measurement of assets, liabilities, income and expenses. Useful lives of depreciable assets The annual depreciation charge depends primarily on the estimated lives of each type of asset and, in certain circumstances, estimates of fair values and residual values. The Directors annually review these asset lives and adjust them as necessary to reflect current thinking on remaining lives in light of technological change, prospective economic utilisation and physical condition of the assets concerned. Changes in asset lives can have significant impact on depreciation charges for the period. It is not practical to quantify the impact of changes in asset lives on an overall basis, as asset lives are individually determined, and there are a significant number of asset lives in use. The impact of any change would vary significantly depending on the individual changes in assets and the classes of assets impacted. 3.
